Pursuant to Articles 33 and 34 of the Law on Foundations ("Službeni glasnik RS", No.<br />

88/10 and 99/11) and Article 10, Paragraph 3, Item 1 of the Decision on the establishment of the<br />

Foundation " Novi Sad 2021 - European Capital of Culture "no. 1017 of December 21, 2016, the<br />

Steering Committee of the Foundation, at the first meeting held on December 29, 2016, issues:<br />

STATUTE<br />

Of the Foundation „Novi Sad 2021- European Capital of Culture“<br />

I Basic Regulations<br />

Article 1.<br />

The Statute is the highest general Act of the Foundation "Novi Sad 2021 - European<br />

Capital of Culture" (further referred to as the Foundation).<br />

The Foundation may bring other general and individual acts of the Foundation and<br />

individual committees and bodies, which must comply with the Statute, otherwise are null and<br />

void.<br />

Changes to the Statute of the Foundation may be proposed by the Director and each<br />

member of the Steering Committee of the Foundation.<br />

Changes to the Statute shall be adopted by a qualified, four-fifths majority vote of all<br />

members of the Steering Committee.<br />

Article 2.<br />

Name of the Foundation is "Foundation Novi Sad 2021 - European Capital of Culture"<br />

and is written in the Serbian language and Cyrillic alphabet.<br />

The abbreviated name of the Foundation: The Foundation "Novi Sad 2021".<br />

English term of the Foundation "Foundation Novi Sad 2021 - European Capital of<br />

Culture" is also in usage.<br />

The Steering Committee of the Foundation, by a simple majority of vote of all members,<br />

shall decide on the change of name, abbreviated name and the foreign name.<br />

A representative of the Foundation shall initiate the registration process of these changes<br />

in the Register of Endowments and Foundations.<br />

Article 3.<br />

The seat of the Foundation is in Novi Sad, Katolička porta 5.<br />

Steering Committee of the Foundation, by simple majority, shall decide on the change of<br />

the seat of the Foundation.<br />

A representative of the Foundation shal initiate a new registration procedure at the<br />

Registry of Endowments and Foundations.


Article 4.<br />

The Foundation is established as a non-profit, freewill and independent organization.<br />

The Foundation has a logo as a symbol of its visual identity.<br />

The logo is shaped rectangular, in the form of croswordpuzzle with blue letters marking<br />

Novi Sad 2021.<br />

The logo is used in the Cyrillic and Latin alphabet.<br />

Foundation seal is round in shape, with a text "Foundation Novi Sad 2021" in Cyrillic<br />

alphabet and in English.<br />

II Objectives and Activities of the Foundation<br />

Article 5.<br />

The Foundation is established to perform the following, provided by law, commonly<br />

benefitial objectives: the objectives aimed at the development of culture and the development<br />

and promotion of art, protection of human and minority rights, promotion of democratic values,<br />

European integrations and international cooperation and exchange, as well as encouraging<br />

humanitarian work.<br />

Specific objectives of the Foundation are:<br />

1. Encouraging development of cultural and artistic scene of Novi Sad;<br />

2. Assisting the development of traditional and modern cultural forms;<br />

3. Encouraging cooperation between Novi Sad artists and organizations with artists and<br />

organizations across Europe;<br />

4. Encouraging the internationalization of the Novi Sad cultural scene;<br />

5. Education and training in the field of culture and art, cultural management and<br />

European integrations;<br />

6. Encouraging volunteerism and development of apprenticeship;<br />

7. Encouraging decentralization and democratization of cultural scene in Novi Sad;<br />

8. Encouraging creation of a sustainable cultural infrastructure;<br />

9. Assisiting the implementation of urban development projects.<br />

Article 6.<br />

In order to achieve the objectives, the Foundation will perform the following activities:


1. Production, co-production and organization of cultural events in cooperation with<br />

local, regional and international artists and cultural organizations and other cities - the<br />

European capitals of culture;<br />

2. Co-financing and funding of local projects and initiatives that are being implemented<br />

in cooperation with other European cultural organizations and partners;<br />

3. Presenting Novi Sad and its cultural scene in the international context and helping<br />

connecting Novi Sad with international cultural organizations;<br />

4. Organizing educational programs, training courses, workshops and seminars aimed at<br />

developing skills and abilities of artists and cultural workers in Novi Sad; Development<br />

of its own projects and networking with European art residential projects;<br />

5. Support and assistance to young artists, cultural workers and students of the Academy<br />

of Arts.<br />

6. Organizing educational and informative programs, conferences, and special<br />

ceremonies to mark important dates for the European Union, aimed at promoting<br />

European integration and encouraging cultural cooperation between Europeans;<br />

7. Implementation of the program of direct citizen participation in the planning and<br />

realization of cultural projects; encouraging citizen participation;<br />

8. Creation and implementation of strategy of audience development; Implementation of<br />

programs and projects of cooperation with educational institutions and cultural<br />

institutions;<br />

9. Encouraging programs of volunteering and aprenticeship in the cultural sector;<br />

10. Monitoring the construction of cultural facilities planned under the project "Novi Sad<br />

2021", carried out by the competent administration and services;<br />

11. Other activities to achieve the objectives of the Foundation.<br />

Article 7.<br />

The activity of the Foundation is based on:


a. Programme schedule specified in the application book during the candidacy of the city<br />

for the title of European Capital of Culture;<br />

b. Identified needs after conducting research in the cultural scene of the city;<br />

v. Recommendations of the competent bodies and the Monitoring Commission of the<br />

European Commission.<br />

At the end of each year Work plan shall be adopted, which will determin the list and<br />

continuity of programs and activities that will be implemented in the coming year.<br />

The Work plan along with the Financial plan of the project, is approved by the Steering<br />

Committee of the Foundation, by a simple majority of the total number of members.<br />

Once adopted, the Work plan with the Financial plan shall be submitted for approval to<br />

the City Council of Novi Sad.<br />

After obtaining approval, the Work plan with the fFnancial plan is published on the<br />

"Novi Sad 2021" website and in other ways displayed to the public.<br />

Article 8.<br />

In order to achieve the objectives, the Foundation performs a secondary economic<br />

activity, which is entered in the Register.<br />

The Foundation performs a secondary economic activity under code 79.90 - Other<br />

services and related activities.<br />

The Foundation will carry out this economic activity as a secondary activity, and related<br />

to the objectives for which realization it was established.<br />

Profits of economic activity can only be used for realization of the objectives of the<br />

Foundation, including the costs of the regular work of the Foundation and financing specific<br />

projects.<br />

III<br />

Transparency of the Foundation<br />

Article 9.<br />

In its work the Foundation adheres to the principles of transparency.<br />

Bodies of the Foundation regularly inform the public about all important facts related to the<br />

implementation of the project through the official website, the official social networks, press<br />

releases, press conferences and through regular meetings with media representatives.<br />

For the purpose of informing the public and regular communication it is planned to<br />

organize: public debates, round tables, debates and panel discussions and pronted special<br />

information publications.<br />

IV Using the resources of the Foundation and the circle of beneficiaries


Article 10.<br />

The assets of the Foundation are used in accordance with the Financial plan approved by<br />

the Steering Committee of the Foundation, and approved by the City Council of Novi Sad.<br />

Supervision of the financial operations is under Supervisory Board of the Foundation, the<br />

City Administration for Culture, the City Council of Novi Sad.<br />

The Foundation shall submit an Annual report on the work with the Financial Report on<br />

the implementation of the project "Novi Sad 2021" to the City Assembly of Novi Sad and<br />

publish it on its website.<br />

The Foundation shall submit the annual financial report to the Agency for Business<br />

Registers.<br />

Article 11.<br />

Director, President and members of the Steering Commitee, Supervisory Board members<br />

and members of the Arts Council and the Council of citizens are entitled to financial<br />

compensation in accordance with the Financial plan of the Foundation.<br />

Steering Commitee shall decide on the establishment of other committees and working<br />

bodies, on their fields of activity and financial compesation.<br />

Employed persons are entitled to remuneration in accordance with the Labor Law, the act<br />

on job classification and Financial Plan of the Foundation.<br />

Act on job classification brings Director, in accordance with the law.<br />

Steering Commitee shall announce public, local and international calls for the posting of<br />

certain functions in the Foundation.<br />

Article 12.<br />

The beneficiaries of funds of the Foundation are legal entities and individuals whose<br />

rojects are financed and co-financed in accordance with the results of the competition for the<br />

selection of the projects implemented in the framework of the Foundation.<br />

Steering Committee of the Foundation shall decide to publish public tenders to select<br />

projects and determin the continuity of competitions and calls on the proposal of the Director of<br />

the Foundation.<br />

Steering Committee makes a decision on the rules of the competition, the criteria for<br />

selection of projects and deadlines.<br />

Steering Committee may, on a proposal of the Director of the Foundation, form the jury<br />

that will decide on the selection of projects submitted at the tender within the project "Novi Sad<br />

2021".


In the process of selecting the projects submitted in open calls Artistic project director<br />

and producers also participate in each of the program areas.<br />

Criteria for the selection of projects are based on the criteria of the European Capital of<br />

Culture project, the recommendations of the Monitoring Panel of the European Commission, the<br />

application book "Novi Sad 2021" and the program concept.<br />

Decisions on public calls and selection shall be made public through official websites,<br />

social networks and through media releases.<br />

V Steering Committee - methods, termination of membership and authorities<br />

Article 13.<br />

Steering Committee is the managing authority of the Foundation and has a President and<br />

four members.<br />

The President and members of the Board are appointed by the City Assembly, on the<br />

proposal of the Cultural Center of Novi Sad.<br />

The President and members of the Steering Committee are entitled to remuneration which<br />

is paid on a net basis in the amount of 50% of the average monthly salary per employee in the<br />

Republic of Serbia, according to the latest published data of the authority responsible for<br />

statistics.<br />

The fee stated in paragraph 3 of this Article shall be paid under condition that the<br />

Steering Committee held a meeting during a month, regardless of the number of meetings held.<br />

Steering Committee shall adopt Rules of Procedure which will closely regulate the<br />

methods and rules of operation of the Committee.<br />

The Rules of Procedure shall be adopted by a simple majority vote of the members of the<br />

Steering Committee.<br />

Article 14.<br />

Members of the Steering Committee perform tasks from their jurisdiction at sessions.<br />

Sessions of the Steering Committee shall be convened by the President of the SC,<br />

through written invitation to all members at least 5 working days prior to the meeting.<br />

If necessary, the sesssions can be scheduled at emergency procedure within 2 working<br />

days prior to the meeting.<br />

Along with the invitation for the meeting, members of the Committee shall be submitted<br />

the material, indicating the issues that will be decided at the meeting.<br />

Exceptionally, when so required by the urgency, the sessions can be held electronically,<br />

through computer programs that allow a member of the Steering Committee to communicate<br />

with other members via e-mail or a telephone call.<br />

Article 15.<br />

In order to Steering Committee meet and make decisions, it is necessary that at least three<br />

members of the Committee atend a meeting.


Steering Committee makes decisions, as a rule, by simple majority vote of all members of<br />

the Committee.<br />

Exceptionally, where specifically required by Statute, the Steering Committee shall make<br />

decisions by qualified, four-fifths majority vote.<br />

In the case of divided votes, the decision is on the President of the Steering Committtee.<br />

President of the Steering Committee continuously take care of the existence of majority<br />

for the work and valid decisions.<br />

Article 16.<br />

The term of office of the President and members of the Steering Committee lasts for<br />

realization of the project.<br />

The term of office of the President and members of the Steering Committee may be<br />

terminated by dismissal by the City Assembly.<br />

The term of office of the President and members of the Steering Committee may be<br />

terminated by resignation, death, loss of legal capacity and dissolution of the Foundation.<br />

In the cases stated in paragraph 3 of this Article, the Assembly of Novi Sad acknowledge<br />

the termination of membership in the Steering Committee.<br />

President of the Steering Committee may ask for a member dismissal to the City<br />

Assembly in cases such as: a) a member fails to attend at least three consecutive meetings of the<br />

Steering Committee, b) the member does not fulfill his duties or in) a member by his actions ruin<br />

the reputation of the Foundation.<br />

After termination of the mandate of the President and Members of the Steering<br />

Committee, the City Assembly decides on the election of new members.<br />

Article 17.<br />

Steering Committee of the Foundation has the following authorities:<br />

1. Adopts a Statute and other general acts of the Foundation;<br />

2. Adopts the strategic plans;<br />

3. Makes the annual work plan and report on the work of the Foundation, on a proposal from<br />

the Director,<br />

4. Makes the annual Financial Plan and the final Balance Sheet of the Foundation, on a<br />

proposal from the Director;<br />

5. Decides on the use of funds of the Foundation;<br />

6. Forms expert working bodies and commissions and determine financial compensation for<br />

their work;<br />

7. Ensures the implementation and realization of the objectives of the Foundation;<br />

8. Adopts Rules of Procedure;<br />

9. Performs other tasks in accordance with law and Statute.<br />

VI Supervisory Board – methods, membership and authorities


Article 18.<br />

Supervisory Board consists of a president and two members appointed by the City<br />

Assembly.<br />

The mandate of the President and members of the Supervisory Board last for the duration<br />

of the Project „Novi Sad 2021- European Capital of Culture“.<br />

The Supervisory Board is the body that allows coordination of all authorities and<br />

departments at all levels of government and the organization of continuous and organized<br />

political, technical, administrative and financial support for implementation of the Project.<br />

Article 19.<br />

The function of the President of the Supervisory Board performs a member of the City<br />

Council of the City of Novi Sad responsible for cultural affairs.<br />

Members of the Supervisory Board are representative of the Ministry of Culture and<br />

Information of the Republic of Serbia and a representative of the Provincial Department of<br />

Culture, Information and Relations with Religious Communities of the Autonomous Province of<br />

Vojvodina.<br />

Members of the Supervisory Board receive financial compensation for their work, net of<br />

the amount of 50% of the average monthly salary in the Republic of Serbia, according to the<br />

latest published data of the authority responsible for statistics.<br />

The fee stated in paragraph 3 of this Article shall be paid if the Supervisory Board held a<br />

session during a month, regardless of the number of sessions held.<br />

To determine the rules and procedures, the Supervisory Board may adopt Rules of<br />

Procedure.<br />

The Rules of Procedure shall be adopted by a simple majority vote of all members of the<br />

Supervisory Board.<br />

Membership of the Supervisory Board shall be dissmissed by the Assembly of the City of<br />

Novi Sad.<br />

Membership in the Supervisory Board may ends by resignation, death, loss of legal<br />

capacity and the cessation of function for which the member is appointed.<br />

In the cases stated in paragraph 8 of this Article, the Assembly of the City of Novi Sad<br />

desides on the termination of membership in the Supervisory Board.<br />

Article 20.<br />

Sessions of the Supervisory Board Chairman convenes the President of the Supervisory<br />

Board through written invitation to the members at least 10 days prior to the meeting.<br />

In case of an urgency, the session may be held electronically and via telephone or<br />

electronic mail, it can be scheduled immediately prior to maintenance, if all the members of the<br />

Supervisory Board agree.


For regular work and a valid decisions of the Supervisory Board the presence of all<br />

membersis required, and the decisions and opinions of the Supervisory Board shall be adopted<br />

by consensus of all members.<br />

Article 21.<br />

The Supervisory Board of the Foundation:<br />

1. Supervises the operations of the Foundation, reports on the work, financial statements and<br />

final balance sheet;<br />

2. Supervises the legality of the Foundation;<br />

3. Monitors the implementation of action plans and strategies;<br />

4. Performs coordination of all bodies and agencies at local, regional and national levels of<br />

government to ensure the successful implementation of the project "Novi Sad 2021";<br />

5. Performs tasks related to diplomatic connections with other cities and countries throughout<br />

Europe;<br />

6. Promote the project "Novi Sad 2021";<br />

7. Adopts the Rules of Procedure of the Supervisory Board;<br />

8. Performs other tasks in accordance with the law and the Statute;<br />

VII Director of the Foundation, selection, operation and jurisdiction<br />

Article 22.<br />

Foundation is represented by the Director of the Foundation who has rights and duties of<br />

financial executive.<br />

The mandate lasts for the duration of the Project.<br />

Director of the Foundation is appointed by the City Assembly, on the proposal of the<br />

Board of Directors of the Cultural Centre, Novi Sad.<br />

Director organizes the work of the Foundation, is responsible for the internal organization<br />

and daily management.<br />

The Assembly of the City of Novi Sad desides upon discharge of the duties of the<br />

Director.<br />

Termination of functions of the Director are in the case of resignation, loss of business<br />

capacity, and death.<br />

Article 23.<br />

A representative of the Foundation is Director of the Foundation, and in this regard there<br />

are no restrictions.


A representative of the Foundation may, in written form, authorize another person to<br />

represent the Foundation.<br />

In these cases, a representative of the Foundation determines the type and scope of power<br />

of attorney.<br />

Written power of attorney is certified by the competent authority and the Steering<br />

Committee is informed without delay.<br />

Article 24.<br />

Director of the Foundation:<br />

1. Represents the Foundation;<br />

2. Proposes general, strategic and financial acts adopted by the Steering Committee;<br />

3. Organize the work of the Foundation;<br />

4. Desides on job classification in accordance with the law;<br />

5. Coordinates the work of all bodies, commissions and departments of the<br />

Foundation;<br />

6. Responsible for the legality of the Foundation;<br />

7. Works in accordance with the decisions of the Steering Committee;<br />

8. Performs other duties in accordance with law and Statute.<br />

Article 25.<br />

Director of the Foundation shall appoint his deputy to assist in the management of the<br />

Foundation.<br />

The powers of the Deputy Director of the Foundation shall be determined by the act on<br />

job classification.<br />

Deputy Director manages the work of the Foundation in the absence of the Director and<br />

performs other tasks in accordance with the act on job classification.<br />

Article 26.<br />

In performing their duties, Director, Deputy Director, presidents and members of the<br />

Steering Committee and Supervisory Board are obliged to act as good hosts.<br />

VIII Permanent working bodies, councils and commissions<br />

Article 27.<br />

The Foundation consists of Arts Council, the Council of citizens and Honorary<br />

Committee, as a permanent expert and advisory bodies.<br />

Steering Committe of the Foundation decides on the establishment of other working<br />

bodies and commissions, by a simple majority vote of all members.


Number and composition of working bodies, councils and commissions desides the<br />

Steering Committee on a proposal of the Director of the Foundation.<br />

Working bodies, councils and commissions adopt Rules of Procedure which determine<br />

the internal working rules and procedures.<br />

Adopted acts must be in accordance with the Statute and the Decision on the<br />

establishment of the Foundation "Novi Sad 2021".<br />

Article 28.<br />

Arts Council is an expert advisory body that provides ongoing technical and creative<br />

support to the Director and provides guidelines for the development of artistic programs.<br />

Arts Council enjoys autonomy in their work, and the members are bound to comply with<br />

the rules on the avoidance of conflicts of interest.<br />

Members of the Arts Council are entitled to remuneration determined in the Financial<br />

Plan of the Foundation.<br />

Article 29.<br />

The Council of citizens is an independent body of citizens representing a participatory<br />

element in the organizational structure in order to ensure continuous dialogue and take into<br />

account opinions of citizens about developments of the City of Novi Sad and Project Novi Sad<br />

2021.<br />

Steering Committee announces an open call for the appointment of members of the<br />

Council of citizens and determines the criteria for its selection.<br />

The Council of citizens is an advisory body that allows broader participation of citizens<br />

in the realization of the Project.<br />

Members of the Council are entitled to remuneration determined in the Financial Plan of<br />

the Foundation.<br />

Article 30.<br />

Honorary Committee is an advisory body that promotes the objectices and work of the<br />

Foundation and make proposals for more effective implementation of strategies and improving<br />

the work of the Foundation.<br />

At the head of the Honorary Committee of the Foundation is the Mayor of Novi Sad.


IX Status changes and termination of the Foundation<br />

Article 31.<br />

Decisions on Status changes, change of legal form and the dissolution of the Foundation<br />

are up to the Cultural Center of Novi Sad as the founder of the Foundation.<br />

In the case of termination of the founder of a legal entity, a decision on <strong>status</strong> changes,<br />

change of legal form and the dissolution of the Foundation shall be adopted by the Steering<br />

Committee, four-fifths majority vote of all members.<br />

The Foundation shall be dissolved if it is in bankruptcy proceedings, when its license is<br />

revoked, and if the decision on entry in the Register is revoked.<br />

After termination the entire assets of the Foundation and the funds become property of<br />

the City of Novi Sad.<br />

Article 32.<br />

The Statute shall enter into force on the day of its adoption and shall apply from the date<br />

of registration of the Foundation in the relevant register.<br />
