Pursuant to Articles 33 and 34 of the Law on Foundations ("Službeni glasnik RS", No.
88/10 and 99/11) and Article 10, Paragraph 3, Item 1 of the Decision on the establishment of the
Foundation " Novi Sad 2021 - European Capital of Culture "no. 1017 of December 21, 2016, the
Steering Committee of the Foundation, at the first meeting held on December 29, 2016, issues:
STATUTE
Of the Foundation „Novi Sad 2021- European Capital of Culture“
I Basic Regulations
Article 1.
The Statute is the highest general Act of the Foundation "Novi Sad 2021 - European
Capital of Culture" (further referred to as the Foundation).
The Foundation may bring other general and individual acts of the Foundation and
individual committees and bodies, which must comply with the Statute, otherwise are null and
void.
Changes to the Statute of the Foundation may be proposed by the Director and each
member of the Steering Committee of the Foundation.
Changes to the Statute shall be adopted by a qualified, four-fifths majority vote of all
members of the Steering Committee.
Article 2.
Name of the Foundation is "Foundation Novi Sad 2021 - European Capital of Culture"
and is written in the Serbian language and Cyrillic alphabet.
The abbreviated name of the Foundation: The Foundation "Novi Sad 2021".
English term of the Foundation "Foundation Novi Sad 2021 - European Capital of
Culture" is also in usage.
The Steering Committee of the Foundation, by a simple majority of vote of all members,
shall decide on the change of name, abbreviated name and the foreign name.
A representative of the Foundation shall initiate the registration process of these changes
in the Register of Endowments and Foundations.
Article 3.
The seat of the Foundation is in Novi Sad, Katolička porta 5.
Steering Committee of the Foundation, by simple majority, shall decide on the change of
the seat of the Foundation.
A representative of the Foundation shal initiate a new registration procedure at the
Registry of Endowments and Foundations.

Article 4.
The Foundation is established as a non-profit, freewill and independent organization.
The Foundation has a logo as a symbol of its visual identity.
The logo is shaped rectangular, in the form of croswordpuzzle with blue letters marking
Novi Sad 2021.
The logo is used in the Cyrillic and Latin alphabet.
Foundation seal is round in shape, with a text "Foundation Novi Sad 2021" in Cyrillic
alphabet and in English.
II Objectives and Activities of the Foundation
Article 5.
The Foundation is established to perform the following, provided by law, commonly
benefitial objectives: the objectives aimed at the development of culture and the development
and promotion of art, protection of human and minority rights, promotion of democratic values,
European integrations and international cooperation and exchange, as well as encouraging
humanitarian work.
Specific objectives of the Foundation are:
1. Encouraging development of cultural and artistic scene of Novi Sad;
2. Assisting the development of traditional and modern cultural forms;
3. Encouraging cooperation between Novi Sad artists and organizations with artists and
organizations across Europe;
4. Encouraging the internationalization of the Novi Sad cultural scene;
5. Education and training in the field of culture and art, cultural management and
European integrations;
6. Encouraging volunteerism and development of apprenticeship;
7. Encouraging decentralization and democratization of cultural scene in Novi Sad;
8. Encouraging creation of a sustainable cultural infrastructure;
9. Assisiting the implementation of urban development projects.
Article 6.
In order to achieve the objectives, the Foundation will perform the following activities:

1. Production, co-production and organization of cultural events in cooperation with
local, regional and international artists and cultural organizations and other cities - the
European capitals of culture;
2. Co-financing and funding of local projects and initiatives that are being implemented
in cooperation with other European cultural organizations and partners;
3. Presenting Novi Sad and its cultural scene in the international context and helping
connecting Novi Sad with international cultural organizations;
4. Organizing educational programs, training courses, workshops and seminars aimed at
developing skills and abilities of artists and cultural workers in Novi Sad; Development
of its own projects and networking with European art residential projects;
5. Support and assistance to young artists, cultural workers and students of the Academy
of Arts.
6. Organizing educational and informative programs, conferences, and special
ceremonies to mark important dates for the European Union, aimed at promoting
European integration and encouraging cultural cooperation between Europeans;
7. Implementation of the program of direct citizen participation in the planning and
realization of cultural projects; encouraging citizen participation;
8. Creation and implementation of strategy of audience development; Implementation of
programs and projects of cooperation with educational institutions and cultural
institutions;
9. Encouraging programs of volunteering and aprenticeship in the cultural sector;
10. Monitoring the construction of cultural facilities planned under the project "Novi Sad
2021", carried out by the competent administration and services;
11. Other activities to achieve the objectives of the Foundation.
Article 7.
The activity of the Foundation is based on:

a. Programme schedule specified in the application book during the candidacy of the city
for the title of European Capital of Culture;
b. Identified needs after conducting research in the cultural scene of the city;
v. Recommendations of the competent bodies and the Monitoring Commission of the
European Commission.
At the end of each year Work plan shall be adopted, which will determin the list and
continuity of programs and activities that will be implemented in the coming year.
The Work plan along with the Financial plan of the project, is approved by the Steering
Committee of the Foundation, by a simple majority of the total number of members.
Once adopted, the Work plan with the Financial plan shall be submitted for approval to
the City Council of Novi Sad.
After obtaining approval, the Work plan with the fFnancial plan is published on the
"Novi Sad 2021" website and in other ways displayed to the public.
Article 8.
In order to achieve the objectives, the Foundation performs a secondary economic
activity, which is entered in the Register.
The Foundation performs a secondary economic activity under code 79.90 - Other
services and related activities.
The Foundation will carry out this economic activity as a secondary activity, and related
to the objectives for which realization it was established.
Profits of economic activity can only be used for realization of the objectives of the
Foundation, including the costs of the regular work of the Foundation and financing specific
projects.
III
Transparency of the Foundation
Article 9.
In its work the Foundation adheres to the principles of transparency.
Bodies of the Foundation regularly inform the public about all important facts related to the
implementation of the project through the official website, the official social networks, press
releases, press conferences and through regular meetings with media representatives.
For the purpose of informing the public and regular communication it is planned to
organize: public debates, round tables, debates and panel discussions and pronted special
information publications.
IV Using the resources of the Foundation and the circle of beneficiaries

Article 10.
The assets of the Foundation are used in accordance with the Financial plan approved by
the Steering Committee of the Foundation, and approved by the City Council of Novi Sad.
Supervision of the financial operations is under Supervisory Board of the Foundation, the
City Administration for Culture, the City Council of Novi Sad.
The Foundation shall submit an Annual report on the work with the Financial Report on
the implementation of the project "Novi Sad 2021" to the City Assembly of Novi Sad and
publish it on its website.
The Foundation shall submit the annual financial report to the Agency for Business
Registers.
Article 11.
Director, President and members of the Steering Commitee, Supervisory Board members
and members of the Arts Council and the Council of citizens are entitled to financial
compensation in accordance with the Financial plan of the Foundation.
Steering Commitee shall decide on the establishment of other committees and working
bodies, on their fields of activity and financial compesation.
Employed persons are entitled to remuneration in accordance with the Labor Law, the act
on job classification and Financial Plan of the Foundation.
Act on job classification brings Director, in accordance with the law.
Steering Commitee shall announce public, local and international calls for the posting of
certain functions in the Foundation.
Article 12.
The beneficiaries of funds of the Foundation are legal entities and individuals whose
rojects are financed and co-financed in accordance with the results of the competition for the
selection of the projects implemented in the framework of the Foundation.
Steering Committee of the Foundation shall decide to publish public tenders to select
projects and determin the continuity of competitions and calls on the proposal of the Director of
the Foundation.
Steering Committee makes a decision on the rules of the competition, the criteria for
selection of projects and deadlines.
Steering Committee may, on a proposal of the Director of the Foundation, form the jury
that will decide on the selection of projects submitted at the tender within the project "Novi Sad
2021".

In the process of selecting the projects submitted in open calls Artistic project director
and producers also participate in each of the program areas.
Criteria for the selection of projects are based on the criteria of the European Capital of
Culture project, the recommendations of the Monitoring Panel of the European Commission, the
application book "Novi Sad 2021" and the program concept.
Decisions on public calls and selection shall be made public through official websites,
social networks and through media releases.
V Steering Committee - methods, termination of membership and authorities
Article 13.
Steering Committee is the managing authority of the Foundation and has a President and
four members.
The President and members of the Board are appointed by the City Assembly, on the
proposal of the Cultural Center of Novi Sad.
The President and members of the Steering Committee are entitled to remuneration which
is paid on a net basis in the amount of 50% of the average monthly salary per employee in the
Republic of Serbia, according to the latest published data of the authority responsible for
statistics.
The fee stated in paragraph 3 of this Article shall be paid under condition that the
Steering Committee held a meeting during a month, regardless of the number of meetings held.
Steering Committee shall adopt Rules of Procedure which will closely regulate the
methods and rules of operation of the Committee.
The Rules of Procedure shall be adopted by a simple majority vote of the members of the
Steering Committee.
Article 14.
Members of the Steering Committee perform tasks from their jurisdiction at sessions.
Sessions of the Steering Committee shall be convened by the President of the SC,
through written invitation to all members at least 5 working days prior to the meeting.
If necessary, the sesssions can be scheduled at emergency procedure within 2 working
days prior to the meeting.
Along with the invitation for the meeting, members of the Committee shall be submitted
the material, indicating the issues that will be decided at the meeting.
Exceptionally, when so required by the urgency, the sessions can be held electronically,
through computer programs that allow a member of the Steering Committee to communicate
with other members via e-mail or a telephone call.
Article 15.
In order to Steering Committee meet and make decisions, it is necessary that at least three
members of the Committee atend a meeting.

Steering Committee makes decisions, as a rule, by simple majority vote of all members of
the Committee.
Exceptionally, where specifically required by Statute, the Steering Committee shall make
decisions by qualified, four-fifths majority vote.
In the case of divided votes, the decision is on the President of the Steering Committtee.
President of the Steering Committee continuously take care of the existence of majority
for the work and valid decisions.
Article 16.
The term of office of the President and members of the Steering Committee lasts for
realization of the project.
The term of office of the President and members of the Steering Committee may be
terminated by dismissal by the City Assembly.
The term of office of the President and members of the Steering Committee may be
terminated by resignation, death, loss of legal capacity and dissolution of the Foundation.
In the cases stated in paragraph 3 of this Article, the Assembly of Novi Sad acknowledge
the termination of membership in the Steering Committee.
President of the Steering Committee may ask for a member dismissal to the City
Assembly in cases such as: a) a member fails to attend at least three consecutive meetings of the
Steering Committee, b) the member does not fulfill his duties or in) a member by his actions ruin
the reputation of the Foundation.
After termination of the mandate of the President and Members of the Steering
Committee, the City Assembly decides on the election of new members.
Article 17.
Steering Committee of the Foundation has the following authorities:
1. Adopts a Statute and other general acts of the Foundation;
2. Adopts the strategic plans;
3. Makes the annual work plan and report on the work of the Foundation, on a proposal from
the Director,
4. Makes the annual Financial Plan and the final Balance Sheet of the Foundation, on a
proposal from the Director;
5. Decides on the use of funds of the Foundation;
6. Forms expert working bodies and commissions and determine financial compensation for
their work;
7. Ensures the implementation and realization of the objectives of the Foundation;
8. Adopts Rules of Procedure;
9. Performs other tasks in accordance with law and Statute.
VI Supervisory Board – methods, membership and authorities

Article 18.
Supervisory Board consists of a president and two members appointed by the City
Assembly.
The mandate of the President and members of the Supervisory Board last for the duration
of the Project „Novi Sad 2021- European Capital of Culture“.
The Supervisory Board is the body that allows coordination of all authorities and
departments at all levels of government and the organization of continuous and organized
political, technical, administrative and financial support for implementation of the Project.
Article 19.
The function of the President of the Supervisory Board performs a member of the City
Council of the City of Novi Sad responsible for cultural affairs.
Members of the Supervisory Board are representative of the Ministry of Culture and
Information of the Republic of Serbia and a representative of the Provincial Department of
Culture, Information and Relations with Religious Communities of the Autonomous Province of
Vojvodina.
Members of the Supervisory Board receive financial compensation for their work, net of
the amount of 50% of the average monthly salary in the Republic of Serbia, according to the
latest published data of the authority responsible for statistics.
The fee stated in paragraph 3 of this Article shall be paid if the Supervisory Board held a
session during a month, regardless of the number of sessions held.
To determine the rules and procedures, the Supervisory Board may adopt Rules of
Procedure.
The Rules of Procedure shall be adopted by a simple majority vote of all members of the
Supervisory Board.
Membership of the Supervisory Board shall be dissmissed by the Assembly of the City of
Novi Sad.
Membership in the Supervisory Board may ends by resignation, death, loss of legal
capacity and the cessation of function for which the member is appointed.
In the cases stated in paragraph 8 of this Article, the Assembly of the City of Novi Sad
desides on the termination of membership in the Supervisory Board.
Article 20.
Sessions of the Supervisory Board Chairman convenes the President of the Supervisory
Board through written invitation to the members at least 10 days prior to the meeting.
In case of an urgency, the session may be held electronically and via telephone or
electronic mail, it can be scheduled immediately prior to maintenance, if all the members of the
Supervisory Board agree.

For regular work and a valid decisions of the Supervisory Board the presence of all
membersis required, and the decisions and opinions of the Supervisory Board shall be adopted
by consensus of all members.
Article 21.
The Supervisory Board of the Foundation:
1. Supervises the operations of the Foundation, reports on the work, financial statements and
final balance sheet;
2. Supervises the legality of the Foundation;
3. Monitors the implementation of action plans and strategies;
4. Performs coordination of all bodies and agencies at local, regional and national levels of
government to ensure the successful implementation of the project "Novi Sad 2021";
5. Performs tasks related to diplomatic connections with other cities and countries throughout
Europe;
6. Promote the project "Novi Sad 2021";
7. Adopts the Rules of Procedure of the Supervisory Board;
8. Performs other tasks in accordance with the law and the Statute;
VII Director of the Foundation, selection, operation and jurisdiction
Article 22.
Foundation is represented by the Director of the Foundation who has rights and duties of
financial executive.
The mandate lasts for the duration of the Project.
Director of the Foundation is appointed by the City Assembly, on the proposal of the
Board of Directors of the Cultural Centre, Novi Sad.
Director organizes the work of the Foundation, is responsible for the internal organization
and daily management.
The Assembly of the City of Novi Sad desides upon discharge of the duties of the
Director.
Termination of functions of the Director are in the case of resignation, loss of business
capacity, and death.
Article 23.
A representative of the Foundation is Director of the Foundation, and in this regard there
are no restrictions.

A representative of the Foundation may, in written form, authorize another person to
represent the Foundation.
In these cases, a representative of the Foundation determines the type and scope of power
of attorney.
Written power of attorney is certified by the competent authority and the Steering
Committee is informed without delay.
Article 24.
Director of the Foundation:
1. Represents the Foundation;
2. Proposes general, strategic and financial acts adopted by the Steering Committee;
3. Organize the work of the Foundation;
4. Desides on job classification in accordance with the law;
5. Coordinates the work of all bodies, commissions and departments of the
Foundation;
6. Responsible for the legality of the Foundation;
7. Works in accordance with the decisions of the Steering Committee;
8. Performs other duties in accordance with law and Statute.
Article 25.
Director of the Foundation shall appoint his deputy to assist in the management of the
Foundation.
The powers of the Deputy Director of the Foundation shall be determined by the act on
job classification.
Deputy Director manages the work of the Foundation in the absence of the Director and
performs other tasks in accordance with the act on job classification.
Article 26.
In performing their duties, Director, Deputy Director, presidents and members of the
Steering Committee and Supervisory Board are obliged to act as good hosts.
VIII Permanent working bodies, councils and commissions
Article 27.
The Foundation consists of Arts Council, the Council of citizens and Honorary
Committee, as a permanent expert and advisory bodies.
Steering Committe of the Foundation decides on the establishment of other working
bodies and commissions, by a simple majority vote of all members.

Number and composition of working bodies, councils and commissions desides the
Steering Committee on a proposal of the Director of the Foundation.
Working bodies, councils and commissions adopt Rules of Procedure which determine
the internal working rules and procedures.
Adopted acts must be in accordance with the Statute and the Decision on the
establishment of the Foundation "Novi Sad 2021".
Article 28.
Arts Council is an expert advisory body that provides ongoing technical and creative
support to the Director and provides guidelines for the development of artistic programs.
Arts Council enjoys autonomy in their work, and the members are bound to comply with
the rules on the avoidance of conflicts of interest.
Members of the Arts Council are entitled to remuneration determined in the Financial
Plan of the Foundation.
Article 29.
The Council of citizens is an independent body of citizens representing a participatory
element in the organizational structure in order to ensure continuous dialogue and take into
account opinions of citizens about developments of the City of Novi Sad and Project Novi Sad
2021.
Steering Committee announces an open call for the appointment of members of the
Council of citizens and determines the criteria for its selection.
The Council of citizens is an advisory body that allows broader participation of citizens
in the realization of the Project.
Members of the Council are entitled to remuneration determined in the Financial Plan of
the Foundation.
Article 30.
Honorary Committee is an advisory body that promotes the objectices and work of the
Foundation and make proposals for more effective implementation of strategies and improving
the work of the Foundation.
At the head of the Honorary Committee of the Foundation is the Mayor of Novi Sad.

IX Status changes and termination of the Foundation
Article 31.

Decisions on Status changes, change of legal form and the dissolution of the Foundation
are up to the Cultural Center of Novi Sad as the founder of the Foundation.
In the case of termination of the founder of a legal entity, a decision on status changes,
change of legal form and the dissolution of the Foundation shall be adopted by the Steering
Committee, four-fifths majority vote of all members.
The Foundation shall be dissolved if it is in bankruptcy proceedings, when its license is
revoked, and if the decision on entry in the Register is revoked.
After termination the entire assets of the Foundation and the funds become property of
the City of Novi Sad.
Article 32.
The Statute shall enter into force on the day of its adoption and shall apply from the date
of registration of the Foundation in the relevant register.
