Decision On Establishing Foundation

Pursuant to Article 10 of the Law on Foundations ("Službeni glasnik RS", no. 88/10 and
99/11), Article 12 of the Law on Culture ("Službeni glasnik RS", no. 72/09, 13/16 and 30/16-
corr.), paragraph IV of Decision on funding the Project "Novi Sad 2021 - European Capital of
Culture" ( "Službeni list Novog Sada", No. 77/16) and Article 25 of the Statute of the Cultural
Center of Novi Sad, Novi Sad, no.501 from September 8th, 2010 and no .429 / 1 from May 27
th, 2015, the Steering Committee of the Cultural Center of Novi Sad, at the meeting held on
December 21st 2016, adopts
DECISION
ON ESTABLISHING FOUNDATION “NOVI SAD 2021- EUROPEAN
CAPITAL OF CULTURE”
Article 1
Hereby, the Foundation "Novi Sad 2021 - European Capital of Culture" (hereinafter
referred to as the Foundation) is established in order to implement the project "Novi Sad 2021 -
European Capital of Culture" (hereinafter called the Project).
The Foundation is established for a period of the realization of the Project, that is until
the submission of the final report to the Monitoring Panel of the European Commission.
Article 2
Name of the Foundation: Foundation "Novi Sad 2021 - European Capital of Culture".
The abbreviated name of the Foundation: Foundation "Novi Sad 2021".
The founder of the Foundation is the Cultural Center of Novi Sad, Katolička porta 5,
21000 Novi Sad, PIN: 101655568, Registration number: 8162778
Article 3
The Foundation becomes legal entity by registration in the Register of Foundations of
Business Register Agency.
The seat of the Foundation is in Novi Sad, Katolička porta 5
Article 4
The objectives of the Foundation are:
1. Encouraging the development of cultural and artistic scene of Novi Sad;
2. Assisting the development of traditional and modern cultural forms;
3.Encouraging cooperation beetween Novi Sad artists and artists and
organizations across Europe;
4. Encouraging the internationalization of the Novi Sad cultural scene;
5. Education and training in the field of culture and arts, cultural management and European
integrations;
6. Encouraging volunteerism and development of apprenticeship;

7. Encouraging decentralization and democratization of cultural scene in Novi Sad;
8. Encouraging the construction of a sustainable cultural infrastructure;
9. Assisingt in the implementation of urban development projects.
Article 5
Funds for registration the Foundation are provided in the Financial Plan of the Cultural
Center of Novi Sad, Novi Sad.
Article 6
Funds for its work, the Foundation collects from the following sources: grants, donations,
contributions, the budget of the City of Novi Sad, Autonomous Province of Vojvodina and the
Republic of Serbia, gifts, income from copyrights and related rights, interest on deposits, interest
on term deposits, from performing economic activities related to the realization of basic goals set
out in the Statute of the Foundation, international calls, public and private funds, and from other
sources in accordance with the law.
The assets of the Foundation shall be used exclusively for the realization of the objectives
set by this Decision and the Statute of the Foundation.
The Foundation is liable for its obligations with all its property.
Article 7
Foundation in its work adheres to the principles of trasparency.
Foundation shall submit an annual report on the work and the financial report on the
implementation of the Project to the Assembly of the City of Novi Sad (hereinafter: the City
Assembly) and publish it on its website.
Foundation submits the annual financial report to the Agency for Business Registers.
Article 8.
The bodies of the Foundation are: Director, Steering Committee and Supervisory Board.
Statute of the Foundation can determine the formation of professional bodies and
commissions to provide technical and advisory assistance in the work.
Article 9.
The managing authority of Foundation is Steering Committee.
The Sterring Committee has a president and four members.
The President and members of the Steering Committee are appointed by the City
Assembly.
The mandate of the President and members of the Steering Committee lasts during
realization of the Project.

Article 10.
Steering Committee is obliged to manage the work in accordance with the
recommendations of the Panel of independent experts of the European Commission and
examples of good practice.
Members of the Steering Committee receive financial compensation for their work
provided in the financial plan of the Foundation.
Steering Committee of the Foundation:
1. Adopts a Statute and other general acts of the Foundation;
2. Adopts the strategic plans;
3. Makes the annual work plan and report on the work of the Foundation, on a proposal from
the Director,
4. Makes the annual financial plan and the final balance sheet of the Foundation, on a
proposal from the Director;
5. Decides on the use of funds of the Foundation;
6. Forms expert working bodies and commissions and determine financial compensation for
their work;
7. Ensures the implementation and realization of the objectives of the Foundation;
8. Adopts Rules of Procedure;
9. Performs other tasks in accordance with law and Statute.
The annual work plan is approved by the City Council of the City of Novi Sad.
In performing their duties, members of the Steering Committee are obliged to act as good
hosts.
Article 11.
Foundation is represented by the Director of the Foundation who has rights and duties of
financial executive.
The mandate lasts for the duration of the Project.
Director of the Foundation is appointed by the City Assembly, on the proposal of the
Board of Directors of the Cultural Centre, Novi Sad.
Until the appointment of the director by the City Assembly, the function of the director
of the Foundation shall be performed by Nemanja Milenković from Novi Sad, 18 Blvd. Despot
Stefan.
Article 12
Director may be a person who meets the following conditions:
- Higher education in the field: Cultural Studies and comunicology; social studies;
arts; historical, archaeological and classical studies or management and business, the
second degree studies (master academic studies, specialist academic studies, or
specialist vocational studies) or basic studies lasting at least four years,
- At least five years experience in project management, and
- Participation in at least three international projects ineternacionalnog.

Article 13
Director of the Foundation:
1. Represents the Foundation;
2. Proposes general, strategic and financial acts adopted by the Steering Committee;
3. Organize the work of the Foundation;
4. Responsible for the legality of the Foundation;
5. Works in accordance with the decisions of the Steering Committee;
6. Performs other duties in accordance with law and Statute.
In performing his duties, the Director shall act as good host.
Article 14.
Supervisory Board consisst of a president and two members.
The president and members of the Supervisory Board are appointed by the City
Assembly.
The mandate of the President and members of the Supervisory Board last for the duration
of the Project.
The function of the President of the Supervisory Board performs a member of the City
Council of the City of Novi Sad responsible for cultural affairs.
Members of the Supervisory Board are representative of the Ministry of Culture and
Information of the Republic of Serbia and a representative of the Provincial Department of
Culture, Information and Relations with Religious Communities of the Autonomous Province of
Vojvodina.
Members of the Supervisory Board receive financial compensation for their work
provided in the Financial Plan of the Foundation.
Article 15.
The Supervisory Board of the Foundation:
1. Supervises the operations of the Foundation, reports on the work, financial statements and
final balance sheet;
2. Supervises the legality of the Foundation;
3. Monitors the implementation of action plans and strategies;
4. Performs coordination of all bodies and agencies at local, regional and national levels of
government to ensure the successful implementation of the project "Novi Sad 2021";
5. Performs tasks related to diplomatic connections with other cities and countries throughout
Europe;
6. Promote the project "Novi Sad 2021";
7. Adopts the Rules of Procedure of the Supervisory Board;
8. Performs other tasks in accordance with the law and the Statute;

Article 16
The mandate of the President and members of the Steering Committee and Supervisory
Board and the Director ceases to release from duty, in the case of death and in other cases
indicated by the Statute.
Article 17
Foundation consists of Arts Council, the Council of citizens and Honorary Committee,
as a permanent expert and advisory bodies.
Arts Council is an expert advisory body that provides ongoing technical and creative
support to the Director and provides guidelines for the development of artistic programs.
The Council of citizens is an independent body of citizens representing a participatory
element in the organizational structure in order to ensure continuous dialogue and take into
account opinions of citizens about developments of the City of Novi Sad and Project Novi Sad
2021.
Honorary Committee is an advisory body that promotes objectives and work of the
Foundation and make suggestions for more effective implementation of the objectives and the
improvement of the work of the Foundation.
The number, structure and procedure of appointment of members, mode of operation and
other issues related to the work of the Arts Council, the Council of citizens and the Honorary
Committee are be governed by the Statute.
Article 18
Supervision of the project implementation and spending of funds appropriated budget of
the City regulates the City Administration of the City of Novi Sad.
Article 19
This decision shall enter into force upon receipt of the approval of the City Council of the
City of Novi Sad.
