BRANDHOUSE R E T A I L S AUdiTORS’ REPORT 8 TH ANNUAL REPORT 2011-12 TO THE BOARd OF diRECTORS OF BRANdHOUSE RETAiLS LiMiTEd ON THE CONSOLidATEd FiNANCiAL STATEMENTS: 1. We have audited the attached Consolidated Balance Sheet of Brandhouse Retails Limited (“the Company”) and its Subsidiary (collectively referred to as “the group”) as at 31st March, 2012 and the consolidated Statement of Profit and Loss and the Consolidated Cash Flow Statement for the year ended on that date annexed thereto. These financial statements are the responsibility of the Company’s Management and have been prepared by the management on the basis of separate financial statements and other financial information regarding components. Our responsibility is to express an opinion on these consolidated financial statements based on our audit. 2. We conducted our audit in accordance with the auditing standards generally accepted in India. Those Standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall financial statement presentation. We believe that our audit provides a reasonable basis for our opinion. 3. We did not audit the financial statements of Brandhouse Oviesse Limited, the subsidiary of the Company whose financial statements reflect total assets of ` 3,287.55 Lacs as at 31st March, 2012, total net revenues of ` 1,636.91 Lacs and cash inflows amounting to ` 30.82 Lacs for the year then ended and have been included in the Consolidated Financial Statements. These financial statements and other financial information have been audited by other auditors whose reports have been furnished to us, and our opinion, in so far as it relates to the amounts included in respect of the subsidiary, is based solely on the report of other auditors. 4. We report that the consolidated financial statements have been prepared by the Company’s Management in accordance with the requirements of Accounting Standards (AS) 21, “Consolidated Financial Statements” as notified pursuant to the Companies (Accounting Standards) Rules, 2006 and on the basis of the separate financial statements of Brandhouse Retails Limited and its subsidiary. 62 Auditors’ Report
