8.4 A Trustee automatically ceases to be a member of the Board of Trustees if he or she:
8.4.2 Is incapable, whether mentally or physically, of managing his or her own affairs.
Vice-Chairperson or any member of the Board whom the meeting may elect shall take the chair.
9.4 Every issue may be determined by a simple majority of the votes cast at a Trustees’ meeting but
a resolution which is in writing and signed by all members of the Board of Trustees is as valid
as a resolution passed at a meeting and for this purpose the resolution may be contained in more
than one document and will be treated as passed on the date of the last signature.
9.5 Except for the Chair of the meeting, who may have a second or casting vote, every member of
the Board of Trustees shall have one vote on each issue.
