shareholders may be <strong>in</strong>dividuals or legal entities, residents or nonresidents,<br />

<strong>Austria</strong>n or foreign citizens. The m<strong>in</strong>imum share capital is<br />

€ 35.000. At least half of this amount has to be contributed <strong>in</strong> cash<br />

before registration. <strong>Austria</strong>n commercial law also provides for<br />

contributions <strong>in</strong> k<strong>in</strong>d, if several conditions are met.<br />

The AG can also be established by one or more founders and comes<br />

<strong>in</strong>to legal existence upon its registration <strong>in</strong> the commercial register.<br />

For this purpose the articles of association as well as evidence that<br />

the capital was paid <strong>in</strong> and the capital transfer tax (1%) has been<br />

settled must be filed. The m<strong>in</strong>imum stock capital is € 70.000 and at<br />

least 25% of the capital subscribed has to be paid <strong>in</strong> before<br />

registration <strong>in</strong> the commercial register.<br />

Registration requirements and fil<strong>in</strong>g procedures for public<br />

securities<br />

The disclosure requirements, i.e. fil<strong>in</strong>gs and publications, vary<br />

accord<strong>in</strong>g to the size of the company. Size is determ<strong>in</strong>ed by three<br />

criteria: turnover, total assets and number of employees (for details<br />

see section on audit requirements).<br />

The follow<strong>in</strong>g regulations relate to both GmbHs and AGs:<br />

• Large companies must file the balance sheet, <strong>in</strong>come<br />

statement, notes and the management report at the court of<br />

the companies register. In addition, large AGs, companies<br />

listed on the stock exchange and banks, <strong>in</strong>surance companies<br />

and <strong>in</strong>vestment funds have to publish these documents <strong>in</strong> the<br />

official gazette, while large GmbHs only have to publish the<br />

date of the fil<strong>in</strong>g.<br />

• Medium-sized companies are only required to file these<br />

documents at the court of the Companies Register and have to<br />
