to dispose of rejected gunnies of the supplier, the supplier is
liable to pay godown charges to the Pondicherry Co-op. Sugar
Mills. until the goods are removed. If any amount is left
unrecovered after the above adjustment, the amount will be
recovered from EMD and Security Deposit of the supplier
13. AGREEMENT:
The contract will be on rate contract basis and the
firm order will be placed by the Pondicherry Co-op.
Sugar Mills based on the rate finalized. The supplier should
execute an agreement with the Pondichery Co-op.Sugar Mills for
fulfillment of the contract in the non-judicial adhesive
stamped paper valued at Rs.10/- in the prescribed form within
10 days from the date of receipt of purchase order from the
mills.
The management reserves the right to accept or reject
any tender in whole or part without assigning any reason
thereof.
14. JURISDICTION OF COURT:
For any dispute arising out of this contract, the
Jurisdiction will lie in the court situated in the City of
Pondicherry.
15. FORCE MAJEURE CLAUSE:
1. In case the Pondicherry Coop.Sugar Mills is not in a
position to adhere to terms of delivery due to any one
of the following reasons the Pondicherry Coop. Sugar Mills
reserves the right to suspend normal supply until the
position returns to normalcy or even to terminate the contract
if it is beyond their control to accept their supplies.
i) Strike
ii) Lock-Out
iii) Accumulation of stocks or non-availabily of
storage space.
iv) Power Cut
v) Decline in production or any other forces or any other
factor which affect the production of the purchaser.
2. If any delay in delivery is expected due to natural
calamities like earth quake, flood, storm, acts of states, the
direct or indirect consequences of war(declared or undeclared)
hostilities of natural emergencies or civil commotions and
declared strikes or lockout (only for exceeding 10 days), the
supplier should inform the purchaser in by fax/telegram RPAD
letter for the expected delay in delivery, positively within 3
days of occurrence of above events the Pondicherry Co-op. Sugar
Mills reserves the right to examine the request of the
supplier in this regard to take appropriate action. The decision
of the Pondicherry Co-op. Sugar Mills will be final and binding
on the supplier.
