(“Herbalife”) and the undersigned applicantfor a Distributorship (hereinafter called Distributor) in consideration of the following covenants and conditions,agree that::1. Distributor will operate his (her) own business, will buy Herbalife products for cash, will promote their saleand will abide by all of Herbalife’s policies and rules, as issued from time to time, including policies setforth in the Herbalife Career Book and other Herbalife publications.2. Distributor will agree not to make Representation regarding compensation that has been or may be paid toany Distributor operating within the Herbalife Marketing plan.3. Distributor is an independent contractor (for federal and provincial tax purposes, and otherwise), and is notan employee, legal representative or agent of Herbalife or of any Herbalife distributor.4. Herbalife insofar as it is reasonably possible, will sell for cash to Herbalife Distributor, Herbalife productsin whatever quantity Distributor may require.5. For a period of three (3) years after termination of this agreement Distributor will hold in confidence anytrade secrets, formulas, sales and distribution systems, business information, and literature whichDistributor acquired during the term of this agreement and will not use directly or indirectly such items. Forsuch period Distributor also agrees not to enter or participate in a competing business or business activity.6. If Distributor fails to comply with the terms of this agreement, Herbalife may revoke the Distributorship.7. Without the written consent of Herbalife this Distributorship may not be assigned.8. I, the Distributor, understand that the signing of this agreement is all that is needed to become aDistributor. If I decide not to continue as a Distributor, I shall submit my formal resignation signed andwitnessed by a Notary Public or Commissioner of Oaths to Herbalife; I will then adhere to the terms andconditions set out in the Buy Back Policy attached to this agreement and/or the Policy in effect at the timeof my resignation.9. This agreement is binding upon and enures to the benefit of the parties, their heirs and successors ininterest. If a provision of this agreement is found to be unenforceable or invalid, the validity of the reminingprovisions shall not be affected.CONTRAT DE DISTRIBUTEURDès l’acceptation de la présente demande par Herbalife Du Canada Ltée («Herbalife»). Herbalife et le(la)soussigné (e), candidat (e) au statut de distributeur (et ci-après appelé(e) le «Distributeur») en considérationdes ententes et conditions qui suivent, conviennent que :1. Le Distributeur dirigera sa propre entreprise, achètera au comptant les produits d’Herbalife, encourageraleur vente et se conformera à tous règlements et poliques d’Herbalife tels qu’établis de temps à autre, ycompris les politiques énoncées dans le Guide de carrière et autres publications d’Herbalife.2. Le Distributeur ne fera aucune représentation concernant les compensations qui ont été ou peuvent êtrepayées à tout Distributeur qui fait partie du plan de commercialisation d’Herbalife.3. Le Distributeur est un entrepreneur indépendant (tant pour fins d’impôts fédéral et provincial que pour touteautre fin) et n’est pas un employé, ni un représentant légal, agent ou mandataire d’Herbalife ou d’aucundistributeur d’Herbalife.4. Dans la mesure ou il sera raisonnablement possible de ce faire, Herbalife vendra au comptant auDistributeur toutes les quantitiés de produits que le Distributeur désirera obtenir.5. Le Distributeur tiendra confidentiels et n’utilisera d’aucune manière, ni directement ni indirectement,pendant la période de trois(3) ans qui suivra la fin du présent contrat, les secrets de métier, formules,systèmes de vente et de distribution, informations commerciales et documents écrits, et autres documentsque le distributeur aura obtenus pendant la durée du présent contrat. En outre, le Distributeur convient quependant la même période, if ne participera ni s’engagera à aucune entreprise ou activité concurrente.6. Herbalife pourra révoquer le statut du Distributeur si celui-ci ne se conforme pas aux modalitiés etconditions de ce contrat.7. Le statut de Distributeur accordé par les présentes ne peut être transféré sans le consentement écritd’Herbalife.8. Je, le Distributeur, comprends que la signature du présent contrat est tout le nécessaire pour devenirDistributeur. Si je décidais de ne plus être Distributeur, je remettrai à Herbalife ma démission formellesignée et notariée soit par un notaire ou un officier ministériel habilité à recevoir les affidavits; je meconformerai alors aux termes et conditions énoncés dans la politique de rachat annexée à la marche àsuivre en vigueur au moment de mon désistement.9. Le présent contrat engage et revient aux parties, à leurs héritiers et successeurs en intérêts.
