Liebe Leserinnen,
liebe Leser,
die Weltwirtschaft bleibt auf
Wachstumskurs. Nachdem sie
im Vorjahr um fünf Prozent
zugelegt hat, rechnet der
Internationale Währungsfonds
für 2011 mit einem Plus von
knapp über vier Prozent.
Die Erholung der Finanzmärkte
nimmt EOS in verschiedenen
Berei chen wahr. Unsere
Unternehmen in Osteuropa
fi nden zügig zu alter Stärke
zurück. In den USA konnte EOS
Gerade in Wachstumsphasen ist
Dear Reader,
The global economy remains
on course for growth. Following
an increase of fi ve per
cent last year, the International
Monetary Fund is forecasting
growth of just over four per
cent in 2011. For EOS, the recovery
of the fi nancial markets
is perceptible in a number of
different areas. Our companies
in eastern Europe are quickly
regaining their former strength.
In the USA, EOS has managed
to consolidate its market
position by acquiring True
North. And in China, the establishment
of EOS CreditCN
gives us an additional foothold
in one of the world’s largest
economies. In times of growth
it is particularly important for
companies to improve their
competitiveness by making
investments. In the cover story
on page 6 you can read about
how businesses are fi nding
the necessary cash internally.
Sale-and-Leaseback: Vermögenswerte
Sale and leaseback: Assets
stay tied to the company
Die Eigenkapitaldecke mittelständischer Unternehmen ist vielfach dünn. Doch im Anlagevermögen
schlummern oft Potenziale.
„Durch Sale-and-
Leaseback können Unternehmen ihre Eigenkapitalbasis stärken“,
bestätigt Thomas Hartmann-Wendels, Direktor des Forschungsinstitutes
für Leasing an der Universität Köln (siehe Interview Seite 8). Denn
The basic idea behind leasing was formulated over 2000 years
ago by the Greek philosopher Aristotle when he said, ‘Wealth
does not lie in ownership, but in the use of things.’ It is not
known whether the managers of US company Sabre Industries were
infl uenced at all by this piece of wisdom when they opted for a sale
and leaseback arrangement two years ago, but what this manufacturer
of transmission equipment for mobile phone networks did was
entirely in line with the Aristotelian principle. The company sold two
of its commercial properties to an investor and signed a lease agreement
with the investor so that it could continue to use the buildings.
The deal brought Sabre around USD 28 million in fresh capital. The
additional cash gave the company the fi nancial fl exibility to make investments
and to assert itself on the highly competitive market for
wireless telecommunications technology.
A strong equity base
Equity capital can be tied up in a wide range of assets, from property
to moveable goods like machinery and production equipment.
‘Sale and leaseback enables companies to strengthen their equity
base,’ confi rms Thomas Hartmann-Wendels, Director of the Leasing
Research Institute at the University of Cologne (see interview on page
8). As well as gaining fast access to cash, the company benefi ts from
the shortening of its balance sheet. Under most national accounting
standards, a leased asset appears on the lessor’s balance sheet. A
sale and leaseback transaction enables the lessee to improve his
Gläser beobachtet, dass Sale-and-
Leaseback bei mittelständischen Unternehmen als Finanzierungsinstrument
zunehmend an Bedeutung gewinnt – trotz zuletzt insgesamt
rückläufi ger Leasingquoten (siehe Grafi k Seite 7).
and leaseback arrangement can bring advantages, especially when
it comes to gaining access to other sources of fi nancing and approaching
new fi nancing partners. ‘A high equity ratio has a positive effect
on a company’s credit standing and improves its position in the eyes
of potential lenders,’ says Marc Gläser, Sales Director SMEs at Deutsche
Leasing, a leasing company with international operations. Mr
Gläser is seeing an increase in sale and leaseback as a fi nancing
instrument among small and medium-sized companies – despite the
recent fall in overall leasing rates (see chart on page 7). Traditionally,
leasing accounts for 30 per cent of capital investment in the USA.
This is higher than in Europe, where the fi gure is around 20 per cent.
In the countries of eastern and central Europe in particular, lease fi -
nancing is becoming increasingly popular – as the Ulm Chamber of
Industry and Commerce (Germany) observes in a market report. In
Hungary, for instance, machinery purchases are now just as likely to
be fi nanced by leasing as through loans, despite the fact that EU
funding favours borrowing. The leasing of plant and machinery is increasing
in the Czech Republic as well, with such items now accounting
for a quarter of all movable goods leasing there.
Interview with Prof. Thomas Hartmann-Wendels
Prof. Thomas Hartmann-Wendels is Director of the Banking Management
course and of the Leasing Research Institute at the University of Cologne.
What types of asset do sale and leaseback transactions usually
involve?
This process, in which the owner of a capital asset sells it to a lessor and
leases it back immediately, is mostly used to fi nance large objects like
aircraft, real estate or ships. Size here is defi ned not so much by the type of
object as by its value.
What advantages can sale and leaseback bring to small and
medium-sized companies?
Small and medium-sized companies in particular often have a weak equity
position. They are therefore looking for simple ways of improving their
cash fl ow. Through leasing they can broaden their fi nancing scope without
increasing their debt ratio.
The capital it releases enables companies to make new investments, to pay
off loans, or to settle existing liabilities. In addition, leasing can be cheaper
than a loan. However, with sale and leaseback, companies should bear
BUSINESS
Careful preparation
Whatever the assets involved in a sale and leaseback transaction,
companies need to start by conducting a careful balance sheet analysis.
Since there are tax aspects to be considered that may be of
signifi cance for the company, Mr Gläser recommends involving a tax
expert in the consultations with the bank or leasing company early
on. ‘After all, sale and leaseback is more than just a means of improving
cash fl ow. It is part of the fi nancing mix and therefore affects the
fi nancing structure of the company,’ says Mr Gläser. This is not a
cause for alarm, however. As Aristotle said, something that benefi ts
Kreative Lösung: Sale-and-Leaseback verschafft fi nanzielle Beweglichkeit
the part is also of benefi t to the whole. Creative solution: Sale and leaseback brings fi nancial fl exibility
in mind that the process often involves complex structuring of equity and
debt capital. For instance, the combined transaction of selling, buying and
leasing back raises the question of how to value the assets in question.
Assessing value appreciation, identifying the best way of dealing with this
from a tax perspective, and drawing up the leasing agreement represent an
outlay that does not always pay off, especially for small businesses.
Leasing and redeemable loans have similar payment structures.
What is the difference?
It is how they are shown on the balance sheet that makes the difference.
With a purchase fi nanced by a loan, the company enters the asset and
the loan on its balance sheet. Many accounting standards do not require
leasing to appear in the accounts. This has a positive effect on accounting
ratios – such as the equity ratio, which is important for a company’s rating
and for its credit standing.
A good relationship with the best wine
The Swiss online wine store tracks down fi ne wines
for its customers and delivers them at no extra charge.
Friendliness is very important to the wine detectives.
This is one of the reasons why they opted for EOS.
Agreat red wine, the budding connoisseur learns on the
www.fl aschenpost.ch website, passes through four stages:
the fruit stage straight after bottling is followed by the
reduction stage. Only after that does the wine enter the enjoyment
stage. It is during this time that it displays its full character and should
be drunk before it reaches the fourth, unpalatable, stage. Renzo
Schweri knows exactly when each variety is at its best, how to drink
it and, above all, where it can be obtained. He has turned his passion
into his profession, and has been running the online wine shop
Flaschenpost together with Dominic Blaesi since early 2007.
The business concept is simple. As an online wine store, Flaschenpost
does not need its own warehouse. Instead, it has links to 50 Swiss
wine dealers, who in turn are in close contact with the producers. This
means that the Flaschenpost catalogue contains 10,000 different wines.
Flaschenpost not only obtains the wines customers are looking for, but
also provides information on grape varieties and growing regions and
on which wines go with which dishes. ‘We want to become the Amazon
of wine,’ says Mr Schweri, the company’s founder.
As well as knowing its customers’ tastes, Flaschenpost is also
familiar with their credit standing. A solvency verifi cation precedes
every order. Once customers enter their name and address on the
order screen, a piece of software running in the background assesses
their ability to pay. Depending on the result, the customer is
then given the option to order on account or must pay immediately by
credit card. Anyone can place an order.
Close collaboration
‘In general, mail order customers are worse payers than high-street
customers,’ says Melanie Roche, Head of Marketing Operations at
EOS Debita. Flaschenpost has been one of her clients since September
2009. This is because sometimes customers fail to pay their
invoices despite having been classed as solvent. After a period of 120
days, EOS Debita acquires the unpaid invoices, processes small claims
and takes on the classical debt-collection process. For EOS, personal
contact means a lot. ‘We make contact with the debtors by
telephone and try to fi nd a solution together,’ says Ms Roche, explaining
how her team works. For EOS Debita, the partnership with
Flaschenpost has proved to be an enjoyable one. ‘We have a very
good working relationship,’ says Ms Roche. The meetings that take
place once or twice a month are extremely goal-oriented. Everyone
Enge Zusammenarbeit
You’ll never walk alone: Zu einer Fußballmannschaft gehören
gezahlt. Der brasilianische Fußballgott Pelé war damit im
WM-Finale 1970 in Mexiko-Stadt gegen Italien aufgelaufen.
A chance to put on the World Cup shirt worn by Pelé or show off Babe Ruth’s baseball to the neighbours?
Sports fans’ dreams come true at spectacular auctions – provided they have the necessary cash.
You’ll never walk alone. A football team consists of a goal-
keeper, ten fi eld players and the famous twelfth man: the
fans. Not only do fans put their lifeblood into their hobby;
many of them also invest large sums of money in it. Memorabilia of
prominent footballers fetch top prices at auctions. Especially in England,
the home of football, there is a long history of auctions like this.
A yellow shirt fetched the equivalent of around EUR 188,000 in 2002.
Never before had anyone paid such a large sum for a second-hand
football shirt. This one was worn by Brazilian football idol Pelé in the
1970 World Cup fi nal against Italy in Mexico City.
As well as football shirts, the fans go crazy about balls, corner fl ags
and original posters from the great tournaments. ‘As with most items
sold at auction, the rarer they are, the greater their value,’ says Nicolette
Tomkinson, a poster expert at Christie’s.
There are a number of reasons why sportsmen and women send
memorabilia to auctions. The former England player Nobby Stiles,
known as the ‘toothless midfi elder’ because of his missing incisors,
sold off a large number of items a few months ago to provide fi nancial
2 million US dollars for a trading card
A very different kind of sporting souvenir was auctioned for a good
cause: a piece of bubble gum that had been chewed by American
baseball player Luis Gonzalez. A fan obtained the gum and auctioned
it online. However, during the auction doubts were raised about its
authenticity. Gonzalez ended the speculation by chewing a new piece
of gum live on television. ‘Whoever wins the thing can have it. I’ve
fi nished with it and don’t need it any more,’ the sportsman is supposed
to have said. A radio station bought the gum for EUR 7,700 and the
money was donated to a high school. Lots of souvenirs are also sold
between fans. Like the baseball that Babe Ruth hit in 1934 to make
the 702nd home run of his career. The ball fetched EUR 200,000
because Ruth is regarded as the greatest baseball player of all time.
He himself admired Honus Wagner, also known as the ‘Flying Dutchman’.
A baseball trading card of his with the serial number 00000001
is regarded by fans as a sacred relic. The card’s value has gone up
by leaps and bounds in recent years and has changed hands several
times, most recently for over EUR 2 million.
Stadt am Michigan-
Michigan: The wind in
Chicago is rarely still
CHICAGO
Chicago
The Windy City is the third largest in the USA.
The metropolis has something for everyone, with
magnifi cent sights and cultural attractions.
Chicago is a city of contrasts: old building fronts and modern
skyscrapers, upmarket boutiques and giant shopping centres,
a metropolitan atmosphere and wonderful parks, a bustling
city centre and a relaxed beach culture. The Windy City, as Chicago
is known because of the frequent strong winds that are whipped up
still further by the wind tunnels between the skyscrapers, has everything
the tourist could wish for. Janet Hoffman, Personnel Development
Manager at EOS CCA, knows a thing or two about the diversity of
her hometown: ‘Chicago is a melting pot of various cultures. The city
is home to people of different religions, origins and histories,’ says
61-year-old Ms Hoffman. It is precisely this diversity that characterizes
America’s metropolis in the Midwest. And Ms Hoffman is convinced
that nowhere is better for shopping.
Shopping on all levels
The Magnifi cent Mile, the grand line of shops along Michigan Avenue,
has everything you could possibly wish for. This tree-lined street has
four huge shopping centres as well as dozens of boutiques and designer
stores with luxury brands like Escada, Armani and Louis Vuitton.
Anyone still looking for more after a shopping tour of the Magnifi
cent Mile can turn into Oak Street at the northern end and then
into State Street, where more luxury boutiques and jewellery shops
many fashionable restaurants, cafés and clubs. In terms of architecture,
most of these areas have the typical appearance of an American
city dominated by skyscrapers.
Something for nature lovers too
The symbol of the modern age is Willis Tower, formerly Sears Tower.
Standing 527 metres tall, it is the tallest building in the USA. ‘On
Town.
absoluter Lieblingsort“, sagt Hoffman.
Orte amerikanischer Nationalsportarten.
Culture buffs will also fi nd something to interest them here. The
Steppenwolf Theatre, in which stars like John Malkovich, Gary Sinise
city centre. Those who prefer greenery will fi nd fantastic places to
is my absolute favourite place for relaxing,’ says Ms Hoffman. ‘I can
Chicago is also perfect for anyone looking for a bit more excitement
