KOMPETENZ IN ZELLSTOFF UND PAPIER<br />
Die Zellstoff Pöls AG ist mit einer Jahresproduktion von über<br />
338.000 Tonnen (= Rekord inklusive der für die eigene Papierproduktion<br />
verwendeten Menge) bzw. mit rund 330.000 Tonnen<br />
Marktzellstoff Mitteleuropas größter Hersteller von hochwertigem<br />
elementar-chlorfrei gebleichten (ECF) Langfaser-Sulfatzellstoff.<br />
Zellstoffe aus Pöls, im Bogen- und Flashformat, werden vor allem<br />
wegen ihrer konstant stabilen NBSK*-Qualität und der damit verbundenen<br />
vielseitigen Einsetzbarkeit geschätzt. Aus Pölser ORION-<br />
Zellstoff, so der Markenname, werden vorwiegend hochwertige<br />
Druck- und Schreibpapiere sowie Zeitungsdruck-, Hygiene-, Etiketten-<br />
und Kopierpapiere bzw. auch gestrichene und Spezialpapiere<br />
hergestellt. Unsere Hauptabsatzmärkte sind Italien, Österreich,<br />
Slowenien, Frankreich, Deutschland und Länder des Mittelmeerraumes<br />
sowie zunehmend auch neue EU-Partnerländer. Durch innovative<br />
Internet- und Logistiklösungen bieten wir unseren Kunden<br />
neben optimaler Servicequalität auch den bestmöglichen Überblick<br />
über Lagerbewegungen. In Pöls werden neben dem Hauptprodukt<br />
Zellstoff auf einer Spezialmaschine auch rund 12.500 Jahrestonnen<br />
Kraftpapiere hergestellt. Diese hochwertigen, gebleichten Papierqualitäten<br />
sind unter dem Markennamen STARKRAFT bekannt<br />
und werden von unseren Kunden zu Einkaufsbeuteln, Tischsets,<br />
Beschichtungs- und Kaschierpapieren sowie Geschenk- und Verpackungspapieren<br />
weiterverarbeitet.<br />
MANAGEMENTSYSTEM UND IT-RISKMANAGEMENT<br />
In der Konzernpolitik der <strong>Heinzel</strong> <strong>Group</strong> hat neben der bestmöglichen<br />
Abdeckung aller Kundenanforderungen das verantwortungsvolle<br />
Handeln gegenüber Mitarbeitern und der Umwelt eine hohe<br />
Priorität. Aus diesem Grund wurde am Standort Pöls ein integriertes<br />
Gesamtmanagementsystem eingeführt, das nach den geltenden<br />
Normen für Qualität (ISO 9001:2000), Umwelt (ISO 14.001:1995)<br />
und Arbeitssicherheit (OHSAS 18.001:1999) zertifiziert ist. Als Er-<br />
COMPETENCY IN PULP AND PAPER<br />
With an annual production of upwards of 338,000<br />
tons – a record that includes the amount used for its<br />
own paper production – and about 330,000 tons of<br />
market <strong>pulp</strong>, Zellstoff Pöls AG is the largest manufacturer<br />
of high-quality ECF Northern bleached softwood<br />
kraft <strong>pulp</strong> in Central Europe. Pulp from Pöls is<br />
highly regarded, primarily because of its consistently<br />
stable NBSK* quality, which makes it particularly<br />
versatile. ORION <strong>pulp</strong> from Pöls is mainly used to<br />
manufacture high-quality printing and writing paper,<br />
newsprint, toilet paper, paper for labels, copy paper,<br />
as well as coated and special paper. Our main markets<br />
are Italy, Austria, Slovenia, France, Germany,<br />
and the Mediterranean countries, as well as the new<br />
EU member countries. By using innovative Internet<br />
and logistics solutions, we are able to provide our<br />
customers with an optimal quality of service, as well<br />
as the best possible overview of stock rotation. In<br />
addition to <strong>pulp</strong>, about 12,500 tons of kraft paper are<br />
manufactured annually in the Pöls plant. These highquality<br />
types of paper are known under the brand<br />
name STARKRAFT and are used to make shopping<br />
bags, placemats, coated and laminated paper, as<br />
well as gift wrapping and packaging paper.<br />
MANAGEMENT SYSTEM & IT RISK MANAGEMENT<br />
The <strong>Heinzel</strong> <strong>Group</strong>’s corporate policy not only encourages<br />
the best possible fulfillment of all customer requirements<br />
but places a high priority on responsible<br />
action toward both its employees and the environment.<br />
For this reason, an integrated overall management<br />
system was introduced at the Pöls location; this<br />
system has been certified in accordance with the<br />
most current standards for quality (ISO 9001:2000),<br />
the environment (ISO 14.001:1995), and occupational<br />
health and safety (OHSAS 18.001:1999). Because<br />
IT is firmly integrated in all business units and in the<br />
associated business processes, we have taken an<br />
initial step and carried out an IT risk analysis. Now,<br />
measures are being taken that will improve our IT

Aufgrund der starken Integration der IT in allen Geschäftsbereichen<br />
und den damit verbundenen Geschäftsprozessen<br />
haben wir in einem ersten Schritt eine IT-Risikoananalyse durchgeführt.<br />
Anhand dieser Ergebnisse werden nunmehr Maßnahmen gesetzt,<br />
die unseren IT-Einsatz und die damit verbundene Abwicklung<br />
unserer Geschäftsprozesse weiter verbessern und absichern.<br />

02 ZELLSTOFF<br />
WIRTSCHAFTLICHE RAHMENBEDINGUNGEN Im Verlauf des Jahres 2005 war eine leichte Verbesserung der<br />
europäischen Wirtschaftsdaten zu verzeichnen. Gemessen an den Wachstumsraten in den USA, Lateinamerika<br />
und Asien war die wirtschaftliche Entwicklung Europas jedoch signifikant schwächer. Trotz der optimistischen<br />
Stimmung zu Jahresbeginn trat die erwartete Belebung des Papiergeschäftes nicht ein und somit gab<br />
es auch keine verstärkte Nachfrage nach Zellstoff. Bei einem annähernd konstanten Wechselkursverhältnis<br />
von 1,24 EUR/USD sank die Langfaserzellstoffnotierung um 2 Prozent auf EUR 490/t. Kurzfaserzellstoffe<br />
nahmen unerwarteterweise eine etwas günstigere Entwicklung, da das<br />
stark erhöhte Angebot aus Asien und Lateinamerika durch Werksschließungen<br />
in der nördlichen Hemisphäre abgeschwächt wurde.<br />
DIE HEINZEL GRUPPE Nach den glänzenden Ergebnissen des Vorjahres,<br />
in dem die gute operative Leistung unserer Unternehmen durch außerordentliche<br />
Einflüsse verstärkt wurde, war das Jahr 2005 für die <strong>Heinzel</strong><br />
Gruppe eindeutig schlechter verlaufen. Das Ergebnis der Gruppe lag mit<br />
EUR –13,4 Mio. wesentlich unter dem des Vorjahres. Dies hatte vielfältige<br />
Ursachen: In den Zellstoffwerken führten rückläufige Preise sowie außergewöhnlich<br />
lange Stillstände aufgrund von Investitionen und Großreparaturen<br />
zu Ergebniseinbußen, die durch Produktions- und Absatzsteigerungen<br />
nicht kompensiert werden konnten. Der größte negative Effekt<br />
entstand durch den schlechten Anlauf der Kartonmaschine KM 11 in<br />
unserem Werk in Holland. Technische Schwierigkeiten führten dort zu<br />
einem überhöhten Anfall von Ausschuss und II-a-Ware, wodurch ein erheblicher<br />
Verlust entstand. Der Bereich Handel wies andererseits eine<br />
neuerliche Mengensteigerung und eine Verbesserung des operativen Ergebnisses<br />
aus. Im Finanzergebnis der Gruppe wurde ein Rückgang verzeichnet,<br />
da am Jahresende Rückstellungen für USD-Sicherungsgeschäfte<br />
gebildet werden mussten. Zudem konnten die hohen außerordentlichen<br />
ALFRED HANNES HEINZEL, HEINZEL GROUP Erträge, die aus Beteiligungsveräußerungen und Steuerrückerstattungen<br />
des Vorjahres resultieren, erwartungsgemäß nicht wiederholt werden. Die<br />
wesentlichen Investitionen der Gruppe im Jahr 2005 betrafen die Ausbauten<br />
der Zellstofffabriken zur Kapazitätsausweitung und Kostensenkung. Diese Teilprojekte konnten sehr erfolgreich<br />
abgeschlossen und in Betrieb genommen werden. Für den Bau der KM 11 wurden rund EUR 33 Mio. aufgewendet;<br />
der Anlauf entsprach jedoch nicht den hohen Erwartungen. Sehr gute Fortschritte machte hingegen<br />
der Bau der neuen BCTMP-Halbzellstofffabrik in Estland, der sowohl kosten- als auch zeitmäßig im Plan liegt.<br />

ZELLSTOFF PÖLS AG Die Zellstoff Pöls AG konnte 2005 ihren Zellstoff- und Papierausstoß durch den Ausbau<br />
des Kochers und anderer Anlagen mit 342.000 Tonnen abermals steigern. Ein wesentlicher Meilenstein<br />
PÖLS AG ANNUAL REPORT 2005
für den weiteren Werksausbau, die Umweltverträglichkeitsprüfung für das Projekt „Pöls 500+“, konnte positiv erledigt<br />
werden. Der stufenweise Ausbau, bei dem in einem ersten Schritt die Erweiterung der Zellstoffproduktion auf 420.000<br />
Tonnen vorgesehen ist, kann somit verwirklicht werden.<br />
GENERAL ECONOMIC CONDITIONS A slight improvement of the European economic data was recorded in 2005. Measured against the growth<br />
rates in the USA, Latin America, and Asia, the economy in Europe was, however, significantly weaker. Despite the optimistic mood in the early<br />
part of the year, the anticipated recovery of the paper business did not materialize, and the demand for <strong>pulp</strong> did not increase. At an almost<br />
constant rate of exchange of EUR/USD 1.24, the market price for softwood <strong>pulp</strong> dropped by 2 percent to EUR 490/t. Unexpectedly, the market<br />
for hardwood <strong>pulp</strong> grades was more favorable because the significant increase of output from Asia and Latin America was offset by the<br />
closure of plants in the Northern hemisphere.<br />
THE HEINZEL GROUP After the satisfactory results of the previous year, when the excellent operating results of our <strong>Group</strong> companies were<br />
enhanced even further by extraordinary effects, 2005 was far less positive for the <strong>Heinzel</strong> <strong>Group</strong>. At EUR –13.4 million, the operating result<br />
of the <strong>Group</strong> was substantially lower than that posted in the previous year, and this had a variety of causes. The <strong>pulp</strong> plants suffered result<br />
reductions because of declining prices, as well as extraordinarily long shut-downs to implement investments and major repairs, and it was<br />
not possible to compensate them by increases in production and sales. The largest negative effect occurred because of the unsatisfactory<br />
start-up of operations of board machine BM 11 in our plant in the Netherlands. Technical difficulties led to an excessive amount of waste and<br />
second grade and resulted in significant losses. The trading sector, however, again increased quantities and showed an improvement in the<br />
operating result. The <strong>Group</strong>’s financial result also declined because, at the end of the year, provisions had to be made for USD hedging operations.<br />
Additionally, as anticipated, it was not possible to replicate the high extraordinary income of the previous year from divestiture of<br />
companies and tax refunds. The <strong>Group</strong>’s most important investments in 2005 were the expansions of the <strong>pulp</strong> plants with the goal of expanding<br />
capacity and lowering costs. These sub-projects were completed very successfully, and operations were started up. EUR 33 million were<br />
expended for the expansion of BM 11, however, its start-up of operations did not meet the high expectations. On the other hand, the expansion<br />
of the new BCTMP aspen <strong>pulp</strong> plant in Estonia progressed very well and is both within the budget and on schedule.<br />
ZELLSTOFF PÖLS AG By expanding the digester cookingzone and other facilities, Zellstoff Pöls AG was able to increase its <strong>pulp</strong> and paper<br />
output in 2005 to 342,000 tons. A significant milestone for a further expansion of the plant, the environmental impact assessment for the<br />
“Pöls 500+” project, was successfully completed. The new expansion, which will be carried out in stages, can now be implemented; the<br />
first stage will result in an increase in the <strong>pulp</strong> production to 420,000 tons.<br />

Introductory Note<br />
Das Jahr 2005 war von wechselnden marktwirtschaftlichen Rahmenbedingungen gekennzeichnet, die sich<br />
vor allem durch schwankende Weltmarktpreise für Zellstoff und Papier sowie durch Kursschwankungen bezüglich<br />
Euro und US-Dollar bemerkbar machten. Dieser Umstand und die damit verbundenen verschärften<br />
Wettbewerbsbedingungen stellten unser Unternehmen vor große Herausforderungen. Vor diesem Hintergrund<br />
war es umso wichtiger, dass 2005 die Weichen für die langfristige Absicherung der Zellstoff- und<br />
Papierproduktion in Pöls gestellt wurden: Das für die strategische Ausrichtung des Standortes notwendige<br />
UVP*-Verfahren mit behördlichen Detailgenehmigungsverfahren konnte<br />
positiv abgeschlossen und somit das größte Investitionsprogramm seit<br />
Bestehen der Fabrik gestartet werden. Das Ausbaukonzept „Pöls 500+“<br />
berücksichtigt neben wirtschaftlichen Kriterien auch einschneidende umweltrelevante<br />
Maßnahmen, die unser Werk auf den neuesten Stand der<br />
Technik bringen und als zukunftsorientierten Produktionsstandort auszeichnen<br />
werden. Die Um- und Neubauarbeiten zur Modernisierung und<br />
Erweiterung der Kapazität sind nicht nur für unseren Standort wichtig,<br />
sondern haben auch eine volkswirtschaftliche Bedeutung für die gesamte<br />
Region. Aufgrund des guten operativen Ergebnisses, das trotz eines dreiwöchigen<br />
Revisionsstillstandes erwirtschaftet wurde, konnten alle getätigten<br />
Investitionen aus unternehmenseigenen Geldmitteln finanziert werden.<br />
Positiv zu vermerken sind ferner unsere neuerlichen Rekorde in der<br />
Produktion von Zellstoff und Papier sowie der Ausbau unseres Kernmarktes<br />
Österreich mit den angrenzenden Nachbarländern.<br />
2005 was characterized by volatile economic conditions that were primarily associated<br />
with the fluctuating <strong>pulp</strong> and paper prices in the global marketplace, as well as<br />
fluctuations in the exchange rate between the US Dollar and the Euro. These circumstances<br />
and the associated heightened competition represented major challenges for<br />
our company. Against this backdrop, it was even more important to pave the way for<br />
the long-term sustainability of <strong>pulp</strong> and paper production in Pöls. The environmental<br />

impact assessment test required for the strategic orientation of the location, together<br />
with the associated regulatory approval procedures, was successfully completed, so<br />
that the most important investment program since the establishment of the plant can start. This project “Pöls 500+” not only<br />
takes economic criteria into consideration, but also significant environmental measures that will bring our plant to a state-of-theart<br />
level and will establish it as a future-oriented production site. The activities that will modernize our plant and expand its capacity<br />
are of major importance not only for our location, but will also have economic significance for the entire region. Because<br />
of the excellent operating result that was generated despite a three-week work stoppage for repairs, it was possible to finance<br />
all of the investments made with the company’s own funding. In addition, we were once again able to set new production<br />
records, and another positive development was the expansion of our core market in Austria and the neighboring countries.<br />

ZELLSTOFFPREISE UND DOLLARKURS IN BEWEGUNG<br />
Das Jahr 2005 begann mit drei aufeinander folgenden Preissteigerungen für Langfaser-Sulfatzellstoff auf einem<br />
Listpreisniveau von 650 USD/t. Im 2. und 3. Quartal folgte ein stetiger Preisverfall auf zunächst 600 USD/t<br />
zur Jahresmitte und dann weiter auf 580 USD/t gegen Ende des Sommers. Eine Preissteigerung und Stabilisierung<br />
auf 600 USD/t stellte sich erst wieder im 4. Quartal ein. Auf den Höchststand des Euro gegenüber<br />
dem US-Dollar zu Jahresbeginn 2005 mit Kurswerten von bis zu 1,34 USD/EUR folgte zum Jahresende eine<br />
Stärkung des US-Dollars mit einer relativ schmalen und somit kalkulierbare<br />
Schwankungsbreite von 1,23 bis 1,18. Gleichzeitig wurde die Nachfrage<br />
nach Zellstoff im 2. und 3. Quartal zunehmend stärker. Dies erklärt<br />
auch die extrem hohen Verkaufszahlen in der 2. Jahreshälfte.<br />
Unser Rekordabsatz von 337.904 Tonnen Zellstoff im Jahr 2005 bedeutet<br />
eine Steigerung zum Vorjahr von 7 Prozent. Der systematische Ausbau<br />
unserer europäischen Stamm-Märkte wurde weiter fortgesetzt und<br />
so konnte insbesondere das Verkaufsvolumen in den strategisch wichtigen<br />
Ländern Italien und Österreich um 13 Prozent erhöht werden. Der<br />
Absatz an Papier wurde ebenfalls deutlich gesteigert: Im Vergleich zum<br />
Rekordjahr 2004 konnte das Verkaufsvolumen um 2,5 Prozent auf<br />
12.273 Tonnen erhöht werden.<br />
PULP PRICES AND DOLLAR RATE OF EXCHANGE IN FLUX<br />
The year 2005 began with three consecutive price increases for Northern bleached<br />
softwood kraft <strong>pulp</strong>, raising the list price to USD 650/t. During the second and third<br />
quarters, the price went down and continued to drop, reaching USD 600 /t at mid-year<br />
and falling until it reached USD 580/t toward the end of the summer. It was not until<br />
the 4th quarter that prices rose again and stabilized at USD 600/t. After the highest<br />
level of the Euro against the US Dollar in early 2005 with rates of up to 1.34 USD/EUR, the US Dollar made gains, leveling off with<br />
the relatively narrow and therefore calculable fluctuation margin of 1.23 to 1.18. At the same time, demand for <strong>pulp</strong> continued<br />
to pick up during the 2nd and 3rd quarters. This also explains the extremely high sales figures during the second half of the year.<br />
Our record sales of 337,904 tons of <strong>pulp</strong> in 2005 represented an increase of 7 percent compared to the previous year. The<br />
systematic expansion of our European core markets continued, and we were able to exceed our previous year’s sales figures in<br />
Italy and Austria, two strategically important countries, by 13 percent. Paper sales figures climbed significantly as well. In comparison<br />
to 2004, already a record year, our sales volume went up by 2.5 percent to 12,273 tons.<br />

NEUER PRODUKTIONSREKORD<br />
Mit insgesamt 338.482 Tonnen erzeugtem Zellstoff (Marktzellstoff<br />
und integrierter Anteil) konnten wir im Jahr 2005 neuerlich<br />
eine Produktions-Rekordmarke aufstellen und den ehrgeizigen<br />
Budgetansatz von 328.000 Tonnen übertreffen. 329.847 Tonnen<br />
davon entfielen auf Marktzellstoff; der entsprechende Budgetwert<br />
lag bei 319.742 Tonnen. Die budgetierte Produktionsmenge<br />
für Papier wurde mit 12.448 Tonnen um 900 Tonnen ebenfalls<br />
mehr als erfüllt. Die abgesetzten Mengen betrugen bei Zellstoff<br />
337.904 Tonnen und bei Papier 12.273 Tonnen.<br />
INVESTITIONSSCHWERPUNKTE<br />
Aufgrund der Hauptrevision der Dampfturbine 3 war das abgelaufene<br />
Jahr durch einen knapp 3-wöchigen Hauptstillstand geprägt.<br />
Ein derartig langer Werkstillstand kommt in unserer Zellstofffabrik<br />
nur alle 6 bis 8 Jahre vor und wurde daher für die Durchführung<br />
wichtiger Reparaturarbeiten bzw. die Umsetzung von Investitionsprogrammen<br />
genutzt. Für Reparaturen während dieser Periode wurden<br />
zirka EUR 2,85 Mio. aufgewendet. Die Schwerpunkte lagen<br />
bei den Projekten Laugenkessel II, Dampfturbine 3, Kocher und<br />
Leitsystem. Die Gesamtinvestitionssumme 2005 betrug EUR 29,3<br />
Mio. Damit wurden bereits die ersten Teilschritte für den Werksausbau<br />
im Rahmen des Projektes „Pöls 500+“ realisiert. Nach<br />
Umsetzung der Projektschritte im Sommer konnten in der 2. Jahreshälfte<br />
die erwarteten Zielvorgaben erreicht und aufgrund der<br />
sehr stabilen Produktion neue Rekorde geschrieben werden. Auch<br />
hinsichtlich Qualitätssteigerung bzw. Chemikalien- und Energieverbrauch<br />
konnten wir weitere Verbesserungen erzielen. Für das Geschäftsjahr<br />
2006 sind Finanzmittel von rund EUR 35,2 Mio. budgetiert,<br />
die zur Fortsetzung des Werksausbaues und zur weiteren<br />
Optimierung der Umweltsituation und Produktqualität bzw. auch<br />
zur Minimierung der Produktionskosten verwendet werden und damit<br />
zu einer weiteren Verbesserung der Wettbewerbsfähigkeit führen.<br />
NEW PRODUCTION RECORD<br />
With a total production of 338,482 tons of <strong>pulp</strong><br />
(market <strong>pulp</strong> and integrated <strong>pulp</strong>), we were able to<br />
set a new production record in 2005 and exceed the<br />
ambitious budget of 328,000 tons. Of this quantity,<br />
329,847 tons were market <strong>pulp</strong>, for which the budgeted<br />
figure was 319,742 tons. At 12,448 tons, the<br />
budgeted production quantity for paper was exceeded<br />
by 900 tons. The quantities sold were 337,904<br />
tons of <strong>pulp</strong> and 12,273 tons of paper.<br />
INVESTMENT FOCAL POINTS<br />
Because of the major overhaul of steam turbine 3,<br />
the past year saw a work stoppage that lasted just<br />
over three weeks. Such a long work stoppage occurs<br />
only every six to eight years in our <strong>pulp</strong> mill, and<br />
therefore, we took advantage of the closure to carry<br />
out important repairs and to implement investment<br />
programs. During this period, about EUR 2.85 million<br />
was spent on repairs. The focal points were the projects<br />
recovery boiler II, steam turbine 3, the digester,<br />
and the guiding system. The total for investments in<br />
2005 was EUR 29.3 million. Thus, the first partial<br />
stage for the expansion of the plant within the scope<br />
of the project “Pöls 500+” has been realized. After<br />
the implementation of the project stages in the course<br />
of the summer, the second half of the year saw the<br />
achievement of the anticipated targets, and new records<br />
were possible as a result of the fact that production<br />
remained stable. Furthermore, we were able<br />
to realize additional improvements of quality, as well<br />
as in the consumption of chemicals and energy. For<br />
the 2006 fiscal year, financial resources in the amount<br />
of about EUR 35.2 million have been budgeted;<br />
they will be used to continue the expansion of<br />
the plant, to further optimize the environmental situation<br />
and the product quality and minimize production<br />
costs, thus resulting in an even greater improvement<br />
of our competitiveness.<br />

SCHWERPUNKT AUS- UND WEITERBILDUNG<br />
Die Unternehmensleitung der Zellstoff Pöls AG ist überzeugt,<br />
dass die ständige Weiterentwicklung ihrer Mitarbeiter wesentlich<br />
zum Unternehmenserfolg beiträgt. Daher wurden im Geschäftsjahr<br />
2005 auch allen Abteilungen anforderungsgerechte Schulungsbudgets<br />
zur gezielten Aus- und Weiterbildung der Mitarbeiter zur<br />
Verfügung gestellt. Einen besonderen Schwerpunkt im Rahmen<br />
der Mitarbeiterqualifizierung bildete im Herbst 2005 der Beginn<br />
eines Schulungsprogramms für Zellstoff-Prozesstechnologie. Dieses<br />
spezifische Trainingsprogramm wurde in Kooperation mit dem<br />
Ausbildungszentrum der Papiermacherschule Steyrermühl ausgearbeitet.<br />
Das Programm beinhaltet neun Module, die sich den<br />
unterschiedlichen Themen hinsichtlich Technologie, spezifischer<br />
Prozessparameter und zukünftiger Verbesserungspotentiale widmen.<br />
Im Zeitraum von Oktober bis Dezember 2005 konnten bereits<br />
mehr als hundert unserer Mitarbeiter das erste Modul unter<br />
dem Titel „Allgemeine Grundlagen der Zellstoff-Prozesstechnologie“<br />
erfolgreich absolvieren.<br />
Im Facharbeiterbereich legen wir großen Wert auf die Nachwuchsförderung<br />
und bieten daher auch eine qualitativ hochwertige<br />
Lehrlingsausbildung in den unterschiedlichen Berufssparten<br />
im eigenen Betrieb an. Darüber hinaus beteiligen wir uns bereits<br />
seit dem Jahr 2003 an der aktiven Mitgestaltung der regionalen<br />
Bildungsmesse „Build your future“, um junge Menschen für eine<br />
„Karriere mit Lehre“ zu begeistern. Der hohe Stellenwert, den die<br />
Nachwuchsförderung in unserem Unternehmen einnimmt, schlägt<br />
sich konkret auch in Zahlen nieder: Im abgelaufenen Geschäftsjahr<br />
waren per 31.12.2005 neben 357 Arbeitern und Angestellten<br />
die beachtliche Anzahl von 32 Lehrlingen beschäftigt.<br />

FOCUS ON TRAINING & STAFF DEVELOPMENT<br />
The management of Zellstoff Pöls AG is convinced<br />
that the ongoing development of its employees is an<br />
essential factor in the company’s success. This was<br />
why appropriate training budgets were made available<br />
to all departments in the 2005 fiscal year, in<br />
order to provide targeted training and continuing<br />
education of our employees. Within the scope of improving<br />
employee qualifications, a particular focal<br />
point was the fall 2005 launch of a training program<br />
for <strong>pulp</strong> process technology. This specific training<br />
program was developed in collaboration with the<br />
training center of the Austrian paper industry in<br />
Steyrermühl. The program contains nine modules<br />
that are each dedicated to different topics regarding<br />
technology, specific process parameters, and future<br />
potential for improvements. During the period from<br />
October to December 2005, more than one hundred<br />
of our employees have already successfully completed<br />
the first module with the title “General Principles<br />
of Pulp Process Technology.”<br />
With regard to our skilled workers, we attach a great<br />
deal of importance to promoting a young generation<br />
of workers and therefore offer a high-quality apprentice<br />
program for various vocations in our own facilities.<br />
Furthermore, we have been actively participating<br />
since 2003 in shaping “Build your future,” a regional<br />
career and education fair, in order to stimulate enthusiasm<br />
in young people to explore career prospects<br />
with apprenticeship training. The numbers reflect<br />
the significance that is placed on the training<br />
of junior employees in our company: in the past<br />
fiscal year, as of December 31, 2005, we had 32<br />
apprentices, a quite substantial number, in addition<br />
to our 357 workers and salaried employees.

Developing the Production Location<br />
and the Environment<br />
DAS ENTWICKLUNGSKONZEPT „PÖLS 500+“<br />
Zur Sicherstellung der langfristigen Wettbewerbsfähigkeit unseres<br />
Unternehmens haben wir im Jahre 2003 mit der Ausarbeitung<br />
eines langfristigen Standort-Entwicklungskonzeptes begonnen.<br />
Dieses im Einklang mit unserer nachhaltigen Umweltpolitik stehende<br />
Konzept „Pöls 500+“ vereint die Potentiale und Fachkompetenzen<br />
am Standort mit den strategischen Ausrichtungen<br />
der <strong>Heinzel</strong> <strong>Group</strong>.<br />
Das Konzept sieht folgende mögliche Ausbaustufen vor:<br />
� Ausbau der Zellstoffkapazität bis 420.000 Jahrestonnen<br />
� Bau eines Biomassekraftwerkes, abhängig von der Entwicklung<br />
der Gesetzeslage bezüglich des Ökostromes<br />
� Ausbau der bestehenden Papierkapazität auf bis zu 250.000<br />
Jahrestonnen spezieller Verpackungspapiere.<br />
Die Umsetzung der 1. Phase zur Kapazitätserweiterung wurde<br />
2003 vom Aufsichtsrat genehmigt und so konnte nach erfolgter<br />
Umweltverträglichkeitsprüfung (UVP) im September 2005 nahezu<br />
zeitgleich mit dem 100-jährigen Jubiläum der industriellen<br />
Zellstoffproduktion in Pöls der symbolische Spatenstich für den<br />
Werkausbau gefeiert werden. Die ersten Schritte für die Kapazitätserweiterung<br />
im Zellstoffbereich wurden bereits erfolgreich<br />
durchgeführt. Die Umbauten und Erweiterungen in den einzelnen<br />
Abschnitten ermöglichen uns, viele Komponenten und Prozesse<br />
auf den letzten Stand der Technik zu bringen und damit auch<br />
einen wertvollen Beitrag zur Entlastung der Umwelt zu leisten.<br />
Mit einem hohen Maß an Kreativität und Innovationsgeist stellen<br />
wir uns der Herausforderung, die die weiteren Realisierungsschritte<br />
des Konzeptes mit sich bringen.<br />

THE DEVELOPMENT CONCEPT “PÖLS 500+”<br />
To ensure the long-term competitiveness of our company,<br />
in 2003 we began with the preparation of a<br />
long-term concept for developing our production location.<br />
Called “Pöls 500+,” this concept is consistent<br />
with our sustainable environmental policies and<br />
combines the potential and the professional competencies<br />
at this location with the strategic orientation<br />
of the <strong>Heinzel</strong> <strong>Group</strong>.<br />
The concept envisages the following potential stages<br />
of expansion:<br />
� Expansion of the <strong>pulp</strong> production capacity to a level<br />
of 420,000 annual tons<br />
� Construction of a biomass energy plant, depending<br />
on the development of the legal situation in relation<br />
to biomass electricity<br />
� Expansion of the existing paper production capacity<br />
to a level of up to 250,000 annual tons of special<br />
packaging paper.<br />
The implementation of the first phase of the expansion<br />
of capacity was approved in 2003 by the Supervisory<br />
Board and so, once the environmental impact<br />
assessment was completed, we were able to celebrate<br />
the symbolic groundbreaking for the expansion<br />
of the plant almost concurrently with the 100-year<br />
anniversary of the beginning of industrial <strong>pulp</strong> production<br />
in Pöls in September 2005. The first steps<br />
for this capacity expansion in the <strong>pulp</strong> sector have<br />
already been successfully completed. The refurbishment<br />
and expansion in individual stages has enabled<br />
us to bring many components and processes to a<br />
state-of-the-art level, thus making a valuable contribution<br />
to easing the burden on the environment.<br />
We are facing the challenges that the next stages of<br />
the expansion project will bring with a high degree<br />
of creativity and innovative spirit.
UMWELTRELEVANTE ABSICHERUNG DES STANDORTES<br />
Die in Pöls erzeugten Produkte Papier und Zellstoff sind Teil eines natürlichen Kreislaufs, den wir im Gleichgewicht<br />
mit der Umwelt halten wollen. Bei allen Überlegungen hinsichtlich unserer Standortentwicklung sind wir daher von<br />
einem ganzheitlichen bzw. nachhaltigen Ansatz ausgegangen. So haben wir für unser Entwicklungskonzept nach einem<br />
aufwendigen Umweltverträglichkeitsprüfungsverfahren auch alle erforderlichen Genehmigungen seitens der Behörde<br />
erhalten. Im UVP-Verfahren wurden sämtliche Umweltaspekte betrachtet und die diesbezügliche Relevanz des Ausbauprojektes<br />
von unabhängigen Experten erhoben und beurteilt. Die behördliche Bewilligung konnte nicht zuletzt aufgrund<br />
der positiven Anrainerbeurteilungen bereits in der ersten Instanz rechtskräftig abgeschlossen werden. Die langfristige<br />
Gültigkeit dieser UVP-Genehmigung stellt die rechtliche Voraussetzung für eine sorgfältige und akkurate Umsetzung<br />
unserer Pläne sicher.<br />
WESENTLICHE ERGEBNISSE DER UMWELTVERTRÄGLICHKEITSPRÜFUNG<br />
Abwasseremissionen. Durch eine biologische Vorreinigung werden die<br />
Emissionen in den Vorfluter nicht erhöht. Die Steigerung der Wascheffizienz<br />
und der Einsatz von Waschpressen werden eine weitere Reduktion<br />
der Abwassermenge wie auch der CSB- und AOX-Frachten sicherstellen.<br />
In einer Gewässergüteerhebung konnte kein negativer Einfluss unserer Abwasseremissionen<br />
auf Limnologie und Fischbestand gefunden werden.<br />
Dieser erfreuliche Tatbestand wird gesichert bleiben.<br />
Abluftemissionen. Die hohe Effizienz unserer Abluftreinigungsanlagen<br />
stellt sicher, dass der Beitrag unserer Emissionen in unserer unmittelbaren<br />
und weiteren Umgebung so niedrig ist, dass das Immissionsniveau<br />
deutlich unter den relevanten Richtwerten für Mensch, Tier und Vegetation<br />
liegt. Auch nach Realisierung unserer Ausbauvorhaben ist dies gesichert.<br />
Lärmemissionen. Als gewachsener Standort sind Wohngebiete in unmittelbarer<br />
Betriebsnähe für uns ein Faktum. Schon in der Vergangenheit waren<br />
wir bestrebt, unsere Lärmimmissionen in diesen Gebieten unter den<br />
bewilligten Werten zu halten. Über Kontrollmessungen und Modellierung<br />
an einem Ausbreitungsmodell wurden Optimierungspotentiale gesucht.<br />
Mit Umsetzung unserer Projekte wird in diesen Gebieten eine wesentliche<br />
Verringerung unseres Geräuschbeitrages erreicht werden.<br />
Abfallwirtschaft. Durch unsere auf die Zielsetzungen Vermeiden, Verwerten,<br />
umweltgerecht Entsorgen ausgerichtete Abfallwirtschaft wurden unser Abfallaufkommen und die zu entsorgenden<br />
Abfallfraktionen minimiert. Mit Realisierung unseres Ausbauvorhabens werden alle Reststoffe der thermischen Nutzung<br />
am Standort zugeführt und so das diesbezügliche Verkehrsaufkommen reduziert.<br />
Verkehrsaufkommen. Neben dem Wegfall der Lkw-Fahrten für Reststofftransporte wird die großzügige Verlegung der<br />
Transportvolumina auf die Bahn mit Realisierung unseres Ausbauvorhabens nur eine mäßige Erhöhung des Verkehrsaufkommens<br />
auf der Straße bringen.<br />

ENVIRONMENT-RELEVANT SAFEGUARDS<br />
Paper and <strong>pulp</strong> from Pöls are a part of the natural cycle we want to keep in balance with the environment. In all of our considerations with<br />
regard to the development of our production location, our approach has been holistic and directed toward sustainability. After completing a<br />
complex and costly environmental impact assessment, we have now received all the required approvals from the regulatory agencies for our<br />
development concept. In the course of the environmental impact assessment process, all environmental aspects were looked at and the relevance<br />
of the expansion project to these aspects was ascertained and evaluated by independent experts. One of the reasons that the permit<br />
from the regulatory agency was granted and formally and legally established in the first instance were the positive evaluations by neighboring<br />
owners. The long-term validity of this permit based on the environmental impact assessment is the legal requirement for a careful and<br />
accurate implementation of our plans.<br />
IMPORTANT RESULTS OF THE ENVIRONMENTAL<br />
IMPACT ASSESSMENT<br />
Wastewater emissions. Because of a biological precleaning process, the emissions in<br />
the receiving water are not increased. The improvement of the washing efficiency and<br />
the use of wash presses will ensure the continued reduction of the overall amount of<br />
the wastewater, as well as of the COD and AOX values. A water quality assessment did<br />
not show any negative influence from our wastewater emissions on limnology and fish<br />
stock. This gratifying situation will be maintained.<br />
Exhaust air emissions. The high degree of efficiency of our exhaust air decontamination<br />
system ensures that the contribution of our emissions in both our immediate and<br />
wider environment is so low that the emissions level is substantially below the relevant<br />
benchmarks for humans, animals, and vegetation. We have ensured that this status will<br />
be maintained after the completion of our expansion project.<br />
Noise emissions. As a production location that has grown organically, residential areas<br />
in direct proximity to the plant are a fact of life for us. Even in the past, we always<br />
endeavored to keep our noise emissions in these areas under the permitted benchmarks.<br />
Using control measurements and a dispersion model, we looked for possibilities<br />
that provided potential for optimization. As our projects are realized, these areas<br />
will experience a significant reduction in noise coming from our operations.<br />
Waste management. Because our waste management has been oriented toward the goals of avoiding, recycling, and environmentally-friendly<br />
disposal of waste, our waste accumulation and the portion of the waste that needs to be disposed of has been minimized. As our expansion<br />
project is realized, all residual materials will be put to thermal use at our production location, which will reduce traffic to dispose of these<br />
materials elsewhere.<br />
Traffic. Because of reduced truck traffic for the transport of residual materials and a substantial shift of transport volumes to railway transport,<br />
the completion of our expansion project will result in only a moderate increase of traffic on the roads.<br />

Integrated Management<br />
System<br />
IT-RISIKOMANAGEMENT<br />
Als Ergänzung zu unserem integrierten Managementsystem mit<br />
den zertifizierten Systemen für Qualität, Umwelt und Arbeitssicherheit<br />
haben wir 2005 erste Aktivitäten im Bereich Risikomanagement<br />
gesetzt. Ziel des Risikomanagements ist es, Gefahren aus<br />
den verschiedenen Unternehmensbereichen frühzeitig zu erkennen<br />
und zu reduzieren bzw. eine gezielte Notfallplanung zu ermöglichen.<br />
Aufgrund der starken Integration der Informationstechnologie<br />
in nahezu alle Unternehmensbereiche und den damit verbundenen<br />
Geschäftsprozessen wurde in einem ersten Schritt eine IT-<br />
Risikoanalyse durchgeführt. Die Vorgehensweise dabei erfolgte<br />
folgendermaßen: In einer Define-Phase wurde der Umfang der<br />
Risikoanalyse festgelegt. In der darauf folgenden Measure-Phase<br />
wurden die in den Prozessen verwendeten IT-Systeme identifiziert<br />
und analysiert. Unter Verwendung von Fragebögen wurden vorerst<br />
die Erwartungen der Prozessverantwortlichen an die IT-Systeme<br />
in Bezug auf Verfügbarkeit, Vertraulichkeit und Integrität der Daten<br />
erhoben. Danach wurden in der Analyse-Phase die erhobenen<br />
Daten einer Fehler-Möglichkeits- und Einfluss-Analyse (FMEA) unterzogen<br />
und daraus Risikokennziffern ermittelt. Anhand dieser<br />
Risikokennziffern wurde die Effizienz der bestehenden Maßnahmen<br />
und die Höhe des Risikos bewertet, mit dem Ziel jene Systeme, die<br />
einem hohen Risiko ausgesetzt sind, zu identifizieren und Maßnahmen<br />
für die Minimierung des bestehenden Risikos einzuleiten.<br />
Als Maßstab der Bewertung wurden einerseits die Vorgaben der<br />
Prozessverantwortlichen, andererseits der Gefährdungskatalog des<br />
IT-Grundschutzhandbuches des Bundesamtes für IT-Sicherheit<br />
verwendet. In der Improve-Phase schließlich wurden Maßnahmen<br />
entwickelt, die unseren IT-Einsatz und die damit verbundene Abwicklung<br />
der Geschäftsprozesse weiter verbessern und absichern<br />
sollen. In der Controll-Phase werden nunmehr die ausgearbeiteten<br />
Maßnahmen installiert und auf die Wirksamkeit überprüft.<br />
IT RISK MANAGEMENT<br />
In addition to our integrated management system<br />
with its certified systems for quality, environment and<br />
occupational health and safety, during the past fiscal<br />
year, we have taken the initial steps in the sector of<br />
risk management. The purpose of risk management<br />
is to enable early recognition of dangers in various<br />
company sectors, to reduce such threats, and to enable<br />
targeted planning for emergencies. Because IT<br />
is firmly integrated in almost all business units and in<br />
the associated business processes, we have taken<br />
an initial step and carried out an IT risk analysis<br />
that identified the core processes in the management<br />
system and analyzed the IT systems that are relevant<br />
for these core processes. The procedure went through<br />
the following phases: The “Define” phase determined<br />
the scope of the risk analysis. The “Measure” phase<br />
identified and analyzed the IT systems utilized in the<br />
processes. Using questionnaires, those employees<br />
responsible for the processes were surveyed in order<br />
to learn their expectations regarding the IT systems<br />
with respect to availability, confidentiality, and data<br />
integrity. Subsequently, the collected data was subjected<br />
to failure modes and effects analysis (FMEA),<br />
and the risk figures were determined. Based on the<br />
risk key figures, the efficiency of the existing measures<br />
and the extent of the current risk was evaluated<br />
with the goal of identifying those systems that<br />
are subject to high risk and introducing measures to<br />
minimize the existing risks.<br />
The benchmarks of the assessment were the requirements<br />
set forth by those responsible for the processes<br />
on one hand, and the risk catalog in the IT<br />
Baseline Protection Manual of the Federal Office for<br />
Information Security on the other. In the “Improve”<br />
phase, measures were developed to continue to improve<br />
our IT deployment and the associated handling<br />
of our business processes and make them all<br />
more secure. In the “Control” phase, the measures<br />
that were developed are being implemented and their<br />
effectiveness is being monitored.<br />

Forecast 2006<br />
Mit großer Zuversicht gehen wir in das Geschäftsjahr 2006, zumal<br />
uns die ersten großen Realisierungsmaßnahmen des Werksentwicklungskonzeptes<br />
„Pöls 500+“ in die Lage versetzen sollten, die<br />
Produktion unseres Kraftzellstoffes von rund 338.500 Tonnen im<br />
Jahr 2005 auf zirka 360.000 Tonnen Ende 2006 anzuheben. Um<br />
dieses ehrgeizige Ziel unter Einhaltung aller gesetzlichen Anforderungen<br />
bezüglich des Umweltschutzes zu erreichen, investiert<br />
die Zellstoff Pöls AG in Anlagen und umwelttechnische Einrichtungen.<br />
So z.B. wird ein neuer Drehrohrofen errichtet, der einer<br />
möglichst umweltschonenden Herstellung der durch die geplante<br />
Kapazitätssteigerung erforderlichen größeren Branntkalkmengen<br />
dient. Des Weiteren planen wir den Ausbau der Eindampfkapazität,<br />
um dadurch eine noch effizientere energetische Nutzung von<br />
den im Aufschlussprozess gelösten Holzsubstanzen zu erreichen.<br />
Mit dem aus der Verbrennung der Mehrmengen an Dicklauge gewonnenen<br />
und in das öffentliche Netz gelieferten Ökostrom wird<br />
unser Werk einen wesentlichen Beitrag zur Reduktion fossiler<br />
Brennstoffe leisten. Der Austausch der in der Nachsortierung eingebauten<br />
alten Cleaneranlage gegen moderne, energiesparende<br />
Drucksortierer wird zu einer weiteren Verbesserung der Zellstoffreinheit,<br />
zu einer deutlichen Reduktion der im Herstellprozess<br />
anfallenden Rejektmengen und somit zu einer höheren Gesamtausbeute<br />
an hochwertigem Zellstoff führen. Mit der Errichtung<br />
einer neuen Eisenbahncontainerkippanlage tragen wir der Einführung<br />
eines neuen Waggontyps Rechnung und erreichen eine wesentliche<br />
Verbesserung in der Holzanlieferlogistik. Zur weiteren<br />
Erhöhung der Arbeitssicherheit werden zahlreiche Verbesserungen<br />
an den Austragssystemen der Bleichtürme vorgenommen. In Summe<br />
werden im Jahr 2006 über EUR 35 Mio. für Großprojekte,<br />
aber auch zur Realisierung vieler kleinerer Maßnahmen investiert.<br />
Zur nachhaltigen Absicherung der Wirtschaftlichkeit des Standortes<br />
wird dieses große, stufenweise umgesetzte Investitionsprogramm<br />
von Einsparungen auf der Kostenseite begleitet. Für 2006<br />
erwarten wir wiederum ein deutlich positives Gesamtergebnis.<br />

We are beginning the 2006 fiscal year with great<br />
optimism, especially since the initial steps of the production<br />
location development concept “Pöls 500+”<br />
should enable us to increase the production of kraft<br />
<strong>pulp</strong> to around 360,000 annual tons by the end of<br />
2006. To achieve this ambitious goal while complying<br />
with all environmental laws and requirements,<br />
Zellstoff Pöls AG is investing in various installations<br />
to eliminate pollution. For example, a state-of-the-art<br />
lime kiln is being installed that will enable environmentally-friendly<br />
production of the large quantities<br />
of burnt lime that will be needed for the planned<br />
capacity increase. Furthermore, we are planning an<br />
expansion of the capacity for the black liquor evaporation<br />
to achieve an even more efficient use of our<br />
energy potential. The biomass electricity that is received<br />
during the black liquor burning and fed into<br />
the grid will enable our plant to significantly reduce<br />
fossil fuel use. The replacement of the old cleaner<br />
in the after screening system by a modern, energyefficient<br />
pressure screening device will result in<br />
even greater purity of the <strong>pulp</strong>, as well as a substantial<br />
reduction of reject quantities that occur during<br />
the manufacturing process; and this will lead to a<br />
higher overall yield. With the construction of a new<br />
tilting device for railway containers we are accommodating<br />
the introduction of a new type of railway<br />
wagon; this will result in a significant improvement<br />
in the logistics of the delivery of wood. In addition,<br />
there will be numerous improvements in the discharge<br />
systems of our bleaching towers that are<br />
being made to promote safety. Overall, more than<br />
EUR 35 million will be spent in 2006 for both major<br />
projects and for the realization of many small ones.<br />
Parallel to this huge investment program, there will<br />
be cost-cutting measures. By implementing a balanced<br />
combination of these strategic measures, we<br />
again anticipate a clearly positive overall operating<br />
result for 2006.<br />

Auditors’ Report<br />
Wir haben den Jahresabschluss der Zellstoff Pöls Aktiengesellschaft, Pöls,<br />
für das Geschäftsjahr vom 1. Januar 2005 bis 31. Dezember 2005 unter<br />
Einbeziehung der Buchführung geprüft. Die Buchführung, die Aufstellung<br />
und der Inhalt dieses Jahresabschlusses sowie des Lageberichtes in<br />
Übereinstimmung mit den österreichischen handelsrechtlichen Vorschriften<br />
liegen in der Verantwortung der gesetzlichen Vertreter der Gesellschaft.<br />
Unsere Verantwortung besteht in der Abgabe eines Prüfungsurteils<br />
zu diesem Jahresabschluss auf der Grundlage unserer Prüfung und<br />
einer Aussage, ab der Lagebericht in Einklang mit dem Jahresabschluss<br />
steht. Wir haben unsere Prüfung unter Beachtung der in Österreich geltenden<br />
gesetzlichen Vorschriften und Grundsätze ordnungsgemäßer Abschlussprüfung<br />
durchgeführt. Diese Grundsätze erfordern die Prüfung so<br />
zu planen und durchzuführen, dass ein hinreichend sicheres Urteil darüber<br />
abgegeben werden kann, ob der Jahresabschluss frei von wesentlichen<br />
Fehldarstellungen ist, und eine Aussage getroffen werden kann, ob<br />
der Lagebericht mit dem Jahresabschluss in Einklang steht. Bei der Festlegung<br />
der Prüfungshandlungen werden die Kenntnisse über die Geschäftstätigkeit<br />
und über das wirtschaftlich und rechtliche Umfeld des<br />
Unternehmens sowie die Erwartungen über mögliche Fehler berücksichtigt.<br />
Im Rahmen der Prüfung werden die Nachweise für Beträge und sonstige<br />
Angaben in der Buchführung und im Jahresabschluss überwiegend<br />
auf Basis von Stichproben beurteilt. Die Prüfung umfasst ferner die Beurteilung<br />
der angewandten Rechnungslegungsgrundsätze und der von den<br />
gesetzlichen Vertretern vorgenommenen, wesentlichen Schätzungen sowie<br />
eine Würdigung der Gesamtaussage des Jahresabschlusses. Wir sind der<br />
Auffassung, dass unsere Prüfung eine hinreichend sichere Grundlage für<br />
unser Prüfungsurteil darstellt. Unsere Prüfung hat zu keinen Einwendungen<br />
geführt. Aufgrund der bei der Prüfung gewonnenen Erkenntnisse entspricht<br />
der Jahresabschluss nach unserer Beurteilung den gesetzlichen<br />
Vorschriften und vermittelt ein möglichst getreues Bild der Vermögensund<br />
Finanzlage des Unternehmens zum 31.12.2005 sowie der Ertragslage<br />
des Unternehmens für das Geschäftsjahr vom 1. Januar 2005 bis<br />
31. Dezember 2005 in Übereinstimmung mit den österreichischen Grundsätzen<br />
ordnungsgemäßer Buchführung. Der Lagebericht steht in Einklang<br />

We have audited the financial statements including<br />
the accounting records of Zellstoff Pöls Aktiengesellschaft,<br />
Pöls, for the fiscal year from January 1,<br />
2005 to December 31, 2005. The Company’s management<br />
is responsible for the bookkeeping, the<br />
preparation and the content of the financial statements<br />
and the management report in accordance<br />
with applicable Austrian commercial law. Our responsibility<br />
is to express an opinion on these financial<br />
statements based on our audit and to state<br />
whether the management report for the company is<br />
in accordance with the financial statements. We<br />
conducted our audit in accordance with laws and<br />
regulations applicable in Austria and Austrian Standards<br />
on Auditing. Those standards require that we<br />
plan and perform the audit to obtain reasonable<br />
assurance whether the financial statements are free<br />
from material misstatement and whether we can<br />
state that the management report for the company is<br />
in accordance with the financial statements. In<br />
determining the audit procedures we considered our<br />
knowledge of the business, the economic and legal<br />
environment of the company as well as the expected<br />
occurrence of errors. An audit involves procedures<br />
to obtain evidence about amounts and other disclosures<br />
in the financial statements predominantly on<br />
a sample basis. An audit also includes assessing<br />
the accounting principles used and significant estimates<br />
made by management as well as evaluating<br />
the overall financial statement presentation. We believe<br />
that our audit provides a reasonable basis for<br />
our opinion. Our audit did not give rise to any objections.<br />
In our opinion, which is based on the results<br />
of our audit, the financial statements are in accordance<br />
with legal requirements and present fairly, in<br />
all material respects, the financial position of the<br />
company as of December 31, 2005 and of the results<br />
of its operations for the fiscal year from January 1,<br />
2005 to December 31, 2005 in accordance with the<br />
generally accepted principles of accounting in Austria.<br />
The management report for the company is in<br />
accordance with the financial statements.<br />
