G Section: Governance – Recruitment, Appointment, Evaluation Subject: Succession Planning, Recruitment and Appointments 1 - 30 Page: 1 of 3 Approved: May 25, 2009 Supersedes: 500 Hallmark Drive • Waterloo • ON • N2K 3P5 • T: 519.886.8886 • F: 519.886.0105 Principle: Board recruitment and appointment with respect to executive positions on the Board of Directors, membership on the Board, and membership on both the standing and ad hoc committees of the Board are key components not only of efficient day-to-day Board-related activities but also of successful succession planning. Guidelines: • Annually, typically early in the calendar year, the Chair of the Nominating Committee will initiate a process to determine the intention of current Directors as well as members of standing and on-going ad hoc committees of the Board to determine the intention of each member with respect to continuing service for the following year. • Nominations to executive positions of the Board of Directors, to membership on the Board, and to membership on standing and ad hoc committees of the Board will be initiated by the appropriate committee. Each respective committee will undertake a deliberative review appropriate to its mandate and report its recommendations to the Governance Committee which, in turn, will make its recommendations to the Board of Directors which has been empowered to approve or to reject those recommendations. • As part of its deliberative process, the committee undertaking the initial review will normally seek counsel and suggestions from members of the Board of Directors as well as from the Executive Director either verbally or in written form. • The Board Profile Matrix and the relevant Terms of Reference will form essential components of the background materials to be consulted during the respective deliberations. • Since applications to the Foundation Board may well be more appropriately considered as appointees by the Centre Board and in an effort to avoid both Boards approaching the same individual, the Foundation’s Chair of the Board and the chair of its Nominating Committee will inform their respective counterparts on the Centre Board with respect both to applications received and individuals under consideration for Board and committee appointment. • Deliberations concerning a Director’s reappointment to the Board at the end of each term will be the responsibility of the Chair of the Board, the Vice-Chair, and the Past Chair and will include their evaluation of the individual’s adherence to the Roles and Responsibilities of the Members of the Board.
