ACKNOWLEDGEMENT AND INDEMNITY
The Purchaser hereby acknowledges that all representations and warranties provided for in
section 9 of the Agreement of Purchase and Sale executed on the of 20 ,
shall survive closing and further agrees to indemnify the Vendor and its successors,
administrators, permitted assigns, directors, officers, employees, agents, servants,
representatives, appointees and all others for whom the Vendor is responsible in law and its
administrators, permitted assigns, directors, officers, employees, agents, servants, representatives
and all others form whom the Vendor is responsible in law, from and against all such loss,
damage, or injury and all actions, suits, proceedings, costs, charges, damages, expenses, claims,
or demands arising therefrom or connected therewith.
