Report No. COMS-007-11
Subject: Bloomfield Pioneer Cemetery
RECOMMENDATION: That COMS-007-11 be received for information;
REPORT
Background
AND THAT staff be authorized to make minor modifications
to the agreement to the mutual satisfaction of both parties,
prior to execution;
AND THAT staff be directed to prepare a by-law authorizing
the Mayor and the Clerk to execute the Agreement of
Purchase and Sale of Bloomfield Pioneer Cemetery,
attached hereto as Appendix C.
The Cemeteries Regulation Unit of the Ontario Ministry of Government Services,
Consumers Protection Branch, maintains a data base on all cemeteries within the
Province including both active and abandoned. Periodically, they consult with local
municipalities regarding the status of the sites.
In accordance with Section 60 of the Cemeteries Act, once a cemetery has been
declared abandoned and is registered as such with the appropriate land registry, the
municipality becomes the owner of the property and is responsible for the ongoing
maintenance of the grounds and assets.

There are currently 7 pioneer cemeteries in Town ownership being Cove Cemetery,
Kean Family Cemetery, Moffat United Cemetery, Hopkins Corner Cemetery, Deforest
Cemetery, Bronte Street Cemetery and Bowes Street Cemetery.
Discussion
At the request of the Ministry of Government Services, Cemeteries Regulation Unit, staff
reviewed the current listing of abandoned pioneer cemeteries within their data base and
discovered that the Town was maintaining Bloomfield Pioneer Cemetery despite the fact
the property ownership had not been transferred from the Ontario Realty Corporation
(ORC) to the municipality. For the past several years, ORC has been working toward
the transfer of Bloomfield Cemetery to the Town.
Bloomfield Pioneer Cemetery is located on the west side of the 6 th Line between
Concessions 6 & 7, just north of the Canadian Pacific Railway. See Appendix A- Key
Map.
The site is approximately 0.25 ha (0.61 ac) in size of which roughly 50% of the site is
manicured grass and 50% consisting of native small trees and shrubs. Contained within
the site are between 10 to 12 small upright monuments and a random collection of
headstones lying on the ground.
The acquisition of Bloomfield Pioneer Cemetery is in keeping with the goals and
objectives of Section 2.10 of the Official Plan providing for the conservation of the
Town’s heritage resources through preservation, protection maintenance and site
improvement . The transfer of Bloomfield Pioneer Cemetery is also in accordance with
Council Resolution No. 849-03. Refer to Appendix B.
Within the Community Services Master Plan, cemeteries are noted as providing the
opportunity to provide passive recreational opportunities such as walking and that the
municipalities will continue to maintain and protect pioneer cemeteries as they come
into municipal ownership.
Through the Town’s solicitor, a draft Purchase and Sale Agreement has been prepared
and is attached as Appendix C.

Under the terms of the Purchase and Sale Agreement, the purchase price for the
property is $2.00.
General ongoing maintenance of the Town owned pioneer cemeteries is included in the
Engineering Department’s Annual Operating Budget. Bloomfield Pioneer Cemetery is
currently maintained by the Town so there is no impact on the current operating budget.
Capital improvements for pioneer cemeteries is included in the 10 year capital budget
forecast and approved by Council as part of the annual capital budget review process.
Upon execution of the agreement, staff will undertake a further detailed review of
price reduction equal to such cost, or (iii) to terminate this Agreement, in which case,
neither party shall have any further rights or obligations hereunder.
VENDOR'S WARRANTIES, REPRESENTATIONS AND COVENANTS
8(2) The Information Package provided by the Vendor or its agents, and any comments made
by the Vendor, its employees, officers, directors, appointees, agents or consultants are for
9(1) The Purchaser warrants and represents to the Vendor that the Purchaser does not have a
9(3) As of the Date of Closing, the Purchaser shall assume and be responsible as owner for the
SEVERANCE
10(1) The Purchaser acknowledges that although the Vendor is entitled to invoke “Crown
Right” to sever property (i.e. the ability of the Crown to divide land referenced under the
subdivision control provisions of the Planning Act), the Vendor has elected to only
invoke Crown Right (a) when it disposes of land to entities that include government or
government related agencies; (b) when it acquires land for government or government
related agencies, or (c) where requested to do so by the Municipality in which the Lands
are located (a “Crown Right Request”).
10(2) Evidence of a Crown Right Request, if applicable in connection with this transaction,
shall be in the form of a letter from the Municipality’s Planning and Building
Department, or other representative of the Municipality acceptable to the Vendor,
requesting the Vendor to exercise its Crown Right in connection with the disposition of
the Lands.
10(3) Notwithstanding the foregoing, if after preliminary discussions with the Municipality, the
Vendor is of the opinion that it will not be requested to use its Crown Right and if the
Vendor does not proceed pursuant to the provisions of section 10(4), the Vendor shall
have the right, in its sole, unfettered and subjective discretion, to terminate this
Agreement by written notice to the Purchaser given on or before the Date of Closing in
which event the Deposit shall be returned to the Purchaser without deduction and with
interest and neither party shall have any further obligation to the other respecting this
Agreement other than the Purchaser’s obligations pursuant to Section 5(3) of this
Agreement.
10(4) If the Vendor does not terminate this Agreement in accordance with the provisions of
Section 10(3), then the Vendor shall proceed with diligence with an application for
the Purchaser, which cost shall include all application fees, legal fees and disbursements,
and all costs and expenses in connection with satisfying and/or complying with any
conditions imposed as a condition of Consent (the "Conditions"). If so requested by the
Vendor, the Purchaser shall cooperate with the Vendor in the application for Consent by
attending at any hearings and making submissions, and/or executing any documents
required as a condition of obtaining such Consent.
10(5) If a Consent by the appropriate body is not given or, if Consent is given but Conditions
are attached which the Vendor in its sole, unfettered and subjective discretion is not
prepared to satisfy or, if Consent is given but is appealed and the Vendor is not prepared
in its sole, unfettered and subjective discretion to defend such appeal, then the Vendor
shall have the right in its sole, unfettered and subjective discretion to terminate this
Agreement by written notice to the Purchaser given on or before the Date of Closing, and
the Deposit shall be returned to the Purchaser without deduction and with interest and
neither party shall have any further obligation to the other respecting this Agreement
other than the Purchaser’s obligations pursuant to Section 5(3) of this Agreement.
10(6) If the Lands abut other lands owned by the Vendor and a Consent is obtained then in the
absence of delivery of notice of termination by the Vendor as described in section 10(5),
this Agreement shall be completed on the later of:
(i) the Date of Closing;
(ii) five (5) days after notice is given to the Purchaser that the Consent is final
and binding, if no Conditions have been imposed; or
(iii) five (5) days after notice is given to the Purchaser that the Conditions have
been satisfied, if Conditions have been imposed.
10(7) Notwithstanding the foregoing, this Agreement may be terminated by the Vendor if the
Consent is not final and binding or if any Conditions which have been imposed have not
been satisfied within one hundred and eighty (180) days after the Date of Acceptance of
this Agreement by the Board of Directors of ORC (the "Initial Period"). If the Consent is
not final and binding or if any Conditions imposed have not been satisfied by such date,
the Vendor may, at any time up to ten (10) days following the expiration of the Initial
Period or each extended time period, as the case may be, extend the time on one or more
occasions to obtain the Consent in final and binding form or to satisfy any Conditions
imposed, as the case may be, for further periods of time chosen by the Vendor upon
notice to the Purchaser provided that the total number of days of extension do not exceed
three hundred and sixty-five (365) days after the Date of Acceptance (the “Extended
Period”). If the Consent is not final and binding or if all Conditions have not been
satisfied by the expiration of the Extended Period, this Agreement shall automatically be
terminated and neither party shall have any further obligation to the other respecting this
Agreement other than the Purchaser’s obligations pursuant to Section 5(3) of this
Agreement.
10(8) Evidence of Consent shall be in the form of:
Committee for the Municipality authorizing the Consent, which is not subject to
further appeal; or
(c) a final Order of the Ontario Municipal Board (if necessary or sought) confirming
approval of the Consent, if one has been obtained, which is not subject to further
appeal.
furnishes the Vendor in writing with a valid objection to title which the Vendor is
unwilling or unable to remove, remedy and satisfy and which the Purchaser will not
waive, this Agreement shall be terminated notwithstanding any intermediate acts or
negotiations with respect to such objection and the Vendor shall not be liable for any
13(3) In the event of any assignment of this Agreement to an affiliate or a third party, such
Assignee shall provide a similar representation, warranty and Statutory Declaration as
required of the Purchaser in section 9(1).
