Karel Boone was appointed chairman of the Board in 2008, after being appointed to the Board in 2000.<br />

A commercial engineer (K.U.Leuven, Belgium), Karel Boone started in 1966 as an executive member<br />

of the board of directors of Lotus Bakeries S.A. (now Lotus Biscuits S.A.) and became chief executive<br />

officer in 1974 when Lotus Biscuits merged with Corona. He was also Executive Chairman of the<br />

Board of Directors from 1992 until 2006 when he became non-Executive Chairman of the Board. He is<br />

a member of the following boards of directors: Axa Belgium S.A., Banque Degroof S.A., Compagnie<br />

du Bois Sauvage S.A. and Vendemoortele S.A. (chairman). He is a member of the Corporate<br />

Governance Committee for Belgian listed companies. He is also active in professional organisations; he<br />

has been chairman of the Federation of Belgian Companies.<br />

Evelyn du Monceau has been a member of the Board since 1984 and has been elected vice-chairperson<br />

of the Board since 2006. She has also acted as chairperson of the Remuneration and Nominations<br />

Committee since 2006. Evelyn du Monceau graduated in Applied Economics from the Catholic<br />

University of Louvain UCL in Belgium. She then followed courses in International Relations at the<br />

Kennedy School of Harvard University (U.S.) and in Soil Science, Animal Science and Zoology at the<br />

Agricultural and Technical College of Farmingdale (U.S.). Evelyn du Monceau is a member of the<br />

board of directors of Financière de Tubize S.A. and of Solvac S.A.<br />

Roch Doliveux is a doctor in Veterinarian Medicine from Maisons-Alfort (France), and also Laureate of<br />

the Faculty of Medicine, Créteil, and holds an MBA from INSEAD (France) with distinction. He joined<br />

the pharmaceutical industry early, first at Ciba-Geigy (now Novartis) in Switzerland, in Peru and in<br />

France, and then at Schering-Plough Corporation in various positions, including President of Schering-<br />

Plough International. Then, Roch Doliveux joined the Pierre Fabre group a Chief Executive Officer of<br />

Pierre Fabre Pharmaceuticals. Roch Doliveux joined <strong>UCB</strong> in October 2003 as Director General of the<br />

Pharma Sector and Deputy Chairman of the Executive Committee. He became CEO and Chairman of<br />

the Executive Committee of <strong>UCB</strong> Group on January 1, 2005. He is a member of the Board of Directors<br />

of <strong>UCB</strong>, as well as a member of the Board of the European Federation of Pharmaceutical Association<br />

(EFPIA), of the INSEAD International Council, the Science & Business Innovation Board, the Caring<br />

Entrepreneurship Fund (King Baudouin Foundation) and WILL (Walloon Institute for Life Lead<br />

Sciences).<br />

Prince Lorenz of Belgium was appointed to the Board in 2001. Prince Lorenz of Belgium has studied<br />

economics in Switzerland and Austria. After one and a half years spent in various banks in London,<br />

Paris and Rome, he started a career in 1983 at E. Gutzwiller & Cie, Banquiers in Basle and later became<br />

the company’s managing partner, a position he continues to hold. In 1993, he spent one year as<br />

Consultant for Swift S.C.CEO and from 1995 he became an advisor to the board of directors of <strong>BNP</strong><br />

<strong>Paribas</strong> in Paris. He is a member of various boards of directors in Europe.<br />

Armand de Decker has been a member of the Board of the Issuer since 2008. Armand de Decker holds<br />

a Master of Law Degree from the University of Brussels (ULB, Belgium) and started his career as a<br />

lawyer. In parallel, from 1979, he pursued a political career within the Belgian Liberal Party. In 1981,<br />

he was elected to the Belgian Chamber of Representatives where he served until 1995. In 1995, he was<br />

elected to the Belgian Senate, and re-elected in 1999, 2003 and 2007. He served as President of the<br />

Council of the Brussels-Capital Region from 1995 to 1999, and from 1999 to 2004 he was President of<br />

the Senate. From 20 July 2004 until 12 July 2007, he served as the Minister of International<br />
