a year oF great Joy,<br />

some concern and<br />

Important steps<br />

It has been a rather schizophrenic year: both good and bad.<br />

bad because of the sovereign debt crisis and its causes such as<br />

the abject failure on the part of politicians to comply with<br />

binding regulations, a serious consequence of which has been<br />

a major loss of confidence in the key individuals who share<br />

responsibility. It is a truism to say that trust in the future is<br />

what most keeps the economic engine running smoothly.<br />

but – and this is, if anything, even more important for us – the<br />

financial year was once again a very good one for walter meier.<br />

In a nutshell, this was thanks to a sustained period of favorable<br />

conditions and, in particular, a combination of old and new<br />

strengths in our business operations. both our activities in<br />

climate technology and especially in manufacturing technology<br />

contributed to what were outstanding results overall.<br />

Humidification<br />

our position as the global market leader in humidification<br />

was strengthened considerably by three acquisitions in the uK<br />

and denmark. a range of strategic measures have been initia<br />

ted in this area geared toward solidifying our leading position<br />

even further. every year, the excellent performance of our<br />

north american business in particular should be highlighted.<br />

as of January 1, 2012, Humidification operations will be run<br />

under the leading brand name of condair.<br />

Climate<br />

climate switzerland, the largest of walter meier’s business<br />

areas, was hit by a slight economic slowdown and turmoil on<br />

the currency markets, but it nonetheless succeeded in posting<br />

gratifying results. activities in germany stood out once again,<br />

while austria experienced something of a difficult period.<br />

tools<br />

global tools activities painted a mixed picture. although<br />

business stagnated in switzerland and especially France,<br />

certain international activities, such as in russia, were<br />

pleasing. the us business, by far the largest market, im-<br />

pressed once again, delivering outstanding performance<br />

with its Jet, powermatic and wilton brands.<br />

machining solutions<br />

special praise should be reserved for our core business of<br />

machining solutions. In spite of the major problems facing<br />

switzerland as an industrial center, significant improvements<br />

in performance on what had already been a solid previous<br />

year were recorded, bolstered by our position as the leading<br />

supplier to the watch industry and medical technology.<br />

Figures<br />

contrary to all expectations in an ever more grueling en vi ro nment,<br />

all key performance figures with the exception of sales<br />

were up on those achieved in what had already been a very<br />

positive 2010! most notably, ebIt (cHF 56.5 million) and net<br />

profit (cHF 51.9 million) increased once again in both absolute<br />

and relative terms – despite upheavals on the currency<br />

markets. working capital was kept under control and free<br />

cash flow was positive.<br />

last but not least, and particularly important in these uncertain<br />

times: the balance sheet is healthier than ever, with<br />

no net liabilities – quite the contrary, in fact! the equity ratio<br />

was also very sound, at 55.6 percent.<br />

the bottom line: earnings per share amounted to a healthy<br />

cHF 25.02.


strategy<br />

the board of directors focused once again on corporate<br />

strategy. It became clear that it has become very difficult<br />

to kick-start the engine of growth against an increasingly<br />

strong headwind. For this reason, priority was placed on<br />

many individual strategies, particularly in areas in which<br />

walter meier is a manufacturer.<br />

organization<br />

the ordinary <strong>annual</strong> shareholders’ meeting re-elected<br />

the members of the board of directors reto e. meier,<br />

Heinz roth and Kurt schiltknecht for a further three-year<br />

term. oliver zimmermann has been appointed to head<br />

up the group division Humidification and will take up his<br />

post on march 1, 2012.<br />

shareholders<br />

the board of directors is to propose to the <strong>annual</strong> shareholders’<br />

meeting that a profit payment of cHF 12.50 be made.<br />

outlook<br />

next year, the 75th in our company’s history, could also well<br />

be described as schizophrenic. on the one hand, the economic<br />

environment will darken even more in the wake of the sove reign<br />

debt crisis; on the other, however, several of our operations<br />

promise considerable potential. although discretion<br />

is the better part of valor, let me venture one prediction: I think<br />

we can expect a healthy financial year.<br />

Farewell<br />

shortly before the end of the year, I transferred my majority<br />

shareholding in walter meier, including voting rights, to<br />

my son silvan g.-r. meier, and I also gave my daughter, anja<br />

egger-meier, a significant package of shares in the company.<br />

I am therefore writing and signing this letter by myself.<br />

my son has been with the company for five years as ceo.<br />

For a long time now he has helped shape our company, and<br />

I firmly believe that taking this step will enable walter meier<br />

to continue to enjoy a productive future and will ensure<br />

continuity. I shall be resigning as chairman of the board of<br />

directors at the next <strong>annual</strong> shareholders’ meeting – and<br />

this after forty years as an entrepreneur. please allow me two<br />

emotional thoughts. First of all, it is by no means easy to walk<br />

away from “my” company (“partir c’est toujours mourir un<br />

peu”). second, and above all, I would like to extend my most<br />

sincere thanks to everyone who at whatever time accompanied<br />

me on my long journey – indeed, who made it possible in<br />

the first place: colleagues, customers, members of the board<br />

of directors, shareholders, suppliers, bankers, journalists and<br />

many more people besides. once again, thank you!<br />

dr. reto e. meier is the founder of the walter meier group, of<br />

which he was chairman and ceo until 1989. since then he<br />

has been non executive chairman of the board of directors.<br />

He is also an Honorary member of the board of the germanswiss<br />

chamber of commerce. during his career, the doctor of<br />

economics was chairman of the board of directors of a mountain<br />

railway group as well as a member of the board of directors<br />

of an industrial group and a bank. He was, among other things,<br />

a board member of the swiss association of employers,<br />

the zurich chamber of commerce, the zurich association of<br />

employ er organizations and the swiss-Japanese chamber<br />

of commerce. reto e. meier presided over the zurich association<br />

of commercial companies and was vice chairman of the<br />

swiss technorama science center & association for technology<br />

and business in winterthur.<br />

Werner kummer has been an independent, non executive<br />

member of the board of directors since 2003.<br />

Holder of an engineering degree from etH zurich, he is an<br />

independent business consultant, including senior advisor<br />

for m&a at schindler management ag, and is a member of<br />

various boards of directors within the schindler group.<br />

werner Kummer is also chairman of the board of directors<br />

of gebrüder meier ag, a member of the board of directors<br />

and chairman of the audit committee of bâloise Holding and<br />

a board member of the zurich chamber of commerce. He<br />

was previously a partner with braxton associates management<br />

consultants, ceo of Forbo Holding, executive vice president<br />

at schindler with responsibility for asia/pacific, and he held<br />

various management positions at pelikan and Feintool.<br />

prof. dr. kurt schiltknecht was elected vice chairman in 1990<br />

as an independent, non executive member.<br />

He is also chairman of the board of directors of banca arner<br />

s.a., a member of the boards of directors of the Klosterfrau<br />

Healthcare group and patinex Holding. a professor of economics,<br />

he was previously chairman of the board of directors<br />

of Intershop, member of the bank council and director of the<br />

swiss national bank, chairman of the board of bank leu and<br />

spokesman for the executive board of nord finanzbank. He<br />

has undertaken various research projects at the swiss Federal<br />

Institute of technology (etH) and the organisation for economic<br />

cooperation and development (oecd).<br />

Heinz roth has been an independent non executive member<br />

of the board of directors since 2005 and is also the chairman<br />

of the audit committee.<br />

Heinz roth is also the chairman of the audit committee of<br />

meyer burger technology ag, where he is a member of the<br />

board of directors. He is also a member of the board of<br />

directors of Koras ag (blaser swisslube). as a banking specialist,<br />

he advises companies in the financial sector. previously,<br />

Heinz roth was a member of the board of directors of bank<br />

vontobel and he held various management positions – both in<br />

switzerland and abroad – for the credit suisse group, including<br />

ceo of credit suisse private banking switzerland and as a<br />

member of management of credit suisse Financial services.

paul Witschi was appointed as an independent, non executive<br />

member of the board of directors in 2007.<br />

He is also chairman of the board of directors of arbonia-<br />

Forster-Holding, a member of the board of directors of reichle &<br />

de-massari and a member of the supervisory board of the<br />

vaillant group. as a member of group management as well as<br />

Head of marketing and sales at geberit, he was responsible<br />

among other things for the internationalization of the geberit<br />

group. previously, paul witschi was Head of export, subsequently<br />

Head of group marketing and an executive vice presi-<br />

dent of luwa air engineering.<br />

as chief executive officer, silvan G.-r meier has overall<br />

responsibility for the walter meier group and answers to the<br />

board of directors. He also had direct responsibility for the<br />

group division Humidification in <strong>2011</strong>. His work focuses on<br />

strategy development and innovation, representing the group<br />

and further developing its organizational structure. the<br />

identification and evaluation of possible acquisitions also fall<br />

within silvan g.-r. meier’s immediate area of responsibility.<br />

In addition, Human resources, corporate communications<br />

and brand management <strong>report</strong> directly to him.<br />

as chief Financial officer, Jochen nutz heads the Finance &<br />

controlling corporate center. In addition, Information technol-<br />

ogy, contract management and Investor relations <strong>report</strong><br />

directly to him. as a member of group management, he has<br />

extensive responsibility for managing operations. He is not<br />

only responsible for controlling day-to-day operations but also<br />

for devising any corrective actions that might be necessary.<br />

His operational work also focuses on the ongoing optimization<br />

of process organization with the aim of achieving operational<br />

excellence in all processes. His further duties include the<br />

integration of newly acquired companies.

2006 continuity of the group is ensured when silvan g.-r. meier<br />

joins walter meier and thus represents the third generation<br />

of family entrepreneurs. at the same time, it is the starting<br />

signal for a strategic realignment and revitalization.<br />

2007 the group and its business units present a unified<br />

identity under walter meier. In parallel with this, axair Kobra,<br />

vescal and oertli service merge to become the leading<br />

swiss provider in the area of indoor climate.<br />

2008 the acquisition of tosa strengthens the range of<br />

manufacturing technology products and expands specialty<br />

distribution channels in switzerland and France.<br />

2009 tK 3000, the leading company for ventilation hygiene in<br />

switzerland, joins walter meier. the company’s market<br />

presence in climate technology is expanded into austria with<br />

the acquisition of eichler.<br />

2010 the walter meier headquarters building at schwerzenbach<br />

near zurich is ceremoniously opened following a program<br />

to make it more energy-efficient. over a period of<br />

15 months, the building was equipped with the latest heat<br />

pumps and solar technology, cool ceiling systems and a<br />

controlled supply of fresh air. It has now become a benchmark<br />

for an integrated total solution offering an indoor climate<br />

that is both energy-efficient and comfortable at the same<br />

time. It was possible to reduce energy consumption for<br />

heating by over 50 percent and co2 emissions even by more<br />

than 70 percent.<br />

February walter meier expands its presence in the humidification<br />

market, moving into denmark with the acquisition of<br />

anderberg Fugtstyring, a distribution partner of several de -<br />

cades’ standing.<br />

april the acquisition of Js Humidifiers, the market leader in<br />

the uK, enables walter meier to both further strengthen its<br />

position as global market leader in humidification and tap into<br />

the Indian market. Js Humidifiers also offers an extremely<br />

attractive range of energy-efficient evaporative humidification<br />

and cooling products.<br />

september ml system becomes the latest commercial and<br />

industrial humidification company to join walter meier.<br />

ml system is the perfect complement to existing activities in<br />

direct room humidification, opening up business oppor tunities<br />

medina is the second most important<br />

pilgrimage site in Islam and is home to<br />

one of the largest mosques in the world.<br />

millions of muslims make an <strong>annual</strong><br />

pilgrimage to the saudi city, which is hot<br />

and dry all year round. In the sun, the<br />

temperature often rises to 50 degrees<br />

celsius. In order to provide visitors to the<br />

15-hectare outdoor site with greater<br />

comfort, large umbrellas have been<br />

erected to provide protection from the<br />

sun. there are a total of 250 sun umbrellas,<br />

with each one providing shade<br />

for an area of around 600 m². during a<br />

visit to the usa, the King of saudi arabia<br />

saw an outdoor air conditioning system<br />

that vaporized water, thereby cooling the<br />

air. the King was so enthusiastic about<br />

this technology that he wanted to install<br />

a similar system under the sun umbrellas<br />

in medina.<br />

a solution for extreme conditions<br />

the supplier of the large umbrellas first<br />

attempted to develop a suitable system<br />

himself. when this proved unsuccessful,<br />

he turned to ml system, a danish<br />

business unit of walter meier. within<br />

just a few months, the supply contract<br />

had been signed. ml system then<br />

developed the special parts, including<br />

a special pump station that could<br />

be integrated into the enormous sun<br />

umbrellas. these water pumps are<br />

this results in a pleasant and<br />

appreciable drop in temperature<br />

of up to ten degrees celsius<br />

across this large site.<br />

installed at a height of six meters<br />

directly below the light fixtures. In addition<br />

to the pumps, ml system also<br />

supplied the spray elements that<br />

are installed on the ventilators and<br />

discharge vaporized water.<br />

two of the biggest challenges were<br />

the requirement for an extremely low<br />

noise level and the limited space<br />

available for installing the water pumps.<br />

Further challenges included the extremely<br />

high ambient temperatures<br />

and the exacting hygienic requirements<br />

for the system. the entire system is<br />

designed for operation in ambient<br />

temperatures up to 60 degrees celsius.<br />

because only muslims may access the<br />

prayer site, ml system provided training<br />

for the installation mechanics so they<br />

themselves could manage both the<br />

installation of the pump stations and<br />

the necessary hygienic control for the<br />

entire system. when all the systems<br />

are in operation, 50 000 liters of water<br />

per hour can be vaporized. this results<br />

in a pleasant and appreciable drop in<br />

temperature of up to ten degrees across<br />

this large site.<br />

once the prototypes had been approved<br />

at the end of 2010, all 250 pump<br />

stations were manufactured in spring<br />

<strong>2011</strong>. the installation was completed<br />

in august <strong>2011</strong> and, since then, pilgrims<br />

to the site have been enjoying cooler<br />

air temperatures thanks to the biggest<br />

outdoor air conditioning system in<br />

the world.<br />

the solar thermal energy industry with an<br />

in-house development: an optimized<br />

collector circuit uses solar energy even<br />

more efficiently and extends<br />

the system’s service life.<br />

Solar Heat<br />

Solar systems have meanwhile achieved<br />

considerable market significance in<br />

europe. until now, though, a number of<br />

weaknesses have prevented a standard<br />

system from dominating: changing<br />

weather patterns, differences between<br />

day and night temperatures plus the<br />

design of buildings all affect the reliability<br />

and operational safety of this<br />

renewable energy source.<br />

the first remedy to the problem was the<br />

“drain-back” principle. Here the primary<br />

pump is switched off when there is a<br />

threat of overheating in summer, when<br />

there is insufficient solar radiation<br />

during rain, when people are away on<br />

vacation or when the thermal storage<br />

system is full. the carrier fluid then<br />

flows out of the collectors and back into<br />

the drain-back container, and it is again<br />

pumped into the solar collectors only<br />

when solar heat can be used once again.<br />

this significantly reduces the thermal<br />

load on all parts of the system and<br />

considerably prolongs service life.<br />

With a revolutionary in-house development,<br />

in making a major improvement to<br />

conventional drain-back systems. the<br />

air is actively blocked off, thus preventing<br />

collector, which has until now had a<br />

negative impact on system performance.<br />

reliability, is highly efficient and so<br />

the use of solar energy<br />

in summer, every lake or swimming pool shows us how it works: intensive solar radiation heats<br />

up the water. this extremely simple physical phenomenon forms the basis for the unlimited<br />

use of solar energy that is available free of charge. the principle is known as solar thermal energy<br />

and it can be widely used at the cutting edge of technology – it is extremely environmentally<br />

friendly and also very attractive from an economic point of view. solar thermal systems convert<br />

sunlight into heat, which is transmitted to a carrier fluid with the help of collectors and is<br />

retained in a thermal storage system. this heat can be used, for example, for heating a building<br />

Machining Solutions achieved the largest increase in sales<br />

by some margin, at over 22 percent, chiefly due to a similarly<br />

large and unexpectedly rapid recovery in the Swiss metalworking<br />

industry.<br />

eBit increased by 10.6 percent year-on-year to CHF 56.5<br />

million, corresponding to a further improvement in the eBit<br />

margin from 7.9 percent to 8.8 percent. all Group Divisions<br />

contributed to this pleasing growth in the operating result,<br />

with the Group Division Machining Solutions enjoying<br />

the most marked improvement.<br />

net income amounted to CHF 51.9 million, up from CHF 41.2<br />

million in the previous year. this increase is mainly due to<br />

growth in the operating result. in addition, the net financial<br />

result improved significantly over the past financial year, and<br />

the share in profit of associated companies also increased.<br />

With the continuing positive growth in earnings enjoyed by<br />

the Group Division tools, more use can now be made of its<br />

accrued loss carryforwards, allowing the tax rate to be reduced<br />

to an extremely low 10.0 percent. Following the destruction<br />

of 108 800 -a- registered shares from the now-completed<br />

share buyback program, profit per share increased sharply<br />

year-on-year from CHF 19.09 to CHF 25.02.<br />

on the balance sheet date, total assets had increased from<br />

CHF 320.6 million to CHF 355.8 million, primarily due to the<br />

increase in cash and cash equivalents as well as the acquisition<br />

of new business units and strategic investments. at the<br />

end of <strong>2011</strong>, the equity ratio improved once again to 55.6<br />

percent (previous year: 53.2 percent). the profit payments and<br />

the repurchase of treasury shares on the second trading line,<br />

which was completed ahead of schedule on april 28, <strong>2011</strong>,<br />

had a significant impact on the equity level.<br />

net liquidity increased considerably yet again in spite of the<br />

dividend payment, the capital reduction and the financing<br />

required for acquisitions, amounting to CHF 60.7 million on<br />

December 31, <strong>2011</strong> (previous year: CHF 45.6 million). these<br />

funds now form a sound basis for accelerated growth in<br />

strategic business areas. at the end of the year, immaterial<br />

financial liabilities were at a similarly low level as in 2010.<br />

Working capital was maintained roughly at the previous year’s<br />

level, mirroring the sales trend in the <strong>2011</strong> financial year.<br />

at CHF 43.6 million, free cash flow was up slightly on the<br />

previous year (CHF 41.0 million). the marked increase in the<br />

outflows of funds for investments in the Group Divisions<br />

Humidification and Climate was more than offset by greater<br />

cash inflows from operating activities. Funds tied up in<br />

operating assets were subject only to minor changes.<br />

the number of employees increased by 78 in comparison with<br />

the end of 2010 to reach 1 627 (full-time equivalents), mainly<br />

due to acquisitions.

Humidification<br />

the Group Division Humidification saw some significant<br />

changes with its acquisition of JS Humidifiers (uK), Ml System<br />

(Denmark) and anderberg Fugtstyring (Denmark) as well as<br />

its shift in focus toward the French market. overall, the Group<br />

Division’s sales exceeded those achieved in the previous year,<br />

buoyed by the various acquisitions (increase of CHF 1.7 million,<br />

or 1.7 percent). excluding the newly acquired business units,<br />

sales – which are generated almost entirely abroad – had a<br />

significantly more negative impact on the consolidated<br />

financial statements than last year due to the strong Swiss<br />

franc. adjusted for currency and consolidation effects, global<br />

sales of humidification equipment and systems fell by 0.9<br />

percent in organic terms in the <strong>2011</strong> financial year. this<br />

decline is mainly due to the highly negative currency effects<br />

that hit the export business of Condair ltd., the Group<br />

Division’s largest company, which is based in pfäffikon in<br />

the Canton of Schwyz (Switzerland).<br />

Climate<br />

With the exception of the Swiss domestic market, all companies<br />

in the Group Division Climate increased year-on-year sales<br />

in local currencies. Besides the weakness of the euro, the<br />

Group Division’s marked decline in sales (–3.4 percent compared<br />

to the previous year) mainly resulted from the transfer<br />

of its radiant cooling business line to MWH Barcol-air and<br />

the sale of its uK air-conditioning system retail business. the<br />

weak euro had an impact on the currency translation of<br />

the German and austrian business units’ sales figures and<br />

resulted in significant price concessions that had to be<br />

absorbed by the Swiss retail business. adjusted for currency<br />

and consolidation effects, the Group Division Climate posted<br />

organic growth of 2.9 percent.<br />

tools<br />

the Group Division tools generates some two-thirds of its<br />

revenues in north america, meaning that currency translation<br />

effects had a significant impact on sales, which fell by CHF 8.1<br />

million (5.0 percent) in terms of the Swiss franc year-on-year.<br />

Viewed in local currencies, the uS manual wood- and metalworking<br />

business in particular made substantial progress<br />

on its growth path. adjusted for currency effects, the Group<br />

Division generated organic sales growth of 7.4 percent.<br />

machining solutions<br />

During the crisis years, the Swiss core business, which consists<br />

of total solutions for precision machining, was hit by the<br />

sharpest decline in sales by a large margin when measured<br />

across all Group Divisions. in contrast, it enjoyed an impressive<br />

trend reversal last year, achieving sales growth of 22.2 percent.<br />

Despite this success, the sales figures posted by Machining<br />

Solutions still lagged clearly behind the record-breaking years<br />

of 2007 and 2008.<br />

outlook<br />

provided that the general economic situation in the key<br />

markets of Switzerland, Germany and north america does<br />

not deteriorate significantly in comparison with February<br />

2012, <strong>Walter</strong> <strong>Meier</strong> again expects a low single-digit rise<br />

in organic sales growth for the current year. assuming stable<br />

exchange rates, it should be possible to maintain eBit at<br />

the previous year’s level, although net income may fall slightly<br />

year-on-year due to positive exceptional effects in <strong>2011</strong>.
