On January 28, 2011, TCCL <strong>com</strong>pleted an offering of $748.3 million ($750.0 million US)<br />

principal amount of 1.625% notes for net cash proceeds of $745.9 million. These fixed rate<br />

notes incur interest payments semi-annually on January 28 and July 28, and mature on<br />

January 28, 2014. TCCL may redeem the guaranteed 1.625% notes in whole or in part at any<br />

time and from time to time at the redemption price set forth in the prospectus. In addition,<br />

TCCL may redeem the notes at any time at 100% of the principal amount upon the<br />

occurrence of certain tax events.
