SECTION C – OWNERSHIP<br />
C.1 EARLY AND FLEXIBLE AGREEMENT<br />
Agreement on allocation <strong>of</strong> ownership and access to potential IP between collaborating partners, which is<br />
established be<strong>for</strong>e work starts, reduces uncertainties, promotes trust and protects the rights <strong>of</strong> partners. Partners<br />
should agree who will own the IP and associated IPR as part <strong>of</strong> their up-front collaboration agreement. Partners<br />
should choose ownership arrangements that provide the best environment <strong>for</strong> subsequent commercial exploitation.<br />
Guidelines:<br />
4 Agreement on ownership and access to research outcomes should be established as part <strong>of</strong> the <strong>for</strong>mal<br />
collaboration agreement, be<strong>for</strong>e work starts.<br />
4 Agreement on ownership and access to IP should deal with ownership <strong>of</strong> IPR which are automatic (such as<br />
know-how and copyright) and with ownership <strong>of</strong> rights that are granted (such as patents).<br />
4 Agreement on ownership and access to IP should include a process <strong>for</strong> defining and accessing background IP,<br />
where relevant.<br />
4 Partners should review these arrangements from time to time and in good faith consider amending them<br />
if doing so will improve the environment <strong>for</strong> exploitation. This review mechanism should be included in the<br />
management agreement and governance procedure.<br />
C.2 OWNERSHIP OF PRIOR IP CONTRIBUTED TO COLLABORATIVE RESEARCH<br />
Collaborative research draws on the expertise and resources <strong>of</strong> the partners. Partners should respect the specific<br />
expertise and associated IP <strong>of</strong> their partners. Each partner should retain ownership <strong>of</strong> the IP they bring to the<br />
project (the ‘background IP’), and should grant appropriate access to this background IP to the other partners <strong>for</strong> the<br />
purposes <strong>of</strong> research and teaching, and <strong>for</strong> the commercial exploitation <strong>of</strong> the IP arising from the project. Where a<br />
partner has already granted/agreed to grant, access to that IP to other parties, it should make the other partners<br />
aware <strong>of</strong> any resulting limitations on the access rights to its background IP.
