1. What is <strong>the</strong> purpose <strong>of</strong> <strong>the</strong> new Regime for defence procurement <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>the</strong><br />
<strong>Code</strong> <strong>of</strong> C<strong>on</strong>duct? The purpose is to inject transparency <str<strong>on</strong>g>and</str<strong>on</strong>g> competiti<strong>on</strong> into<br />
defence procurement, an area where, <strong>on</strong> <strong>the</strong> basis <strong>of</strong> <strong>the</strong> applicati<strong>on</strong> <strong>of</strong> Article 296 <strong>of</strong><br />
<strong>the</strong> EC Treaty, a majority <strong>of</strong> defence c<strong>on</strong>tracts are currently exempt from crossborder<br />
competiti<strong>on</strong>. For this a set <strong>of</strong> principles for <strong>the</strong> defence procurement process<br />
are established in <strong>the</strong> <strong>Code</strong> <strong>of</strong> C<strong>on</strong>duct.<br />
2. Why does this matter? No EU country can any l<strong>on</strong>ger sustain a nati<strong>on</strong>al <strong>Defence</strong><br />
Technological <str<strong>on</strong>g>and</str<strong>on</strong>g> Industrial Base (DTIB) to meet all <strong>of</strong> its needs. An open market is<br />
a vital instrument for <strong>the</strong> l<strong>on</strong>g-term competitiveness <str<strong>on</strong>g>and</str<strong>on</strong>g> strength <strong>of</strong> <strong>the</strong> European<br />
DTIB, <str<strong>on</strong>g>and</str<strong>on</strong>g> a fundamental aspect <strong>of</strong> support for <strong>the</strong> European Security <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>Defence</strong><br />
Policy (ESDP).<br />
3. How many EU Member States will be covered by it? Out <strong>of</strong> <strong>the</strong> 24 European<br />
<strong>Defence</strong> Agency (EDA) participating Member States (pMS) (all EU members except<br />
Denmark), 22 have committed to follow <strong>the</strong> Regime/<strong>Code</strong> <strong>of</strong> C<strong>on</strong>duct principles <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
procedures. Spain <str<strong>on</strong>g>and</str<strong>on</strong>g> Hungary may join later.<br />
4. Why is <strong>the</strong>re such a wide c<strong>on</strong>sensus? Ministers <strong>of</strong> <strong>Defence</strong> <strong>of</strong> <strong>the</strong> participating<br />
Member States (pMS) <strong>of</strong> <strong>the</strong> EDA recognised right at <strong>the</strong> beginning <strong>of</strong> <strong>the</strong> Agency’s<br />
activities <strong>the</strong> benefits <strong>of</strong> harm<strong>on</strong>ising defence procurement procedures with a view to<br />
reducing <strong>the</strong> fragmentati<strong>on</strong> <strong>of</strong> European markets <str<strong>on</strong>g>and</str<strong>on</strong>g> thus encouraging <strong>the</strong> creati<strong>on</strong><br />
<strong>of</strong> an internati<strong>on</strong>ally competitive European <strong>Defence</strong> Equipment Market (EDEM). The<br />
Agency has negotiated <strong>the</strong> regime/<strong>Code</strong> <strong>of</strong> C<strong>on</strong>duct in a very transparent <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
interactive way, taking into account <strong>the</strong> c<strong>on</strong>cerns expressed not <strong>on</strong>ly by <strong>the</strong> pMS but<br />
also by o<strong>the</strong>r important actors in defence procurement such as <strong>the</strong> defence industry<br />
itself through its associati<strong>on</strong>s.<br />
5. What kind <strong>of</strong> defence c<strong>on</strong>tracts are covered by <strong>the</strong> <strong>Code</strong>? All defence<br />
procurement c<strong>on</strong>tracts issued by <strong>the</strong> subscribing Member States -- except those<br />
specifically excluded from <strong>the</strong> <strong>Code</strong> -- with a value <strong>of</strong> at least <strong>on</strong>e milli<strong>on</strong> Euros<br />
excluding VAT, <str<strong>on</strong>g>and</str<strong>on</strong>g> for which <strong>the</strong> c<strong>on</strong>diti<strong>on</strong>s for <strong>the</strong> applicati<strong>on</strong> <strong>of</strong> Article 296 <strong>of</strong> <strong>the</strong><br />
EC Treaty are met.<br />
6. Is anything excluded from <strong>the</strong> <strong>Code</strong>? Some areas will be excluded from <strong>the</strong><br />
<strong>Code</strong> altoge<strong>the</strong>r: procurement <strong>of</strong> chemical, bacteriological <str<strong>on</strong>g>and</str<strong>on</strong>g> radiological goods <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
services, nuclear weap<strong>on</strong>s <str<strong>on</strong>g>and</str<strong>on</strong>g> nuclear propulsi<strong>on</strong> systems <str<strong>on</strong>g>and</str<strong>on</strong>g> cryptographic<br />
equipment. Subscribing Member States may also choose not to apply <strong>the</strong> <strong>Code</strong>,<br />
excepti<strong>on</strong>ally <str<strong>on</strong>g>and</str<strong>on</strong>g> for obvious reas<strong>on</strong>s, in cases <strong>of</strong> pressing operati<strong>on</strong>al urgency, for<br />
follow-<strong>on</strong> work or supplementary goods <str<strong>on</strong>g>and</str<strong>on</strong>g> services <str<strong>on</strong>g>and</str<strong>on</strong>g> for extraordinary <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
compelling reas<strong>on</strong>s <strong>of</strong> nati<strong>on</strong>al security. In <strong>the</strong>se excepti<strong>on</strong>al cases, an explanati<strong>on</strong><br />
must be provided to <strong>the</strong> EDA, in its capacity as m<strong>on</strong>itor <strong>of</strong> <strong>the</strong> regime.<br />
7. How exactly will procurement c<strong>on</strong>tracts covered by <strong>the</strong> <strong>Code</strong> now work? All<br />
relevant new defence procurement opportunities will be published <strong>on</strong> a single <strong>on</strong>line<br />
portal operated by <strong>the</strong> Agency, <strong>the</strong> Electr<strong>on</strong>ic Bulletin Board. Fair <str<strong>on</strong>g>and</str<strong>on</strong>g> equal<br />
treatment <strong>of</strong> all companies will be assured through evaluati<strong>on</strong> <strong>of</strong> <strong>the</strong> <strong>of</strong>fers <strong>on</strong> <strong>the</strong><br />
basis <strong>of</strong> transparent <str<strong>on</strong>g>and</str<strong>on</strong>g> objective st<str<strong>on</strong>g>and</str<strong>on</strong>g>ards. The fundamental criteri<strong>on</strong> for <strong>the</strong><br />
selecti<strong>on</strong> <strong>of</strong> <strong>the</strong> c<strong>on</strong>tractor will be <strong>the</strong> most ec<strong>on</strong>omically advantageous soluti<strong>on</strong> for a<br />
particular requirement, taking into account, am<strong>on</strong>g o<strong>the</strong>r things, c<strong>on</strong>siderati<strong>on</strong>s such<br />
as costs (both acquisiti<strong>on</strong> <str<strong>on</strong>g>and</str<strong>on</strong>g> life cycle), compliance, quality <str<strong>on</strong>g>and</str<strong>on</strong>g> security <strong>of</strong> supply<br />
<str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>of</strong>fsets.
8. Where will new opportunities be notified? On <strong>the</strong> Agency’s website at<br />
http://www.eda.europa.eu/ebbweb from 00:01 hours <strong>on</strong> 1 July 2006.<br />
9. Who can access it? Any<strong>on</strong>e. But <strong>of</strong> course <strong>the</strong> commitment which subscribing<br />
Member States make to each o<strong>the</strong>r under <strong>the</strong> <strong>Code</strong> applies <strong>on</strong>ly to expressi<strong>on</strong>s <strong>of</strong><br />
interest <str<strong>on</strong>g>and</str<strong>on</strong>g> bids from entities based in each o<strong>the</strong>rs’ territories.<br />
10. Does this mean that n<strong>on</strong>-EU firms will not be able to compete for EU<br />
defence c<strong>on</strong>tracts? There is nothing in <strong>the</strong> regime/<strong>Code</strong> about “European<br />
preference”, or denying access to any third party defence companies. The aim is to<br />
get each Member State to accept bids to satisfy its defence equipment requirements<br />
from o<strong>the</strong>r EU countries, <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>the</strong>n to evaluate <strong>the</strong>m <strong>on</strong> a par with bids from its own<br />
nati<strong>on</strong>al suppliers. Whe<strong>the</strong>r <strong>the</strong> Member State c<strong>on</strong>cerned also wishes to invite any<br />
third party to a competiti<strong>on</strong> will remain entirely a matter for <strong>the</strong> individual Member<br />
State to decide.<br />
11. What role will <strong>the</strong> EDA play in implementing <strong>the</strong> <strong>Code</strong>? The EDA will act as an<br />
instrument <strong>of</strong> <strong>the</strong> subscribing Member States to m<strong>on</strong>itor <strong>the</strong> implementati<strong>on</strong> <strong>of</strong> <strong>the</strong><br />
<strong>Code</strong> <str<strong>on</strong>g>and</str<strong>on</strong>g> to report back to <strong>the</strong> Agency Steering Board <strong>on</strong> its operati<strong>on</strong> <str<strong>on</strong>g>and</str<strong>on</strong>g> make<br />
proposals for improvements.<br />
12. If <strong>the</strong> <strong>Code</strong> is not legally-binding, why will it have any effect? The <strong>Code</strong> <strong>of</strong><br />
C<strong>on</strong>duct will operate <strong>on</strong> <strong>the</strong> basis <strong>of</strong> sovereign Member States voluntarily choosing to<br />
align <strong>the</strong>ir policies <str<strong>on</strong>g>and</str<strong>on</strong>g> practices, <strong>on</strong> a reciprocal basis. Regular reports by <strong>the</strong> EDA<br />
will help to show whe<strong>the</strong>r <strong>the</strong> <strong>Code</strong> is being interpreted <str<strong>on</strong>g>and</str<strong>on</strong>g> implemented <strong>on</strong> a<br />
uniform basis <str<strong>on</strong>g>and</str<strong>on</strong>g>, if not, why not. That will allow for “peer pressure” to be exercised.<br />
13. How is this related to <strong>the</strong> work <strong>of</strong> <strong>the</strong> European Commissi<strong>on</strong> <strong>on</strong> <strong>the</strong> defence<br />
equipment market? Right from <strong>the</strong> beginning, <strong>the</strong> Steering Board <strong>of</strong> <strong>the</strong> EDA<br />
welcomed <strong>the</strong> important <str<strong>on</strong>g>and</str<strong>on</strong>g> timely initiative <strong>of</strong> <strong>the</strong> European Commissi<strong>on</strong> <strong>of</strong> issuing<br />
a Green Paper <strong>on</strong> defence procurement, which identifies a number <strong>of</strong> important<br />
reas<strong>on</strong>s for <strong>the</strong> creati<strong>on</strong> <strong>of</strong> a European <strong>Defence</strong> Equipment Market (EDEM) <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
illustrates <strong>the</strong> limits <strong>of</strong> <strong>the</strong> existing legal framework.<br />
The Agency is following closely <strong>the</strong> work <strong>of</strong> <strong>the</strong> Commissi<strong>on</strong> <strong>on</strong> an Interpretative<br />
Communicati<strong>on</strong>, which might help clarify in what circumstances <strong>the</strong> Commissi<strong>on</strong><br />
would c<strong>on</strong>sider Article 296 <strong>of</strong> <strong>the</strong> TEC to be legitimately invoked, <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>on</strong> <strong>the</strong> <strong>on</strong>going<br />
impact assessment studies, with a view to a possible Directive as a binding<br />
Community instrument. Put simply, <strong>the</strong> Agency’s <strong>Code</strong> in <strong>the</strong> Article 296 area,<br />
without <strong>the</strong> Commissi<strong>on</strong>’s work relating to <strong>the</strong> n<strong>on</strong>-Article 296 procurement sector.<br />
So <strong>the</strong> two efforts are complementary.<br />
14. How can governments be sure that supplies are secure if c<strong>on</strong>tracts are w<strong>on</strong><br />
by companies in o<strong>the</strong>r EU Member States? The <strong>Code</strong> includes within its key<br />
principles <strong>the</strong> idea <strong>of</strong> mutual support: in return for <strong>the</strong> privilege <strong>of</strong> improved<br />
opportunities to sell into each o<strong>the</strong>rs’ defence markets; <strong>the</strong>re is a reciprocal<br />
obligati<strong>on</strong> to do everything possible, c<strong>on</strong>sistent with nati<strong>on</strong>al legislati<strong>on</strong> <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
internati<strong>on</strong>al obligati<strong>on</strong>s, to ensure, assist <str<strong>on</strong>g>and</str<strong>on</strong>g> expedite each o<strong>the</strong>rs’ c<strong>on</strong>tracted<br />
defence requirements. The full effective operati<strong>on</strong> <strong>of</strong> <strong>the</strong> regime will depend <strong>on</strong><br />
str<strong>on</strong>g mutual c<strong>on</strong>fidence <str<strong>on</strong>g>and</str<strong>on</strong>g> interdependence <str<strong>on</strong>g>and</str<strong>on</strong>g> each government will work to<br />
improve <strong>the</strong> predictability <str<strong>on</strong>g>and</str<strong>on</strong>g> dependability <strong>of</strong> its regulati<strong>on</strong>s <str<strong>on</strong>g>and</str<strong>on</strong>g> policies.<br />
15. To what extent are <strong>the</strong> defence industries welcoming this initiative?<br />
Industry has been generally str<strong>on</strong>gly supportive <strong>Defence</strong> Industries have been<br />
involved in <strong>the</strong> development process <strong>of</strong> <strong>the</strong> Regime to encourage competiti<strong>on</strong> in <strong>the</strong><br />
defence procurement from <strong>the</strong> outset. Through <strong>the</strong> Aerospace <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>Defence</strong><br />
Industries Associati<strong>on</strong> (ASD) <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>the</strong> Nati<strong>on</strong>al <strong>Defence</strong> Industrial Associati<strong>on</strong>s,<br />
industry has participated in meetings <str<strong>on</strong>g>and</str<strong>on</strong>g> workshops with <strong>the</strong> EDA. In particular, ASD<br />
has been directly involved in <strong>the</strong> drafting <strong>of</strong> <strong>on</strong>e <strong>of</strong> <strong>the</strong> operati<strong>on</strong>al elements <strong>of</strong> <strong>the</strong><br />
Regime, <strong>the</strong> <strong>Code</strong> <strong>of</strong> Best Practice in <strong>the</strong> Supply Chain (CoBPSC). <strong>Defence</strong> Industries<br />
have been <strong>the</strong>refore fully involved <str<strong>on</strong>g>and</str<strong>on</strong>g> have always supported <strong>the</strong> target <strong>of</strong><br />
introducing more competiti<strong>on</strong> to <strong>the</strong> defence market in Europe.
16. The role <strong>of</strong> small <str<strong>on</strong>g>and</str<strong>on</strong>g> medium c<strong>on</strong>tractors is highlighted with a specific<br />
attenti<strong>on</strong>. Why? The <strong>Code</strong> recognises, as part <strong>of</strong> <strong>the</strong> key principle <strong>of</strong> mutual benefit,<br />
that <strong>the</strong> regime must exp<str<strong>on</strong>g>and</str<strong>on</strong>g> opportunities for Small <str<strong>on</strong>g>and</str<strong>on</strong>g> Medium Enterprises (SMEs)<br />
from across Europe to sell into a c<strong>on</strong>tinental-scale market. In order to ensure that fair<br />
competiti<strong>on</strong> <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>the</strong> benefits <strong>of</strong> <strong>the</strong> regime are driven down <strong>the</strong> supply chain, a <strong>Code</strong><br />
<strong>of</strong> Best Practice in <strong>the</strong> Supply Chain (CoBPSC) has been developed <str<strong>on</strong>g>and</str<strong>on</strong>g> agreed with<br />
ASD for adopti<strong>on</strong> at <strong>the</strong> same time as implementati<strong>on</strong> <strong>of</strong> <strong>the</strong> Regime <str<strong>on</strong>g>and</str<strong>on</strong>g> as an<br />
integral part <strong>of</strong> it. The CoBPSC will be regarded as complementary to any similar code<br />
that may apply at nati<strong>on</strong>al level.<br />
17. Will <strong>the</strong> Regime change over time? The <strong>Code</strong> <strong>of</strong> C<strong>on</strong>duct recognises that mutual<br />
transparency <str<strong>on</strong>g>and</str<strong>on</strong>g> accountability will support over time <strong>the</strong> growth <strong>of</strong> c<strong>on</strong>fidence <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
<strong>the</strong> ever-more effective operati<strong>on</strong> <strong>of</strong> <strong>the</strong> regime. Through <strong>the</strong> m<strong>on</strong>itoring role <strong>of</strong> <strong>the</strong><br />
Agency it will be possible to identify improvements to <strong>the</strong> initial arrangements <str<strong>on</strong>g>and</str<strong>on</strong>g> to<br />
c<strong>on</strong>sider adapting <str<strong>on</strong>g>and</str<strong>on</strong>g> exp<str<strong>on</strong>g>and</str<strong>on</strong>g>ing o<strong>the</strong>r areas <strong>of</strong> <strong>the</strong> regime. The subscribing Member<br />
States have agreed to pursue progressively closer alignment <strong>of</strong> policies <str<strong>on</strong>g>and</str<strong>on</strong>g> practices<br />
over time <str<strong>on</strong>g>and</str<strong>on</strong>g> to keep <strong>the</strong> operati<strong>on</strong> <strong>of</strong> <strong>the</strong> regime/CoC under c<strong>on</strong>tinuous review.<br />
18. What are <strong>the</strong> next steps <strong>on</strong> <strong>the</strong> Agency’s agenda? There are additi<strong>on</strong>al work<br />
str<str<strong>on</strong>g>and</str<strong>on</strong>g>s associated with <strong>the</strong> Regime. The Steering Board has directed <strong>the</strong> Agency to<br />
work fur<strong>the</strong>r with Member States <str<strong>on</strong>g>and</str<strong>on</strong>g> o<strong>the</strong>r stakeholders to keep <strong>the</strong> operati<strong>on</strong> <strong>of</strong> <strong>the</strong><br />
regime under c<strong>on</strong>tinuous review. In particular, <strong>the</strong> Agency has been tasked to work<br />
in <strong>the</strong> areas <strong>of</strong> Security <strong>of</strong> Supply, comm<strong>on</strong> minimum st<str<strong>on</strong>g>and</str<strong>on</strong>g>ards for <strong>the</strong> Security <strong>of</strong><br />
Informati<strong>on</strong> <str<strong>on</strong>g>and</str<strong>on</strong>g> <strong>the</strong> Harm<strong>on</strong>isati<strong>on</strong> <strong>of</strong> Offsets. Specific roadmaps have been agreed<br />
for this work <str<strong>on</strong>g>and</str<strong>on</strong>g> fur<strong>the</strong>r developments are planned for <strong>the</strong> coming m<strong>on</strong>ths <str<strong>on</strong>g>and</str<strong>on</strong>g><br />
bey<strong>on</strong>d.
