INFORMATION REGARDING EMPLOYEE STOCK OPTION SCHEME<br />

ANNUAL REPORT <strong>2011</strong>-12<br />

The details of the options granted under the <strong>HCL</strong> <strong>Infosystems</strong> Limited, Employee Stock Option Scheme 2000 (Scheme<br />

2000) and Employee Stock Based Compensation Plan 2005 (Scheme 2005) as on 30 th June, <strong>2012</strong> are given below:-<br />

Employee Stock Option Scheme 2000 (Scheme 2000)<br />

Options Granted : 30,18,000 which confer a right to get 1 equity share of `10/- each (each equity share of the face value of<br />

`10/- has been sub divided into five equity shares of ` 2/- each).<br />

Pricing Formula : The members of the Company at the Extra Ordinary General Meeting held on 25 th February, 2000 approved<br />

the exercise price as the price which will be not less than 85% of the fair market value of the shares on the<br />

date on which the Board of Directors of the Company approved the Grant of such options to the employees<br />

or such price as the Board of Directors may determine in accordance with the regulations and guidelines<br />

prescribed by the Securities and Exchange Board of India (SEBI). The members of the Company at the<br />

<strong>Annual</strong> General Meting held on 21 st October, 2004, approved the amendment to the pricing formula that<br />

the options granted but not yet exercised by the employees or options that would be granted in future,<br />

would be at the market price on the date of grant. For this purpose the market price as specified in the<br />

amended provisions of SEBI (Employee Stock Option Scheme and Employee Stock Purchase Scheme)<br />

Guidelines, 1999 and the regulations/guidelines prescribed by SEBI or any relevant authority, from time<br />

to time to the extent applicable.<br />

Variance of<br />

The pricing formula has been amended that the options granted but not yet exercised by the employees<br />

terms of options : or options that would be granted in future, would be at the market price. For this purpose, the market<br />

price means the market price as specified in the amended provisions of SEBI (Employee Stock Option<br />

Scheme and Employee Stock Purchase Scheme) Guidelines, 1999 and the regulations/guidelines prescribed<br />

by SEBI or any relevant authority, from time to time to the extent applicable.<br />

Options Granted : 31,96,840 which confer a right to get 5 equity shares of ` 2/- each.<br />

Pricing Formula : As per the resolution passed by members of the Company, through postal ballot, the result whereof was<br />

declared on 13 th June, 2005, the options are granted at the market price on the date of grant or such price<br />

as the Board of Directors may determine in accordance with the Regulations and Guidelines prescribed<br />
