"Asset Category C-2 Investments" means High Yield Securities and Mezzanine Investments which (x) (i)<br />
are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC Test Rating of "BBB" or (y)<br />
Securities (other than securities issued by a Foreign Issuer) which are obligations the repayment of which has been<br />
defeased by other securities which securities are issued by or are fully guaranteed by the U.S. Government.<br />
"Asset Category C-3 Investments" means High Yield Securities and Mezzanine Investments which (i) are<br />
Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC Test Rating of "BBB-."<br />
"Asset Category D-1 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "BB+."<br />
"Asset Category D-2 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "BB."<br />
"Asset Category D-3 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "BB-."<br />
"Asset Category E-1 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "B+."<br />
"Asset Category E-2 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "B."<br />
"Asset Category E-3 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "B-."<br />
"Asset Category F-1 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "CCC+."<br />
"Asset Category F-2 Investments" means (i) High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (a) are Performing, (b) are priced by an Approved Source and (c) have an S&P OC<br />
Test Rating of "CCC" and (ii) Mezzanine Investments which (a) are Performing and (b) are not priced by an<br />
Approved Source.<br />
"Asset Category F-3 Investments" means High Yield Securities (other than convertible Securities) and<br />
Mezzanine Investments which (i) are Performing, (ii) are priced by an Approved Source and (iii) have an S&P OC<br />
Test Rating of "CCC-" or are not rated.<br />
"Asset Category G-1 Investments" means convertible bonds which (i) are Performing, (ii) are priced by<br />
an Approved Source and (iii) have an S&P OC Test Rating of at least "BBB+."<br />
"Asset Category G-2 Investments" means convertible bonds which (i) are Performing, (ii) are priced by<br />
an Approved Source and (iii) have an S&P OC Test Rating of "BBB."<br />
"Asset Category G-3 Investments" means convertible bonds which (i) are Performing, (ii) are priced by<br />
an Approved Source and (iii) have an S&P OC Test Rating of "BBB-."<br />
