The value of the deal has not been disclosed; however the IPO attempt that was pulled in June indicates a value in the region of SEK 650m. IK became interested in the deal following the cancellation of the IPO and has been in exclusive talks with the sellers for some time. The investor was attracted to the company because it believes there is growth potential outside its domestic market, especially in Europe. This is also the type of company IK looks for in its investments, with a strong presence in its domestic market and potential for international growth. In addition to growth abroad, the investor will support an increase in EPiServer’s product range. IK does not have experience of working with similar portfolio companies but has been scanning the market for some time. However, the investor stated that it has a range of experience to extract from its team of industrial advisers. Debt Leverage was used in the transaction, but no further details have been disclosed. Previous funding Amadeus Capital and Northzone Ventures provided an undisclosed amount of funding for EPiServer in August 2007. According to the company’s financial statement, Northzone held 19.05% of the shares and Amadeus 18.47% in 2009. A return on investment has not been disclosed, but revenue has more than trebled during the investment period, reportedly giving the exiting parties a good return. The investors supported the company through an international expansion and increased product range. In June 2010, the investors announced their intention to list the company. The IPO was cancelled at the end of June, despite claims that shares were fully subscribed. This was said to be due to the uncertainty over world markets at the time. Company EPiServer is based in Stockholm and is a provider of web content management platforms. The company has clients in approximately 30 countries and has operations in Sweden, Norway, Denmark, Finland, the Netherlands, the UK and the US. Ratos acquires KVD for SEK 550m Transaction Ratos has wholly acquired online auction and valuation company KVD Kvarndammen AB from the Sixth AP fund in a transaction that gives the company an enterprise value of SEK 550m. The investor has provided SEK 360m equity for the transaction and the deal was won through an auction process run by PricewaterhouseCoopers. According to Ratos, the combination of the offered price and suitability as an owner were central to winning the deal. A possible increase in services offered and an expansion to new markets were also stated as areas the investor is looking at. Debt SEB supported the transaction with a debt package. Company Gothenburg-based KVD Kvarndammen is an online auction site for cars, heavy vehicles and machines. Founded in 1991, the company also runs a valuation service for cars under the www.bilpriser.se website. The company, which employs 165 people, recorded a turnover of SEK 217m and EBITA of SEK 36m in 2009. People Henrik Joelsson, Anders Borg and Jonathan Wallis worked on the deal for Ratos. Accent Equity acquires Troax Transaction Accent Equity Partners has acquired industrial panel and partition systems developer Troax in a deal that gives the company an enterprise value of €41m. Accent paid Gunnebo AB, a listed security solutions provider, €31m for the company.
