13 General functions, powers and duties of the Responsible Ëntity
'tr3.'! Functions
The Respotxible Ëntity shall dr: ihe fbllowing:
(a) srrdect to clause 3,5, make an'angenrerrts fol the custody of the I'und and Bæeline
Pruning Expenses Accorurt (ilcluding appointing n Custodian) and hold the Funcl but
not the Baseline Pruning Ëxpenses Accouril, as lrustee for the Members of the
P:nject entitlecl thereto upon the ternrs of tlus Consfitution; and
O) cally out the other specific f,urctions set out in this Constitution.
13.2 Powers
The Responsible Entity has all the powels of ¿ natural pefson and all Poweß that are
r.easonabiy necessary for it to çarС out its ñ¡nctions a¡rd duties uncier this Constitutir:n having
regald to the Responsible Eutity's role as tlte losponsible e,uti(y of the Project.
13,3 Duties
The Responsíb)e Entity shall exercise the powers and carry out its dutíes in accordance with
ttre Law,
13.4 Specific Functions
The Responsible EntitY shall:
(a) manage the business, invostments a¡rd affairs of the Ptoject and the arangements that
relate to the Ploject;
(b) enstne that:
