34.6 Final Audit
Llpon the wi:rding up of the Projoct u¡der clause 34.1, an indepenclent auclit of the final
accourrts of the Project shall be conducted by a registered compatl' auditor appointed by the
Responsible Entity (whioh auditor rnay bc the sanre persôn as the Auditor).
35 Li¡nitation of liability of Responsible Entity
To the Ëxtont per:nittecl by law, thc Responsible Entity is not liable for any loss or damage io
?ìny pøson (including a:ry Menrber) alisilg out of any mâtter v,lrore, in r:espect of that :lattet':
(a) it acted as requìred by any lavr;
O) it actcd in accrrrda¡ce with the Constitution a¡d its duties;
(c) it relied in goocl fhith upon any signature. malking or docuurents; or
(d) it followed a direction given to it by a resolution passed at a duly c¿nvenad rleetìng
of Membels.
36 Responsible Êntity indemnity
(a) If the Responsiblo Entity acted in accordance with this Constitution and its dutics as
Reslronsìble Entity, the Responsible Entity will tre indeturified and t"eimbu'scd out of
thc Fund in t'espect of those nÌä.tf,els provided in clause 28,2,
(b) The lighl; of the ResponsJble Bntity of indernnity and reinrbrrsernerrt out of the Fund
is ava.ilable only in rçlation to the ploper pelfi:nnanoe of the Responsiblc Entity's
duties'
(c) The light of iuderrnity refèned to in par"agraph (a) in respect of a matter (arr

(whether before ol after the Indernnified Matter) in breacli of trust or in breach ofthis
Constitution.
37 Limit on exemption from liability
No plo'r,ision of clauses 35 or'36 shall have tlie effect of ìnderurúfl,ing tte Re.sponsfule Entity against
lìability for bloach of trust where the Respousible Entit¡r f¿ilg to .show the clcgree of care ancl
diligence requii'ecl of a trustee having legalcl to the polvers, autholities or discletions confened on
the Responsible Entity by tlis Constitution.
