The provisions of the Company’s Act extend the right to appoint
a proxy to all categories of membership. Accordingly, the calling
notice below for the Annual General Meeting of The Boys’ Brigade
utilises such provision whereby all voting members of Brigade
Council will have a right to vote by proxy.
All members may vote in person if present at the meeting or if
cannot be present may alternatively either appoint a general proxy
or vote by post.

BRIGADE COUNCIL – ANNUAL GENERAL MEETING
NOTICE IS HEREBY GIVEN that the ANNUAL GENERAL MEETING
of THE BOYS’ BRIGADE will be held at the Presbyterian Church in
Ireland, Assembly Buildings, 2-10 Fisherwick Place, Belfast BT1
6DW on Saturday 7th September at 1.00pm to consider and, if
deemed fi t, to approve the following resolutions, all of which are
being proposed as ordinary resolutions. (See previous Gazettes,
Company mailings and website for further details of the Brigade
Council weekend event)
AGENDA
1. To receive and adopt the Accounts for the year ended 31March
2013 together with the Reports of the Brigade Executive and
Auditors thereon
2. To fi x the annual capitation fees for the 2013/14 session as
proposed below
Capitation Fees for 2013/14 and 2014/15
The Capitation Fee structure with effect from 1 September 2013 is:

The maximum fee that a Company may pay in respect of young

Please note – these proposed capitation fees will also apply
for the 2014/15 session as well as the 2013/14 session.
3. To reappoint Whiting and Partners as auditors of The Boys’ Brigade
and authorise the Brigade Executive to fi x their remuneration

5. Motions in the name of the Brigade Executive:
To amend Brigade Regulations as follows:
a) In Brigade Regulations Section 7 – Brigade Council Standing
Orders, delete existing clause 47 and replace with:
47 Where a motion has been properly raised under
the Memorandum & Articles of Association or Brigade
Regulations, it can only be withdrawn by those that proposed
it under Article 23 or Regulation 83. However, the original
proposers of a motion may accept an amendment to omit,
insert or add certain words, and in that case the amended
motion becomes the substantive motion to be considered by
Brigade Council. An amendment that has not been accepted
or withdrawn must be considered by Brigade Council.
b) In Brigade Regulations Section 3 – The Organisation-
Regulations and Procedures add an additional clause 83.5:
83.5 The proposers of any motion may accept an
amendment to omit, insert or add words. The terms of
any subsequent amended motion shall be published in
the July issue of the Gazette immediately succeeding.
The purpose of these two motions is to permit proposers
of motions to accept an amendment prior to the meeting of
Brigade Council to save time at the meeting.
6. Motion in the name of the Belfast Battalion:
“That The Boys’ Brigade recognises within the
Organisation a new section providing play based
activities for the age range 3 – 5 where there
is a desire on the part of the Church and the Company
for such work. The Brigade Executive would make
the necessary changes to the Age Regulations”.

All Members of Brigade Council as defi ned by the Articles
of Association are entitled to be present and vote at this
meeting or, in their absence, they may appoint a proxy to
attend and vote on their behalf. A form of proxy will be sent
to all members with the July Gazette and, if used, should be
returned to the Company’s Registered Offi ce not later than
1.00pm on Thursday 5th September 2013.
The Members of Brigade Council are: Companies, Area
Groups (Battalions & Districts), Members of the Brigade
Executive and Members of Regional Committees.
