acquisition of an oil tanker, and its conversion into a floating production storage
and offloading vessel. Further assistance was provided during the negotiation of
the terms of the contracts for the supply of the topsides and process facilities,
turret, mooring and swivel system and STP buoy and various long-lead items,
such as the main power generation units and the water injection pumps, with
various contractors including Vetco Aibel AS and APL AS
• Advised an offshore drilling contractor in connection with the provision of a drilling
rig for deployment offshore West Africa in relation to the development of the Akpo
field, reviewing the bid documents, including the pro forma drilling contract, and
assisting the drilling contractor in negotiating the contract terms with the field
operator
• Advising a Norwegian shipping and energy group in connection with the
restructuring of and relocation of its oil tanker business and the related
restructuring of its US$250m existing debt. The transaction involved the
structuring and documentation of the transfer of shares and assets (valued in
excess of US$240m) based in a variety of jurisdictions, the restructuring of the
commercial arrangements relating to such assets and advising on various
regulatory, tax and legal matters arising in connection therewith
• Advising a large contractor in connection with the development of a North Sea oil
and gas field, utilising an innovative FPSO vessel. During the negotiations, we
advised on all the major contracts, including topsides, turret, sub-Sea and
installation and vessel management, helping to ensure that the risks in the project
were identified, understood and minimised from the start. We also advised on the
client's insurance matters. Once work on the project had started, we continued
to assist with contractual issues arising during the construction phase
• Advising Aker Geo Seismic AS in the purchase of the seismic vessel “Atlantic
Horizon” from the Eagle Geophysical Group under Chapter II bankruptcy
protection in the US, with advice on US Federal, Liberian and English Law
