CHANGES IN DB GROUP<br />
Changes in DB <strong>AG</strong>’s Supervisory Board and Management Board<br />
Dr. Walther Otremba resigned his mandate as a member of the <strong>Deutsche</strong> <strong>Bahn</strong> <strong>AG</strong> (DB <strong>AG</strong>) Supervisory<br />
Board effective March 8, 2010. He was succeeded by Dr. Hans Bernhard Beus, who was seconded as a<br />
representative of the Federal Government.<br />
The term of office of the following Supervisory Board members ended at the close of the Annual<br />
General Meeting on March 24, 2010: Georg Brunnhuber, Niels Lund Chrestensen, Christoph Dänzer-<br />
Vanotti, Dr. Jürgen Großmann, Dr. Jürgen Krumnow, Dr. Heinrich Weiss, Dr. Werner Müller, Dr. Hans<br />
Bernhard Beus, Dr. Bernhard Heitzer and Prof. Klaus-Dieter Scheurle. The following persons were<br />
elected as members of the DB <strong>AG</strong> Supervisory Board effective March 24, 2010: Christoph Dänzer-Vanotti,<br />
Patrick Döring, Prof. Dr. Dr. Utz-Hellmuth Felcht, Dr. Jürgen Großmann, Dr. Jürgen Krumnow,<br />
Dr. Knut Löschke, and Dr. Heinrich Weiss. Effective March 24, 2010 Dr. Hans Bernhard Beus,<br />
Dr. Bernhard Heitzer and Prof. Klaus-Dieter Scheurle were seconded to the Supervisory Board as<br />
representatives of the Federal Government. Prof. Dr. Dr. Utz-Hellmuth Felcht was elected Chair man<br />
of the Supervisory Board and Alexander Kirchner was elected as his deputy. The employees’ representatives<br />
Heike Moll and Horst Hartkorn also stepped down as members of the Supervisory Board<br />
effective March 24, 2010. They were succeeded by Mario Reiß and Wolfgang Joosten, who were elected<br />
to the Supervisory Board by the Delegates Assembly on March 11, 2010.<br />
Stefan Garber resigned his mandate as member of the DB <strong>AG</strong> Management Board responsible for the<br />
Infrastructure Division effective March 31, 2010. He was succeeded on April 1, 2010 by Dr. Volker Kefer,<br />
who will serve for the remainder of his existing term. Dr. Volker Kefer had already served as the provisional<br />
head of the Infrastructure Division since December 9, 2009. In addition, Dr. Volker Kefer will<br />
remain the head of the Rail Technology and Services division, a position he also holds as member of the<br />
Management Board of DB Mobility Logistics <strong>AG</strong> (DB ML <strong>AG</strong>).<br />
Diethelm Sack resigned his mandate as member of the Management Board responsible for Finance /<br />
Controlling effective March 31, 2010. He was succeeded by Dr. Richard Lutz, who was appointed a member<br />
of the Management Board of DB <strong>AG</strong> for a term of three years as of April 1, 2010. Dr. Richard Lutz was<br />
also appointed a member of the DB ML <strong>AG</strong> Management Board responsible for Finance /Controlling.<br />
Acquisition of Arriva, a British passenger transport company<br />
On May 18, 2010 we submitted a binding offer to the shareholders of Arriva plc, a British passenger<br />
transport company based in Sunderland /Great Britain, to purchase all of the shares of Arriva, thereby<br />
fully acquiring the company. On June 17, 2010, 85.1 % of the Arriva shareholders, representing 90.4 %<br />
of the shares, voted in favor of accepting our offer. As the shareholder acceptance rate exceeded 75 %,<br />
all of Arriva’s shareholders are bound to abide by the offer according to British Takeover and Merger<br />
Law terms.
