OF BHARAT COKING COAL LIMITED BY MJUNCTION SERVICES LIMITED<br />

1. General Clause: Bharat Coking Coal Ltd(herein after termed as “BCCL”) will dispose of the<br />

items as listed in the auction catalogue through mjunction services limited on “as is where is”<br />

basis. Tonnage indicated would be approximate and delivery would be as per the actual<br />

weight. Mjunction services limited (herein after termed as mjunction) will conduct the e-<strong>Auction</strong><br />

on its website http://junction.co.in<br />

2. Bidder Registration: Be<strong>for</strong>e participation in the e-<strong>Auction</strong>, a prospective bidder shall be<br />

required to get itself/himself registered with mjunction <strong>for</strong> the purpose, by submitting an<br />

application in the prescribed <strong>for</strong>mat available on the website. Details of the registration process<br />

are available on the mjunction website (www.valuejunction.in). The application shall be made<br />

along with the documents (1) copy of latest Income Tax return (2) PAN Card (3) Sales Tax/Vat<br />

Registration Certificate,(4) SSI Registration Certificate (if applicable) (5) Trade License .<br />

Registration can be done online by <strong>for</strong>warding the application <strong>for</strong>m backed up by the necessary<br />

documents to any of the front offices of mjunction. After the registration, all-prospective Buyers<br />

will have an auto generated “Unique User ID” & a “password” based on which they can log in.<br />

The bidders will be required to pay an annual registration fee of Rs.3000 plus service tax which<br />

will entitle them to log in and use the mjunction website <strong>for</strong> a period of one year as well as<br />

value added services including bidder training and online support.<br />

3. Inspection: The bidders are free to inspect the items/ materials, ready <strong>for</strong> disposal <strong>for</strong> their<br />

satisfaction as per the dates/times specified on the auction catalogue. Intending bidders shall<br />

be allowed to inspect the goods as mentioned in the catalogue <strong>for</strong> sale prior to the auction by<br />

arrangement with BCCL.<br />

4. Goods will be sold ‘as is where is’ basis. Bids will be deemed to have been made on the clear<br />

understanding that intending bidders have satisfied themselves fully in regard to the nature,<br />

condition, quality and quantity of goods upon inspection or otherwise. No error, omission or<br />

misstatement or mis-description or printing mistake whatsoever and howsoever made or<br />

published whether in the catalogue or otherwise and no defects or faults in the goods shall<br />

annul the sale or be the subject of any claim on the part of the bidder and no claim <strong>for</strong><br />

compensation or otherwise be entertained by BCCL. Further, BCCL will take it <strong>for</strong> granted that<br />

the bidders have fully read and understood the language, spirit and objective in these “terms<br />

and conditions of sale” of the materials be<strong>for</strong>e making any bid and that there does not exist any<br />

ambiguity whatsoever in the expressions. Each lot put up <strong>for</strong> auction shall be deemed to the<br />

subject of a separate contract of sale.<br />

5. Bid Validity Period: The bid submitted should be valid <strong>for</strong> 90 days from the date of completion<br />

of the auction<br />

6. The decision <strong>for</strong> the acceptance/rejection of the rates offered by the bidders shall be<br />

communicated by mjunction through lot confirmation letter, e-Mail, SMS or any other mode felt<br />

necessary. The bidder will then be required to make payments as stipulated.<br />

7. BCCL and/or mjunction shall be under no obligation to put up the lots singly or serially or in any<br />

other particular manner and BCCL reserves the right at its discretion to withdraw any lot or lots<br />

from sale at any time without assigning any reason thereof.<br />

8. Sale of any of the lots put up <strong>for</strong> the e-auction shall be confirmed in-line with the norms fixed by<br />

BCCL. BCCL however reserves to itself the right:<br />

a. To accept or reject the highest offer or any other bid or all the bids<br />

b. To accept any bid in full or in part<br />

c. To apportion the total quantity amongst different bidders.


d. To accept or to reject the online auction result. The bidders would have no claim <strong>for</strong><br />

issuance of sales release orders.<br />

e. To cancel or reschedule the auction.<br />

8. Bidders bidding <strong>for</strong> the goods sold shall be deemed to have taken into account and made due<br />

allowance <strong>for</strong> the cost of handing, loading or other expenses (including dismantling if permitted<br />

by BCCL) <strong>for</strong> purposes of removal of the goods . BCCL will affect delivery of goods only at the<br />

site or at a convenient location which will be notified at the time of sale.<br />

9. Earnest Money Deposit: The intending bidder shall pay a prebid EMD of an amount that will<br />

be specified <strong>for</strong> each auction. The prebid EMD is to be paid to mjunction services limited<br />

through Online Transfer of Funds/eCMS The prebid EMD of the unsuccessful bidders would be<br />

refunded within 07(seven) days of the closure of the auction. The buyer needs to apply in his<br />

company/firm letterhead <strong>for</strong> the same. The Prebid EMD of the successful bidders will be<br />

adjusted towards the final payment (material Value) of the Lot/s. The EMD of the successful<br />

bidders will be retained with mjunction until the full payment including all taxes has been made by the<br />

bidder <strong>for</strong> the lot sold to them. In the event of the bidder failing to deposit the security deposit BCCL<br />

may at their discretion <strong>for</strong>feit the prebid EMD without issuing any prior notice to the bidder. The<br />

EMD so paid will not attract any interest.<br />

9. Security Deposit: The successful bidder shall pay a security deposit of 10% of the sale value<br />

of the lot that will be specified <strong>for</strong> each lot through Online Transfer of Funds/eCMS. The<br />

security deposit would be transferred to Bharat Coking Coal Ltd along with the balance<br />

payment of the material value. Any unutilized credit balance will be refunded by BCCL, on<br />

successful fulfillment of all the terms and conditions of the auction, including payment of the<br />

value of the materials as well as lifting of the materials as per the schedule. The security<br />

deposit so paid will not attract any interest.<br />

10. Statutory Documents: All sales tax, terminal tax, excise duty and all other taxes, duties<br />

(imposts) whetherto payable to the central government or to the state government or to the<br />

municipal, local or other authorities shall be deposited by the buyer with mjunction along with<br />

the sales value of the materials. Non-payment of any amount payable under this clause will<br />

have the same effect as non-payment of the purchase money and will result in ipso-facto<br />

cancellation of the sale and <strong>for</strong>feiture of the security deposit. If the liability of such tax (impost)<br />

and/or duty is in doubt, mjunction will have a right to call upon the buyer to make such<br />

provision as BCCL may deem fit and proper to ensure the recovery of such taxes (impost)<br />

and/or duty. If the tax (impost) and/or duty is not recovered at the time of delivery/despatch<br />

BCCL/mjunction will have the right to call upon the buyer, to pay such amount as may be due<br />

whenever the BCCL/mjunction find that it has omitted to charge or BCCL become liable to pay<br />

higher charge as a result of decisions or announcements by Government or any other<br />

competent authority, even though, the full value of the materials may have been already paid<br />

or delivery/despatches may have been completed from BCCL’s units. BCCL shall be free to<br />

call upon the buyer to make good the amount short recovered whenever such contingency<br />

should arise, or BCCL shall be entitled to recover the Amount of such tax (impost) or duty from<br />

the buyer by way of set off against any amount or amounts that might at any time become<br />

payable by BCCL/mjunction to the purchaser on any account or accounts whatsoever. Taxes<br />

as applicable from time to time shall be payable by the buyer.<br />

11. Payment Clause:<br />

11.1. The security deposit and the balance lot value (material value + applicable taxes<br />

& duties) are to be submitted lot wise only. Separate instrument needs to be<br />

deposited <strong>for</strong> each lot. Each lot as indicated in the auction catalog will be treated<br />

as a separate unit <strong>for</strong> the purpose of payment, lifting, refund etc. WHILE MAKING<br />

PAYMENT OF MATERIAL VALUE TO mjunction, CUSTOMER SHOULD SUBMIT THE PHOTO<br />

COPY OF E-AUCTION IDENTITY CARD FOR ATTESTATION BY Mjunction Services<br />

Limited,Kolkata WHICH WOULD ACCOMPANY WITH THE DELIVERY ORDER TO BE SENT TO<br />

BCCL, Dhanbad.<br />

11.2. Payment of Security Deposit- 10% of the Total Lot Value(excluding taxes &<br />

duties) to be submitted by way of Online Transfer of Funds/eCMS with in 7


(seven) days from the date of issue of acceptance letter/sale order by Mjunction<br />

Services Limited.<br />

11.3. Balance Payment: Buyers shall make balance payments to mjunction by way of<br />

Online Transfer of Funds/eCMS, as mentioned below(Clause No.- 11.4) the<br />

number of days <strong>for</strong> making the payment from the date of issue of acceptance<br />

letter/sale order by mjunction Services Limited. On receipt of the full payment<br />

including all taxes, mjunction will issue a Delivery Order ( DO) <strong>for</strong> the lot. Based<br />

on the Delivery order from mjunction and submission of the Vendor ID<br />

authenticated by mjunction and authorization( if required) submitted by the<br />

vendor, BCCL shall issue a Authorisation Letter to the bidder <strong>for</strong> collecting the<br />

materials against the lot sold.<br />

11.4. Payment in Instalment: Payment in installment can be done <strong>for</strong> lot with Material<br />

Value above 10(ten) Lakhs. Period <strong>for</strong> making payment shall be as mentioned<br />

hereunder from the date of issue of acceptance letter/sale order by mjunction :<br />

a) Upto and including 10 lakhs— in 01(One) installment within 15 days.<br />

b) Above 10 Lakhs and upto 25 lakhs--- in 02(two) installment within 40 days.<br />

c) Above 25 Lakhs and upto 45 lakhs— in 03(three) installment within 65 days.<br />

d) Above 45 Lakhs— in 04(four) installment within 90 days.<br />

11.5. Normally, all sales will be treated as local sale and the buyer shall have to pay<br />

VAT/Sales Tax as per the Local Sales Tax Act/ Rules/ Tariff of the concerned<br />

state where the materials are lying. Sales against ‘C’ Form/ CST will be allowed<br />

<strong>for</strong> deliveries happening outside the state of Jharkhand.To avail CST concession<br />

against the Buyer will have to submit C Form along with the final payment.<br />

Incase Buyer is not able to submit C Form alongwith payment , then he will have<br />

to deposit a security amount equal to the local sales Tax/VAT as per the<br />

applicable rate along with the final payment. This amount will be refunded by<br />

BCCL after submission of C Form to them <strong>for</strong> the current Financial Year.<br />

11.6. TCS will be charged on all lots @1.133%(as applicable). This will be charged on<br />

the total lot value inclusive of taxes & duties.<br />

11.7. In case of default by the bidder in payment of the SD (10% of the Total Lot Value)<br />

with in the stipulated schedule, the prebid EMD held by mjunction on account of<br />

that bidder will be <strong>for</strong>feited & the bidder will be liable to be debarred from the<br />

participation in all BCCL auctions <strong>for</strong> a period of 6 (six) months.<br />

11.8. In case of default in payment of the balance sale value with in the prescribed time<br />

limits, the due payment may be made together with additional charges @ 1% per<br />

week or part thereof calculated on the full 100% sale value <strong>for</strong> a minimum period<br />

of one week or multiple thereof. This extension will be limited to maximum period<br />

of 4(Four) weeks from the payment last date indicated in the Bid Acceptance<br />

Letter. However this shall not confer any right to the bidder to make any late<br />

payment of the balance sale value or applicable duties and Taxes. Mjunction<br />

reserves the right not to accept the payment of the balance sale value or without<br />

the additional charges after the expiry of the free payment time.<br />

12. Refunds: All prebid EMD refunds of unsuccessful buyers will done by mjunction directly within<br />

07(seven) days of the closure of the e-auction.The buyer needs to apply in his letterhead <strong>for</strong><br />

the same. Refunds of C <strong>for</strong>m will be done in case there is no delivery of material( not in part<br />

case delivery of materials),security deposit and short delivery will be handled by BCCL<br />

directly. The contact details of concerned person is the Nodal Officer of scrap disposal-<br />

BCCL.<br />

13. BCCL shall be responsible <strong>for</strong> raising invoices as per the terms of the Delivery Order issued<br />

by mjunction and BCCL’s Authorisation <strong>for</strong> the same. Materials to be invoiced on the basis of<br />

the weight as recorded on weighbridge which should be treated as final.


14. The purchaser shall not be entitled to re-sell any lot or part of a lot while the goods are still<br />

lying within the premises of BCCL and no delivery would be permitted by BCCL to any person<br />

or persons other than the purchasers whose names are mentioned in the BCCL authorization<br />

Letter.<br />

15. Lifting Clause:<br />

15.1. <strong>Items</strong>/materials <strong>for</strong> disposal will be disposed off (i.e. materials will be lifted by the party<br />

from BCCL’s premises against full payment and within 45 days from the date of the<br />

Authorisation Letter issued by BCCL, i.e. the order issued to any Firm/ Party to lift the<br />

materials, failing which the Authorisation Letter may be terminated by BCCL and BCCL<br />

shall entertain no claim, grievance or grudge on this account. However, BCCL may, at<br />

its own sole discretion, extend the delivery period beyond the stipulated period to lift the<br />

materials on its own .<br />

15.2. In case of any default in lifting of the materials by the buyer with in the prescribed/<br />

scheduled delivery period, the outstanding material may be lifted within 4<br />

weeks(maximum) from the expiry of the free/actual delivery period subject to payment of<br />

ground rent @ 2% per week and part thereof, by the buyer directly to the BCCL <strong>for</strong> the<br />

period of delay. All matter relating to charging of ground rent will be decided by BCCL.<br />

The Ground Rent will be deposited with the BCCL concerned stockholder of the lot.<br />

15.3. In case of good sold on lot basis, the Ground rent will be calculated on the value of the<br />

entire lot even if lifted in part, where as goods sold on unit weight or unit number basis,<br />

the ground rent will be calculated on the value of un-lifted quantity.<br />

15.4. However it must be noted by the bidders that it will be the sole discretion of BCCL not to<br />

allow the buyer to lift the goods with or without the ground rent after the expiry of the<br />

stipulated free delivery period or even within the a<strong>for</strong>esaid additional period of 4(Four)<br />

weeks and in such event, the sale of the material not lifted by the buyer will be<br />

automatically cancelled and all the money paid by the bidder will be automatically<br />

<strong>for</strong>feited.<br />

15.5. In the event of the buyers failure to fulfill any obligations under the general conditions of<br />

sale including default and/on failure on the part of the buyer to remove/lift the goods<br />

against any lots within the stipulated time after payment of the entire value, the sale of<br />

such cancelled lot <strong>for</strong> the quantities not lifted by the buyer. BCCL will be entitled to resell<br />

the goods, at the entire risk and cost of the buyer as and when BCCL may deem fit<br />

without any notice to the buyer and BCCL shall be at full liberty to retain and/or adjust/or<br />

recover from buyers any other amount lying with mjunction/BCCL to the buyers credit<br />

either under those contract or in any other contract or which may be at any time become<br />

payble /refundable to the buyer either under this contract or any other contract the<br />

amount of losses or damages or claim or expenses that may be incurred by BCCL, if<br />

any, further amount is still found payable by recoverable from the buyer, the buyer shall<br />

pay to BCCL on demand without any objection or demur. The decision of BCCL in<br />

regard to the actual losses incurred by BCCL including the reasonableness of the rate at<br />

which BCCL may re-sell the quantities shall be final and binding on the buyer provided<br />

always, if any, loss in incurred by BCCL, the buyer shall only be entitled to the refund of<br />

the amount retained by the mjunction/BCCL by way of advance payment towards sale<br />

value(Excluding Earnest Money) without any interest thereon but not any other amount.<br />

Any gain on any re-sale as a<strong>for</strong>esaid shall, however, belong to BCCL.<br />

16. In case the purchaser requires any service of facility from BCCL <strong>for</strong> dismantling loading or<br />

removing the goods, BCCL may without being under any obligation to do so provide the<br />

same.<br />

a. The necessary costs, charges and expenses <strong>for</strong> such service or facility as mentioned must<br />

be paid by the purchaser and <strong>for</strong> this purpose the purchaser must deposit with BCCL such<br />

amount or amounts as may be required by BCCL. All costs, charges and expenses <strong>for</strong> such<br />

service will be recovered from the amount so deposited and the surplus, if any, would be<br />

refunded to the purchaser. The amounts so deposited will not carry any interest. In case the


amount deposited falls short of the charges payable under this clause, the purchaser shall<br />

immediately on requisition by BCCL pay the additional amount. The bidders may be<br />

required to pay the necessary cost & expenses incurred in availing the services <strong>for</strong><br />

dismantling and loading to BCCL concerned stockholder <strong>for</strong> the lot/s.<br />

The materials sold shall be removed by the buyer from any one side of the lot as per the<br />

sole direction of the BCCL and no segregation of items from the sold lots will be<br />

permitted. No pick and choose of the material will be allowed and the purchaser has to<br />

lift the entire lot from the designated place. Description against each lot given is not<br />

exhaustive.<br />

The description indicates the major content of the lot. bidder are requested to contact<br />

the respective areas' Staff Offices(MM)/Depot Officer of regional stores of the respective<br />

area(s)/Stock Holding Unit(s) <strong>for</strong> inspection of the lot(s) to assess the exact physical<br />

condition of the materials contained in each lot and satisfy themselves be<strong>for</strong>e<br />

submission of bid.<br />

b. In case of any hot work permission is required <strong>for</strong> dismantling operations, the same will<br />

have to be obtained by the buyers from the BCCL authorized representative be<strong>for</strong>e<br />

lifting it will be sole discretion of the BCCL to allow or not to allow such hot-work<br />

permission at buyers cost only to extent the facilitating the loading and transportation of<br />

the goods.<br />

c. For the purpose of removing the materials, the successful bidder shall employ only<br />

his/their own personnel and shall keep BCCL fully indemnified against any claims <strong>for</strong><br />

wage, injuries, compensation, death etc.<br />

d. While removing the materials, if any accident or damage to the property / life etc. arises<br />

by reason of any act of negligence / omission/ default or non-compliance with any of the<br />

Terms and Conditions of the statutory regulations or rules and regulations applicable<br />

within BCCL premises, on the part of the bidder’s / his representative or employees<br />

resulting in death or injury to any person or damages to the property of BCCL or any<br />

third party then in such an event the bidder will have to pay compensation to any such<br />

persons. The bidder shall in such an event keep the BCCL indemnified from any<br />

demand, claims or proceedings made.<br />

f. Crane charges to be borne by the purchaser whenever the materials are required to be<br />

loaded/ shifted by crane. Loading has to be done by the buyer at his own cost and<br />

arrangement. Cutting facilities will be given only to the extent of loading the materials on<br />

the truck/trailors whenever such operation is required and against specific remarks<br />

incorporated against the lot. However it will be not binding upon the SELLER(BCCL) <strong>for</strong><br />

making the provision of Cranes <strong>for</strong> dismantling or removing of goods from the site. Also,<br />

the bidder will be not entitled to ask <strong>for</strong> any claims <strong>for</strong> the waiver of Ground Rent, if<br />

seller is not able to provide any facility <strong>for</strong> dismantling or removal of goods from the lot<br />

site.<br />

16-b. Sale of Hazardous Waste <strong>Items</strong>: The sale of Hazardous waste items, namely Waste Oil<br />

and specified categories of Non- Ferrous metal waste will be governed by the<br />

Hazardous Waste (Management & Handling) Rules, 1989 and its amendments and the<br />

sale of Batteries will be governed by the Batteries (Management & Handling) Rules<br />

2001 and its amendments. For such items, only those parties shall be eligible to bid<br />

who have Valid Registration Certificates from the state as well as Central<br />

Pollution Control Board on the starting date of e-auction.The Bidders will have to<br />

produce the original certificates and pass book at the time of delivery of the<br />

material. BCCL personnel will update the passbook during delivery <strong>for</strong> as per<br />

MOEF norms.If the bidder had the said State PCB, or CPCB certificates which expired<br />

within 30 days be<strong>for</strong>e the date of starting of e-auctions, he should submit a copy of the<br />

expired certificates and a copy of his application <strong>for</strong> extension with a proof of submission<br />

of the application atleast one working day be<strong>for</strong>e the starting date of e-auction.


17. BCCL shall not be responsible <strong>for</strong> any liability in respect of labour/employee<br />

appointed/engaged by the buyer <strong>for</strong> lifting of the materials. All <strong>for</strong>malities required under the<br />

provision of respective Labour Laws /Rules shall be duly and punctually observed/complied at<br />

their own cost and they alone shall be responsible and liable <strong>for</strong> punitive action/payment of any<br />

dues, compensation or any amount, required to paid under any provisions of Laws/Rules in<br />

any case of non compliance and default on the part of buyer. If BCCL in any case is held liable<br />

under any Laws/Rules then in such cases the buyer shall not only make payment of such dues<br />

and/or caused but also be responsible <strong>for</strong> payments of damages to BCCL.<br />

18. At the time of obtaining delivery of any goods, the purchaser shall not be entitled to pick or<br />

choose any particular item or items from the lots sold to purchaser. The purchaser will have to<br />

operate the lot from one side of the heap until the entire quantity is lifted.<br />

19. Purchasers are warned that any attempt to misuse gate pass, challan authorizing delivery or<br />

any such documents will make them liable to serious penalties or such other action as may be<br />

open to BCCL. The purchasers should, there<strong>for</strong>e, ensure that important documents relating to<br />

sale are in the custody only of trustworthy and responsible persons.<br />

20. Delivery of goods sold shall be granted as per the working hours of that particular location of<br />

BCCL where the materials have been stored. Delivery will be permitted only on production of<br />

despatch advice issued by the department concerned BCCL as the case may be and a signed<br />

copy of BCCL’s authorization letter <strong>for</strong> taking delivery. Deliveries will not be given on Sundays<br />

or on any other days being holidays observed. Bidders are warned that attempt to misuse GATE<br />

PASS , Challan authorizing Delivery or any such documents will open them to serious penalties or<br />

such action as may be open to Mjunction/BCCL. The Bidder should, there<strong>for</strong>e, ensure that<br />

important documents relating to sale are in the custody of only trustworthy and responsible<br />

persons.<br />

21. In case it is detected at any time that the buyer has loaded material and/or materials <strong>for</strong> which<br />

he is not the auction purchaser BCCL will be within its rights to detain the truck, unload the<br />

materials at the cost and expenses of the buyer and take such other and further action as may<br />

deem fit and necessary <strong>for</strong> the purpose.<br />

22. In the event of failure by the buyer to fulfill any obligations under the general conditions of sale<br />

including failure remove/lift the goods against any lots within the stipulated time, the sale of<br />

such lot may be cancelled <strong>for</strong> the quantities not lifted by the buyer and all moneys paid by the<br />

bidder <strong>for</strong> those specific lots shall stand <strong>for</strong>feited. BCCL will be entitled to re-sell the goods<br />

through MJ, at the entire risk and cost of the buyer as and when BCCL may deem fit without<br />

any notice to the buyer. BCCL shall be at full liberty to retain and/or adjust/or recover any<br />

losses incurred on account of the failure of the buyer to lift the material from any amount lying<br />

with BCCL to the buyer’s credit. The decision of BCCL in regard to the actual losses incurred<br />

by BCCL shall be final and binding on the Buyer. Any gain on any re-sale as a<strong>for</strong>esaid shall,<br />

however, belong to BCCL.<br />

23. All auction-related complaints should be referred to mjunction, Kolkata, immediately by the<br />

parties concerned. Complaints pertaining to quality and quantity of materials available <strong>for</strong><br />

delivery, difficulties in lifting etc should be referred directly to the designated Depot Officer of<br />

the concerned area of BCCL by the concerned buyer. In case the complaint is not resolved at<br />

this level, the same should be escalated to Nodal Officer, BCCL, Dhanbad.<br />

24. BCCL/mjunction shall not be liable <strong>for</strong> non-per<strong>for</strong>mance of any contract either wholly or in part<br />

nor <strong>for</strong> any delay in per<strong>for</strong>mance resulting from or due to any cause beyond the control of<br />

BCCL’ or mjunction including fires, strikes, go-slow, lockout, closure, dispute with workmen,<br />

uncertain and unstable labour situation, power shortage, war, riots, civil commotion, pestilence,<br />

epidemics, floods, accidents, damages or accidents to machinery, shortage of wagons,<br />

shortage of fuel, shortage of any raw materials, shortage of labour, governments or railway<br />

restrictions, acts, demands or requirements of government, <strong>for</strong>ce majeure or any<br />

circumstances beyond the control of BCCL/ mjunction whether directly due to or in<br />

consequence of the a<strong>for</strong>esaid causes or not and the existence of such causes of<br />

consequences shall operate to extend the time of the per<strong>for</strong>mance on the part of<br />

BCCL/mjunction by such period as may be necessary to enable BCCL, shall have no claim<br />

upon BCCL/mjunction of any kind. The provision of this paragraph shall not be limited or


abrogated by any other terms of the contract whether printed or written nor will the provisions<br />

of this clause abrogate or limit the effect of any other clause mentioned in this catalogue.<br />

25. Arbitration Clause: Dispute or differences arising out or relating to this Agreement shall be<br />

resolved amicably by the parties. Failing such amicable resolution of dispute / differences<br />

either party may refer the matter to arbitration of a Sole Arbitrator to be appointed by BCCL.<br />

The award of the Arbitrator shall be final, binding and conclusive on the parties. The venue <strong>for</strong><br />

arbitration shall be Dhanbad . The Arbitration proceedings will be governed and regulated by<br />

the provisions of Indian Arbitration and conciliation Act, 1996 and the rules framed there under.<br />

The Court at Dhanbad shall have exclusive jurisdiction.<br />

Governing Law: This Agreement is construed and shall be governed in accordance with the<br />

laws of India without giving effect to any principle of conflict of law. The arbitration fee will be<br />

beared in the ratio 50 : 50 by the BCCL and the Buyer(bidder) respectively.<br />

Jurisdiction: The Court at Dhanbad shall have exclusive jurisdiction.<br />

26. Special instructions:<br />

A. Please note that according to the notification file no.23.11/94 part iii dated 3.2.2000 issued<br />

by Ministry of Environment & Forests, Government of India, New Delhi, old & used<br />

ferrous/non-ferrous metal scrap, lead acid battery scrap, used oil can only be purchased by<br />

actual users enlisted with ministry of environment & <strong>for</strong>ests (MOEF). In addition, bidders<br />

who are actual users can bid <strong>for</strong> the above items provided they submit the following<br />

documents:<br />

i) valid license to process waste/scrap<br />

ii) valid consents under air and water act<br />

iii) valid authorisation under hazardous waste rules<br />

iv) Environment friendly technology <strong>for</strong> processing scientific disposal facility approved by<br />

the state pollution control board/central pollution control board.<br />

B. Special terms and conditions <strong>for</strong> internet auction: Bandwidth problems, connectivity<br />

problems with the local ISP (internet service provider), slowness to access pages <strong>for</strong><br />

downloading etc. are beyond the control of BCCL and mjunction. Hence no responsibility<br />

and liabilities lies with BCCL/ mjunction <strong>for</strong> the above problems, if any, faced by the<br />

bidders be<strong>for</strong>e/during the auction<br />

C. Any bid placed using the bidder's username and password is unconditionally binding on<br />

the bidder to whom such username and password had been allotted and he shall be<br />

solely responsible <strong>for</strong> maintaining the confidentiality of the same and fully responsible <strong>for</strong><br />

all activities that occur under their username and password. Hence the user is advised to<br />

check the username and password be<strong>for</strong>e the auction in order to familiarise himself with<br />

the same and is advised not to reveal it to anyone else so as to prevent misuse of the<br />

same. The bids made by the bidders against their username and password shall be<br />

irrevocable.<br />

D. BIDDERS MUST BE EXTREMELY CAREFUL TO AVOID ANY WRONG BIDDING (WHETHER TYPOGRAPHICAL OR<br />

OTHERWISE) THEY MUST CHECK AND RECTIFY THEIR BID (IF REQUIRED) BEFORE SUBMITTING THEIR BID<br />

IN THE LIVE E-AUCTION FLOOR BY CLICK BID BUTTON. THERE IS NO PROVISION FOR PUTTING BIDS IN<br />

GENERAL RULES AND REGULATION GOVERNING CONDUCT OF ONLINE<br />

AUCTIONS ON THE “SERVICE PROVIDER” PLATFORM<br />

INTRODUCTION :<br />

This Online Forward e-<strong>Auction</strong> is being conducted <strong>for</strong> Bharat Coking Coal Limited(BCCL) (hereinafter referred to as<br />

the “Client’’) on the <strong>Auction</strong> Plat<strong>for</strong>m of metaljunction services ltd (hereinafter referred as “Service Provider”).<br />

The General Rules and Regulations provided herein govern the conduct of on line Forward e-<strong>Auction</strong>s arranged by<br />

“Service provider” on its <strong>Auction</strong> Plat<strong>for</strong>m. These rules cover the roles and responsibilities of the parties in the<br />

online Forward <strong>Auction</strong>s on the <strong>Auction</strong> Plat<strong>for</strong>m. Acceptance in-toto to these General Rules and Regulations<br />

governing conduct of online auctions, and Terms and Conditions <strong>for</strong> Sale of Materials by auction, of Bharat<br />

Coking Coal Limited(BCCL) is a pre–requisite <strong>for</strong> securing participation in the online auctions.<br />

The key terms pertaining to the online Forward <strong>Auction</strong>s are provided in the “Annexure-D”. Prospective bidders are<br />

advised to read through the same.<br />

ROLE OF “SERVICE- PROVIDER”<br />

1. “Service Provider’ is the agency (operator) primarily providing the service of the Forward e-auction to<br />

the “client”.<br />

2. Finalisation of the auction items in consultation with the client.<br />

3. Defining of bidding rules <strong>for</strong> each auction in consultation with the client.<br />

4. Enhancing bidder awareness of and com<strong>for</strong>t with the auction mechanism and bidding rules.<br />

5. Input of the <strong>Auction</strong> items and defining the bidding rule in the auction engine.<br />

6. Enlarging the customer base by introducing new bidders.<br />

7. Collection of EMD, Letter of Interest etc. from the willing bidders and <strong>for</strong>warding the same to the<br />

Client.<br />

8. Providing access to the approved bidders to participate in the <strong>Auction</strong>.<br />

9. Summarising the <strong>Auction</strong> proceedings and communicate the outcome to the Client.<br />

The responsibility of fulfillment of the contract rests between the bidders and the client and the responsibility of the<br />

“Service Provider” shall be restricted to the extent of the services provided by them.<br />

ROLE OF BIDDER<br />

The role of the bidder is outlined below:<br />

1. The bidder would participate in the auction with the aim of bidding to secure the auctioned item in the auction.<br />

2. The bidder would be provided access to the <strong>Auction</strong> through a “User ID” protected by a “Password”. The<br />

bidder needs to ensure that the “User ID” and “Password” is not revealed to unauthorized persons. Bidders<br />

are also requested to change the password allocated to them by the “Service Provider” to keep their<br />

confidentiality. However it would be bidder’s sole responsibility to ensure the security and privacy of the same<br />

and he/they would not hold the “Client” / “Service Provider” responsible in any manner whatsoever <strong>for</strong> any<br />

misuse of these user IDs and/or Password. Access to the auction mechanism shall be provided to all the<br />

approved bidders subsequent to obtaining their written consent to the General Rules & Regulations and the<br />

Letter of Interest. Payment of Prebid Earnest Money Deposit (EMD) as decided by the client be<strong>for</strong>e the start<br />

of the Forward auction will be one of the necessary conditions <strong>for</strong> participating in the auction.<br />

3. Bidders hereby confirm that they shall commit to lift the item (being bid <strong>for</strong>) at the price entered by them in the<br />

auction engine AND at the terms and conditions specified herein by the Client. All Prices entered shall be<br />

legally binding on the bidders. Bidders are strongly advised to exercise due diligence while placing bids.<br />

Failure to honour the bids placed during online bidding shall render the bidders liable <strong>for</strong> penal action as<br />

deemed fit by “Client” / “Service Provider”.<br />

4. In the event of winning an allotment in the auction mechanism, the bidder shall commit to fulfill outlined<br />

obligations under the contract.<br />

5. The bidders shall bid on the terms specified by the client & place their bid in the auction engine in the manner<br />

specified by “Service Provider”. The bidders shall not stipulate any conditions on their own unless the terms of<br />

the client (the client’s terms & conditions) expressly permit such conditions being stipulated by the bidder.<br />

Bids entered with conditions attached shall be considered Conditional bids & “service provider” retains the<br />

right of rejecting these bids even without intimating the client.<br />

BIDDING RULES


The Bidding Rules refer to the in<strong>for</strong>mation and terms defined specifically <strong>for</strong> a particular auction. The purpose of the<br />

Bidding rules is to provide approved bidders with the in<strong>for</strong>mation and terms specific to the auction in which they are<br />

bidding. This would include:<br />

• Definition of the unit bidding.<br />

• Start Time and duration of the auction.<br />

• Any extension of the duration of the auction in the event of bids being received towards the end of the prespecified<br />

duration.<br />

• Start Bid Price.<br />

• Specified Unit <strong>for</strong> Bidding.<br />

• Price Increments and any reduction in the price increment in the auction in the event of inactivity.<br />

• Other attributes (in<strong>for</strong>mational/non-negotiable in nature).<br />

While it shall be the endeavor of “Service Provider” to specify these rules at the earliest <strong>for</strong> each online auction, the<br />

“Service Provider” shall retain the right to delay the announcement of these biddings rules or modify rules specified<br />

earlier at the time of the online bidding. These details would be available to the bidders on the <strong>Auction</strong> Engine at the<br />

time of bidding.<br />

Participation in the auction process presumes complete awareness and understanding of the bidding rules.<br />

CONDUCT OF THE AUCTION:<br />

Only those bidders who have been approved by the “Client” and handed over stamped and manually signed “General<br />

Rules and Regulations governing conduct of online auction along with Letter of Interest, required EMD amount and<br />

other necessary documents to the “Client”/ “Service Provider” prior to the start of online auction will be given “<strong>Login</strong><br />

ID” and “PASSWORD” to enable them view and participate in online auction.<br />

The <strong>Auction</strong> shall be conducted on pre-specified date. The Key Terms pertaining to the conduct of <strong>Auction</strong> such as “<br />

START TIME”, “DURATION”, “END TIME” AND “AUTO EXTENSION FACILITY” Shall be specified separately <strong>for</strong><br />

each <strong>Auction</strong>.<br />

“Service provider” retains the right to cancel or reschedule the auction, with the approval of the Competent Authority of<br />

the Client, on any of the following reasons:<br />

• The number of confirmed bidders is deemed insufficient to conduct the auction<br />

• Some of the confirmed bidders are unable to access the module due to infrastructure problems such as<br />

sustained power failure or telecommunication breakdown.<br />

• There are no bids, which are equal to or below Start Bid Price.<br />

• Any other reason, which in the opinion of “Service Provider” / “Client” requires such action to be initiated.<br />

The duration of auction may also vary from the pre-specified period of time either on account of termination of the<br />

auction by “Service Provider” on the advice of the Client<br />

OR<br />

In case of situations where it is felt that continuance of the auction proceedings is prejudicial to the smooth<br />

conduct and / or the integrity of the auction process.<br />

OR<br />

due to Auto Extension during the <strong>Auction</strong>, duration may increase from specified period.<br />

In the event of any problems being faced in the smooth conduct of the auction, “Service Provider” with the approval of<br />

the Competent Authority of the Client, shall have the right to undertake one or more of the following steps:<br />

• Cancellation/ premature termination of the auction with/ without a subsequent rerun of the auction on a<br />

mutually decided date<br />

• Cancellation of a bid<br />

• Locking / deactivate a bidder’s account (suspension of operations in the account), etc.<br />

In case of failure of net connection, bidder will give his best price to the “Service Provider”. “Service Provider” will bid<br />

on behalf of the bidder with the minimum increment until the bid price reaches the best price offered by the bidder, by<br />

proxy bidding mechanism.<br />

The best price communicated by the bidder will have to be authenticated by written confirmation or fax to the “Service<br />

Provider” and will be kept confidential between the “Service Provider” and the bidder. Bidder will be bound by the<br />

price offered.<br />

LIABILITY OF “SERVICE PROVIDER”<br />

“Service Provider” shall not be liable to the client/ bidders participating in the auction or any other person(s) <strong>for</strong>:


• Any breach of contract by any of the parties in the fulfillment of the underlying contract.<br />

• Any delays in initiating the online auction or postponement / cancellation of the online auction proceedings<br />

due to any problem with the hardware / software / infrastructure facilities or any other shortcomings.<br />

While, reasonable care and diligence will be taken by “Service Provider” in discharge of its responsibilities such as<br />

design of the online bid, communication of bid details and rules, guidance to client/ bidders in accessing the <strong>Auction</strong><br />

Engine and placing bids, etc. the bidders shall specifically indemnify “Service Provider” from all liabilities <strong>for</strong> any<br />

shortcomings on these aspects. It is clearly understood that these activities are undertaken by “Service Provider” to<br />

assist the bidders in participation but the ultimate responsibility on all these counts lies totally with the bidders.<br />

RIGHT OF THE CLIENT:<br />

The Client reserves the right to partially or totally accept or reject any / all bids placed in the Online <strong>Auction</strong> without<br />

assigning any reason whatsoever. The decision of the client would be final and binding on the bidder in any such<br />

case.<br />

CONFIDENTIALITY CLAUSE:<br />

“Service Provider” undertakes to handle any sensitive in<strong>for</strong>mation provided by the client or confirmed bidders <strong>for</strong> the<br />

auctions conducted with utmost trust and confidentiality.<br />

JURISDICTION<br />

Any disputes relating to the online auction module shall be subject to the sole jurisdiction of Court of Law having<br />

jurisdictions over the Plant from where the materials are being sold.<br />

ANNEXURE D<br />

<strong>Auction</strong> refers to a <strong>for</strong>um where the requirement <strong>for</strong> one/more lots of an item is stated and the participants<br />

(bidders) are required to bid down the price to be selected to supply the requirement.<br />

Online <strong>Auction</strong>s.<br />

Online auctions refer to those auctions conducted through the Internet with the bidders (from one or more<br />

locations) simultaneously bidding to be selected <strong>for</strong> supplying the item/s on auction. In other words, the<br />

venue <strong>for</strong> the auction is on an Internet website/ plat<strong>for</strong>m. The "Service Provider's" website assigned by<br />

"Service Provider" would constitute venue <strong>for</strong> the purpose of the online auction.<br />

Award at the <strong>Auction</strong>.<br />

In a single winner <strong>for</strong>mat, only one bidder (normally the bidder who quotes the highest price) is awarded all<br />

the units of the item being auctioned. The bidder quoting the highest price is normally allotted the item.<br />

Client.<br />

Client is the individual/business entity who has contracted "Service Provider" to conduct such auction. In<br />

case of auction, the purpose would be the genuine intent to sell the selected item/s (Lot) to the bidders<br />

desiring to buy these items from the Client.<br />

Bidder.


Bidder is the individual/business entity participating in the auction, intending to buy the item(s) from the<br />

Client. To be become a Bidder in the auction, a business entity has to secure client approval <strong>for</strong> participation<br />

and also provide written assent to the General Rules and Regulations .<br />

<strong>Auction</strong> Engine.<br />

<strong>Auction</strong> Engine refers to the software that encapsulates the entire auction environment, processing logic and<br />

in<strong>for</strong>mation flows. "Service Provider" is the sole owner of the auction engine and retains exclusive right<br />

over the utilisation of the same.<br />

Timings of the Online Bid.<br />

All the timings of the Online Bid shall be based on the time indicated by the Server hosting the <strong>Auction</strong><br />

Engine. It shall be the endeavor of "Service Provider" to ensure that the Server Time reflects as closely as<br />

possible the Indian Standard Time (IST) i.e. GMT + 0530 hrs. However, in the event of any deviations<br />

between the Server Time and the Indian Standard Time, the functioning of the <strong>Auction</strong> Engine (Launch,<br />

operation, and closure) would be guided by the Server Time. Bidders are advised to refresh both the<br />

windows of the <strong>Auction</strong> Module check the exact Server Time (displayed in both the windows).<br />

Preview Time.<br />

Preview Time refers to the period of time that is provided prior to the commencement of bidding. This is to<br />

facilitate approved participants to view the auction details such as item specifications, bidding details and<br />

bidding rules. The purpose is also to familiarize participants with the functionality and screens of the auction<br />

mechanism. It is not mandatory <strong>for</strong> "Service Provider" to provide Preview Time.<br />

Start Time.<br />

Start time refers to the time of commencement of the conduct of the online auction. It signals the<br />

commencement of the Price Discovery process through competitive bidding.<br />

Duration of the <strong>Auction</strong>.<br />

It refers to the length of time the price discovery process is allowed to continue by accepting bids from<br />

competing bidders. The duration of the auction would normally be <strong>for</strong> a pre-specified period of time.<br />

However, the bidding rules may state the conditions when the pre-specified duration may be<br />

curtailed/extended. The conditions include:<br />

• Curtailment of auction duration in the event of no bids <strong>for</strong> a specified period of time (Inactivity Time)<br />

• Automatic extension in the event of bids being entered towards the end of the scheduled duration to<br />

facilitate the other bidders to view and react to the bid.<br />

Auto Extension of the <strong>Auction</strong> Timings.<br />

In the event of bids in the last few minutes of the scheduled bid time, the Bid Timings are automatically<br />

extended <strong>for</strong> a specified period from each such bid. Such Auto Extension shall continue until no bids are<br />

placed <strong>for</strong> the specified period (Engine remains inactive <strong>for</strong> the specified period). The Inactivity Time <strong>for</strong><br />

Auto Extension purpose is normally X minutes. "Service Provider" however retains the right to change the<br />

same. The Inactivity Time applicable <strong>for</strong> the particular Online Bid shall be visible to the bidders under the<br />

Bidding Rules module on the engine.<br />

End of the <strong>Auction</strong>.<br />

End of the <strong>Auction</strong> refers to the termination of the auction proceedings signaling an end to the price<br />

discovery process.<br />

<strong>Auction</strong> Report.<br />

"Service Provider" would provide an <strong>Auction</strong> Report to the Client containing a summary of the auction<br />

proceedings and outcome. The <strong>Auction</strong> Report would constitute the official communication from "Service<br />

Provider" to the client about the outcome of the <strong>Auction</strong>.

the auction, <strong>for</strong> new registration please call the below mentioned phone numbers.<br />

2. The EMD should be accompanied by a duly filled in CMS Pay-in-slip.<br />

3. CMS Pay-in-slips is available at above mentioned HDFC Banks.<br />

4. Outstation DD’s will not be accepted in HDFC Banks.<br />

5. In case of Lot wise EMD please mention the Lot No in the CMS Pay-in- slips.<br />

6. After depositing the EMD at the CMS account the Photocopy of the CMS slip<br />

receipt is to be faxed to the below phone numbers.<br />

7. For Participation Bidders have to fill in the <strong>for</strong>ms as in Annexure A as below with<br />

two copies of colored passport size photograph and the same to be send at mjunction<br />

office at Kolkata. Bidder ID card will be issued <strong>for</strong> all bidders.<br />

8. For any problem in lifting the issues to be raised to the Depot Manager of the<br />

relevant stores and if the issues are not resolved then to be escalated to the the<br />
