Collection Services<br />

RECOMMENDATION<br />

It is recommended that the Mayor <strong>an</strong>d Council Members approve <strong>an</strong> agreement with<br />

Law Enforcement Systems, LLC (LES) to provide delinquent parking citation collection<br />

services for the <strong>City</strong> <strong>an</strong>d its Client Agencies, from November 14, 2011, through April 16,<br />

2015, with <strong>an</strong> option for <strong>an</strong> additional three-year extension through April 16, 2018.<br />

BACKGROUND<br />

The <strong>City</strong> provides parking citation processing, m<strong>an</strong>agement, <strong>an</strong>d collection services for<br />

the <strong>City</strong> <strong>of</strong> <strong>Inglewood</strong> <strong>an</strong>d its Client Agencies that participate in the “<strong>Inglewood</strong> Citation<br />

M<strong>an</strong>agement Services” (ICMS) program. Collection <strong>of</strong> delinquent parking citations is<br />

<strong>of</strong>fered as <strong>an</strong> optional service available to our Client Agencies. Collection services are<br />

currently provided by our contract service provider, LES, under the direction <strong>of</strong><br />

<strong>Inglewood</strong>’s Parking <strong>an</strong>d Outsource Services Department. LES is a wholly owned<br />

subsidiary <strong>of</strong> Dunc<strong>an</strong> Solutions, which also provides the <strong>City</strong> with Parking Citation<br />

M<strong>an</strong>agement Systems <strong>an</strong>d related services.<br />

In 2006, the <strong>City</strong> selected LES to provide this service. The special collection programs<br />

<strong>an</strong>d services supplied by LES include <strong>an</strong> automated collection system for account<br />

m<strong>an</strong>agement, call center, back-<strong>of</strong>fice processing, skip tracing, production <strong>of</strong> a series <strong>of</strong><br />

collection notices, mailing <strong>of</strong> collection notices, processing <strong>of</strong> payments, credit <strong>report</strong>ing,<br />

processing FTB Tax Intercept Liens, <strong>an</strong>d updating the citation databases.<br />

Currently, the <strong>City</strong> <strong>an</strong>d 16 <strong>of</strong> its Client Agencies use the “Comprehensive Collection<br />

Services” option, <strong>an</strong>d <strong>an</strong> additional 14 agencies use the “FTB Limited or Full-Service”<br />

options for participation in the Fr<strong>an</strong>chise Tax Board (FTB) tax <strong>of</strong>fset program. The<br />

Comprehensive Collections Services option includes the FTB tax <strong>of</strong>fset program, plus<br />

additional collection efforts <strong>an</strong>d back-<strong>of</strong>fice processing <strong>an</strong>d customer service. These<br />

additional services provide for a customer service call center, correspondence<br />

processing, skip tracing, credit bureau <strong>report</strong>ing, <strong>an</strong>d processing <strong>of</strong> payments. LES also<br />

provides a toll-f ree telephone number for customer service <strong>an</strong>d provides staff for<br />

accounting <strong>an</strong>d fund distribution services. The LES collection system is used to file tax<br />

intercept lien data with the FTB <strong>an</strong>d process <strong>an</strong>d account for payments. The service<br />

agreement also requires LES to pay for the placement fees with the FTB for the Tax<br />

Offset Program <strong>an</strong>d reimburses DMV hold fees for Comprehensive Collection Service<br />

Client Agencies.<br />

The LES customer service staff is currently located in New York, Milwaukee, <strong>an</strong>d onsite<br />

at <strong>City</strong> Hall within the Parking & Outsource Services Department. The New York Office<br />

will be closed during the term <strong>of</strong> this agreement <strong>an</strong>d customer service <strong>an</strong>d comp<strong>an</strong>y<br />

administration will be tr<strong>an</strong>sferred to the Dunc<strong>an</strong> Solutions headquarters in Milwaukee.<br />

The cost for collection services is paid by <strong>Inglewood</strong> <strong>an</strong>d its Client Agencies based upon<br />

a commission rate typically applied to the citation fine due at the time <strong>of</strong> assignment to<br />

collections. The rate depends on the scope <strong>of</strong> the services requested by the client<br />

agencies <strong>an</strong>d citation issu<strong>an</strong>ce volume. The LES Comprehensive Collection Service<br />

fee is 30% to 45% <strong>of</strong> the amount collected.<br />

The delinquent parking collection program allows participating agencies to impose a<br />

“Cost <strong>of</strong> Collection Fee,” which is added to the delinquent parking citation fee due. This<br />

fee has been approved by the <strong>City</strong> <strong>of</strong> <strong>Inglewood</strong> <strong>an</strong>d the Client Agencies using the<br />

Comprehensive Collect Services Program.<br />

DISCUSSION<br />

<strong>Staff</strong> is <strong>recommending</strong> renewal <strong>of</strong> the LES agreement. The current LES contract was<br />

approved under agreement 06-116 <strong>an</strong>d was effective November 14, 2006, for <strong>an</strong> initial<br />

three-year period <strong>of</strong> November 14, 2006, to November 13, 2009. The agreement was<br />

previously extended by the <strong>City</strong> for two years through November 13, 2011.<br />

This action authorizes a new agreement with terms that are co-terminus with the<br />

Pr<strong>of</strong>essional Account M<strong>an</strong>agement Agreement (Dunc<strong>an</strong> Solutions’ California<br />

Corporation that provides parking citation processing systems <strong>an</strong>d services). The<br />

recommended term <strong>of</strong> this agreement is as follows:<br />

• Initial service period <strong>of</strong> November14, 2011, to April 16, 2015.<br />

• Optional extension service period <strong>of</strong> April 17, 2015, to April 16, 2018.<br />

LES will also provide the <strong>City</strong> <strong>of</strong> <strong>Inglewood</strong> with the Comprehensive Collection Service<br />

level <strong>of</strong> service at a reduced rate. <strong>Inglewood</strong>’s volume would normally result in a fee <strong>of</strong><br />

35% <strong>of</strong> the amount collected. The collection fee charged to <strong>Inglewood</strong> will be reduced<br />

to 30%. This is a 14.8% reduction <strong>an</strong>d will result in estimated <strong>an</strong>nual savings <strong>of</strong><br />

$45,000 in collection fees.

The award <strong>of</strong> this agreement is excluded from the competitive bid process pursu<strong>an</strong>t to<br />

the terms <strong>of</strong> the <strong>Inglewood</strong> Municipal Code Section 2-1 98.3. Pr<strong>of</strong>essional Service Type<br />

Contracts Excluded:<br />

“Nothing shall be construed to preclude the <strong>City</strong> from awarding a written contract for<br />

pr<strong>of</strong>essional type services as defined by case or statutory law, without complying with<br />

the provisions <strong>of</strong> this Article.” (Ord 2387 11-25-80; Ord. 06-04 4-11-06) <strong>an</strong>d;<br />

Section 8-1.40. Pr<strong>of</strong>essional Services.<br />

“Pr<strong>of</strong>essional Services” shall me<strong>an</strong> <strong>an</strong>y pr<strong>of</strong>essional service as that term is ordinarily<br />

<strong>an</strong>d commonly used <strong>an</strong>d understood, wherein individuals are engaged in the business<br />

<strong>of</strong> <strong>of</strong>fering to the public, pr<strong>of</strong>essional services for compensation shall include the<br />

services rendered by <strong>an</strong>y person engaged in the practice <strong>of</strong> law, architecture, medicine,<br />

surgery dentistry, accounting, collection agency, detective agency, engineer,<br />

draftsm<strong>an</strong>, mortuary, hospitals, escrow agency, travel agency, insur<strong>an</strong>ce broker,<br />

employment agency, advertising agency, real estate, chiropractics, <strong>an</strong>d optometry.<br />

(Ord 2450 9-13-83).<br />

ADDITIONAL CONSIDERATIONS<br />

A. The <strong>City</strong> is under agreement to provide citation processing <strong>an</strong>d collection<br />

services to 60 other public agencies under the ICMS government-to-government<br />

service program. The collection services provided by LES are <strong>an</strong> import<strong>an</strong>t<br />

component <strong>of</strong> these contract services.<br />

B. The <strong>City</strong>’s cost <strong>of</strong> collection penalty fee is authorized by <strong>City</strong> Ordin<strong>an</strong>ce 08-21<br />

“Fee for Collection <strong>of</strong> Delinquent Penalty Payments” under Chapter 3, Article 2,<br />

<strong>an</strong>d Section 3-61.1.<br />

FINANCIALIFUNDING ISSUES AND SOURCES<br />

The <strong>City</strong> <strong>of</strong> <strong>Inglewood</strong> processes approximately 65,000 citations per year with a value <strong>of</strong><br />

$5.2 million. Delinquency at 90 days from date <strong>of</strong> citation issu<strong>an</strong>ce is approximately<br />

30% with <strong>an</strong> estimated value <strong>of</strong> $3.0 million. Collection efforts by LES result in<br />

approximately $600,000 per year in additional parking fine revenue.<br />

Delinquent citation fines assigned to collection by <strong>Inglewood</strong> <strong>an</strong>d its Client Agencies<br />

using the collection service is approximately $29.6 million per year. The estimated<br />

<strong>an</strong>nual collection by LES from all sources is $10.4 million. The collection fees earned<br />

by LES on this amount are $3.4 million, <strong>of</strong> which $340,000 is paid <strong>an</strong>nually to the <strong>City</strong> to<br />

reimburse administration <strong>an</strong>d overhead costs <strong>of</strong> the ICMS outsource services program.<br />

4 (“<strong>City</strong>”) <strong>an</strong>d Law Enforcement Systems LLC (LES), a wholly owned subsidiary <strong>of</strong><br />

5 Dunc<strong>an</strong> Solutions, Inc., with its principal place <strong>of</strong> business located at 633 W.<br />

6 Wisconsin Avenue, Suite 1600, Milwaukee, WI 53203 (“Contractor”).<br />

7 WHEREAS <strong>City</strong> is seeking <strong>an</strong> experienced contractor which will provide<br />

8 collections <strong>an</strong>d related services for delinquent accounts receivables <strong>an</strong>d other<br />

9 indebtedness to the <strong>City</strong> <strong>an</strong>d to <strong>City</strong> Clients; <strong>an</strong>d<br />

10 WHEREAS, Contractor represents itself as capable <strong>an</strong>d qualified to provide<br />

ii such services; <strong>an</strong>d<br />

12 WHEREAS Contractor agrees that it has satisfied itself by its own investigation<br />

13 <strong>an</strong>d research regarding the conditions affecting the work to be done <strong>an</strong>d labor <strong>an</strong>d<br />

14 materials needed, <strong>an</strong>d that its decision to execute this Agreement is based on such<br />

is independent investigation <strong>an</strong>d research.<br />

16 NOW THEREFORE, the parties hereto agree as follows:<br />

17 ARTICLE I --SCOPE OF CONTRACTOR’S SERVICES<br />

19 1. Contractor shall provide all labor, materials, tools, <strong>of</strong>fice space, telephone<br />

20 charges, equipment, <strong>an</strong>d other items <strong>an</strong>d services necessary to properly perform the<br />

21 required services necessary to collect delinquent accounts receivable as assigned to<br />

22 Contractor by <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Clients. All collection efforts, telephone contacts made<br />

23 <strong>an</strong>d correspondence used by the Contractor must comply with applicable federal,<br />

24 state <strong>an</strong>d local laws. Contractor underst<strong>an</strong>ds <strong>an</strong>d agrees that it is solely responsible<br />

25 for <strong>an</strong>y action or inaction <strong>of</strong> its staff <strong>an</strong>d/or subcontractors that results in <strong>an</strong><br />

26 unsatisfactory perform<strong>an</strong>ce penalty being assessed against <strong>City</strong> <strong>an</strong>d/or Contractor in<br />

27 the h<strong>an</strong>dling <strong>of</strong> assigned collection accounts.<br />

1 2. Permits. Contractor shall obtain, at its own expense, all necessary<br />

2 licenses <strong>an</strong>d permits, including but not limited to those required by the <strong>City</strong> <strong>of</strong><br />

3 <strong>Inglewood</strong>, before performing <strong>an</strong>y services required under this Agreement. Contractor<br />

4 services shall include all taxes, delivery <strong>an</strong>d all other fees <strong>an</strong>d expenses.<br />

5 3. Pr<strong>of</strong>essional St<strong>an</strong>dard. Contractor represents <strong>an</strong>d warr<strong>an</strong>ts that it has<br />

6 the qualifications, experience, <strong>an</strong>d facilities necessary to properly perform services<br />

7 required under this Agreement in a first-class m<strong>an</strong>ner <strong>an</strong>d shall conform to the highest<br />

8 <strong>an</strong>d best pr<strong>of</strong>essional st<strong>an</strong>dards <strong>of</strong> quality observed by a person practicing in<br />

9 Contractor’s pr<strong>of</strong>ession. Accept<strong>an</strong>ce <strong>of</strong> the Contractor’s work by <strong>City</strong> does not<br />

10 operate as a release <strong>of</strong> Contractor’s representations.<br />

11 4. Customer Service. Contractor should make citizen satisfaction a priority<br />

12 in providing services under this Contract. Contractor’s employees should be trained to<br />

13 be customer-service oriented <strong>an</strong>d to positively <strong>an</strong>d politely interact with citizens when<br />

14 performing contract services.<br />

15 5. Accounts. Contractor is responsible for all costs incurred for delinquent<br />

16 citation collection (i.e. postage, printing, mailing, notices, remitt<strong>an</strong>ce processing,<br />

17 m<strong>an</strong>agement information <strong>an</strong>d <strong>report</strong>s, personnel <strong>an</strong>d administrative support, all<br />

18 necessary equipment, facilities, communications, s<strong>of</strong>tware programs, security,<br />

19 insur<strong>an</strong>ce, dispute resolution, customer service, telephone support, electronic <strong>an</strong>d<br />

20 m<strong>an</strong>ual skip tracing, <strong>an</strong>d credit bureau <strong>report</strong>ing). Contractor shall include <strong>City</strong> or <strong>City</strong><br />

21 Client identification <strong>an</strong>d/or other graphics as required by <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Clients.<br />

22 5.1 Account Update. Contractor shall update its account information system<br />

23 within two (2) days <strong>of</strong> receipt <strong>of</strong> new information (name, address, telephone number,<br />

24 registered owner information, etc.).<br />

25 5.2 Form; Content. The form, content,<strong>an</strong>d mailing sequence <strong>of</strong> all notices<br />

26 shall be reviewed <strong>an</strong>d approved by <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Clients prior to implementation.<br />

27 The Contractor must develop notices for duplex printing <strong>an</strong>d provide notices in both<br />

28 English <strong>an</strong>d Sp<strong>an</strong>ish. <strong>City</strong>, at its sole discretion, may modify form, content, sequence,<br />

1 number <strong>an</strong>d timing <strong>of</strong> notices that are mailed to violators. Any modification(s) shall be<br />

2 implemented not later th<strong>an</strong> ten (10) Business Days after receipt <strong>of</strong> <strong>City</strong>’s wriffen<br />

3 instructions.<br />

4 6 Mail Notices. Contractor shall send initial notices within ten (10) days <strong>of</strong><br />

5 <strong>an</strong> account being assigned <strong>an</strong>d subsequent notices as agreed to with <strong>City</strong> <strong>an</strong>d/or <strong>City</strong><br />

6 Client. Contractor underst<strong>an</strong>ds <strong>an</strong>d agrees to use its pr<strong>of</strong>essional discretion <strong>an</strong>d mail<br />

7 individually worded collection dem<strong>an</strong>ds with progressive degrees <strong>of</strong> intensity as<br />

8 required by <strong>City</strong> or <strong>City</strong>’s Clients.<br />

9 7 Telephone Contact. All telephone scripts shall be pre-approved by <strong>City</strong><br />

10 <strong>an</strong>d/or <strong>City</strong> Clients before their use by Contractor. The Contractor shall attempt to<br />

11 contact violators on a schedule determined by <strong>City</strong> <strong>an</strong>d/or <strong>City</strong>’s Clients. The intention<br />

12 is for the Contractor to continue to locate violators to encourage him/her to resolve<br />

13 their outst<strong>an</strong>ding accounts. The Contractor upon reaching a violator shall make every<br />

14 effort to resolve all outst<strong>an</strong>ding accounts. The attempted calls to the violator shall be<br />

15 varied as to the day <strong>an</strong>d the time <strong>of</strong> day to reasonably maximize the likelihood <strong>of</strong><br />

16 making contact. The Contractor must complete these telephone efforts as required by<br />

17 <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Clients. The Contractor must maintain Sp<strong>an</strong>ish speaking staff to<br />

18 assist Hisp<strong>an</strong>ic customers. The Contractor should provide <strong>an</strong> 800 phone line to assist<br />

19 violators in resolving their Cases; this phone number must be provided on all forms<br />

20 <strong>an</strong>d correspondence. Complaints received from the public <strong>an</strong>d the individual<br />

21 complaint resolution must be maintained in a system designated <strong>an</strong>d approved by<br />

22 <strong>City</strong>.<br />

23 8 Payment Processing. Contractor underst<strong>an</strong>ds that <strong>City</strong> <strong>an</strong>d <strong>City</strong> Clients<br />

24 may require different payment processing options. Contractor agrees, where required,<br />

25 to establish individual trust accounts, mutually agreed upon schedule for check or wire<br />

26 tr<strong>an</strong>sfers, <strong>an</strong>d direct payments to a post <strong>of</strong>fice box or other address designated by <strong>City</strong><br />

27 or <strong>City</strong>-Client. Contractor shalLpromptly; less <strong>an</strong>yagreed uponcommission, remitall<br />

1 money received to <strong>City</strong> or <strong>City</strong> Client, as previously agreed to in writing, as required by<br />

2 law or this Agreement.<br />

3 9 Interest; Late fees; Litigation. Contractor shall not, unless authorized in<br />

4 writing by <strong>an</strong> authorized <strong>City</strong> representative or authorized representative <strong>of</strong> a <strong>City</strong><br />

5 Client, assess <strong>an</strong>y interest or additional fees dn <strong>an</strong>y assigned accounts. Nor, shall<br />

6 Contractor arr<strong>an</strong>ge for or institute <strong>an</strong>y legal action without the prior written <strong>approval</strong> by<br />

7 <strong>an</strong> authorized <strong>City</strong> or <strong>City</strong> Client representative.<br />

8 10 <strong>Staff</strong>ing. Contractor shall provide <strong>City</strong> with one (1) contact person who<br />

9 will make themselves available to meet for operational discussions, attend meetings,<br />

10 review perform<strong>an</strong>ce <strong>an</strong>d assist in the preparation <strong>of</strong> proposals. This individual must<br />

11 have the authority to make <strong>an</strong>d implement policy ch<strong>an</strong>ges or modifications.<br />

12 Additionally, Contractor will provide the necessary staffing to m<strong>an</strong>age the delivery <strong>of</strong><br />

13 services required under this Agreement. Contractor shall be responsible for costs <strong>an</strong>d<br />

14 expenses related to collection staffing issues.<br />

15 11 Collection System. Contractor, at its own expense, shall provide a<br />

16 collection system to implement all services including, but not limited to: notice<br />

17 mailings, postage, address research, phone efforts, payment collections, tax intercept<br />

18 lien files, providing m<strong>an</strong>agement information <strong>an</strong>d <strong>report</strong>s, providing necessary<br />

19 equipment, facilities <strong>an</strong>d communications, personnel <strong>an</strong>d administrative support,<br />

20 s<strong>of</strong>tware/hardware/computer equipment, security <strong>an</strong>d insur<strong>an</strong>ce. Contractor agrees to<br />

21 allow <strong>City</strong> input in the design, testing <strong>an</strong>d accept<strong>an</strong>ce <strong>of</strong> all collection systems prior to<br />

22 their use in support <strong>of</strong> this Agreement.<br />

23 12 Back up. The Contractor shall have or create complete back-up systems<br />

24 <strong>an</strong>d capacity for all systems including hardware, s<strong>of</strong>tware, communication lines, <strong>an</strong>d<br />

25 other equipment. The Contractor shall retain sufficient back-up files so that<br />

26 reconstruction <strong>of</strong> all collection processing activities c<strong>an</strong> be accomplished for audit<br />

27 purposes <strong>an</strong>d emergency situations.<br />

1 13 Training. Contractor shall, at no charge, <strong>an</strong>d at the <strong>City</strong>’s request,<br />

2 conduct instruction <strong>an</strong>d training <strong>of</strong> <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Client personnel in connection with<br />

3 <strong>an</strong>y Contractor services, equipment, system(s) <strong>an</strong>d/or procedures.<br />

4 14 <strong>City</strong> Assist<strong>an</strong>ce. Contractor shall pay <strong>an</strong>d/or reimburse <strong>City</strong> for all travel<br />

5 related expenses (such as airfare, car rental, meals, registration, etc.) in which <strong>City</strong><br />

6 employees assist <strong>an</strong>d/or participate in meetings <strong>an</strong>d/or conferences with prospective<br />

7 <strong>an</strong>d/or current <strong>City</strong> Clients. Prior written <strong>approval</strong> <strong>of</strong> Contractor’s designee <strong>an</strong>d the<br />

8 <strong>City</strong> M<strong>an</strong>ager is required before <strong>City</strong>’s commitment to assist Contractor.<br />

9 15 Public Disclosure(s). Contractor specifically underst<strong>an</strong>ds <strong>an</strong>d agrees<br />

10 that it may not release <strong>an</strong>y information related to its perform<strong>an</strong>ce under this<br />

11 Agreement to the media without <strong>City</strong>’s prior written <strong>approval</strong>. Nor, shall Contractor<br />

12 issue Press Releases without <strong>City</strong> M<strong>an</strong>ager’s prior written <strong>approval</strong>.<br />

13 16 Tax Offset Program. Contractor may charge a fee <strong>of</strong> two dollars <strong>an</strong>d fifty<br />

14 cents ($2.50) per account for the direct expenses associated with the Tax Offset<br />

15 Program (Social Security Numbers, <strong>an</strong>d placement charges with the Fr<strong>an</strong>chise Tax<br />

16 Board). Any ch<strong>an</strong>ges or modifications in the placement fee shall not be effective<br />

17 unless it is approved in writing by <strong>City</strong> <strong>an</strong>d affected <strong>City</strong> Client(s).<br />

18 17 Termination fees. Contractor shall not be entitled to <strong>an</strong>y fees related to<br />

19 <strong>an</strong>y account withdrawn or c<strong>an</strong>celled by <strong>City</strong> or <strong>City</strong> Clients on <strong>an</strong>y payments received<br />

20 after one hundred twenty (120) days after termination <strong>of</strong> this Agreement. Contractor<br />

21 will not reactivate <strong>an</strong>y account previously returned to <strong>City</strong>, without express written<br />

22 permission by <strong>City</strong>.<br />

23 . ARTICLE 2 -- SCOPE OF CITY’S DUTIES<br />

24 <strong>City</strong> shall provide Contractor with such necessary <strong>an</strong>d appropriate information<br />

25 which it possesses <strong>an</strong>d which is necessary for carrying out the work as outlined in the<br />

26 Scope <strong>of</strong> Services.<br />

27 <strong>City</strong> agrees to provide Contractor’s personnel training on the use <strong>of</strong> <strong>City</strong>’s<br />

28 customer service systems.<br />

1 ARTICLE 3 -- COMPENSATION<br />

2 1.0 Client Fees. Payment to Contractor shall be dependent upon the<br />

3 contractual payment agreement, based on volume <strong>an</strong>d scope <strong>of</strong> services, negotiated<br />

4 between <strong>City</strong> <strong>an</strong>d Contractor <strong>an</strong>d <strong>City</strong> Clients. No Contractor collection fee shall be<br />

5 paid on accounts that have been dismissed or voided by <strong>City</strong> <strong>an</strong>d/or its Clients.<br />

6 Contractor underst<strong>an</strong>ds <strong>an</strong>d agrees that commission payments are contingent upon<br />

7 payment <strong>an</strong>d <strong>approval</strong> <strong>of</strong> payment by <strong>City</strong> Clients <strong>an</strong>d/or FTB distribution proceeds.<br />

8 <strong>City</strong> shall not be obligated for payment <strong>of</strong> <strong>an</strong>y Contractor services <strong>an</strong>d/or expenses if<br />

9 <strong>City</strong> does not receive a prior related <strong>an</strong>d corresponding payment from <strong>City</strong> Client(s).<br />

10 1.1 Percentage Based Collections. Contractor’s collection fee, excluding<br />

11 collection <strong>of</strong> collection cost recovery penalty fees authorized by <strong>City</strong> <strong>an</strong>dlor its Clients<br />

12 will r<strong>an</strong>ge from fifteen percent (15%) to thirty five percent (35%).<br />

13 1.2 Fixed Rate Collections. Contractor’s collection fee, excluding collection<br />

14 <strong>of</strong> collection cost recovery penalty fees authorized by <strong>City</strong> <strong>an</strong>d/or its Clients shall<br />

15 r<strong>an</strong>ge from twenty dollars ($20.00) to forty dollars ($40.00).<br />

16 1.3 Fr<strong>an</strong>chise Tax Board (FTB) Lite Service Process. Contractor’s<br />

17 collection fee for this service shall be two dollars <strong>an</strong>d fifty cents ($2.50) per account,<br />

18 plus fifteen percent (15%) <strong>of</strong> revenue collected. The FTB reimbursement fee may be<br />

19 adjusted <strong>an</strong>nuafly. However, <strong>an</strong>y ch<strong>an</strong>ge (increase/decrease) will require <strong>City</strong>’s prior<br />

20 written <strong>approval</strong>.<br />

21 1.4 Civil Filings. On accounts owing in excess <strong>of</strong> one thous<strong>an</strong>d dollars<br />

22 ($1,000.00) the collection fee shall be forty-five percent (45%) plus <strong>an</strong>y additional<br />

23 court fees.<br />

24 2.0 Commissions. The collection fee charged to <strong>City</strong> Clients is dependent<br />

25 on the volume <strong>an</strong>d level <strong>of</strong> service negotiated. Currently, <strong>City</strong> Clients are charged a<br />

26 collection fee <strong>of</strong> thirty percent (30%) to thirty five percent (35%), not including fees<br />

27 added by <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Clients for collection cost recovery fee(s). In order to<br />

28 request payment, Contractor agrees to provide <strong>City</strong> with a monthly commission <strong>report</strong><br />

1 that lists the commissions earned by LES for collection service agreements <strong>an</strong>d the<br />

2 corresponding <strong>City</strong> commission. The information provided in Contractor’s monthly<br />

3 commission <strong>report</strong> shall be subject to verification by <strong>City</strong>. <strong>City</strong> will generally process<br />

4 <strong>an</strong>d pay invoices within forty five (45) days <strong>of</strong> receipt.<br />

5 2.1 Contractor shall provide <strong>City</strong> with monthly <strong>City</strong> <strong>an</strong>d <strong>City</strong> Client<br />

6 statements <strong>an</strong>d reconciliation by the twenty-fifth (25th) <strong>of</strong> each month. A penalty <strong>of</strong><br />

7 one percent (1%), per collection service account, may be imposed on Contractor for<br />

8 failure to provide such statements <strong>an</strong>d reconciliations as required. Additionally, <strong>City</strong><br />

9 may impose a separate penalty <strong>of</strong> one percent (1%) on all collection account<br />

10 agreements, if Contractor fails to disburse <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Client funds within sixty<br />

ii (60) days <strong>of</strong> receipt.<br />

12 2.2 Contractor shall pay <strong>City</strong> a commission <strong>of</strong> eleven percent (11%) on all<br />

13 fees paid to Contractor on all renewing <strong>an</strong>d new <strong>City</strong> agreements obtained by<br />

14 Contractor <strong>an</strong>d approved by <strong>City</strong>.<br />

15 2.3 If <strong>City</strong> elects to exercise its option to extend the term <strong>of</strong> this Agreement,<br />

16 <strong>City</strong>’s commission from Contractor shall increase from eleven percent (11%) to twelve<br />

17 <strong>an</strong>d one-half percent (12.5%) on all collection fees paid to Contractor on all renewing<br />

18 <strong>an</strong>d new <strong>City</strong> agreements obtained by Contractor <strong>an</strong>d approved by <strong>City</strong>, less a FTB<br />

19 collection reimbursement fee <strong>of</strong> two dollars <strong>an</strong>d fifty cents ($2.50) per account.<br />

20 2.4 Contractor shall pay <strong>City</strong> a commission <strong>of</strong> five percent (5%) <strong>of</strong> net fees<br />

21 paid to Contractor on <strong>an</strong>y new California collection service agreement, with <strong>an</strong>nual<br />

22 citations less th<strong>an</strong> 500,000, obtained by Dunc<strong>an</strong> Solutions, Inc. or LES in which <strong>City</strong><br />

23 referred <strong>an</strong>d/or assisted in obtaining. Contractor <strong>an</strong>d <strong>City</strong> may negotiate the<br />

24 commission on accounts greater th<strong>an</strong> 500,000 <strong>an</strong>nual citations. This subsection is<br />

25 effective for <strong>an</strong>y collection service agreements entered into after J<strong>an</strong>uary 1, 2011.<br />

26 2.5 Fr<strong>an</strong>chise Tax Board (FTB) Full Service Process. The st<strong>an</strong>dard eleven<br />

27 percent (11%) commission rate does not apply to FTB collection services. Contractor<br />

28 shall pay <strong>City</strong> a commission <strong>of</strong> thirty-three percent (33%) <strong>of</strong> net collection fees paid to<br />

1 Contractor less a reimbursement fee <strong>of</strong> two dollars <strong>an</strong>d fifty cents ($2.50) per account.<br />

3 (increase/decrease) will require <strong>City</strong>’s prior written <strong>approval</strong>.<br />

5 <strong>City</strong> a commission <strong>of</strong> ten percent (10%) <strong>of</strong> collection fees paid to Contractor less a<br />

6 collection reimbursement fee <strong>of</strong> two dollars <strong>an</strong>d fifty cents ($2.50) per account. The<br />

7 FTB fee reimbursement fee may be adjusted <strong>an</strong>nually. However, <strong>an</strong>y ch<strong>an</strong>ge<br />

8 (increase/decrease) will require <strong>City</strong>’s prior written <strong>approval</strong>.<br />

9 3.0 Full Service Collections Program. Contractor shall pay <strong>City</strong> a<br />

10 commission <strong>of</strong> eleven percent (11%) <strong>of</strong> collection fees paid to Contractor.<br />

11 3.1 If <strong>City</strong> elects to exercise its option to extend the term <strong>of</strong> this Agreement,<br />

12 <strong>City</strong>’s commission from Contractor shall increase from eleven percent (11%) to twelve<br />

13 <strong>an</strong>d one-half percent (12.5%) on all collection fees paid to Contractor less a collection<br />

14 reimbursement fee <strong>of</strong> two dollars <strong>an</strong>d fifty cents ($2.50) per account.<br />

15 4.0 Contractor shall be responsible for providing <strong>City</strong> Client(s) with FTB<br />

16 collection services <strong>an</strong>d all associated costs (including but not limited to: SSN’s, notice<br />

17 printing, mailing, receipt <strong>of</strong> payments, <strong>an</strong>d other optional customer services).<br />

18 4.1 <strong>City</strong> Client(s) may select additional collection services such as skip<br />

19 tracing, customer service <strong>an</strong>d remitt<strong>an</strong>ce processing. Depending on the services<br />

20 provided, Contractor shall be entitled to a collection service fee, from <strong>City</strong> Clients,<br />

21 between fifteen percent (15%) <strong>an</strong>d thirty-five percent (35%). Additional services<br />

22 include skip tracing, customer service <strong>an</strong>d remitt<strong>an</strong>ce processing.<br />

23 5.0 Contractor is responsible for the pl<strong>an</strong>ning <strong>an</strong>d preparation <strong>of</strong> the <strong>an</strong>nual<br />

24 FTB Tax Offset filing with the State <strong>of</strong> California by the second Monday in December.<br />

25 If Contractor fails to complete the filing as required, <strong>City</strong> may impose on Contractor a<br />

26 penalty fee <strong>of</strong> seventy five dollars ($75.00) for each calendar day, continuing to the<br />

27 time the FTB accepts the FTB Tax Offset filing.<br />

1 6.0 Additionally, Contractor is solely fin<strong>an</strong>cially responsible for the action or<br />

2 inaction <strong>of</strong> its staff that result in a disruption <strong>of</strong> services, penalties being assessed<br />

3 <strong>an</strong>d/or requests for fee waivers by/to <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Clients.<br />

4 7.0 <strong>City</strong> shall retain <strong>an</strong>d Contractor shall not be entitled to a collection fee or<br />

5 portion <strong>of</strong> a collection fee on <strong>an</strong>y account that is received after one hundred twenty<br />

6 (120) days after the termination <strong>of</strong> this Agreement.<br />

7 ARTICLE 4—TERM<br />

8 This Agreement shall begin on the date <strong>of</strong> its full execution <strong>an</strong>d expire on April<br />

9 16, 2015 unless terminated earlier. <strong>City</strong>, at its sole option, has the right to extend the<br />

10 term <strong>of</strong> this Agreement for <strong>an</strong> additional three (3) year period, based on the same<br />

11 terms <strong>an</strong>d conditions <strong>of</strong> this Agreement. <strong>City</strong> shall notify Contractor in writing <strong>of</strong> its<br />

12 exercise <strong>of</strong> its option for <strong>an</strong> additional term not less th<strong>an</strong> sixty (60) days prior to the<br />

13 end <strong>of</strong> the then current term.<br />

14 ARTICLE 5—TERMINATION<br />

15 <strong>City</strong> shall have the right at <strong>an</strong>y time to temporarily suspend Contractor’s<br />

16 perform<strong>an</strong>ce under this Agreement, in whole or in part, by giving a written notice <strong>of</strong><br />

17 suspension to Contractor. If <strong>City</strong> gives such notice <strong>of</strong> suspension, Contractor shall<br />

18 immediately suspend its activities under this Agreement, as specified in such notice.<br />

19 <strong>City</strong> shall have the right to terminate this Agreement at <strong>an</strong>y time by giving a<br />

20 written notice <strong>of</strong> termination to Contractor.<br />

21 Upon such suspension or termination by <strong>City</strong>, Contractor may be paid for the<br />

22 services rendered to <strong>City</strong> in accord<strong>an</strong>ce with the scope <strong>of</strong> services on or before the<br />

23 effective date <strong>of</strong> the suspension or termination. However, if this Agreement is<br />

24 suspended or terminated on account <strong>of</strong> a default by Contractor, <strong>City</strong> will be obligated<br />

25 to compensate Contractor only for that portion <strong>of</strong> Contractor’s services which are a<br />

26 direct <strong>an</strong>d immediate benefit to <strong>City</strong> as determined by the <strong>City</strong> M<strong>an</strong>ager. <strong>City</strong> shall not<br />

27 in <strong>an</strong>y m<strong>an</strong>ner be liable for lost pr<strong>of</strong>its, interest, or late fees that Contractor might have<br />

1 been entitled to had the Agreement not been terminated or had Contractor completed<br />

2 the services under this Agreement.<br />

3 ARTICLE 6— NOTICES<br />

4 Any notices given pursu<strong>an</strong>t to this Agreement shall be deemed received <strong>an</strong>d<br />

5 effective when properly addressed, postage prepaid, <strong>an</strong>d deposited in the United<br />

6 States mail to the respective parties as follows:<br />

15 ARTICLE 7 --NO AGENCY RELATIONSHIP<br />

16 No agency relationship between Contractor <strong>an</strong>d <strong>City</strong> is intended or created by<br />

17 this Agreement. Contractor is not authorized <strong>an</strong>d shall not at <strong>an</strong>y time or in <strong>an</strong>y<br />

18 m<strong>an</strong>ner represent that it is <strong>an</strong> agent, serv<strong>an</strong>t, or employee <strong>of</strong> <strong>City</strong>; it being expressly<br />

19 understood that Contractor is <strong>an</strong>d at all times shall remain a wholly independent<br />

20 contractor. Contractor shall have no authority to bind <strong>City</strong> in <strong>an</strong>y m<strong>an</strong>ner, to incur <strong>an</strong>y<br />

21 obligation, debt, or liability <strong>of</strong> <strong>an</strong>y kind on behalf <strong>of</strong> or against <strong>City</strong>, whether by contract<br />

22 or otherwise, unless such authority is expressly conferred in writing by <strong>an</strong> authorized<br />

23 representative <strong>of</strong> <strong>City</strong>.<br />

24 Neither Contractor, nor <strong>an</strong>y <strong>of</strong> Contractor’s <strong>of</strong>ficers, employees, or agents, shall<br />

25 obtain rights to retirement, health care, or <strong>an</strong>y other benefits which may otherwise<br />

26 accrue to <strong>City</strong>’s employees. Contractor expressly waives <strong>an</strong>y claim Contractor may<br />

27 have to <strong>an</strong>y such rights. Contractor agrees to purchase its own worker’s<br />

28 compensation insur<strong>an</strong>ce for California.<br />

1 ARTICLE 8— OWNERSHIP OF DOCUMENTS<br />

2 Except for LES proprietary information, s<strong>of</strong>tware or technology, all other<br />

3 documents prepared, developed, or discovered by Contractor in the course <strong>of</strong><br />

4 providing <strong>an</strong>y services pursu<strong>an</strong>t to this Agreement including but not limited to original<br />

5 studies, surveys, <strong>report</strong>s, data, notes, computer files, <strong>an</strong>d all other documents are <strong>an</strong>d<br />

6 shall remain the sole property <strong>of</strong> the <strong>City</strong> <strong>an</strong>d may not be used, reused, or otherwise<br />

7 disposed <strong>of</strong> without the permission <strong>of</strong> the <strong>City</strong>. Upon completion, expiration, or<br />

8 termination <strong>of</strong> this Agreement, Contractor shall give <strong>City</strong> all such documents, including<br />

9 but not limited to original studies, surveys, <strong>report</strong>s, data, notes, computer files, files,<br />

10 <strong>an</strong>d other documents.<br />

11 Any <strong>an</strong>d all records or documents required to be maintained pursu<strong>an</strong>t to this<br />

12 section shall be made available for inspection, audit, <strong>an</strong>d copying, at <strong>an</strong>y time during<br />

13 regular business hours, upon written request by <strong>City</strong> or its designated representative.<br />

14 Where <strong>City</strong> has reason to believe that <strong>an</strong>y <strong>of</strong> the documents or records required<br />

15 to be maintained pursu<strong>an</strong>t to this section may be lost or discarded due to dissolution<br />

16 or termination <strong>of</strong> Contractor’s business, <strong>City</strong> may, by written request, require that<br />

17 custody <strong>of</strong> such documents or records be maintained by the requesting party. Access<br />

18 to such documents <strong>an</strong>d records shall be gr<strong>an</strong>ted to <strong>City</strong>, as well as to its successors-<br />

19 in-interest <strong>an</strong>d authorized representatives.<br />

20 ARTICLE 9— STATUS OF CONTRACTOR<br />

21 Contractor is <strong>an</strong>d shall at all times remain a wholly independent Contractor <strong>an</strong>d<br />

22 not <strong>an</strong> <strong>of</strong>ficer, employee or agent <strong>of</strong> <strong>City</strong>. Contractor shall have no authority to bind<br />

23 <strong>City</strong> in <strong>an</strong>y m<strong>an</strong>ner, to incur <strong>an</strong>y obligation, debt or liability <strong>of</strong> <strong>an</strong>y kind on behalf <strong>of</strong> or<br />

24 against <strong>City</strong>, whether by contract or otherwise, unless such authority is expressly<br />

25 conferred in writing by <strong>an</strong> authorized representative <strong>of</strong> <strong>City</strong>.<br />

26 Contractor’s personnel performing the services under this Agreement on behalf<br />

27 <strong>of</strong> Contractor shall at all times be under Contractor’s exclusive direction <strong>an</strong>d control.<br />

28 The <strong>City</strong>, <strong>an</strong>y elected or appointed boards, commissions, committees, <strong>of</strong>ficers,<br />

1 <strong>of</strong>ficials, employees or agents <strong>of</strong> <strong>City</strong>, shall not have control over the conduct <strong>of</strong><br />

2 Contractor or <strong>an</strong>y <strong>of</strong> the Contractor’s <strong>of</strong>ficers, employees, or agents, except as set<br />

3 forth in this Agreement. Contractor shall not at <strong>an</strong>y time or in <strong>an</strong>y m<strong>an</strong>ner represent<br />

4 that Contractor or <strong>an</strong>y <strong>of</strong> Contractor’s <strong>of</strong>ficers, employees, or agents are in <strong>an</strong>y<br />

5 m<strong>an</strong>ner <strong>of</strong>ficials, <strong>of</strong>ficers, employees, or agents <strong>of</strong> <strong>City</strong>.<br />

6 Neither Contractor, nor <strong>an</strong>y <strong>of</strong> Contractor’s <strong>of</strong>ficers, employees, or agents, shall<br />

7 obtain rights to retirement, health care or <strong>an</strong>y other benefits which may otherwise<br />

8 accrue to <strong>City</strong>’s employees. Contract expressly waives <strong>an</strong>y claim Contractor may<br />

9 have to <strong>an</strong>y such rights. Contractor agrees to purchase its own worker’s<br />

10 compensation insur<strong>an</strong>ce for New York <strong>an</strong>d California.<br />

11 ARTICLE 10— CONFIDENTIAL INFORMATION, RELEASE OF INFORMATION<br />

12 All information gained or work product produced by Contractor in perform<strong>an</strong>ce<br />

13 <strong>of</strong> this Agreement shall be considered confidential, unless such information is in the<br />

14 public domain. Contractor shall not release or disclose <strong>an</strong>y such information or work<br />

15 product to persons or entities other th<strong>an</strong> to <strong>City</strong> without the prior written authorization<br />

16 <strong>of</strong> the <strong>City</strong> M<strong>an</strong>ager, except as may be required by law.<br />

17 Contractor, its <strong>of</strong>ficers, employees, agents, or subcontractors, shall not<br />

18 voluntarily provide declarations, letters <strong>of</strong> support, <strong>an</strong>d testimony at depositions,<br />

19 respond to a court order or subpoena, response to interrogatories, or other information<br />

20 concerning the work performed under this Agreement without <strong>City</strong>’s prior written<br />

21 <strong>approval</strong>, which will not be unreasonably withheld.<br />

22 If Contractor, or <strong>an</strong>y <strong>of</strong>ficer, employee, agent, or subcontractor <strong>of</strong> Contractor,<br />

23 provides <strong>an</strong>y information <strong>of</strong> work product in violation <strong>of</strong> this Agreement, then <strong>City</strong> shall<br />

24 have the right to reimbursement <strong>an</strong>d indemnity from Contractor for <strong>an</strong>y damages,<br />

25 costs, <strong>an</strong>d fees, including attorney fees, caused by or incurred as a result <strong>of</strong><br />

26 Contractor’s conduct.<br />

27 Contractor shall promptly notify <strong>City</strong> should Contractor, its <strong>of</strong>ficers, employees,<br />

28 agents, or subcontractors are served with <strong>an</strong>y summons, complaint, subpoena, notice<br />

2 discovery request, court order, or subpoena from <strong>an</strong>y party regarding this Agreement<br />

3 <strong>an</strong>d the work performed there under. <strong>City</strong> retains the right, but has no obligation, to<br />

4 represent Contractor or be present at <strong>an</strong>y deposition, hearing, or similar court-ordered<br />

5 proceeding. Contractor agrees to cooperate fully with <strong>City</strong> <strong>an</strong>d to provide <strong>City</strong> with the<br />

6 opportunity to review <strong>an</strong>y response to discovery requests served on Contractor <strong>an</strong>d<br />

7 proposed responses thereto. However, this right to review <strong>an</strong>y response does not<br />

8 imply or me<strong>an</strong> the right by <strong>City</strong> to control, direct, or rewrite said response.<br />

9 ARTICLE 11 — INSURANCE<br />

10 Contractor shall not commence Services under this Agreement until it has<br />

11 provided evidence satisfactory to the <strong>City</strong> that it has secured all required insur<strong>an</strong>ce.<br />

12 Additionally, Contractor shall not allow <strong>an</strong>y subcontractor to commence work until it<br />

13 has provided evidence satisfactory to the <strong>City</strong> that the subcontractor has secured all<br />

14 insur<strong>an</strong>ce required under this Agreement.<br />

15 Contractor shall procure <strong>an</strong>d maintain for the duration <strong>of</strong> the contract insur<strong>an</strong>ce<br />

16 against claims for injuries to persons or damages to property that may arise from or in<br />

17 connection with the perform<strong>an</strong>ce <strong>of</strong> work hereunder by the Contractor, his agents,<br />

18 representatives, or employees. The cost <strong>of</strong> such insur<strong>an</strong>ce shall be borne by the<br />

19 Contractor.<br />

20 Minimum Scope <strong>of</strong> Coverage<br />

21 Coverage shall be at least as broad as:<br />

22 1. Insur<strong>an</strong>ce Services Office Commercial General Liability coverage<br />

23 (occurrence form CG 0001)<br />

24 2. Insur<strong>an</strong>ce Services Office Form Number CA 0001 covering Automobile<br />

25 Liability, Code 1 (<strong>an</strong>y auto).<br />

26 3. Workers’ Compensation insur<strong>an</strong>ce as required by the State <strong>of</strong> California<br />

27 <strong>an</strong>d Employer’s Liability Insur<strong>an</strong>ce.<br />

1 Minimum Limits <strong>of</strong> Insur<strong>an</strong>ce<br />

2 Contractor shall maintain no less th<strong>an</strong>:<br />

3 1. General Liability: $1,000,000 per occurrence for bodily injury,<br />

4 personal injury <strong>an</strong>d property damage. The general aggregate limit shall apply<br />

5 separately to this project/location. Defense costs shall be paid in addition to the limits.<br />

6 The policy shall not contain <strong>an</strong>y endorsements or provisions limiting coverage for (1)<br />

7 products <strong>an</strong>d completed operations; (2) contractual liability; (3) third party action over<br />

8 claims; or (4) cross liability exclusion for claims or suits by one insured against<br />

9 <strong>an</strong>other.<br />

10 2. Automobile Liability: $1,000,000 per accident for bodily injury <strong>an</strong>d<br />

11 property damage<br />

12 3. Employer’s Liability: $1,000,000 per accident for bodily injury or<br />

13 disease.<br />

14 4. Pr<strong>of</strong>essional Liability: Errors <strong>an</strong>d omissions with minimum limits <strong>of</strong><br />

15 $1,000,000. If coverage is written on a claims-made basis, the retroactive date shall<br />

16 precede the effective date <strong>of</strong> the initial Agreement <strong>an</strong>d continuous coverage will be<br />

17 maintained or <strong>an</strong> extended <strong>report</strong>ing period will be exercised for a period <strong>of</strong> at least<br />

18 three (3) years from termination or expiration <strong>of</strong> this Agreement.<br />

19 Deductibles <strong>an</strong>d Self-Insured Retentions<br />

20 Any deductibles or self-insured retentions must be declared to <strong>an</strong>d approved by<br />

21 the <strong>City</strong>. At the option <strong>of</strong> the <strong>City</strong>, either: the insurer shall reduce or eliminate such<br />

22 deductibles or self-insured retentions as respects the <strong>City</strong>, <strong>an</strong>d its <strong>of</strong>ficers, <strong>of</strong>ficials,<br />

23 employees <strong>an</strong>d volunteers; or the Lessee shall provide a fin<strong>an</strong>cial guar<strong>an</strong>tee<br />

24 satisfactory to the <strong>City</strong> guar<strong>an</strong>teeing payment <strong>of</strong> losses <strong>an</strong>d related investigations,<br />

25 claims administration <strong>an</strong>d defense expenses.<br />

26 Other Insur<strong>an</strong>ce Provisions<br />

27 The general liability <strong>an</strong>d automobile liability policies are to contain, or be<br />

28 endorsed to contain, the following provisions:<br />

1 1. Additional Insured. The <strong>City</strong>, <strong>an</strong>d its <strong>of</strong>ficers, <strong>of</strong>ficials, employees <strong>an</strong>d<br />

2 volunteers are to be covered as additional insureds with respect to liability arising out<br />

3 <strong>of</strong> work or operations performed by or on behalf <strong>of</strong> the Contractor; or automobiles<br />

4 owned, leased, hired or borrowed by the Contractor. Additional insured endorsements<br />

5 shall not (1) be restricted to “ongoing operations”; (2) exclude “contractual liability”; (3)<br />

6 restrict coverage to “sale” liability <strong>of</strong> Contractor; or (4) contain <strong>an</strong>y other exclusions<br />

7 contrary to this Agreement.<br />

8 2. Primary Insur<strong>an</strong>ce <strong>an</strong>d N<strong>an</strong>-Contributing Insur<strong>an</strong>ce. For <strong>an</strong>y claims<br />

9 related to this project, the Contractor’s insur<strong>an</strong>ce coverage shall be primary as<br />

10 respects the <strong>City</strong>, <strong>an</strong>d its <strong>of</strong>ficers, <strong>of</strong>ficials, employees <strong>an</strong>d volunteers. Any insur<strong>an</strong>ce<br />

11 or self-insur<strong>an</strong>ce maintained by the <strong>City</strong>, its <strong>of</strong>ficers, <strong>of</strong>ficials, employees or volunteers<br />

12 shall be non-contributing <strong>an</strong>d in excess <strong>of</strong> the <strong>of</strong> the Contractor’s insur<strong>an</strong>ce.<br />

13 3. C<strong>an</strong>cellation. Each insur<strong>an</strong>ce policy required by this clause shall be<br />

14 endorsed to state that coverage shall not be c<strong>an</strong>celed, or the coverage suspended,<br />

15 voided, reduced or allowed to expire, except after thirty (30) days’ prior written notice<br />

16 by certified mail, return receipt requested, has been given to the <strong>City</strong>. The <strong>City</strong> will<br />

17 accept ten (10) days prior written notice for non-payment <strong>of</strong> premium.<br />

18 4. Coverage shall not extend to <strong>an</strong>y indemnity coverage for the active<br />

19 negligence <strong>of</strong> the additional insured in <strong>an</strong>y case where <strong>an</strong> agreement to indemnify the<br />

20 additional insured would be invalid under Civil Code Section 2782 (b).<br />

21 5. Failure to Maintain Coverage. Contractor agrees to suspend <strong>an</strong>d<br />

22 cease all operations under this Agreement during such period <strong>of</strong> time if the required<br />

23 insur<strong>an</strong>ce coverage is not in effect <strong>an</strong>d evidence <strong>of</strong> insur<strong>an</strong>ce has not been furnished<br />

24 to the <strong>City</strong>. The <strong>City</strong> shall have the right to withhold <strong>an</strong>y payment due Contractor until<br />

25 Contractor has fully complied with the insur<strong>an</strong>ce provisions <strong>of</strong> this Agreement.<br />

26 6. Acceptability <strong>of</strong> Insurers. Insur<strong>an</strong>ce is to be placed with insurers that<br />

27 are authorized to conduct business within the State <strong>of</strong> California <strong>an</strong>d have a current<br />

28 A.M. Best rating <strong>of</strong> not less th<strong>an</strong> A:Vll.<br />

7. Verification <strong>of</strong> Coverage. Contractor shall furnish the <strong>City</strong> with original<br />

certificates <strong>an</strong>d amendatory endorsements affecting coverage required by this clause.<br />

The endorsements should be on forms provided by the <strong>City</strong> or on other th<strong>an</strong> the <strong>City</strong>’s<br />

forms, provided those endorsements or policies conform to the requirements. All<br />

certificates <strong>an</strong>d endorsements are to be received <strong>an</strong>d approved by the <strong>City</strong> before<br />

work commences. The <strong>City</strong> reserves the right to require complete, certified copies <strong>of</strong><br />

all required insur<strong>an</strong>ce policies, including endorsements affecting the coverage<br />

required by these specifications at <strong>an</strong>y time.<br />

Hold Harmless:<br />

Contractor agrees to hold <strong>City</strong> harmless from <strong>an</strong>y liability for bodily or personal<br />

injury to or death <strong>of</strong> <strong>an</strong>y person <strong>an</strong>d for injury to or loss <strong>of</strong> <strong>an</strong>y property resulting from<br />

or arising out <strong>of</strong> the negligent or wrongful acts <strong>of</strong> Contractor, its <strong>of</strong>ficers, employees,<br />

agents, or representatives, in perform<strong>an</strong>ce or failure to perform <strong>an</strong>y services required<br />

by this Agreement.<br />

ARTICLE 12—ASSIGNMENT, TRANSFER OR SUBCONTRACTING<br />

Contractor shall not subcontract, sub-consult, assign, or tr<strong>an</strong>sfer <strong>an</strong>y work<br />

under this Agreement without the prior written consent <strong>of</strong> the <strong>City</strong> M<strong>an</strong>ager, which<br />

consent, if given at all, shall be in the <strong>City</strong> M<strong>an</strong>ager’s sole judgment <strong>an</strong>d discretion.<br />

Neither this Agreement, nor <strong>an</strong>y term nor provision here<strong>of</strong> or right hereunder, shall be<br />

assignable unless as approved pursu<strong>an</strong>t to this article, <strong>an</strong>d <strong>an</strong>y attempt to make such<br />

assignment (unless approved) shall be void. <strong>City</strong> assumes no responsibility<br />

whatsoever concerning compensation. Contractor shall be fully responsible to <strong>City</strong> for<br />

all acts <strong>an</strong>d omissions <strong>of</strong> a subcontractor <strong>an</strong>d/or sub-consult<strong>an</strong>t.<br />

ARTICLE 13— EQUAL EMPLOYMENT OPPORTUNITY<br />

Contractor agrees that during the perform<strong>an</strong>ce <strong>of</strong> this Agreement, it shall not<br />

discriminate against <strong>an</strong>y employee or applic<strong>an</strong>t for employment because <strong>of</strong> race,<br />

creed, religion, color, sex, sexual orientation, age,~ disability, or national origin.<br />

1 ARTICLE 14— GOVERNING LAW; VENUE<br />

2 This Agreement shall be interpreted, construed, <strong>an</strong>d governed according to the<br />

3 laws <strong>of</strong> the State <strong>of</strong> California. In the event <strong>of</strong> litigation between the parties, venue in<br />

4 state trial courts shall lie exclusively in the County <strong>of</strong> Los Angeles, Superior Court,<br />

5 Southwest District, located at 825 Maple Avenue, Torr<strong>an</strong>ce, California 90503-5058. In<br />

6 the event <strong>of</strong> litigation in the United States District Court, venue shall lie exclusively in<br />

7 the Central District <strong>of</strong> California, in Los Angeles.<br />

8 ARTICLE 15— MISCELLANEOUS<br />

9 1. Non-exclusive. This Agreement is non-exclusive <strong>an</strong>d that <strong>City</strong> may enter<br />

10 into other collection services agreements for delinquent accounts receivable <strong>an</strong>d other<br />

11 indebtedness to <strong>City</strong> <strong>an</strong>d/or <strong>City</strong> Clients.<br />

12 2. Extra Work. Contractor shall not receive compensation for <strong>an</strong>y services<br />

13 provided outside the scope <strong>of</strong> services listed above unless the <strong>City</strong> M<strong>an</strong>ager or his<br />

14 designee, prior to Contractor performing the additional services, approves such<br />

15 additional services in writing. It is specifically understood that oral requests <strong>an</strong>d/or<br />

16 <strong>approval</strong>s <strong>of</strong> such additional services or additional compensation shall be barred <strong>an</strong>d<br />

17 are unenforceable. Contractor shall not charge <strong>an</strong>d <strong>City</strong> shall not pay <strong>an</strong>y fin<strong>an</strong>ce<br />

18 charges <strong>an</strong>d/or late fees on <strong>an</strong>y overdue invoices.<br />

19 3. <strong>City</strong> S<strong>of</strong>tware. Contractor agrees that it has not had in the past, does<br />

20 not have in the present, <strong>an</strong>d will not have in the future <strong>an</strong>y ownership or proprietary<br />

21 rights, title, to or interest in <strong>an</strong>y <strong>City</strong> s<strong>of</strong>tware <strong>an</strong>d/or parking citation system.<br />

22 Contractor further agrees that it will not use <strong>an</strong>y <strong>City</strong> s<strong>of</strong>tware or other <strong>City</strong> proprietary<br />

23 <strong>an</strong>d/or confidential information, currently developed or in development, to compete, or<br />

24 assist a third party to compete, directly or indirectly with <strong>City</strong> as it relates to parking<br />

25 citation services.<br />

26 4. Right to Audit. <strong>City</strong> <strong>an</strong>d/or its Clients shall have access to <strong>an</strong>d the right<br />

27 to examine, audit, excerpt copy or tr<strong>an</strong>scribe <strong>an</strong>y pertinent tr<strong>an</strong>saction, activity, or<br />

28 record relating to this Agreement. <strong>City</strong> auditors, at all reasonable times, shall have<br />

1 access to the <strong>of</strong>fices <strong>of</strong> Contractor <strong>an</strong>d its subcontractors, <strong>an</strong>d all necessary records,<br />

2 <strong>an</strong>d shall be provided adequate working area for the <strong>City</strong> auditors to conduct audits in<br />

3 compli<strong>an</strong>ce with this Agreement. Such working area shall include: a desk, chair,<br />

4 calculator <strong>an</strong>d telephone, <strong>an</strong>d shall have ready access to a photocopy <strong>an</strong>d facsimile<br />

5 machine. <strong>City</strong> auditors shall be allowed to interview <strong>an</strong>y employee <strong>of</strong> Contractor <strong>an</strong>d<br />

6 its subcontractors throughout the term <strong>of</strong> this Agreement <strong>an</strong>d for a period <strong>of</strong> five (5)<br />

7 years after final payment or longer if required by law. All materials, including all<br />

8 pertinent fin<strong>an</strong>cial records <strong>an</strong>d proprietary data, shall be stored <strong>an</strong>d maintained by<br />

9 Contractor at its main facility. Originals <strong>an</strong>d/or copies <strong>of</strong> such documents or records<br />

10 shall be provided, at Contractor’s expense, directly to the <strong>City</strong>.<br />

11 5. Interpretation. The parties waive <strong>an</strong>y benefits from the principles <strong>of</strong><br />

12 contra pr<strong>of</strong>erentum <strong>an</strong>d interpreting ambiguities against drafters. No party shall be<br />

13 deemed to be the drafter <strong>of</strong> this Agreement, or <strong>of</strong> <strong>an</strong>y particular provision or<br />

14 provisions, <strong>an</strong>d no part <strong>of</strong> this Agreement shall be construed against <strong>an</strong>y party on the<br />

15 basis that the particular party is the drafter <strong>of</strong> <strong>an</strong>y part <strong>of</strong> this Agreement.<br />

16 6. Article titles, paragraph titles or captions contained herein are inserted<br />

17 as a matter <strong>of</strong> convenience <strong>an</strong>d for reference, <strong>an</strong>d in no way define, limit, extend, or<br />

18 describe the scope <strong>of</strong> this Agreement or <strong>an</strong>y provision here<strong>of</strong>.<br />

19 7. Counterparts. This Agreement may be executed in counterparts, <strong>an</strong>d<br />

20 when each party hereto has signed <strong>an</strong>d delivered at least one such counterpart, each<br />

21 counterpart shall be deemed <strong>an</strong> original <strong>an</strong>d, when taken together with the other<br />

22 signed counterparts, shall constitute one Agreement, which shall be binding upon <strong>an</strong>d<br />

23 effective as to all parties hereto.<br />

24 8. Severability; Invalidity. In the event that <strong>an</strong>y condition or coven<strong>an</strong>t<br />

25 herein is held to be invalid or void by <strong>an</strong>y court <strong>of</strong> competent jurisdiction, the same<br />

26 shall be deemed severable from the remainder <strong>of</strong> the Agreement <strong>an</strong>d shall in no way<br />

27 affect <strong>an</strong>y other coven<strong>an</strong>t or condition herein contained as long as the invalid provision<br />

28 does not render the Agreement me<strong>an</strong>ingless with regard to a material term in which<br />

1 event the entire Agreement shall be void. If such condition, coven<strong>an</strong>t, or other<br />

2 provision shall be deemed invalid due to its scope <strong>of</strong> breadth, such provision shall be<br />

3 deemed valid to the extent <strong>of</strong> the scope <strong>of</strong> breadth permitted by law.<br />

4 9. Entire Agreement. This Agreement is the entire, complete, final <strong>an</strong>d<br />

5 exclusive expression <strong>of</strong> the parties with respect to the matters addressed therein <strong>an</strong>d<br />

6 supersedes all other Agreements or underst<strong>an</strong>dings, whether oral or written, or<br />

7 entered into between Contractor <strong>an</strong>d <strong>City</strong> prior to the execution <strong>of</strong> this Agreement. No<br />

8 statements, representations or other Agreements, whether oral or written, made by<br />

9 <strong>an</strong>y party which are not embodied herein shall be valid <strong>an</strong>d binding unless in writing<br />

10 <strong>an</strong>d duly executed by the parties or their authorized representatives.<br />
