Iberostar Hoteles y Apartamentos, S.L. formalised a share loan commitment agreement
with ACS, Actividades de Construcción y Servicios, S.A. by which it makes the shares
of ACS available to the company to be used in combination with its portfolio and/or
the shares it issues in the takeover bid for Hochtief. In the end, these shares were not
authorised by the German regulator in the prospectus giving rise to the approval of the
takeover bid. The expenses incurred by ACS in relation to this share loan commitment
was EUR 2,860 thousand.
