(9) Mr. Harrison was a director of Gauntlet Energy Corporation in June 2003 when it filed for and was granted an order pursuant to the Companies’ Creditors Arrangement Act (Canada). A plan of arrangement for that company received court confirmation later that year. (10) Mr. O’Brien resigned as a director of Air Canada on November 26, 2003. On April 1, 2003, Air Canada obtained an order from the Ontario Superior Court of Justice providing creditor protection under the Companies’ Creditors Arrangement Act (Canada). Air Canada also made a concurrent petition under Section 304 of the U.S. Bankruptcy Code. On September 30, 2004, Air Canada announced that it had successfully completed its restructuring process and implemented its Plan of Arrangement. Encana does not have an Executive Committee of its Board of Directors. At the date of this annual information form, there are 11 directors of the Company. All of the current directors were elected at the last annual meeting of shareholders held on April 20, 2011. At the next annual meeting, shareholders will be asked to elect as directors each of the individuals listed in the above table, with the exception of Barry W. Harrison, who has reached the Company’s mandatory retirement age restrictions for directors. The Company’s mandatory retirement age restrictions, which have been established by the Board of Directors, stipulate that a director may not stand for re-election after reaching the age of 71.
