The following resolution is proposed as a Special Resolution to amend the <strong>Club</strong>’s constitution.<br />

Special Resolution<br />

That the Constitution of <strong>Kingsgrove</strong> <strong>RSL</strong> <strong>Club</strong> Ltd ACN 000 463 196 be amended by:<br />

1. Adding the following new definition to Rule 3:<br />

‘<strong>RSL</strong> or Services <strong>Club</strong>’ means (a) an <strong>RSL</strong>, services, ex-services, memorial, Legion or other similar club that is a registered club; or<br />

(b) a registered club that has objects similar to, or that amalgamated with, a club of the kind referred<br />

to in paragraph (a).<br />

2. Deleting Rule 4.4(c) in its entirety and replacing it with the following new Rule 4.4(c):<br />

(c) Only the <strong>Club</strong> and its members are entitled to derive directly or indirectly, any profit, benefit or advantage from the ownership or<br />

occupation of the <strong>Club</strong>’s licensed premises, subject to section 10(1)(j) and section 10(7) of the Registered <strong>Club</strong>s Act and any other<br />

applicable provision of the Registered <strong>Club</strong>s Act.<br />

3. Deleting Rule 6.9 in its entirety and replacing it with the following new Rule 6.9:<br />

6.9 A person who attends the <strong>Club</strong> premises may be admitted as an Honorary Member for the day that person attends the premises,<br />

provided that the person:<br />

(a) produces evidence that they are a current serving member of the Australian Defence Force; or<br />

(b) is a former member of the Australian Defence Force, and produces evidence that they are a service member of the <strong>RSL</strong> and a<br />

member of at least 1 other <strong>RSL</strong> or Services <strong>Club</strong>.<br />

Explanatory Notes<br />

1. This Special Resolution will update the Constitution to reflect recent changes to the Registered <strong>Club</strong>s Act 1976 (Registered <strong>Club</strong>s Act).<br />

2. The Registered <strong>Club</strong>s Act now allows the following persons to be admitted as Honorary Members of the <strong>Club</strong>:<br />

• any current member of the Australian Defence Force<br />

• any former member of the Australian Defence Force who is now a service member of the <strong>RSL</strong> and a member of at least 1<br />

other <strong>RSL</strong> or Services <strong>Club</strong><br />

and the changes in paragraphs 1 & 3 of the Special Resolution will update the Constitution to reflect this.<br />

3. Paragraph 2 of the Special Resolution will update the Constitution to state that only the <strong>Club</strong> and its members can obtain a profit,<br />

benefit or advantage from the ownership or occupation of the <strong>Club</strong>’s licensed premises, unless otherwise permitted by the<br />

Registered <strong>Club</strong>s Act.<br />

4. The Special Resolution will be passed if at least 75% of the votes cast by Financial Full Members who are present and entitled to<br />

vote, are in favour of the Special Resolution.<br />

President’s Report<br />

With 2012 year well under way and despite<br />

the unseasonal summer, the club had a very<br />

successful festive season with very popular<br />

ham and sea food raffles prior to Christmas<br />

and a great Australia Day celebration was<br />

held at the club on the 26th January. This<br />

was followed by the fantastic members draw<br />

in February to win a trip to Las Vegas. The<br />

club has many more exciting promotions<br />

planned for the coming year as detailed in<br />

this issue of the <strong>Burst</strong>.<br />

I am very pleased to report that the club<br />

made a net profit after tax of $306K, which<br />

is up on last year and it was achieved during a<br />

year of great financial uncertainty, once again<br />

this result was achieved on the back of hard<br />

work put in by the Board, General Manager<br />

Ian Todd, the Managers, our dedicated staff<br />

and of course the patronage of our members.<br />

Unfortunately 2012 is not looking that bright<br />

in regard to world financial markets and in<br />

particular we are still facing the possibility of<br />

the Government imposing regulations that<br />

have the potential to impact considerably on<br />

the clubs trading however the Board and the<br />

Management team will be keeping abreast<br />

of the developments to ensure we continue<br />

to trade profitably and keep providing funds<br />

for the various community groups we have<br />

provided sponsorship to over many years.<br />

I would take the opportunity to remind<br />

members that the Annual General Meeting will<br />

be held on Tuesday the 27th <strong>Mar</strong>ch at 7.00pm.<br />

A note of caution must be made as there<br />

are still a number of factors including the<br />

slow growth of the economic recovery and<br />

the expected tightening of Government<br />

regulations concerning the playing of<br />

poker machines that will potentially impact<br />

on this year’s trade, this will require the<br />

Management and staff to provide the<br />

members with a venue that they find<br />

attractive to visit.<br />

As this is the first <strong>Burst</strong> of the year I would<br />

like to take this opportunity to thank the<br />

Board Members for their application in<br />

making this club the success that it is and<br />

strive to make continual improvement in<br />

what the club provides to the members.<br />

My sincere thanks to our General Manager<br />

Ian Todd and his Management Team for their<br />

great and untiring efforts during the year and<br />

indeed all the staff who go about their duties<br />

in a cheerful and helpful manner providing a<br />

very high level of customer service to all our<br />

members.<br />

The Sub-Branch, Women’s Auxiliary and<br />

the <strong>Kingsgrove</strong> <strong>RSL</strong> Community Group<br />

have done a great job in looking after their<br />

members and the Community in particular<br />

the local nursing homes, sporting groups,<br />

schools and hospitals to name a few who<br />

benefited from their financial support.<br />

On behalf of the Board of Directors and<br />

myself our thanks to the members who<br />

continue to support this great club, the<br />

more you take advantage of the benefits<br />

membership of <strong>Kingsgrove</strong> <strong>RSL</strong> brings, the<br />

more benefits the club can make available to<br />

you. Our success is yours, so we look forward<br />

to seeing you at the club in the near future.<br />
