The following resolution is proposed as a Special Resolution to amend the Club’s constitution.
Special Resolution
That the Constitution of Kingsgrove RSL Club Ltd ACN 000 463 196 be amended by:
1. Adding the following new definition to Rule 3:
‘RSL or Services Club’ means (a) an RSL, services, ex-services, memorial, Legion or other similar club that is a registered club; or
(b) a registered club that has objects similar to, or that amalgamated with, a club of the kind referred
to in paragraph (a).
2. Deleting Rule 4.4(c) in its entirety and replacing it with the following new Rule 4.4(c):
(c) Only the Club and its members are entitled to derive directly or indirectly, any profit, benefit or advantage from the ownership or
occupation of the Club’s licensed premises, subject to section 10(1)(j) and section 10(7) of the Registered Clubs Act and any other
applicable provision of the Registered Clubs Act.
3. Deleting Rule 6.9 in its entirety and replacing it with the following new Rule 6.9:
6.9 A person who attends the Club premises may be admitted as an Honorary Member for the day that person attends the premises,
provided that the person:
(a) produces evidence that they are a current serving member of the Australian Defence Force; or
(b) is a former member of the Australian Defence Force, and produces evidence that they are a service member of the RSL and a
member of at least 1 other RSL or Services Club.

Explanatory Notes
1. This Special Resolution will update the Constitution to reflect recent changes to the Registered Clubs Act 1976 (Registered Clubs Act).
2. The Registered Clubs Act now allows the following persons to be admitted as Honorary Members of the Club:
• any current member of the Australian Defence Force
• any former member of the Australian Defence Force who is now a service member of the RSL and a member of at least 1
other RSL or Services Club
and the changes in paragraphs 1 & 3 of the Special Resolution will update the Constitution to reflect this.
3. Paragraph 2 of the Special Resolution will update the Constitution to state that only the Club and its members can obtain a profit,
benefit or advantage from the ownership or occupation of the Club’s licensed premises, unless otherwise permitted by the
Registered Clubs Act.
4. The Special Resolution will be passed if at least 75% of the votes cast by Financial Full Members who are present and entitled to
vote, are in favour of the Special Resolution.
President’s Report
With 2012 year well under way and despite
the unseasonal summer, the club had a very
successful festive season with very popular
ham and sea food raffles prior to Christmas
and a great Australia Day celebration was
held at the club on the 26th January. This
was followed by the fantastic members draw
in February to win a trip to Las Vegas. The
club has many more exciting promotions
planned for the coming year as detailed in
this issue of the Burst.
I am very pleased to report that the club
made a net profit after tax of $306K, which
is up on last year and it was achieved during a
year of great financial uncertainty, once again
this result was achieved on the back of hard
work put in by the Board, General Manager
Ian Todd, the Managers, our dedicated staff
and of course the patronage of our members.
Unfortunately 2012 is not looking that bright
in regard to world financial markets and in
particular we are still facing the possibility of
the Government imposing regulations that
have the potential to impact considerably on
the clubs trading however the Board and the
Management team will be keeping abreast
of the developments to ensure we continue
to trade profitably and keep providing funds
for the various community groups we have
provided sponsorship to over many years.
I would take the opportunity to remind
members that the Annual General Meeting will
be held on Tuesday the 27th March at 7.00pm.
A note of caution must be made as there
are still a number of factors including the
slow growth of the economic recovery and
the expected tightening of Government
regulations concerning the playing of
poker machines that will potentially impact
on this year’s trade, this will require the
Management and staff to provide the
members with a venue that they find
attractive to visit.
As this is the first Burst of the year I would
like to take this opportunity to thank the
Board Members for their application in
making this club the success that it is and
strive to make continual improvement in
what the club provides to the members.
My sincere thanks to our General Manager
Ian Todd and his Management Team for their
great and untiring efforts during the year and
indeed all the staff who go about their duties
in a cheerful and helpful manner providing a
very high level of customer service to all our
members.
The Sub-Branch, Women’s Auxiliary and
the Kingsgrove RSL Community Group
have done a great job in looking after their
members and the Community in particular
the local nursing homes, sporting groups,
schools and hospitals to name a few who
benefited from their financial support.
On behalf of the Board of Directors and
myself our thanks to the members who
continue to support this great club, the
more you take advantage of the benefits
membership of Kingsgrove RSL brings, the
more benefits the club can make available to
you. Our success is yours, so we look forward
to seeing you at the club in the near future.
