The Intellectual Property Committee shall consist of twelve (12) members. Six (6) shallbe faculty members chosen to reflect a diversity of expertise, appointed to three (3) yearstaggered terms. Three (3) members shall be appointed by the Vice President, AcademicAffairs; <strong>and</strong> three (3) by the Faculty Council. One (1) additional faculty member shall beappointed to a three (3) year term by the President. The remaining five (5) shall beadministrators appointed by the President. The Committee shall elect its Chair.FunctionsThe Intellectual Property Committee shall represent <strong>and</strong> act for the University inintellectual property policy matters subject to the approval of the President of theUniversity.INTELLECTUAL PROPERTY POLICYIntellectual Property is defined as any original idea or data subject to competingclaims <strong>and</strong> legal protection. It includes patents, copyrights, trade marks, trade secrets <strong>and</strong>plant protection certificates.All members of the University including faculty, research associates, staff,students, graduate assistants <strong>and</strong> research assistants in any combination of study, research<strong>and</strong> teaching shall be subject to the provisions of this policy.Members of the University shall retain the right <strong>and</strong> responsibility to developintellectual property, <strong>and</strong> in every case complete freedom of publication by the creator inboth time <strong>and</strong> scope shall be maintained, unless agreements with outside sponsorsprovide otherwise. Three (3) separate relationships between the creator <strong>and</strong> theUniversity are recognized.Class IIf intellectual property is developed wholly with University support in time,personnel, money, materials, or facilities, said intellectual property is the property of theUniversity <strong>and</strong> the creator is responsible for disclosing in full to the IPC the nature of theinvention <strong>and</strong> for providing documentation as to those who participated in itsdevelopment. If the author of a manuscript believes that it contains legally protectablematerial <strong>and</strong> wishes University assistance in marketing it, a copy of the manuscriptshould be submitted to the IPC prior to its submission for publication. The IPC mayadvise deferral of publication to protect intellectual property rights of both the creator<strong>and</strong> the University, but no prior submission of any manuscript nor any delay ofpublication shall be imposed by the University.Class II33
