(d) In the event the Producer declines to engage the Assistant Stage Manager,Producer will compensate the Assistant Stage Manager three weeks’ AssistantStage Manager’s applicable Production Contract or Special Production Contractminimum or three weeks’ contractual salary, whichever is greater.(6) The above will pertain for a period of 3 years following the close of the production.(B) CONVERSION RIGHTS FROM ANOTHER CONTRACT OR CODE.(1) Should a production produced under a Code or a Contract with lower minimumssubsequently be produced under this contract as its first subsequent Equity contractproduction within three years from the date of the prior production’s last performance, orshould the prior production be optioned within three years from the date of the priorproduction’s last performance and be produced under this contract as its first subsequentEquity contract production during the option period or any extensions thereof, all Actorswho performed a function in the prior production shall receive a bona fide offer to performthe same role or function in the subsequent production or three weeks’ minimum salary atthe applicable Off-Broadway “A” rate in lieu thereof. The Producer agrees that any offershall be made in writing to the Actor, copy to Equity, at least two weeks prior to the dateof first rehearsal for the subsequent production. Producer may require Actor to respondin writing, by had delivery or fax, return receipt requested.(2) If any member of the Company on Equity Code or Contract who originally performedthe role/function was out of the production for a period of four weeks or more prior to thetime the play is subsequently produced, the Producer may as an alternative, offer therole/function to any past member of the Company on Equity contract who has performedthe same role/function for four weeks or longer. If no one from the production who hadperformed the role/function for at least four weeks gets an offer, the Actors shall split themonies as determined by Equity.(C) CONVERSION TO OTHER MEDIA.In the event any media rights to the Production are sold, including but not limited to thesale of motion picture, television, videotape, digital and internet rights, and the Producerhas a financial interest in those rights, the Producer agrees that up to a maximum of50% of the Producer’s total proceeds from the sale of those rights shall be usedexclusively to reimburse each Actor who originally appeared, stage managed, orunderstudied at the official opening performance or, it there was no official opening, theActors who appeared, stage managed or understudied at the first paid publicperformance, until an amount equal to five weeks’ salary under the Production Contractis paid (at applicable rate at the time the media rights are sold).(D) Definitions And References.(1) Production" or "the production hereunder" means the production of the Play under thisContract.21
(2) "Actors" as used herein refers to any person engaged under this Contract as actor,(principal or chorus), understudy, stage manager, or assistant stage manager.(3) "Bona fide offer" shall mean an offer to perform in the subsequent Equity Contractproduction the identical role or function performed in the Transition Contract production oran offer to Contract Actors or Code participants to perform the identical role or function inthe Transition Contract production. Such offers must be in writing, sent to the ContractActor or Code participant by certified mail, return receipt requested, with a copy to AEA.(4) "Producer's proceeds from subsequent exploitation’s of the Play" shall include allproceeds received by Producer from or as a result of subsequent productions or otherexploitation’s of the Play or the rights in the Play (including but not limited to productionsin the live stage and in other media) and/or contributions to the Producer by or on behalfof the author or subsequent producer of the Play.18. COPRODUCTIONS.This Agreement may not be used for any coproduction with another Equity Producer.19. DANCE CAPTAINS.Whenever there is musical staging and/or choreography a Dance Captain shall be hired notlater than the first day of rehearsal. The Dance Captain shall be paid no less than an additional15% of contractual salary, in addition to weekly contractual salary. The Stage Manager shall notserve as Dance Captain. The Dance Captain shall be credited on the cast list page of theplaybill or program.20. DEFAULTING EMPLOYERS.(A) The Producer shall be ineligible to engage any Actor unless and until said Producer shallhave furnished security in such amount and in such manner and form as may besatisfactory to Equity to insure the payment of the claims of any Actor against saidProducer.(B) Prior to engaging any Actor, the Producer represents that he is not in default under anyagreement with Equity at the time of such engagement, and that no contract has beenentered into between the Producer and Equity or any Actor, any breach of which remainsunsettled or unliquidated.(C) No Actor shall work or be required by the Producer, without the consent of Equity, towork for any person, partnership, corporation, enterprise, or group which has violated or isviolating any agreement with Equity or any of its members; or which has failed to abide byany arbitration award, or where, permitted herein, any final determination of Equity; orwhich, through failure to meet past obligations to Equity or its members, has been placed onEquity’s Defaulting Employers List; nor shall any Actor work for or be employed by anyonewho is or has been connected, either as an individual proprietor, general partner, associate22
