RECOGNITIONThe Producer recognizes <strong>Actors</strong>' Equity Association (hereafter "AEA" or "Equity") as theexclusive representative of the <strong>Actors</strong> (Principals, Chorus, Stage Managers, Assistant StageManagers, Dance and Fight Captains, Swings, Understudies) employed by the Producer, for thepurpose of collective bargaining and the administration of matters within the scope of thisAgreement.USE OF AGREEMENTUse of this Agreement shall be given by Equity at its sole discretion and, if permitted, shall applysolely to Not-For-Profit theatre companies operating in theatres of not more than ninety-nineseats on the Island of Manhattan outside the “Broadway Box.” The Broadway Box shall bedefined as an area bounded by Fifth and Ninth Avenues from 34 th Street to 56 th Street and byFifth Avenue and the Hudson River from 56 th Street to 72 nd Street. This Agreement shall beapplicable only if the company produces no fewer than two productions over the course of aseason as defined herein. It is expressly understood by the Producer that, once Equity permitsthe use of this <strong>Contract</strong>, such use shall be limited to a maximum of three years under the termsand conditions for each year as noted herein and at the end of the three-year period thecompany shall make the transition to the New York City Letter of Agreement.RULES GOVERNING EMPLOYMENT1. ACTOR’S OBLIGATIONS TO EQUITY.(A) Nothing contained in any employment contract signed by any Actor shall be construedso as to interfere with the carrying out of any obligation which an Actor owes to Equity byvirtue of the Actor’s membership, and the Producer shall not only not request or require anyActor to do any act or thing forbidden by the Constitution and By-Laws of Equity or by therules or orders of the Council of Equity or orders of its authorized executives, but will requirethe Actor to do and/or assent to the Actor doing any and all acts required by the foregoing.(B) The Producer further agrees that the Producer has notice:(1) That the Associated <strong>Actors</strong> and Artistes of America (hereinafter referred to as the 4A’s) is a voluntary Association and is subject to the Constitution, By-Laws, rules,regulations and orders of the American Federation of Labor-Congress of IndustrialOrganizations (AFL-CIO), from which it derives its charter.(2) That Equity deriving its charter from the 4 A’s is in turn subject to the Constitution, By-Laws, orders, rules and regulations of the 4 A’s and the American Federation of Labor-Congress of Industrial Organizations.1
