<strong>AGMA</strong>CENTRAL CITY OPERAMEMORANDUM OF AGREEMENT2007 – 2010AGREEMENT (hereinafter called the “Agreement”) made, executed and delivered in theCity, County and State <strong>of</strong> New York this ___ day <strong>of</strong> _________, 2007, by and betweenthe AMERICAN GUILD OF MUSICAL ARTISTS, INC., a membership corporationorganized and existing under and by virtue <strong>of</strong> the laws <strong>of</strong> the State <strong>of</strong> New York, andhaving its principal <strong>of</strong>fice at 1430 Broadway, 14 th Floor, New York, New York 10018(hereinafter called "<strong>AGMA</strong>") and Central City Opera House Association, having itsprincipal place <strong>of</strong> business at 621 Seventeenth St. Suite 1601, Denver, CO 80293(hereinafter called "EMPLOYER").W I T N E S S E T H:Except as hereinafter specifically modified, all <strong>of</strong> the terms and conditions <strong>of</strong> the BasicAgreement dated September 1, 2003 – August 31, 2006, between <strong>AGMA</strong> and theEMPLOYER shall remain in full force and effect.In consideration <strong>of</strong> the mutual agreements herein contained, the parties agree as follows:SECTION I – GENERAL1. EMPLOYEES COVEREDThe EMPLOYER hereby recognizes <strong>AGMA</strong> as the exclusive collective bargaining agentfor all SOLO SINGERS, DEVELOPING ARTISTS, APPRENTICES, NARRATORS,STAGE DIRECTORS and their assistants, STAGE MANAGERS and their assistants,performers who have speaking parts, performers who have mute, leading, featured,supporting and/or solo bit parts, CHOREOGRAPHERS, BALLET MASTERS, BALLETMISTRESSES and DANCE CAPTAINS, and SOLO DANCERS (hereinafter referred toas "PRINCIPALS"), CORPS de BALLET DANCERS (hereinafter referred to as"DANCERS"), and all chorus singers (hereinafter referred to as "CHORISTERS"), and <strong>of</strong>all the preceding hereinafter referred to collectively as "ARTISTS", employed by theEMPLOYER. The EMPLOYER agrees that <strong>AGMA</strong> represents, for collective bargainingpurposes, a majority <strong>of</strong> the ARTISTS.2. DEFINITIONS OF ARTISTS COVERED(n) Apprentice - A singing Artist engaged as part <strong>of</strong> the Young <strong>Artists</strong>Training Program to perform in the chorus, perform Solo Bit and ChorusBit Roles, Supporting Roles and participate in Central City Operapr<strong>of</strong>essional training classes.1


(o) Developing Artist - A singing Artist formerly a member <strong>of</strong> the Young <strong>Artists</strong>Training Program, engaged to perform Leading, Featured or Supporting Roles.17. PAYMENT TO ARTISTS(e) When EMPLOYER provides (or is prepared to provide) suitable lodging,EMPLOYER may satisfy the per diem requirement herein by the payment <strong>of</strong> anamount equal to the daily meal allowance as specified under provisions for eachcategory <strong>of</strong> ARTIST covered by this Agreement, if applicable.(f) Off Site Rehearsals - When an ARTIST is required to rehearse thirty (30)miles beyond the central point <strong>of</strong> departure [Central City], but is not required tostay overnight, the EMPLOYER shall compensate the ARTIST with a partial perdiem <strong>of</strong> twenty dollars ($20) for such rehearsal(s).(1) The above allowances shall be paid in lieu <strong>of</strong>, and not in additionto, the per diem allowance provided for in each ARTIST’s respectivesection for each such day <strong>of</strong> rehearsal outside Central City.(2) This allowance shall not be paid to ARTISTS who are alreadyreceiving no less than the per diem provided for herein for out-<strong>of</strong>-townperformances in his/her contractual compensation.21. EXTRA MEAL COMPENSATION FOR RUN OUT ENGAGEMENTS(a) Run-Out Engagements - When an ARTIST is required to perform thirty(30) miles beyond the central point <strong>of</strong> departure [Central City], but is not requiredto stay overnight, the EMPLOYER shall compensate the ARTIST with thefollowing meal allowance as applicable:MEALALLOWANCESUMMER OF20073%SUMMER OF20083.5%SUMMER OF20094%Breakfast $12.15 $12.58 13.08Lunch $16.15 $17.23 $17.92Dinner $24.38 $25.23 $26.24Total Meal $53.18 $55.04 $57.24The above allowances shall not be paid however if the ARTIST is already specificallyreceiving no less than the per diem provided for herein for out-<strong>of</strong>-town performances inhis/her contractual compensation.2


26. REHEARSAL, DRESSING ROOM & PERFORMANCE FACILITIES &CONDITIONS(b) All rehearsal rooms shall be maintained in clean condition and properlysupplied to ensure a constructive working environment for all ARTISTS.Fulfillment <strong>of</strong> this condition includes:(1) Adequate Lighting – replace ceiling bulbs and provide additionallamps with power cords, as requested by ARTISTS;(2) Adequate number <strong>of</strong> available chairs in the building which shall bein good repair;(3) Adequate number <strong>of</strong> music stands available for music needed forrehearsals.28. FILMING, BROADCASTING, TELEVISING, ETC.(a) Except as provided for below, the EMPLOYER agrees that it will not film,tape, make video and/or audio cassettes, broadcast, record or televise from thestage or any studio or otherwise, any rehearsals and/or performances in which theARTIST appears, by wire, wireless, radio, telephone, wireless process, television,motion picture, recording, mechanical, electrical or telephone device now in useor hereafter developed, or any combination <strong>of</strong> such devices; <strong>AGMA</strong>, however,shall consider a request by the EMPLOYER for a waiver <strong>of</strong> the foregoingprovision, and the granting <strong>of</strong> such a waiver shall be at the absolute discretion <strong>of</strong><strong>AGMA</strong> and upon such terms and conditions as are determined by <strong>AGMA</strong>.(1) <strong>AGMA</strong> will permit the EMPLOYER to make, and the ARTISTagrees to allow, the audio recording <strong>of</strong> three performances <strong>of</strong> eachproduction each season. A composite recording will be created from theserecordings with the approval <strong>of</strong> the General/Artistic Director and thenaired once by Colorado Public Radio. It is agreed and understood thatthere will be no additional compensation for these recordings or for thesingle broadcast.(2) The use <strong>of</strong> these audio recordings and <strong>of</strong> the resulting compositerecording <strong>of</strong> each production is strictly limited as described in (1) above.Should there be an opportunity to otherwise release, distribute, broadcast,sell or make any other use whatsoever <strong>of</strong> such recording(s) theEMPLOYER and <strong>AGMA</strong> agree to meet and to negotiate in advance theterms and conditions that shall so govern. However, the EMPLOYERshall be allowed to use these recordings for promotional purposes pursuantto the expressed terms <strong>of</strong> subparagraph (b) (1) and (2) below.3


(b) <strong>AGMA</strong> will permit the EMPLOYER to make audio and video tapes whichare marked and restricted for archival and study purposes for the exclusive use <strong>of</strong>the opera company for restaging and remounting productions and as provided forbelow:33. SMOKE AND FOG(1) <strong>AGMA</strong> will permit a maximum <strong>of</strong> three (3) minutes <strong>of</strong> live videoor audio tape to be used for radio and video news or magazine programsfor publicity purposes. This is restricted for NEWS or magazine broadcastonly. If an ARTIST is invited to appear as a guest ARTIST on a "talkshow" or the like, the ARTIST may utilize an (3 minute) insert where heor she is predominant for promotional and publicity purposes. Under nocircumstances may these inserts be utilized for commercial advertising <strong>of</strong>the opera company on television or radio stations.(2) Should there be any release, distribution, sale or any other usagemade <strong>of</strong> these "study" or "archival" tapes, the EMPLOYER agrees tocompensate all ARTISTS the appropriate prevailing compensation.The use <strong>of</strong> smoke and fog effects shall be governed by the following:(a) No smoke and fog devices or effects shall be permitted to be used in anyproduction unless each <strong>AGMA</strong> member scheduled to perform in that productionsshall be given two (2) weeks advance notification <strong>of</strong> the company’s intention touse same; and(b) No smoke or fog effects may be used in any production except for thosegenerated by dry ice or steam; and(c) If any previously-engaged <strong>AGMA</strong> member shall decline to perform in aproduction because <strong>of</strong> his or her reasonable belief that the effects used in suchproduction may be harmful to their voice to their health, or if any previouslyemployed <strong>AGMA</strong> member is unable to perform in a production because <strong>of</strong> illnessor vocal problems occasioned by the use <strong>of</strong> such effects in a previous productionor performance, such person shall nonetheless receive all <strong>of</strong> the compensation towhich they would have been entitled to had they performed.SECTION II - GENERAL REHEARSAL AND PERFORMANCE PROVISIONS1. REHEARSALS DURING REHEARSAL WEEKSRegardless <strong>of</strong> the number <strong>of</strong> contracts for which any ARTIST is engaged, such ARTISTmay rehearse no more than thirty six (36) hours per week nor more than six (6) hours perday during a six (6) day rehearsal week. If the weekly or daily hourly limitations for4


ehearsal are exceeded, excess hours shall be considered “overtime” and shall be paid atthe Overtime Rate indicated in each ARTISTS’ Section, as applicable.2. REHEARSALS DURING PERFORMANCE WEEKSAfter a production has opened, the EMPLOYER shall be entitled to not more than four(4) hours <strong>of</strong> rehearsal for such production during a performance week without additionalcompensation to ARTISTS. No rehearsals shall be scheduled within two (2) hours <strong>of</strong> anyARTIST’s make-up call prior to a dress rehearsal or performance, except in emergencycases or unless requested by the ARTIST. All hours <strong>of</strong> rehearsal scheduled in excess <strong>of</strong>the four (4) hours permitted above shall be paid at the hourly rehearsal rate indicated ineach ARTISTS’ Section, as applicable.3. REHEARSALS FOR PRINCIPALS ENGAGED ON A PER PERFORMANCEBASISARTISTS engaged by the EMPLOYER on a Per Performance basis may be required torehearse, without additional compensation, for not more than three (3) hours prior to eachspecific single performance <strong>of</strong> a production for which s/he is engaged. In no event mayany PRINCIPAL rehearse more than a total <strong>of</strong> six (6) hours per production withoutadditional compensation. All additional hours <strong>of</strong> rehearsal shall be paid at the applicablehourly rehearsal rate indicated in the Principal <strong>Artists</strong> Section.4. REHEARSAL AND PERFORMANCE PROVISIONSRegardless <strong>of</strong> the number <strong>of</strong> contracts for which an ARTIST is engaged, the followingshall apply:(a) No rehearsal, costume fitting, or ARTIST service required byEMPLOYER shall be scheduled before 10:00 A.M.(b) No rehearsal shall end later than 11:30 P.M. except dress rehearsals, whichmay last until 12:30 A.M.(c) During each week each ARTIST shall receive one (1) Free Day duringwhich there shall be no rehearsal, costume fitting, or ARTIST service <strong>of</strong> any kindrequired by EMPLOYER scheduled whatsoever.(d) On a performance day, an ARTIST singing a Leading or Featured Roleshall not be called for any rehearsal <strong>of</strong> that same production, except in emergencycases or unless otherwise requested by ARTIST.(e) No rehearsal or performance shall be scheduled sooner than twelve (12)hours following the end <strong>of</strong> the preceding evening’s rehearsal or performance,except in emergency cases or unless otherwise requested by ARTIST. When the5


preceding rehearsal or performance requires make-up, the twelve (12) hour periodshall commence one-half (1/2) hour after dismissal from the stage.(f) Dress rehearsal call - The call for a dress rehearsal shall be credited as theactual running time, as determined by the Stage Manager, plus half hour <strong>of</strong>dressing time prior to on stage call and half hour undressing time followingdismissal from stage when computing (calculating) total hours <strong>of</strong> service in a dayand in a week.(g) Performance call - If the running time <strong>of</strong> a performance is three and a half(3 ½) hours or less, ARTISTS shall be credited for three (3) hours. If the runningtime <strong>of</strong> a performance is over three and one half (3 ½) hours, ARTISTS shall becredited for three and one half (3 ½) hours. All performance hours shall becredited toward the hours worked in a week, but shall not count toward hoursworked in a day.(h) Rest Period - All ARTISTS, including Production Staff members, shallreceive an uninterrupted rest period <strong>of</strong> not less than five (5) minutes for everysixty minutes <strong>of</strong> rehearsals. Breaks may be combined to equal fifteen (15)minutes after ninety (90) minutes <strong>of</strong> rehearsals but under no circumstances mayan ARTIST rehearse more than ninety (90) minutes without a break. For onstagerehearsals all ARTISTS, including Production Staff members shall receive anuninterrupted rest period <strong>of</strong> not less than fifteen (15) minutes for every ninety (90)minutes <strong>of</strong> such onstage rehearsal. After consultation with the Stage Director, theStage Manager will determine and announce the break for all ARTISTS. Restperiods need not be at the same time for all ARTISTS.SECTION III - PRINCIPAL ARTISTS1. It shall also specify PerDiem payments (as set forth in Principal <strong>Artists</strong> Section) as a separate item which shall not beincluded in the ARTIST’s agreed upon contractual fee.SECTION IV - DEVELOPING ARTISTS2. (d) Such Developing Artist shall give no more than thirty six (36) hours <strong>of</strong>service per week, not including Apprentice classes and non-rep coaching sessions,but including credit for performances, rehearsals, costume fittings and repertorycoaching sessions.(e) Any hour <strong>of</strong> rehearsal or performance which occurs beyond the maximum<strong>of</strong> thirty six (36) hours in any week or any hour <strong>of</strong> rehearsal beyond the maximum<strong>of</strong> six (6) hours in any day shall be compensated at the following overtime rate:SUMMER OF20073%SUMMER OF20083.5%Overtime Hourly Rate $33.43 $34.60 $35.98Such Overtime shall be paid in quarter (1/4) hour increments.SUMMER OF20094%(f) Coaching & Rehearsal Time - When choreography, movement, diction,staging, etc., is specific to a given production, it shall not be considered coaching,but will be credited to hours worked as rehearsal time. Beyond what is inherent toa specific production, coaching takes place by mutual consent and/or thediscretion <strong>of</strong> the artistic staff, and is not counted as rehearsal hours.SECTION V – APPRENTICE ARTISTS1. COMPENSATION(a) It is agreed that the EMPLOYER may engage Apprentice <strong>Artists</strong> forwhich a minimum salary during all weeks <strong>of</strong> employment shall be:SUMMER OF20073% + $10SUMMER OF20083.5% + $30SUMMER OF20094%Apprentice <strong>Artists</strong> $336 $377.76 $392.872. MINIMUM NUMBER OF APPRENTICE ARTISTS(a) The EMPLOYER agrees to engage not less than sixteen (16) Apprentice<strong>Artists</strong> during each season in which the Apprentices are expected to participate inthree (3) main stage productions. The EMPLOYER agrees to engage anadditional six (6) Apprentices for a season in which Apprentice <strong>Artists</strong> areexpected to participate in four (4) main stage productions.(b) No Apprentice Artist shall be required to perform in any main stageperformances, including Youth Performances, more than seven (7) times per weekwithout additional compensation. In recognition <strong>of</strong> extra hours required to open9


all the season’s productions and extra hours required for Youth Performances,EMPLOYER will provide a Free Day (9 AM – 5 PM) after all productions haveopened and prior to the end <strong>of</strong> the season. The above time compensation shall notexempt EMPLOYER from overtime compensation outlined below in Section IIIParagraph 3. Any additional main stage performances shall be compensated foron a pro rata basis, i.e. one-seventh (1/7 th ) <strong>of</strong> their weekly contractual salary.(c) The number <strong>of</strong> Studio <strong>Artists</strong> engaged by the EMPLOYER may notexceed the number <strong>of</strong> Guaranteed Apprentice <strong>Artists</strong> in any performing season.3. REHEARSAL CONDITIONS(a) During pre-season rehearsal weeks, there shall be no more than six (6)hours <strong>of</strong> rehearsal scheduled daily and compensated by the weekly salary.(b) All Apprentice <strong>Artists</strong> shall have a five (5) minute break within each hour<strong>of</strong> rehearsal and/or training. Breaks may be combined to equal fifteen (15)minutes after ninety (90) minutes <strong>of</strong> rehearsals but under no circumstances mayan ARTIST rehearse more than ninety (90) minutes without a break.(c) Rehearsals during performance weeks shall be limited to: three (3) hourson performance days, six (6) hours on non-performance days.(d) There shall be no rehearsal scheduled on a day in which two (2)performances are given. There shall be no more than a maximum <strong>of</strong> six (6) hours<strong>of</strong> rehearsal per day and thirty six (36) hours per week.(e) Any hours that exceed these daily and/or weekly limitations shall becompensated at the rate <strong>of</strong>:SUMMER OF20073%SUMMER OF20083.5%Hourly Rate $17.61 $18.23 $18.96SUMMER OF20094%(1) Apprentice classes, rehearsals for Opera a la Carte, Face on theBallroom Floor and Youth Performances are not included in the weekly ordaily hours outlined above; however, Apprentice <strong>Artists</strong> may not be calledfor costume fittings, coaching sessions, rehearsals or ARTIST service <strong>of</strong>any kind required by the EMPLOYER before 10 AM.(2) In addition, with the exception <strong>of</strong> the six hour daily limitation andthe thirty six hour weekly limitation, all work conditions herein apply toFace on the Barroom Floor and Youth Performances.10


(3) Such rehearsals may not infringe on ARTISTS’ meal time or breaktime earned from scheduled main stage activities. If such infringementoccurs, the ARTIST shall be compensated at the applicable hourly rate inquarter (1/4) hour increments.(f) All Apprentice <strong>Artists</strong> shall have a Free Day within each week <strong>of</strong> theemployment season. No rehearsals or performance or any Artist activity requiredby the EMPLOYER shall be permitted on a Free Day under any circumstanceswhatsoever.(g) Apprentice <strong>Artists</strong> may be engaged to perform a Solo Bit Role on a singleperformance basis at the per performance rate <strong>of</strong>:SUMMEROF 20073%SUMMER OF20083.5%Solo Bit Role $36.09 $37.35 $38.85Such compensation is in addition to his/her weekly Apprentice salary.SUMMER OF20094%(h) Any Apprentice Artist who is requested to perform a Supporting Roleshall be compensated at the per performance rate <strong>of</strong> not less than:SUMMER OF20073%SUMMER OF20083.5%Supporting Role $56.12 $58.08 $60.41Such compensation is in addition to his/her weekly Apprentice salary.SUMMER OF20094%(i) Any Apprentice Artist performing Leading or Featured Roles shall becompensated at the per performance rate <strong>of</strong> not less than:SUMMER OF20073%SUMMER OF20083.5%SUMMER OF20094%Leading or Featured Role $186.33 $192.85 $200.56Such compensation is in addition to his/her weekly Apprentice salary.(j) Apprentice <strong>Artists</strong>, for each <strong>of</strong> the two (2) years <strong>of</strong> their apprenticeship,will pay only twelve and one half (12 ½ %) per cent <strong>of</strong> their <strong>AGMA</strong> Apprenticecompensation for roles as partial payment toward initiation fee.11


(k) Coaching & Rehearsal Time - The EMPLOYER shall be entitled toschedule each Apprentice for two (2) uncompensated hours above the thirty six(36) hour weekly limit for the purpose <strong>of</strong> coachings in preparation for CentralCity Opera mainstage productions.(1) Coaching shall be defined as a session involving no more than two(2) performing ARTISTS and may include a Stage Director and/orConductor in addition to the music staff. Diction specialist may alsoattend coachings.(2) When choreography, movement, diction, staging, etc., is specific toa given main stage production, it shall not be considered coaching, but willbe credited to hours worked as rehearsal time.(3) Coachings shall not be permitted on Free Days, two performancedays or during ARTIST’s rest period.(l) Face On The Barroom Floor - Performances <strong>of</strong> this opera are an integralpart <strong>of</strong> the Employer’s apprenticeship program and participation in performances<strong>of</strong> Barroom Floor is limited to Apprentices. For the term <strong>of</strong> this Agreement, eachApprentice participating or performing in the above, will be paid an “honorarium”<strong>of</strong> fifty dollars ($50) per performance.SECTION VI - PRODUCTION STAFF1. STAGE DIRECTORS(a) Compensation - The minimum compensation <strong>of</strong> STAGE DIRECTORSshall be on a weekly basis, as follows:SUMMER OF20073%SUMMER OF20083.5%SUMMER OF20094%Stage Directors $1295 $1340.32 $1393.94(b) Per Diem - STAGE DIRECTORS who are working beyond a fifty-five(55) mile radius <strong>of</strong> the individual's domicile shall be paid the following rates:SUMMER OF20073%SUMMER OF20083.5%Per Diem $53.18 $55.04 $57.24SUMMER OF20094%12

compensation. <strong>AGMA</strong> and the EMPLOYER understand and agree that there areProduction Staff Members who routinely work additional hours in excess <strong>of</strong> themaximum to adequately prepare for rehearsals and performances <strong>of</strong> eachproduction. Breaks may be combined to equal fifteen (15)minutes after ninety (90) minutes <strong>of</strong> rehearsals but under no circumstances mayan ARTIST rehearse more than ninety (90) minutes without a break. For onstagerehearsals all ARTISTS, including Production Staff members shall receive anuninterrupted rest period <strong>of</strong> not less than fifteen (15) minutes for every ninety (90)minutes <strong>of</strong> such onstage rehearsal. After consultation with the Stage Director, theStage Manager will determine and announce the break for all ARTISTS.(i) Automobile Reimbursement - Except as provided for in Paragraph 17(d)and 18 (a) in the General- Section I <strong>of</strong> this Agreement, Stage Directors,Choreographers, and Production Staff members will be reimbursed by CentralCity Opera for their use <strong>of</strong> their automobiles for work related to a production atthe allowable IRS rate or the rate provided to non-bargaining unit employees <strong>of</strong>Central City Opera, whichever is higher.(m) Per Diem - Per diem payments for all Production Staff Members noted inParagraph 3 (b) <strong>of</strong> this section shall be made when the ARTIST is working for theEMPLOYER beyond a fifty-five (55) mile radius <strong>of</strong> the ARTIST’s domicile.14
