It is also the term of this Agreement that no personother than the Director (Marketing) or the person designated by the Director (Marketing) asaforesaid shall act as arbitrator. The award of the Arbitrator so appointed shall be final, conclusiveand binding on all the parties to the Agreement and provisions of the Arbitration & Conciliation Act1996 or any statutory modification or re-enactment thereof and the Rules made there under and forthe time being in force shall apply to the arbitration proceedings under this clause.17. The parties hereby agree that the court in city of New Delhi/ Chennai/ Kolkatta/ Mumbai alone shallhave jurisdiction to entertain any application or any award/s made by the Sole Arbitrator or otherproceedings in respect of any thing arising under this Agreement.18. This Agreement covers entire understanding between the parties. No alteration / variation of any ofthe terms of this Agreement shall be valid unless made with the consent of both the parties andevidenced in writing duly signed by authorized representatives of both the parties.19.
