THE ISSUERThe Issuer, IIG Funding Limited, was incorporated in Jersey, Channel Islands on 4 May 2007.The Issuer was incorporated under the Companies (Jersey) Law 1991 as a public company ofunlimited duration and with limited liability. Its registered number is 97356.The Issuer’s registered office and principal place of business is at 26 New Street, St. Helier,Jersey, Channel Islands, where the Issuer’s register of members is kept. The Memorandum andArticles of Association of the Issuer may be inspected at the registered office of the Issuer and at26 New Street, St Helier, Jersey JE2 3RA, Channel Islands.The Issuer is wholly owned by Bedell Trustees Limited (‘‘BTL’’) (as trustee of the IIG FundingCharitable Trust), a trust company incorporated in Jersey and having its registered office at 26 NewStreet, St. Helier, Jersey, Channel Islands. BTL and BSL are both companies in the Bedell Group.Each of the directors is a partner in the Bedell Group which ultimately owns BTC, BSL andBTL and is a partner in the law firm Bedell Cristin. Bedell Cristin is legal advisor to the Issuer as toJersey law and fees will be payable to Bedell Cristin from time to time for acting in such capacity.There are no potential conflicts of interest between the private interests of the Directors listedabove and their duties to the Issuer.Principal BankerThe principal banker of the Issuer is Deutsche Bank AG, London Branch.Principal ActivitiesThe Issuer’s activities will principally be the issue of the Certificates and the execution andperformance of Transaction Documents, the execution and performance of all documents relatingthereto to which it is expressed to be a party, the exercise of related rights and powers and otheractivities reasonably incidental thereto.Share CapitalThe authorised share capital of the Issuer is U.S.$2 comprising of 2 shares of U.S.$1 each.
