林 德 工 程 ( 杭 州 ) 有 限 公 司LINDE Engineering (Hangzhou) Co., Ltd.All conditions, specifications, standards and other appendices that are attached to the Order or arelisted therein shall form a part of the Order. In case of conflicting provisions, they shall apply in thefollowing order of precedence:- 采 购 订 单the Purchase Order- 本 采 购 条 款these Conditions of Purchase- 买 方 的 包 装 , 唛 头 和 运 输 说 明the Buyer’s Packing, Marking and Shipping Instructions- 技 术 规 格 书the Technical Specifications- 通 用 规 格 书 和 买 方 标 准the General Specifications and the Buyer’s Standards.如 果 在 技 术 规 格 书 中 没 有 另 行 约 定 , 则 这 些 标 准 和 技 术 规 范 自 合 同 生 效 时 即 生 效 。If not stipulated otherwise in the Technical Specifications, the standards and technical principles asvalid at the time of Order shall be valid.4 产 品 供 应 、 分 包 、 工 作 启 动 、 批 准 、 订 单 执 行 /Provision of the Goods, Subcontracts, Start of Work,Approvals, Execution of Order4.1 除 经 同 意 不 在 供 货 范 围 之 内 , 无 论 其 有 关 部 件 和 制 造 工 艺 是 否 已 在 订 单 中 单 独 列 明 , 卖 方 所 供 产 品 应功 能 齐 全 并 可 安 全 使 用 , 仅 订 单 中 明 确 提 到 的 不 包 含 在 供 货 范 围 之 内 的 产 品 和 服 务 除 外 。The Goods shall, except for any agreed exclusions from the scope of supply, be fully functioning andsafe for operation, regardless of whether or not all parts and processing pertaining to the Goods arelisted separately in the Order. Only those supplies and services shall be considered excluded fromthe Goods that are expressly mentioned as such in the Order.4.2 卖 方 应 保 证 及 时 并 按 照 国 际 公 认 的 质 量 管 理 要 求 (ISO9000 及 其 序 列 版 本 或 同 等 标 准 ) 开 展 工 作 。The Vendor shall carry out the work in a timely manner and in accordance with the requirements ofinternationally recognized quality management (ISO 9000 et seq. or equivalent).4.3 卖 方 需 提 供 直 至 并 包 括 开 机 , 操 作 及 维 护 等 现 场 活 动 相 关 的 全 部 技 术 资 料 。The Vendor shall supply the technical documentation for all site activities up to and including start-up,as well as operation and maintenance of the Goods.4.4 卖 方 应 遵 守 装 置 所 在 地 ( 如 卖 方 知 晓 此 地 点 ) 当 地 实 施 的 关 于 工 人 恤 养 保 险 , 环 境 保 护 、 事 故 防 范 和安 全 生 产 等 的 法 律 法 规 、 建 议 和 指 导 方 针 。The Vendor shall comply with the statutory, official and workmen's compensation insuranceregulations, recommendations and guidelines (on environmental protection, accident prevention andsafety at work, etc.) that are valid at the location of the plant if such location is known to him.4.5 如 卖 方 对 买 方 的 方 案 设 计 和 其 他 关 于 材 料 、 加 工 工 艺 、 流 程 的 指 示 , 或 买 方 指 定 的 分 包 商 , 由 买 方 订购 / 提 供 的 材 料 或 零 部 件 的 质 量 , 或 由 其 他 卖 方 提 供 的 服 务 等 存 有 疑 问 , 卖 方 应 尽 快 如 有 可 能 在 工 作 开始 前 书 面 通 知 买 方 。If the Vendor has doubts about the proposed design, other instructions given by the Buyer e.g.concerning materials, treatment, processing or sub-vendors nominated by the Buyer, the quality ofmaterials or components ordered and/or provided by the Buyer or the services provided by othercontractors, he shall promptly notify the Buyer thereof in writing, if possible before the start of work.4.6 卖 方 应 仅 使 用 经 证 实 合 格 的 分 供 商 ( 本 采 购 条 款 中 也 包 含 分 包 商 ) 且 应 向 其 分 供 商 传 递 订 单 中 规 定 的所 有 关 于 技 术 和 时 间 进 度 的 要 求 。 若 由 于 卖 方 违 反 其 有 关 雇 佣 和 雇 员 的 法 定 责 任 导 致 买 方 陷 于 来 自 第三 方 或 政 府 当 局 的 可 能 的 债 务 、 索 赔 及 罚 金 风 险 , 卖 方 应 当 予 以 赔 偿 并 使 买 方 免 于 此 等 危 害 。 尤 其 ,但 不 限 于 , 如 果 卖 方 雇 佣 工 人 , 应 遵 从 适 用 的 法 律 法 规 , 并 确 保 所 有 的 被 雇 人 员 及 其 分 包 商 具 备 有 效工 作 许 可 。The Vendor shall only employ proven and qualified sub-vendors (which term, for the purposes ofthese conditions, shall include subcontractors), and shall pass on to such sub-vendors any technicaland time schedule requirements given in the Order. The Vendor shall indemnify and hold the Buyerharmless from any liabilities, claims and fines of third parties or public authorities which may ariseagainst the Buyer due to the non-compliance by the Vendor with any of his statutory obligationsrelating to his work or to his staff.
