Rules and RegulationsExhibit rules and regulations are to be construed as part of all contracts for exhibit space. <strong>Arrow</strong> reservesthe right to interpret them, as well as make final decisions, on all points not herein covered.PurposeVision Series >> Power Management is for educational and informational purposes.Supplier AttendanceOnly those suppliers who have purchased a 2013 Vision Series >> Power Management sponsorship package arepermitted to attend Vision Series >> Power Management 2013. Attendance is contingent upon purchase of asponsorship package.Tabletop Decorating and Use of SpaceVision Series >> Power Management table space may vary in each city. Displays built for larger back walls cannotbe squeezed or tilted to fit; such displays MAY NOT BE USED. Portable, pop-up, or tabletop displays are stronglyencouraged.Exhibitors shall arrange their exhibits so that they do not obstruct other exhibits. Aisles must be kept clear; to thisend, exhibits should be arranged so that exhibit staff will be behind the table assigned. Display materials orequipment must remain behind the table. Indemnification, Liability, and InsuranceThe Exhibitor assumes the entire responsibility and liability for losses, damages, and claims arising out ofexhibitor’s activities on the VENUE premises and will indemnify, defend and hold harmless VENUE and itsrespective agents, servants, and employees from any and all such losses, damages, and claims. In addition, theExhibitor indemnifies and agrees to hold harmless ARROW and its officers, directors, guests, employees, andagents, from and against any action, losses, costs, damages, claims, and expenses (including attorney fees)arising from any damages to property or bodily injury to Exhibitor, or agents, representatives, or employees thereofby reason of the Exhibitor occupancy or use of the exhibition facilities. Upon signing the contract, the Exhibitorexpressly releases the foregoing institutions, individuals, and groups from any and all claims for loss, damages, orinjury. This also includes the period of storage during and following the event.All Exhibitors must insure themselves at their own expense against property loss of damage, and against liabilityfor personal injury. The Exhibitor agrees to provide insurance coverage for personal injury and property damageliability covering the Exhibitor and his property in such amount as the Exhibition facilities requires. <strong>Arrow</strong> shall eachbe named as an additional insured on all of Exhibitor’s policies of insurance. Insurance protection against fire,theft, or damage to the Exhibitor’s materials must be carried at the Exhibitor’s expense.CopyrightExhibitor acknowledges and agrees that it shall be solely responsible for obtaining licenses, permits, etc. that maybe required for it to be broadcast, perform, or display any copyrighted materials including, but not limited to, music,video, and software. Exhibitor shall indemnify, defend, and hold harmless <strong>Arrow</strong> <strong>Electronics</strong>, Inc., its directors,officers, employees, and agents, and each of them, from and against any and all claims and expenses, includingattorney fees and costs, arising out of or related to Exhibitor’s expense.Restrictions<strong>Arrow</strong> <strong>Electronics</strong>, Inc. reserves the right to prohibit or require the removal of any display or exhibit, or any part ofthe exhibit, which it deems not suitable or in accordance with these regulations or in accordance with acceptableprofessional ethics, or prohibits for other reasons deemed necessary or appropriate by <strong>Arrow</strong> <strong>Electronics</strong>, Inc. Allexhibit areas shall conform in all respects to applicable safety, health, and restriction codes.SecurityInsurance of both contents and personnel is recommended. <strong>Arrow</strong> <strong>Electronics</strong>, Inc. does not insure exhibitorproperty. <strong>Arrow</strong> <strong>Electronics</strong>, Inc. shall use reasonable care in providing security services during the hours ofinstallation, the show, and dismantling for the protection of the exhibitor’s materials and display. Beyond this, <strong>Arrow</strong><strong>Electronics</strong>, Inc. their respective officers, directors and employees, or agents shall not be responsible for the safetyor protection of the property or of the exhibitor, its employees, and agents from any cause. The exhibit venue willbe secured during non-exhibit hours. A representative is required to be present in the exhibitor’s booth during allexhibit hours.-21-
