CoG UpdateOur Council of Governors (CoG) has continuedto develop over the year. Governors are eitherelected by the members to represent a publicconstituency, elected by the staff to represent aparticular staff class, or appointed by one of ourpartner organisations, such as local primary caretrusts, councils, the Peninsula Medical School,and voluntary organisations. Governors have metformally in total on six occasions this year, and alsoheld four development days, two in conjunctionwith the Board of Directors. They have alsoattended the quarterly constituency meetingsand some voluntary sector meetings in the localcommunity.The Governors are kept updated by means ofregular briefings at meetings, are presented withthe Annual Report and Accounts each year andcontribute to the annual service developmentplanning process. In addition their opinion is soughton any sensitive matters facing the Board. Duringthe year, as part of their constitutional role, theGovernors have appointed a new Chairman, andagreed new levels of remuneration for the Chairmanand NEDs (see more detail under The NominationsCommittee and The NED Remuneration Committeesections below).No Governor holds a directorship in a firm that doesbusiness with the Trust. Ifyou would like to contact your governor theneither call (01392) 403977 and ask for details,or go to www.rdehospital.nhs uk/docs/nhsft/governorcontactdetails.docThe Nominations Committee, which consists ofthe Chairman and Governors, has met 14 times thisyear, its main task being to appoint a new Chairmanto replace Professor Ruth Hawker OBE who retiredon 30 April 2006. Ms Angela Ballatti, previously theChairman of Durham & Darlington Acute HospitalsNHS Trust, took over as Chairman on 1 May 06. Therecruitment process used both external searchconsultancy and open advertising. The Committeehas also developed a good practice guide for theappointment of a Foundation Trust Chairman forfuture use.The Non Executive Directors RemunerationCommittee, which also consists of Governors, hasmet three times to consider remuneration of theChairman and NEDs. New levels of remunerationwere recommended, following a survey by theFoundation Trust Network on behalf of foundationtrusts, and latterly approved by Governors.The Constitution Review Working Group,consisting of six governors and one NED, hasmet regularly to review the Constitution; itsrecommendations will be put to the membersfor approval at the Annual Members Meeting inSeptember 2006, following agreement by the Boardof Directors and CoG this summer.Elections were held on three occasions during theyear. The following people were elected in theannual election in June 2005:• Margaret Read, re-elected, Exeter;• Andrew Webber, Exeter;• Sue Greenall, staff (Admin, Clerical andManagers);• Linda Fryer, re-elected, East Devon(uncontested);• Ivor Watts, re-elected, Mid Devon.The vacant position for Other Parts of Devon,Dorset, Somerset, Cornwall & the Isles of Scillywas not filled. The second vacant position for EastDevon was not filled.Two by-elections were held during the year. Thefirst was to fill the positions that remained vacantfrom the annual elections and a vacant staffposition, following Cheryl Vidall’s resignation.Results were as follows:• Christopher D’Oyly, Other Parts of Devon,Dorset, Somerset, Cornwall & the Isles of Scilly;• Tricia McKenzie, East Devon;• Monica Overy, Staff (Nursing and Midwifery)(uncontested).Another by-election was held because of theresignation of Peter Davey (Exeter), RosemaryWhitehurst (Exeter) and Robert Flint (Staff - HotelServices & Estates).
