Independent Auditors’ ReportThe Board <strong>of</strong> Directors<strong>University</strong> <strong>of</strong> Colorado FoundationBoulder, ColoradoWe have audited <strong>the</strong> accompanying consolidated statements <strong>of</strong> financial position <strong>of</strong> <strong>the</strong> <strong>University</strong><strong>of</strong> Colorado Foundation (<strong>the</strong> “Foundation”) as <strong>of</strong> June 30, 2007 and 2006, and <strong>the</strong> related consolidatedstatements <strong>of</strong> activities and cash flows for <strong>the</strong> years <strong>the</strong>n ended. These financial statements are<strong>the</strong> responsibility <strong>of</strong> <strong>the</strong> Foundation’s management. Our responsibility is to express an opinion on<strong>the</strong>se financial statements based on our audits.We conducted our audits in accordance with auditing standards generally accepted in <strong>the</strong> UnitedStates <strong>of</strong> America. Those standards require that we plan and perform <strong>the</strong> audit to obtain reasonableassurance about whe<strong>the</strong>r <strong>the</strong> financial statements are free <strong>of</strong> material misstatement. An auditincludes consideration <strong>of</strong> internal control over financial reporting as a basis for designing audit proceduresthat are appropriate in <strong>the</strong> circumstances, but not for <strong>the</strong> purpose <strong>of</strong> expressing an opinionon <strong>the</strong> effectiveness <strong>of</strong> <strong>the</strong> Foundation’s internal control over financial reporting. Accordingly, weexpress no such opinion.
