INSIDER TRADING 138. As set forth above, by at least fiscal year end 2006, <strong>Pardo</strong> <strong>and</strong> <strong>Peden</strong> knew, butfailed to disclose to shareholders, that <strong>Life</strong> <strong>Partners</strong> systematically underestimated LEs in pricingthe life settlements interests it brokered. This was material, non-public information because, as<strong>Pardo</strong> <strong>and</strong> <strong>Peden</strong> knew, the revenues <strong>and</strong> profit margins that <strong>Life</strong> <strong>Partners</strong> reported depended onunderestimated LEs. <strong>Life</strong> <strong>Partners</strong> could not sustain revenues <strong>and</strong> profit margins at the levels itreported without the continued use of underestimated LEs. And <strong>Life</strong> <strong>Partners</strong> could not continueto use underestimated LEs to prop up its business had it disclosed its practice of doing so, asinvestor dem<strong>and</strong> for the life settlement interests that the Company brokers would have greatlydiminished if not vanished entirely had this information been public.139.
