The Board has approved in principle revised Articles of<br />

Incorporation that would improve governance of EA by<br />

bringing about changes in the director appointment process<br />

to ensure recruitment and selection of the best directors to<br />

act in the interests of EA and its stakeholders. The Board has<br />

discussed the new governance and accountability framework<br />

with our appointer representatives on a number of occasions<br />

and work continues on moving this initiative forward.<br />

GoVErnAncE prActicEs<br />

Although not subject to governance rules that apply<br />

to public companies, EA is committed to implementing<br />

corporate governance practices that are in alignment<br />

with practices required of public companies, adapting<br />

them to EA’s status as a non-share corporation.<br />

Under National Policy 58-201 Corporate Governance<br />

Guidelines and the accompanying National Instrument<br />

58-101 Disclosure of Corporate Governance Practices<br />

published by the Canadian Securities Administrators,<br />

public companies are required to disclose their corporate<br />

governance practices. Among the disclosure requirements<br />

are the attendance record of each director and the text of<br />

the Board Mandate. The attendance record of each EA<br />

director for all Board and Committee meetings he or she<br />

was scheduled to attend in 2008 and the Board Mandate<br />

follow. Additional documents can be found on EA’s<br />

BoArd cHAnGEs in 2008<br />

Robert Walker (City of <strong>Edmonton</strong>) resigned from<br />

the Board on April 2, 2008<br />

Dennis Foley (Leduc County) retired from the Board<br />

on December 31, 2008<br />

Maureen McCaw was appointed to the Board effective<br />

October 30, 2008 (replaced Robert Walker).<br />

Leonard Blumenthal was appointed to the Board effective<br />

January 1, 2009 (replaced Dennis Foley).<br />

Gordon Clanachan (Federal Government), Shelley Miller<br />

(City of <strong>Edmonton</strong>) and Evan Cameron (Sturgeon County)<br />

were all re-appointed to the Board for a further term<br />

effective January 1, 2009.<br />
