the Revolving Loan Secured Parties are seeking or have obtained relief from the automatic stay<br />

with respect to any Revolving Loan Priority Collateral, any or all of the Term Loan Agent and<br />

Term Loan Secured Parties may seek corresponding relief from the automatic stay with respect<br />

to such Revolving Loan Priority Collateral and, upon obtaining such relief, may join in any<br />

foreclosure or other enforcement action commenced by any of the Revolving Loan Secured<br />

Parties against any Revolving Loan Priority Collateral (even if the Term Loan Standstill Period<br />

has not expired) so long as the Term Loan Agent and/or Term Loan Secured Parties do not<br />

hinder, delay or interfere with either the efforts by the Revolving Loan Agent and/or Revolving<br />

Loan Secured Parties to obtain relief from the automatic stay with respect to such Revolving<br />

Loan Priority Collateral or to exercise any rights or remedies against such Revolving Loan<br />

Priority Collateral.<br />

(b) So long as the Discharge of Term Loan Debt has not occurred,<br />

neither the Revolving Loan Agent nor any of the Revolving Loan Secured Parties will seek any<br />

relief from the automatic stay in any Insolvency Proceeding in respect of any part of the Term<br />

Loan Priority Collateral, any Proceeds thereof or any Lien thereon securing any of the Revolving<br />

Loan Debt; provided, however, that in the event that any or all of the Term Loan Agent and the<br />

Term Loan Secured Parties are seeking or have obtained relief from the automatic stay with<br />

respect to any Term Loan Priority Collateral, any or all of the Revolving Loan Agent and<br />

Revolving Loan Secured Parties may seek corresponding relief from the automatic stay with<br />

respect to such Term Loan Priority Collateral and, upon obtaining such relief, may join in any<br />

foreclosure or other enforcement action commenced by any of the Term Loan Secured Parties<br />

against any Term Loan Priority Collateral (even if the Revolving Loan Standstill Period has not<br />

expired) so long as the Revolving Loan Agent and/or Revolving Loan Secured Parties do not<br />

hinder, delay or interfere with either the efforts by the Term Loan Agent and/or Term Secured<br />

Parties to obtain relief from the automatic stay with respect to such Term Loan Priority<br />

Collateral or to exercise any rights or remedies against such Term Loan Priority Collateral.<br />

6.4 Adequate Protection.<br />

(a) (i) The Term Loan Agent, on behalf of itself and the other Term<br />

Loan Secured Parties, agrees that none of them shall contest (or support any other Person<br />

contesting):<br />

(A) any request by the Revolving Loan Agent or the other<br />

Revolving Loan Secured Parties for adequate protection in accordance with<br />

Section 6.4(e); or<br />

(B) any objection by the Revolving Loan Agent or the<br />

other Revolving Loan Secured Parties to any motion, relief, action or proceeding<br />

based on the Revolving Loan Agent or the other Revolving Loan Secured Parties<br />

claiming a lack of adequate protection with respect to Liens in Revolving Loan<br />

Priority Collateral to the extent not inconsistent with the other terms of this<br />

<strong>Agreement</strong>.<br />
