Because there is no evidence that Lonchar or Sallaberry<br />

have received profits in connection with their alleged<br />

misrepresentations, disgorgement is inappropriate.<br />

Again, however, Leslie is situated differently. The<br />

evidence permits the inference that Leslie acted with<br />

scienter when providing misstatements regarding the fair<br />

value of the license and Veritas's need for the AOL<br />

advertising. The auditors were searching for the fair value<br />

of either leg of the AOL transaction, and it is conceivable<br />

that the outcome of the audit was affected by either of<br />

these misstatements. If the error in the original<br />

accounting resulted in an improper inflation of Veritas's<br />

share value, Leslie may have been unjustly enriched as a<br />

result.<br />

V. DISPOSITION<br />

Good cause therefor appearing:<br />

(1) Defendants' motion [*117] to sever<br />

will be denied;<br />

(2) Defendants' motion to exclude Dr.<br />

Seidler's testimony will be granted in part<br />

and denied in part. Seidler may testify at<br />

trial regarding accounting materiality, but<br />

not at to legal concepts and case law,<br />

statutes, or whether specific conduct was<br />

fraudulent, intentional, or misleading;<br />

(3) Sallaberry's motion to exclude<br />

Davis's testimony will be denied.<br />

Lonchar's motion to exclude portions of<br />

Davis's report will be granted. Davis may<br />

testify at trial regarding the 2003<br />

2010 U.S. Dist. LEXIS 76826, *116<br />

restatement but not the 2004 restatement;<br />

(4) Defendants' motions for summary<br />

judgment and partial summary judgment<br />

will be granted in part and denied in part.<br />

The motions will be granted with respect<br />

to the SEC's third claim for relief against<br />

Lonchar and Sallaberry (record-keeping<br />

violations under Rule 13b2-1), its fourth<br />

claim for relief with against Lonchar<br />

(internal control violations under Section<br />

13(b)(5)), and its sixth claim for relief<br />

against all Defendants (aiding and abetting<br />

reporting violations of Exchange Act §§<br />

13(a) and 13(b)(2)(A) and Exchange Act<br />

Rules 12b-20, 13a-1, 13a-11, 13a-13 and<br />

13b2-1). Leslie's and Sallaberry's motions<br />

related to the SEC's prayer for civil<br />

penalties [*118] and the director and<br />

officer bar also will be granted; and<br />

(5) Summary judgment is granted in<br />

favor of Lonchar and Sallaberry with<br />

respect to the SEC's prayer for<br />

disgorgement.<br />
