Agrium is a major distributor of crop inputs and services in<br />

North America, South America and Australia, and a leading<br />

global producer and marketer of agricultural nutrients. We<br />

produce and market the three primary nutrients: nitrogen,<br />

phosphate and potash, as well as ammonium sulphate,<br />

and controlled-release fertilizers. A key differentiator of<br />

Agrium is that we are the only publicly traded company that<br />

crosses the agricultural inputs supply chain. This means<br />

that our focus on growth begins in our manufacturing<br />

facilities and extends to the fields where our customers use<br />

our products. Agrium has approximately 138 million shares<br />

outstanding and a market capitalization of approximately<br />

U.S.$11.7 billion (as of May 6, 2016). Agrium employs<br />

approximately 15,200 people globally who are dedicated<br />

to achieving our vision of being the world’s leading provider<br />

of agricultural inputs, services and solutions.<br />

December 2015 and were granted a new allocation of 10.3<br />

percent of 2016 Canpotex volumes. The expansion of our<br />

Borger, Texas nitrogen facility is on-track to deliver 610,000<br />

metric tonnes of urea production capacity in early 2017.<br />

Through our Retail Business Unit we operate the largest<br />

global direct-to-grower agricultural retail operation with<br />

product offerings in seed, crop protection, crop nutrient<br />

products, merchandise, and agronomic services. We<br />

partner with growers in North America, Australia and<br />

Argentina, and we are a leading retailer in each of these<br />

geographic regions. As of December 2015, Agrium had<br />

over 1,460 retail facilities globally.<br />

Our Wholesale Business Unit manufactures, markets and<br />

distributes crop nutrients such as nitrogen, phosphates,<br />

and potash. We service our customers through a network<br />

of over 100 distribution warehouses, supplied by 14 wholly<br />

owned production facilities and two joint venture facilities<br />

strategically located worldwide. Our strengths include a<br />

low cost in-market position, and the ability to leverage our<br />

extensive retail distribution network.<br />

We own a 50 percent stake in Profertil S.A., an Argentinebased<br />

manufacturer and wholesale distributor of nitrogen<br />

products while YPF S.A., a state-controlled oil and gas<br />

company in Argentina, owns the other half. Debottlenecking<br />

was completed in 2014 with commissioning and startup<br />

completed in 2015. This increased Agrium’s share of<br />

production by ~70,000 tonnes. We have a 26 percent<br />

equity interest in MISR Fertilizer Production Company,<br />

S.A.E. (MOPCO) of Egypt. Our nitrogen facility expansion<br />

in Egypt added two new urea trains and construction was<br />

completed in 2015.<br />

We completed the tie-in of the brownfield expansion of<br />

our Vanscoy Potash Operations in Saskatchewan, Canada<br />

in 2014, and we completed our Canpotex proving run in<br />

Agrium was formed to facilitate the reorganization of the<br />

fertilizer division of Cominco Ltd. and the acquisition of<br />

the fertilizer assets of Alberta Energy Company in 1993.<br />

Agrium’s shares were first publicly listed on the Toronto<br />

Stock Exchange in 1993 and traded on the New York Stock<br />

Exchange on October 4, 1996.<br />

Agrium established its agricultural Retail division through<br />

the acquisitions of Crop Production Services (CPS) in September<br />

1994 and Western Farm Service (WFS) in January<br />

1995. Also in 1995, Agrium established an international<br />

presence in Argentina under the trade name Agroservicios<br />

Pampeanos S.A. (ASP). In 2006, Agrium continued to build<br />

its retail franchise through the acquisition of Royster-Clark’s<br />

retail operations. Retail expansion continued in 2007 with<br />

the acquisition of ADM’s 18 retail centers and 14 satellites<br />

in Kansas and Oklahoma. In 2008, Agrium completed the<br />

acquisition of United Agri Products (UAP), the company’s<br />

largest acquisition to date. This was a transforming transaction<br />

for Agrium, as the acquisition further expanded our<br />

retail presence in the United States, improved our earnings<br />

diversification by increasing the profit contribution from our<br />

Retail business unit and diversified Agrium’s product mix<br />

by increasing our sales in crop protection products (CPP).<br />

Upon completion of the acquisition of UAP, Agrium’s retail<br />

branches in the United States increased from 489 locations<br />

to 826. Agrium continued its Retail division growth with<br />

the establishment of 65 retail outlets in Western Canada<br />

through a number of transactions in 2009 and 2010, the<br />

acquisition of 24 retail outlets in Argentina in July 2010, and<br />

our entry into Australia with the acquisition of AWB Limited’s<br />

Landmark business in December 2010. In October<br />

2013, Agrium acquired the majority of Viterra’s Agri-products<br />

business, which increased our Canadian Retail presence<br />

by over 200 locations.<br />

The growth of Agrium’s Wholesale business was initiated<br />

with the acquisition of Nu-West Industries, a phosphate<br />

producer in Idaho in 1995. Agrium subsequently merged<br />

with Viridian in December 1996, substantially increasing<br />

the size of the company. In 1997, Agrium announced the<br />

development of the phosphate rock reserve at Kapuskasing,<br />

Ontario to obtain a domestic rock supply for the Redwater<br />

facility. Production at the mine began in July 1999. In<br />

1998, Agrium also acquired a phosphate rock mine located<br />

close to our Conda facility in Idaho to establish security of<br />

supply. Agrium acquired UNOCAL’s (Union Oil of California)<br />

agricultural products division in September of 2000.<br />

In 1998, Agrium expanded into the Argentina market with<br />

a 50 percent ownership in Profertil S.A. with production in<br />

Bahía Blanca, Argentina. In 2005, Agrium acquired the Western<br />

Canadian fertilizer distribution assets from Imperial Oil.<br />

In 2008, Agrium acquired a 70 percent equity position in<br />

Common Market Fertilizers S.A. (CMF), one of Western<br />

Europe's largest fertilizer distribution companies; in April<br />

2010 the remaining 30 percent was also acquired and CMF<br />

became Agrium Europe.<br />

In 2014, Agrium completed the tie-in of the brownfield expansion<br />

of the Vanscoy Potash Operations in Saskatchewan,<br />

Canada, and we will continue to ramp up production to the<br />

full one million incremental tonnes over the next year. The<br />

construction of our 610,000 tonne urea expansion of our<br />

Borger, Texas nitrogen facility is scheduled to be completed<br />

by the end of 2016.<br />

In 2008, Agrium entered into an agreement with MOPCO<br />

of Egypt, whereby MOPCO acquired the previous EAgrium<br />

project, and EAgrium shareholders obtained a 26 percent<br />

equity interest in the combined entity. The combined entity<br />

includes an existing 650,000 tonne urea facility. In late 2009,<br />

MOPCO secured financing for tripling the production of the<br />

existing nitrogen facility.<br />

Canada<br />

Canada is the seventh largest consumer of crop<br />

nutrients worldwide and is the world’s largest exporter of<br />

potash. Nutrient consumption in 2014 was 2.4, 0.8 and<br />

0.4 million metric tonnes for nitrogen, phosphate and<br />

potash respectively. In 2014, crop protection product<br />

sales were $1.8 billion and seed sales were $1.1 billion.<br />

In total Canada has over 113 million acres of arable land;<br />

The United States has the third highest consumption of<br />

nutrients. Nutrient consumption in 2014 was 12.2, 4.2<br />

and 4.5 million metric tonnes for nitrogen, phosphate and<br />

potash respectively. In 2014, crop protection product sales<br />

were $7.3 billion and seed sales were over $12.9 billion. The<br />

United States has over 383 million acres of arable land (as<br />

of 2012) with 91 million acres planted for corn, producing<br />

South America<br />

Investing in South America provides an opportunity to grow<br />

where agriculture is growing. Our current operations, Profertil,<br />

Utilfértil and ASP will allow us to leverage our strengths<br />

as we enter new markets. In 2009, we opened two retail<br />

farm branches in Uruguay. In 2010, ASP acquired 24 retail<br />

outlets and a formulation plant from DuPont in Argentina.<br />

In 2012, ASP entered Brazil with the acquisition of Utilfértil<br />

Indústria E Comércio De Fertilizantes Ltda. (Utilfértil).<br />

Argentina<br />

Argentina is the second largest producer of crops in South<br />

America; with approximately 39 million hectares of arable<br />

land, its major crops are corn, wheat and soybeans. Nutrient<br />

consumption in 2014 was 840, 624, and 48 thousand<br />

metric tonnes of nitrogen, phosphate and potash, respectively.<br />

From 2016 to 2020, Argentina’s compound annual<br />

growth rate for total nitrogen, phosphate and potash consumption<br />

is projected to be 5 percent. In 2014, crop protection<br />

product sales were $1.9 billion and seed sales were<br />

$1.6 billion. Agrium established an international presence<br />

in 1995 in Argentina operating under the trade name ASP<br />

(fully owned by Agrium). In 1998 Agrium established a 50<br />

percent interest in the Profertil joint venture.<br />

Brazil<br />

Brazil is one of the largest and fastest growing fertilizer<br />

import markets in the world, with a projected 3 percent<br />

compound annual growth of nutrient consumption<br />

between 2015 and 2017. Brazil has the fourth highest<br />

consumption of crop nutrients in the world and is the<br />

world’s second largest import market. Nutrient consumption<br />

in 2014 was 3.9, 4.7 and 5.4 million metric tonnes for<br />

nitrogen, phosphate and potash respectively. In 2014, crop<br />

protection product sales were $11.9 billion and seed sales<br />

were over $3.7 billion. Looking forward, Brazil is one of<br />

the few countries in the world with a land base that enables<br />

continued expansion of its cultivated area. Growth in<br />

planted areas and yields are expected to increase Brazil’s<br />

agricultural production in the near future and going forward,<br />

position the country as the lead exporter of several agricultural<br />

products including soybean, corn, beef, sugarcane,<br />

oranges, coffee and poultry.<br />

Agroservicios Pampeanos (asp)<br />

Agroservicios Pampeanos (ASP) is a fully owned subsidiary<br />

of Agrium with approximately 600 employees serving<br />

farmers through Farm Centers that supply inputs and<br />

services in Argentina, Chile, Uruguay, and Brazil.<br />

Products include fertilizers, crop protection chemicals,<br />

seeds and agronomic services. ASP entered Uruguay<br />

in 2009 and Brazil in 2012 to expand Agrium’s South<br />

American presence.<br />

Australia<br />

The $49 billion farm sector in Australia produces a variety of<br />

crops including grains, vegetables, cotton, sugarcane and<br />

pasture land for livestock. With a relatively small population<br />

of 24 million, Australia is a key exporter of wheat and barley<br />

into Asia and the Middle East. The three basic categories<br />

of fertilizers (nitrogen, phosphate and potash) are all used<br />

as crop inputs in Australia. Demand for specialty products<br />

has increased in recent years and many suppliers now offer<br />

such products to suit the specific purposes of individual<br />

end users. Australian fertilizer demand growth is expected<br />

to be relatively flat compared to historic trends.<br />

China<br />

China has the largest population in the world, with 1.4 billion<br />

residents representing 19 percent of the global population.<br />

China has 8 percent of the world’s arable land with<br />

approximately 107 million hectares. China has the largest<br />

agricultural production in the world by volume, and is the<br />

world’s largest fertilizer market, accounting for nearly 30<br />

percent of the world’s demand. Rising annual incomes of<br />

China’s population are driving an improvement in diets and<br />

increasing the amount of grain, dairy, fruits, vegetables and<br />

meat consumed in China. China has increased cropping<br />

area in recent years and its stated goal is to remain selfsufficient<br />

in grain production. Given a finite arable land<br />

base, grain yields will have to increase to keep pace with<br />

demand growth.<br />

India<br />

Forecasts indicate that by 2025 India will become the fifth<br />

largest consumer economy in the world. While urbanization<br />

has not occurred as fast as some parts of Asia, the<br />

urban population is expected to grow significantly in the<br />

coming years. With this, comes a rising middle class which<br />

is expected to surpass that of China over the next 10 years.<br />

India’s food consumption will increase with growth in<br />

population and income. This will require a corresponding<br />

increase in agricultural production, which in turn will drive<br />

increased demand for crop nutrients.<br />

India has approximately 156 million hectares of arable<br />

land. The major crops in India are rice, wheat, millet, cotton<br />

and pulses. Fertilizer consumption in 2014 was 16.8, 5.7<br />

and 2.4 million metric tonnes for nitrogen, phosphate and<br />

potash, respectively. In 2014, crop protection product sales<br />

were $1.8 billion and seed sales were $0.7 billion.<br />

Indian agriculture is highly regulated as both fertilizer and<br />

crop prices are controlled by the government.<br />

Europe produces a diversity of crops and engages in<br />

differing agricultural practices due to variety in climate<br />

and fertilization patterns across the continent. In 2014 (1) ,<br />

Europe consumed 16.2, 4.4 and 4.8 million metric tonnes<br />

of nitrogen, phosphate and potash, respectively. In 2014<br />

crop protection chemicals sales were $13.9 billion and seed<br />

sales were $7.8 billion. In Europe, there are approximately<br />

280 million hectares of arable land. The EU-15 (2) is a growth<br />

market for environmentally friendly crop nutrient and crop<br />

protection products. In contrast, the countries in the<br />

EU-13 (3) and Eastern Europe (4) are less mature in terms of<br />

application rates of nitrogen, phosphate and potash. In<br />

general, these are growth markets for crop inputs, both in<br />

terms of consumption and range of products.<br />

Headquartered in Brussels, Belgium, Agrium Europe<br />

employs approximately 80 people and has six sales<br />

offices in six different countries. Agrium Europe purchases,<br />

distributes and sells approximately 1 million metric tonnes<br />

Africa and the Middle East are markets with significant<br />

future growth potential. Our ownership interest in the<br />

MOPCO nitrogen facility in Egypt provides us with a strong<br />

presence in the region. In 2014, Africa and the Middle<br />

East consumed 5.2, 2.8 and 0.9 million metric tonnes of<br />

nitrogen, phosphate and potash, respectively. In 2014,<br />

crop protection product sales were $2.2 billion and traded<br />

seed sales were $0.8 billion.<br />

Egypt and Iran are the largest nutrient consumers in Africa<br />

and the Middle East. This region is especially important in<br />

production and exports, particularity nitrogen and phosphates.<br />

The top five producing countries (based on NPK<br />

nutrient tonnes) in the region are Morocco, Saudi Arabia,<br />

Egypt, Iran and Algeria.<br />

Agriculture contributes significantly to the GDP of Africa and<br />

the Middle East and there is significant growth potential,<br />

particularly in Sub-Saharan Africa. Available arable land<br />

in Africa and the Middle East is approximately 231 million<br />

hectares and 37 million hectares respectively. The major<br />

crops of this region are corn, sorghum, wheat and millet.<br />

Corn is a major crop produced in both Africa and the<br />

Middle East, with 75 million tonnes produced in 2013 and<br />

approximately 35 million hectares harvested.<br />

We operate the largest global direct-to-grower agricultural<br />

retail distribution operation. As of December 31, 2015, Agrium<br />

operated a network of 927 retail facilities in the United States,<br />
