Agrium is a major distributor of crop inputs and services in<br />
North America, South America and Australia, and a leading<br />
global producer and marketer of agricultural nutrients. We<br />
produce and market the three primary nutrients: nitrogen,<br />
phosphate and potash, as well as ammonium sulphate,<br />
and controlled-release fertilizers. A key differentiator of<br />
Agrium is that we are the only publicly traded company that<br />
crosses the agricultural inputs supply chain. This means<br />
that our focus on growth begins in our manufacturing<br />
facilities and extends to the fields where our customers use<br />
our products. Agrium has approximately 138 million shares<br />
outstanding and a market capitalization of approximately<br />
U.S.$11.7 billion (as of May 6, 2016). Agrium employs<br />
approximately 15,200 people globally who are dedicated<br />
to achieving our vision of being the world’s leading provider<br />
of agricultural inputs, services and solutions.<br />

December 2015 and were granted a new allocation of 10.3<br />
percent of 2016 Canpotex volumes. The expansion of our<br />
Borger, Texas nitrogen facility is on-track to deliver 610,000<br />
metric tonnes of urea production capacity in early 2017.<br />
Through our Retail Business Unit we operate the largest<br />
global direct-to-grower agricultural retail operation with<br />
product offerings in seed, crop protection, crop nutrient<br />
products, merchandise, and agronomic services. We<br />
partner with growers in North America, Australia and<br />
Argentina, and we are a leading retailer in each of these<br />
geographic regions. As of December 2015, Agrium had<br />
over 1,460 retail facilities globally.<br />
Our Wholesale Business Unit manufactures, markets and<br />
distributes crop nutrients such as nitrogen, phosphates,<br />
and potash. We service our customers through a network<br />
of over 100 distribution warehouses, supplied by 14 wholly<br />
owned production facilities and two joint venture facilities<br />
strategically located worldwide. Our strengths include a<br />
low cost in-market position, and the ability to leverage our<br />
extensive retail distribution network.<br />
We own a 50 percent stake in Profertil S.A., an Argentinebased<br />
manufacturer and wholesale distributor of nitrogen<br />
products while YPF S.A., a state-controlled oil and gas<br />
company in Argentina, owns the other half. Debottlenecking<br />
was completed in 2014 with commissioning and startup<br />
completed in 2015. This increased Agrium’s share of<br />
production by ~70,000 tonnes. We have a 26 percent<br />
equity interest in MISR Fertilizer Production Company,<br />
S.A.E. (MOPCO) of Egypt. Our nitrogen facility expansion<br />
in Egypt added two new urea trains and construction was<br />
completed in 2015.<br />
We completed the tie-in of the brownfield expansion of<br />
our Vanscoy Potash Operations in Saskatchewan, Canada<br />
in 2014, and we completed our Canpotex proving run in<br />
