KEY HIGHLIGHTS<br />
• One of the key components of <strong>Iskandar</strong> <strong>Malaysia</strong>, the industrial and manufacturing hub in the southern<br />
region of Peninsular <strong>Malaysia</strong> encompasses 31,132 ha of the Pasir Gudang area. Flagship D covers Pasir<br />
Gudang Port, Pasir Gudang Industrial Park, Tanjung Langsat Port and Tanjung Langsat Industrial<br />
Complex.<br />
• Current key economic activities in Flagship D are focused towards heavy industries and logistics,<br />
including electrical and electronics (E&E), chemical, oleochemical, food and engineering-based<br />
industries as well as ports and logistics and warehousing. Flagship D has the largest concentration of<br />
palm oil refining industries and downstream activities in the world.<br />
• Key players in Pasir Gudang include both local and international companies such as Panasonic, Titan<br />
Petchem, Kiswire, Western Digital and IOI Loaders.<br />
• Most land banks in Flagship D are industrial zone (leasehold: ‘30+30’-year lease or 60-year lease) and<br />
residential-type (freehold and leasehold).<br />
• As at 15 February 2008, the price of industrial land in Pasir Gudang ranges between RM14 - RM20<br />
(US$5 - US$7) per sq ft for ‘30+30’-year lease and RM17 - RM30 (US$6 - US$10) per sq ft for 60-year<br />
lease.

INTRODUCTION<br />
Location. Pasir Gudang is located 30 km east of Johor Bahru. It is located at the western end of the<br />
Johor Bahru metropolitan area. The population is around 100,000.<br />
Key Functions/Activities. Key economic activities in the Pasir Gudang area are electrical and<br />
electronics (E&E), chemical, oleochemical, chemical biofuels, food products, engineering-based<br />
industries, ports and logistics, warehousing, research and development (R&D) and plastics.<br />
Historical Background. The name Pasir Gudang originated from the existence of a sand mine at<br />
Kampung Ulu. Sand or 'pasir' in Malay was mined and stocked in sand pits/stores or 'gudang' in Malay,<br />
then exported to Singapore, hence the name 'Pasir Gudang'. Pasir Gudang was initially an agriculture<br />
area in the early 20th century. In 1969, FELDA land schemes were founded in the Pasir Gudang area. To<br />
further develop the western part of Johor, the State Government converted the estate lands into<br />
industrial and housing areas to develop Pasir Gudang into an industrial area.<br />
A Key Industrial Hub In Southern Peninsular <strong>Malaysia</strong>. To date, there are more than 300 factories<br />
in the Pasir Gudang area that have provided more than 30,000 employment opportunities to the<br />
community of 100,000 people in Pasir Gudang.<br />
Connectivity. Currently, Flagship D is connected by the four-lane Pasir Gudang Highway, a trunk road<br />
and a railway line to Johor Bahru.<br />

KEY LANDMARKS<br />
Tanjung Langsat Industrial Complex<br />
Tanjung Langsat Industrial Complex is located in the southern<br />
region of Johor, bound by the Straits of Johor in the south and the<br />
Johor river basin in the east. The complex is an extension of the<br />
existing Pasir Gudang Industrial Area and comprises an area<br />
measuring 4,198.52 acres dedicated to light, medium and heavy<br />
industries. The land is under the ownership of Johor Corporation.<br />
Pasir Gudang Industrial Park<br />
Pasir Gudang Industrial Park, which covers 3,764 acres of land, is<br />
one of Johor Corporation’s many successful industrial estates. It is<br />
also among the most successful industrial townships in <strong>Malaysia</strong>.<br />
Currently, the Pasir Gudang Industrial Area has more than 300<br />
manufacturing companies. Meanwhile, the existing tank farm<br />
facilities in Pasir Gudang are the world's largest edible oil tankage<br />
facility catering for the throughput from the companies operating<br />
within the hinterland of Pasir Gudang.<br />
Johor Port<br />
Johor Port services include cargo handling for a diverse range of<br />
cargo: dry cargo, general cargo, liquid bulk and containers. They<br />
also include the provision of marine services such as towage,<br />
piloting, ship-to-ship transfer, bunkering and fresh water supply.<br />
Port facility management includes the running of the Johor Port<br />
Free Zone, property management and warehousing. Johor Port is<br />
a subsidiary of MMC Corporation Bhd.
Tanjung Langsat Port<br />
Tanjung Langsat Port (TLP) is the third port in Johor, <strong>Malaysia</strong>,<br />
designed to complement the Port of Tanjung Pelepas and Johor<br />
Port in Pasir Gudang. Positioning itself as Southeast Asia's premier<br />
speciality terminal, it handles bulk cargo such as liquefied<br />
petroleum gas (LPG) and dangerous chemicals.<br />
Initiated in 1995 and commencing partial operations in 2003,<br />
TLP is situated 12 nautical miles (22 km) from the international<br />
shipping lane, 5 km from Johor Port and 30 km from Johor Bahru.<br />
It has more than 750 acres of land within the port area and a 4.5 km<br />
shoreline fronting the Straits of Johor. Tanjung Langsat Port is a<br />
subsidiary of Johor Corporation.<br />
Pasir Gudang Circuit<br />
Built in 1986, the Johor Circuit is the first international class<br />
motor racing circuit outside of the Klang Valley. It initially catered<br />
to the local enthusiasts but soon gained recognition not only<br />
regionally, but also internationally. Although it was then a<br />
comparatively new circuit, its challenging 3.86 km configuration<br />
soon attained respect and admiration amongst the racing<br />
fraternity. In 1990, just four years after it was built, the circuit was<br />
upgraded to the strict FIM World GP homologation requirements.<br />
In 1998, it hosted the World Motorcycle Grand Prix<br />
Championship. Ever since then, it has been hosting regular local<br />
and regional events.<br />

LAND PRICES AND AVAILABILITY<br />
As illustrated below, there are two different types of lease agreement in Flagship D: a) ‘30+30’-year lease<br />
and b) 60-year lease. The ‘30+30’-year lease is between RM14 - RM20 (US$4 - US$6) per sq ft while the<br />
60-year lease is relatively expensive in view of the long-term agreement, ranging between RM17 - RM30<br />
(US$5 - US$9) per sq ft. In terms of availability, there is still ample land available for industrial zones in<br />
Flagship D.<br />

BASIC INFRASTRUCTURE<br />
AND AMENITIES<br />
Overview<br />
Infrastructure plays a pivotal role in supporting the manufacturing industry. The primary components for<br />
basic infrastructure and amenities are roads and transportation services, water supply and distribution,<br />
electrical supply, gas supply, sanitation-wastewater collection and removal as well as solid waste<br />
collection and removal. These services are bundled together to support business activities in the<br />
surrounding Pasir Gudang area.<br />
Power Supply<br />
The key directions in Flagship D are to ensure: (i) sufficient supply of power to cater for the growth of<br />
<strong>Iskandar</strong> <strong>Malaysia</strong>; (ii) its objective of becoming a world-class sustainable conurbation; and<br />
(iii) the reliability of power within <strong>Iskandar</strong> <strong>Malaysia</strong>. The present supply of electric power in Flagship D is<br />

Water Supply<br />
The current supply of water is adequate in meeting the needs of <strong>Iskandar</strong> <strong>Malaysia</strong>, with a reserve of<br />
about 100%. Heavy industries in Pasir Gudang, new industries in Nusajaya and other industrial areas, as<br />
well as the associated population increase will require that the water supply system (comprising the<br />
source, headworks, transmission, and storage and distribution network) be augmented significantly.<br />
Demand for water within the region in 2005 was about 537 million litres per day.<br />
Syarikat Air Johor Holdings Bhd (SAJH) is the body responsible for the supply of treated water in <strong>Iskandar</strong><br />
<strong>Malaysia</strong>. There are six treatment plants, which supply 858 million litres of treated water per day to<br />
consumers in <strong>Iskandar</strong> <strong>Malaysia</strong>. Raw water is sourced from three rivers namely Sungai Layang, Sungai<br />
Johor and Sungai Pulai.<br />

Gas Supply<br />
Natural gas is used primarily for power generation (65%) in <strong>Malaysia</strong>. 24% of natural gas produced is<br />
used in heavy industries, 4% is used in housing, commercial and industrial areas and the remaining 7%<br />
is exported. Petronas Gas Bhd is responsible for the transmission of gas and for ensuring sufficient supply<br />
of gas.<br />
The supply and distribution of gas for commercial purposes is fairly advanced, with gas being supplied via<br />
pipelines to factories and other gas consumers. Natural gas is distributed by Gas <strong>Malaysia</strong> Bhd through<br />
a medium pressure piping system placed along road reserves. The natural gas is obtained from the<br />
Petronas Supply Centre in the east coast of Peninsular <strong>Malaysia</strong> and these pipes run to the southern<br />
region of Johor, supplying gas to Johor Bahru, Pasir Gudang and Singapore.<br />
Natural gas is supplied mainly to the industrial areas in Plentong, Tebrau, Larkin, Tampoi, Kulai and Senai.<br />
However, the ‘City Gas System’ has not been extended to non-industrial consumers, and most houses<br />
and restaurants use gas distributed in small cylinders, while hotel and some industrial users receive gas<br />
in bulb-shaped cylinders. As of today, there are four odouriser stations which are in Kulai, Senai, Permas<br />
Jaya and Pasir Gudang, with a total capacity of 177,100 (sm 2 /hr). Demand for gas in the year 2010 is<br />
projected at only 88 units (cubic metres).<br />

Road Networks<br />
Pasir Gudang is accessible via the Pasir Gudang Highway, also known as the Federal Route, a major<br />
highway in Johor that connects Tampoi Utara in the west to Pasir Gudang, Johor Port and Tanjung Langsat<br />
in the east. The existing four-lane highway will be expanded to a six-lane highway under the 9th <strong>Malaysia</strong><br />
Plan (9MP) in view of continuous traffic growth along the highway daily. Pasir Gudang is also accessible<br />
via local trunk roads.<br />

The Comprehensive Development Plan (CDP) has proposed a Road Network System of 423.96 km in<br />
<strong>Iskandar</strong> <strong>Malaysia</strong> at an estimated total cost of about RM4.8 billion, of which about RM1.4 billion has<br />
been identified for projects to upgrade roads in Pasir Gudang. The proposed road upgrade in Pasir Gudang<br />
should be completed by 2010, as proposed under the 9th <strong>Malaysia</strong> Plan (9MP).<br />

Furthermore, the new 77 km Senai-Desaru Expressway, which is expected to be opened to the public at<br />
the end of 2008, will benefit two industrial areas developed by Johor Corporation. Upon completion,<br />
traffic from the north of Johor Bahru will have easy access to Tanjung Langsat Industrial Complex and<br />
Pasir Gudang Industrial Area through a 5 km four-lane dual carriageway road that links Tanjung Langsat<br />
to the new expressway.<br />
With this new infrastructure, manufacturers from both areas can transport their products to all major<br />
seaports such as Tanjung Pelepas Port as well as an international air cargo hub in Senai.<br />
The proposed Permas Jaya Second Bridge and an alternative road to Pasir Gudang are additional facilities<br />
that will benefit the Pasir Gudang Industrial Area and Tanjung Langsat Industrial Complex. This RM175<br />
million project will take 36 months to complete.<br />

Transit Oriented Development<br />
By 2010, the population in <strong>Iskandar</strong> <strong>Malaysia</strong> is forecasted to be 1.5 million, of which about 0.54 million<br />
and 0.59 million are within the Majlis Perbandaran Johor Bahru (MPJB) and Majlis Perbandaran Johor<br />
Bahru Tengah (MPJBT). Therefore, for the ultimate in integration, the Government has proposed the<br />
development of the Light Rail Transit (LRT) as well as the Mass Rapid Transit (MRT) System. The LRT will<br />
include a 59 km route connecting Pasir Gudang-Nusajaya, totaling RM2.66 billion, to be completed by<br />
2020.<br />

Currently, most of the international schools in <strong>Iskandar</strong> <strong>Malaysia</strong> are located in Flagship A (Johor Bahru<br />
City Centre) due to the concentration of population arising from major business activities in both areas.<br />

• Johor Port Bhd (JPB) is the operator of the multi-purpose sea port in Pasir Gudang named Johor Port.<br />

Company Profile<br />
• Tanjung Langsat Port Sdn Bhd (TLP) was incorporated in 1995 with an authorised capital of RM10 million<br />
and a paid-up capital of RM5.0 million. Johor Corporation holds 95% equity interest in the company<br />
while the remaining 5% is held by TPM Technopark Sdn Bhd, a wholly-owned subsidiary of Johor<br />
Corporation.<br />
• The principal objective of setting up a port in Tanjung Langsat is to serve the 4,000 acres of industrial<br />
land of Tanjung Langsat which is situated immediately behind the port designated area. With 4.5 km<br />
of shore line back-up and 700 acres of land within the port area, TLP is well-positioned to serve the<br />
entire industrial complex as well as the region.<br />
• TLP is strategically located in the heart of Southeast Asia. The vast land bank within the port area, long<br />
shoreline and adequate depth combine to give TLP a distinct advantage to attract investors to use this<br />
port. TLP is located near Johor Port Bhd, which means the two ports are also well placed to<br />
complement each other.<br />
• In terms of logistical advantages, TLP’s location which is within 30 minutes of steaming time or 12<br />
nautical miles from the international shipping lane and only about 50 km from Senai Airport –<br />
a designated regional air cargo hub, will provide TLP with added accessibility and connectivity. In<br />
addition, TLP’s location within the newly launched <strong>Iskandar</strong> <strong>Malaysia</strong> will positively impact the port’s<br />
development and growth in the future.<br />
• With an L-shaped twin berth jetty capable of handling vessels up to 150,000 dwt, TLP commenced<br />
partial operations in January 2003 and is expected to be fully operational by early 2008.<br />
• Additionally, a 100,000 metric tonne capacity storage tank facility for gasoline products has been<br />
completed, and it will be leased to an oil-related company based in Switzerland with worldwide<br />
operations including Singapore. The bulking activities are expected to generate 3.6 million metric<br />
tonnes of throughput a year, to be handled through TLP’s jetty.<br />
• TLP also signed a concession agreement with Dialog Equity on 12 April 2007 to develop 50 acres of<br />
land consisting of two parcels of land, 40 acres and 10 acres each, for a 30-year concession period.<br />
Dialog will construct storage facilities that provide a total capacity of 530,000 tonnes for liquid bulk<br />
cargo. These facilities are expected to be completed in 2009 and will handle an estimated throughput<br />
of 12.5 million a year to be handled through TLP port facilities. The expansion of an additional 3 berths<br />
is currently under construction to handle the forecasted cargo.<br />

• TLP also signed a joint venture agreement with an edible oil storage company, Felda-Johore Bulkers<br />
Sdn Bhd (FJB), on 20 July 2006 to set up a joint venture company, Langsat Bulkers Sdn Bhd. The new<br />
company will develop and manage a bulking installation facility for bio-diesel with a capacity of<br />
20,800 metric tonnes in its first phase of development within the port area. The facility will cater for<br />
biodiesel products from Nexsol (M) Sdn Bhd, a joint venture company between Kulim (M) Bhd and<br />
Peter Cremer GMBH from Germany, which is scheduled to commence its production in the Tanjung<br />
Langsat Industrial Complex in mid 2008.<br />
• The above bulking installation facilities to be provided by Langsat Bulkers Sdn Bhd will certainly<br />
enhance TLP’s infrastructural capability in realising Johor Corporation’s vision to promote the Tanjung<br />
Langsat Industrial Complex as the largest Biofuel Park in <strong>Malaysia</strong> and TLP as the premier specialised<br />
port in the region.<br />
• TLP also recently signed a lease agreement for 50 acres of sea frontage land for 30 years on 22 January<br />
2008 with Asiaflex Products Sdn Bhd, a subsidiary of Technip Sdn Bhd. Through this land lease, Asiaflex<br />
Products will build a manufacturing plant for flexible pipes and the construction is expected to<br />
commence in the second quarter of 2008 and be completed by 2010. A new wharf facility will be<br />
constructed for this heavy lift cargo requirement and it will have to be completed by end 2009.<br />

Sedenak Industrial Park, with a total area of 700 acres is the latest project to be developed by TPM<br />
Technopark Sdn Bhd. Located within <strong>Iskandar</strong> <strong>Malaysia</strong>, Sedenak Industrial Park is a solution for the<br />

Investment From Technip<br />
Technip has signed an agreement with Tanjung Langsat Port to lease 50 acres of industrial land to set up<br />

The new 77 km Senai-Desaru Expressway that is expected to be opened to the public in August 2008 will<br />
benefit two industrial areas developed by Johor Corporation. Upon completion, traffic from the north of<br />
Johor Bahru can easily access the Tanjung Langsat Industrial Complex and Pasir Gudang Industrial Area<br />
through a 5 km four-lane dual carriageway road that links Tanjung Langsat to the new expressway.<br />
With this new infrastructure, manufacturers from both areas can transport their products to all major<br />
seaports such as Tanjung Pelepas Port as well as an international air cargo hub in Senai.<br />
The proposed Permas Jaya Second Bridge and an alternative road to Pasir Gudang will be some of the<br />
facilities that benefit the Pasir Gudang Industrial Area and Tanjung Langsat Industrial Complex. This<br />

Company Profile<br />
<strong>Malaysia</strong> Pacific Corporation Bhd (MPCB) was a private limited company known as Weld Development<br />
Sdn Bhd on 23 May 1972 which changed its name to <strong>Malaysia</strong> Pacific Land Sdn Bhd on 9 May 1977. It<br />
became a public limited company on 5 April 1996. A year later, it was listed as <strong>Malaysia</strong> Pacific Land Bhd<br />
on the Main Board of the Kuala Lumpur Stock Exchange (KLSE), now known as BURSA <strong>Malaysia</strong>.<br />
Since 1972, up to its listing in 1997 on the KLSE, the company was owned or controlled by the Hong<br />
Leong Group. Upon the listing the control changed hands to Encik Chut Nyat Isham bin Nyat Ariff and<br />
Encik Yusof bin Yusoh and Hong Leong Group retained a very substantial stake.<br />
The ‘1997 Asian Financial Crisis’ inflicted a great toll on the Company’s financial health, largely owed to<br />
heavy indiscretionary borrowings and questionable irregularities and improprieties. The reported<br />
litigations in the annual accounts after the period of 2006 are self-explanatory.<br />
The Company went into financial difficulties and needed new capital. The Hong Leong Group found it<br />
commercially unattractive for it to salvage. Therefore, the Company went scouting for white knights.<br />
In mid-2004, the Hong Leong Group invited Mr. Bill C.P. Ch’ng in Hong Kong to take over the role of<br />
corporate advisor to the Board of Directors to help resurrect the Company and to find investors to inject<br />
new capital to rescue the Company. Consequently, the control and majority shareholdings of En Chut<br />
Nyak Isham, Yusof Yusoh and the Hong Leong Group were voluntarily diluted in their disposal to Top<br />
Landers Offshore Inc., a company controlled by White Knights Limited. Nevertheless, Chut Nyak Isham,<br />
Yusof Yusoh and Hong Leong group kept control of the management and the Board of Directors.<br />
The Company undertook a rights issue exercise, which was fully underwritten by Top Landers, subject to<br />
Securities Commission and BURSA having granted waiver of the mandatory general offer under the<br />
Takeovers and Mergers code. The waiver was granted as it was deemed to be a rescue exercise.<br />
As advisor, Mr. Bill Ch’ng encountered many questionable mismanagement and improprieties which he<br />
reported to the Board of Directors and the Hong Leong Group for appropriate directions. Instead, there<br />
were inactions and he was treated with hostilities from the Board in terminating his role as advisor. Top<br />
Lander found it inevitable to protect its interest, took the necessary measures to remove all the members<br />
of the former Board of Directors and Management via an unanimous decision of shareholders at the<br />
Annual General Meeting held on 29 December 2005.<br />
On 29 December 2005, all the former directors were removed via agreed en-bloc resignations instead and<br />
the new Board of Directors were installed which took immediate effect on 29 December 2005. At the<br />
same time Mr. Bill C.P. Ch’ng was appointed the new Chief Executive Officer of the Company by the Board.<br />
New business plans and corporate strategies were quickly implemented. Massive tasks of cleaning up the<br />
group companies and protection of the assets of the Company from predators and unfriendly elements<br />
took up most of the management time. Several pre-emptive measures and forward plans were put into<br />
action, such as:<br />
• On 11 January 2006, the company changed into a new name called ‘<strong>Malaysia</strong> Pacific Corporation Bhd’,<br />
to reflect its long term diversification view to invest beyond the land and property sector into other<br />
business sectors. Therefore, the name ‘Land’ was no longer an appropriate connotation.<br />
• The company stopped the ‘fire-sale’ of its prime asset ‘Wisma MPL’ in Jalan Raja Chulan, Kuala Lumpur<br />
which was iniated by past management. Creative architectural planning and design approval were<br />
carried out to extract its ‘hidden’ value to attract strategic partnership for its new development plans.
• The company scrapped the medium-cost housing development plan for its Johor Bahru property and<br />
redesigned it into a new integrated mixed development resort and tourist city, which is now known as<br />
the ‘LakeHill Resort City’ and APTEC (the Asia Pacific Trade & Expo City), in <strong>Iskandar</strong> <strong>Malaysia</strong> which<br />
will fetch immense value and long term sustainable future income for the company.<br />
• In December 2006, Mr. Ch’ng and his family company, Seacrest Land Limited, acquired Top Lander<br />
which made the mandatory general offers to shareholders of MPCB. Top Lander thereby controlled<br />
48.41% of the issued and paid up capital of MPCB. In January 2008, Top Lander increased its<br />
shareholdings to 50.3%. Under SC and BURSA rules, Top Lander may increase its stake up to 75% on<br />
and after July 2008 at anytime.<br />
• MPCB is currently under a new phase of corporate restructuring to identify strong strategic investors<br />
in its turnaround plan such as in joint-venture of Lakehill Resort City, APTEC and Wisma MPL to achieve<br />
expansionary goal and socio-economic achievement for Johor and <strong>Malaysia</strong>.<br />
• APTEC will become the stimulus and economic generator for FDI into <strong>Iskandar</strong> <strong>Malaysia</strong> and the<br />
country as a whole. It will accomplish MPCB’s diversification aims into areas of trade, distribution,<br />
warehousing, manufacturing, logistic, franchising, transportation and other upstream and downstream<br />
activities which APTEC will generate. These will open great opportunities for <strong>Iskandar</strong> <strong>Malaysia</strong> and<br />
MPCB in its co-operation and joint-venture with local and international companies and conglomerates<br />
around the region and the world, in the short and medium term.<br />
