32 ANNUAL REPORT 2006 ADDITIONAL DISCLOSURE (Pursuant to the Listing Requirements) The information set out below is disclosed in accordance with the Listing Requirements of Bursa Malaysia Securities Berhad (“Bursa Securities”): 1. SHARE BUY-BACKS DURING THE FINANCIAL YEAR The Company did not carry out any share buy-back exercise during the financial year ended 31 December 2006. 2. OPTIONS, WARRANTS OR CONVERTIBLE SECURITIES As at 31 December 2006, a total of 2,383,000 option shares have been granted pursuant to the Employees’ Share Option Scheme. None of these have been exercised.The Company has not issued any warrants or convertible securities during the financial year ended 31 December 2006. 3. AMERICAN DEPOSITORY RECEIPTS (ADR)/GLOBAL DEPOSITORY RECEIPT (GDR) The Company has not sponsored any ADR / GDR programme during the financial year ended 31 December 2006. 4. SANCTIONS/PENALTIES There were no sanctions and/or penalties imposed on the Company and its subsidiaries, directors and management by the relevant regulatory bodies during the financial year ended 31 December 2006 other than the following:- On 15 November 2006, Bursa Securities had publicly reprimanded the Company for breach of paragraph 8.15(1) of the Listing Requirements for its failure to comply with the public shareholding spread requirement by 21 May 2006.The Company had only complied with the prescribed percentage public shareholding spread requirement pursuant to Paragraph 8.15(1) of the LR on 22 September 2006. Paragraph 8.15(1) of the Listing Requirements stipulates a listed issuer must have at least 25% of its issued and paid-up capital in the hands of a minimum number of 1,000 public shareholders holding not less than 100 shares each. Bursa Securities had imposed the public reprimand pursuant to Paragraph 16.17 of the Listing Requirements after taking into consideration all the circumstances of the case. 5. NON-AUDIT FEES Non-audit fee amounting to RM840.00 was paid to the External Auditors for the financial year ended 31 December 2006. 6. VARIATION IN RESULT The Company did not release any profit estimate, forecast or projection during the financial year. There was no significant variance between the results of the financial year and the unaudited results previously announced. 7. PROFIT GUARANTEE There were no profit guarantee given by the Company and its subsidiaries during the financial year ended 31 December 2006. 8. REVALUATION POLICY OF LANDED PROPERTIES The Company has not adopted a revaluation policy on its landed properties. 9. MATERIAL CONTRACTS There were no material contracts including contracts relating to any loans entered into by the Company and its subsidiaries involving Directors and substantial shareholders’ interests during the financial year.
