42 KOSMO TECHNOLOGY INDUSTRIAL BERHAD DIRECTORS’ REPORT DIRECTORS’ REPORT The Directors hereby submit their report together with the audited financial statements of the Group and of the Company for the financial year ended 31 December 2006. PRINCIPAL ACTIVITIES The principal activity of the Company is investment holding. The principal activities of the subsidiary companies and associate company are disclosed in Notes 11 and 12 to the Financial Statements. There were no significant changes in the nature of principal activities of the Company, its subsidiary companies and associate company during the financial year. FINANCIAL RESULTS Group Company 2006 2006 RM RM Profit/(loss) for the financial year DIVIDENDS There were no dividends paid or declared by the Company since the end of the previous financial year. RESERVES AND PROVISIONS There were no material transfers to or from reserves or provisions during the financial year. IRREDEEMABLE CONVERTIBLE UNSECURED LOAN STOCKS On 23 June 2005, a total of RM8,396,618 nominal value of 2% 3-year Irredeemable Convertible Unsecured Loan Stocks (“ICULS”) was issued. The salient terms and feature of the ICULS are disclosed in Note 6 to the Financial Statements. The ICULS were issued and listed on Bursa Malaysia Securities Berhad on 23 June and 30 June 2005 respectively.
