addition to the code, the pictograms on pages 8 – 11 explain which bracelets are best suitable for which lifestyle.

The Rembordé technology invented, patented and continuously developed
further by HIRSCH, joins upper and lining leather without any seam. HIRSCH

HIRSCH bracelets are not at all afraid of water! They are generally waterresistant
and dry more quickly than conventional bracelets. Even if they get

Muchos modelos de brazaletes de HIRSCH ofrecen funciones adicionales extraordinarias que están optimizadas para

HIRSCH 100 m resistente al agua
Los modelos de la serie HIRSCH 100 m Water Resistant son los primeros brazaletes
de piel que se pueden usar hasta a 100 m de profundidad marina sin que
color, forma, flexibilidad HIRSCH o estética se vean afectados. Aunque los brazaletes100
m Water Resistant Kautschuk
de HIRSCH se humedecen, no obstante absorben mucha
menos agua, gracias a la tecnología Rembordé de HIRSCH y al material de

Caucho premium HIRSCH
El caucho premium de HIRSCH es sin duda la mejor materia prima para

HIRSCH 100 m Water-Resistant
The models of the HIRSCH 100 m Water-Resistant range are the first leather
bracelets that can HIRSCH be worn in the sea, down to a depth of 100 metres, without
losing colour, shape, Kautschuk suppleness or visual appeal.
HIRSCH 100 m Water Resistant bracelets may get moist, but thanks to the
HIRSCH Rembordé technology and water-resistant padding material made
from leather fibre they absorb significantly less water and dry much more
quickly than bracelets made from conventionally tanned leather.
HIRSCH No Allergy System
In 1980 – as a result of its cooperation with the 1st Vienna University Clinic for
Dermatology – HIRSCH concluded the development of a No-Allergy coating
for leather bracelets. The result is sensational: With the No-Allergy coating
used by HIRSCH worldwide, nearly 100% of allergies caused by wearing
leather bracelets, can be prevented following medical criteria.
In addition, all metal parts of the bracelet – and the buckles in particular – are
nickel-free.
HIRSCH Premium Caoutchouc
HIRSCH Premium Caoutchouc is considered to be the best material for
functional bracelets anywhere! Only high-quality natural caoutchouc is
used and refined with HIRSCH-specific additives. The material guarantees a
considerably longer service life and makes the bracelets much more pleasant
to wear than bracelets made from conventional synthetic materials. HIRSCH
caoutchouc bracelets are highly elastic, tear resistant, gentle on the skin (no
allergy caused by latex) and resistant to external influences, such as water, UV
light or chemicals.
HIRSCH Alligator embossed
Perfect alligator effect – the alternative to genuine alligator! A very special
embossing process creates the natural Louisiana alligator grain on particularly
fine calf skin. The characteristic alligator grain effect is achieved with the
variation of dark and light shades between the scales.

HIRSCH Aloe Vera
HIRSCH Aloe Vera bracelets are a veritable world novelty. The lining leather of
the bracelets is treated with the pure sap of aloe vera; these bracelets gently
caress their wearers’ skin while soothing it with the essences of aloe vera at the
same time.
HIRSCH Artisan Leather
The HIRSCH Artisan Leather category describes a carefully selected range of
bracelet models that are produced from hand selected materials and keeping
carefully to traditional craftsmanship methods. The leather types used are
mostly obtained from the long-established Italian tanneries in and around the
small town of Santa Croce, in Tuscany, where time-honoured processes for the
production and preserving of the finest leather have continued in use through
until today. This art of leather finishing that has been cultivated for centuries
coupled with the experience and craftsmanship of HIRSCH permits lovers
of classically elegant bracelets to adorn their watch with an item of timeless

HIRSCH Scratch Resistant bracelets are highly resistant to scratches; particularly
sturdy raw hides are given a special HIRSCH scratch-resistant finish that
protects the bracelet from abrasion.

Conservación del cuero
El cuero es uno de los materiales más nobles y, al mismo tiempo, más
polivalentes, que acompaña a la humanidad desde hace miles de años. Sin
embargo y a pesar de la resistencia que adquiere gracias a los métodos
tradicionales, como producto natural se ve expuesto a los influjos del medio
ambiente y, con ello, a un proceso de envejecimiento.
La tecnología de producción de ribeteado patentada por Hans Hirsch, es decir,
la unión sin juntura entre la piel superior y el forro, garantiza no obstante
un estándar de calidad por el que desde entonces son célebres en todo el
mundo los brazaletes de piel de HIRSCH. Esta calidad HIRSCH satisfacen
muchas necesidades físicas, tales como una especial resistencia a la tracción,
flexibilidad, resistencia a la transpiración, estabilidad cromática o resistencia al
agua, y confiere a los brazaletes de piel de HIRSCH una vida útil que va más

Leather care
Leather is one of the noblest and at the same time most versatile materials.
Man has been using it for thousands of years. As a natural product, leather is,
however, subject to environmental influences and thus to an ageing process –
even when treated with traditional procedures to make it durable.
The Rembordé production technology patented by Hans Hirsch joins upper
and lining leather seamlessly and ensures a quality standard for which HIRSCH
leather bracelets are renowned the world over. This HIRSCH quality meets
many physical requirements, such as tensile strength, suppleness, resistance
to perspiration, colour fastness or water resistance and makes HIRSCH leather
bracelets much more long-lasting than traditional watch straps.
And yet – sweat, hand cream, perfume and other influences may wash out the
tanning agents and thus reduce the bracelet’s quality.
Protect your bracelet and give it a long life!
Regular care of your bracelet can extend its life. Rinse the bracelet under
lukewarm running water and then dab off the water with a cotton cloth. Or let
the bracelet dry on your wrist.
Please note. The hides used for HIRSCH bracelets do not require any
application of grease – such as shoe cream, for example. Using shoe cream
or dubbin on your bracelet may trigger undesired chemical reactions with the
tannins which could lead to a loss of quality.

Cuero precioso Precious leathers

seleccionado de valiosos y exóticos tipos de cuero, como p. ej. caimán,

convención CITES (Convention on International Trade in Endangered Species

The “Precious Leathers” category offers a carefully selected range of precious,
exotic leathers, such as alligator, crocodile, lizard or ostrich – all of them
symbolising wealth and prestigious status and very popular in the world of
luxury.
Many of these materials (alligator, crocodile and lizard) are covered by the
CITES (Convention on International Trade in Endangered Species of Wild
Fauna and Flora), also known as Washington Convention, which means that
these leathers come from farmed animals bred under permanent, strict control
of official authorities and preserve the wild species.
These materials have a natural surface structure which is accentuated further
by the craftsmanship and finishing applied by HIRSCH. Since all of these
materials are unique, each leather has its very own character, such as a specific
colour shade or structure. Each bracelet is unique; a coveted and highly
appreciated original.
HIRSCH Lining leather 15
It is important to use the best lining leather to ensure longevity of a bracelet
and to make it pleasant on the skin. Directly touching the skin, the bracelet
is always subject to perspiration and other external influences. These factors
cause a “de-tanning” of the leather, leaving it frail and brittle.
HIRSCH uses carefully selected and particularly skin-friendly, water- and
perspiration-resistant lining leathers (tanned and coloured in a way to make
them gentle on the skin). The visual appeal and wearing comfort of the
bracelet are therefore ensured throughout the bracelet’s lifetime.

You don’t even have to take it off to go swimming –
the Viscount Alligator is the first 100m water-resistant
leather bracelet in the world. The technology which
ensures this characteristic was developed by HIRSCH

to be water-resistant and is seamlessly attached to

Original Tuscan leather from Pisa, produced and
finished to an age-old process. The upper leather
is tanned traditionally using pure vegetable lye and
barrel dyed down to the fibre. The characteristic
two-tone effect is achieved by applying the darker
colour shade to the raised areas of the leather in
a hand finishing process. The bracelet is given its
incomparable delicate gleam in a final manual
process entrusted to an especially experienced
tanner master. Siena is a HIRSCH reference to the

1. Alcance y vinculación jurídica:
1.1. Estas Condiciones Generales serán de aplicación a todos los pedidos que aceptemos y ejecutemos y se entenderá que el cliente
las acepta al otorgar un pedido con carácter obligatorio, e incluso cuando no hayamos manifestado de forma explícita nuestra
oposición a otras Condiciones contrarias o distintas.
1.2. Estas Condiciones Generales serán parte integrante de cada contrato formalizado por nosotros en calidad de vendedor / proveedor
y nuestros clientes en calidad de compradores, siempre y cuando no se haya acordado explícitamente algo distinto por escrito,
télex, telefax o correo electrónico al formalizar el contrato.
1.3. Nuestras Condiciones Generales prevalecerán siempre frente a las Condiciones Generales de Contratación o de Compra que
pueda tener establecidas el cliente.
1.4. Cualquier modificación y/o disposición complementaria de las presentes Condiciones Generales de Venta y Suministro así como
toda aceptación condicionada requerirá, a fin de adquirir eficacia jurídica, nuestra confirmación con firma autorizada enviada por
carta, télex, telefax o correo electrónico conforme a las disposiciones de la Ley austriaca sobre la Firma Digital.
2. Oferta y formalización del contrato:
2.1. Todas las ofertas se entenderán sin compromiso, salvo que exista un acuerdo contrario expreso, y se realizarán
fundamentalmente por escrito.
2.2. El contrato quedará formalizado cuando enviemos una aceptación por escrito (que también podrá ser remitida por fax o por
correo electrónico mediante un fichero PDF) mediante una confirmación del pedido.
2.3. Las especificaciones indicadas en los catálogos, folletos, circulares, anuncios, gráficos, listas de precios y similares sólo serán
determinantes cuando en la confirmación del pedido se remita explícitamente a ellas.
2.4. Nos reservamos el derecho de corregir cualquier error a posteriori.
2.5. Quedaremos obligados a realizar las prestaciones contratadas, como pronto, en cuanto se hayan aclarado todos los detalles
técnicos, contractuales y del embalaje una vez que el cliente haya cumplido sus obligaciones creando las condiciones jurídicas
necesarias para la realización del pedido.
3. Realización de pedidos, plazos de entregas y fechas:
3.1. La fecha de entrega se entenderá cumplida y realizada cuando se notifique al cliente el aviso de que la mercancía está lista para
su envío, e incluso cuando el envío no pueda realizarse o realizarse en plazo por razones no imputables a nosotros o a la fábrica
proveedora.
3.2. Cualquier plazo de entrega fijo debe ser acordado por separado.
3.3. De excederse la fecha o el plazo de entrega, no incurriremos en ninguna responsabilidad por cualesquiera daños o perjuicios,
incluido el lucro cesante.
3.4. Si por causas imputables al cliente no fuera posible cumplir las fechas o los plazos de entrega (por ejemplo, debido a un retraso
en la aclaración de los detalles o en el envío de documentos, etc.), la fecha de entrega o el inicio del plazo de entrega se aplazará
por el tiempo en el que se haya retrasado el cliente más un plazo añadido de 4 semanas. En todo caso, tendremos derecho a
realizar envíos parciales o por anticipado en cualquier momento.
3.5. De producirse una demora por causas imputables a nosotros, el cliente estará obligado a concedernos una prórroga razonable.
Sólo cuando esta prórroga haya vencido sin dar resultado, el cliente tendrá derecho a cancelar la parte incumplida del pedido, a
no ser que se le haya comunicado antes de vencer el plazo que la mercancía está lista para su envío.
La estipulación anterior será especialmente de aplicación cuando se determinen defectos con motivo de controles realizados por
una institución independiente o si por otras medidas ejecutorias (como por ejemplo el decomiso en aduanas) no imputables a
nosotros ni causadas por nosotros, no fuera posible entregar la mercancía en el plazo establecido.
3.6. Si el cliente recibiera la mercancía puesta a su disposición conforme al contrato en el lugar y en la fecha acordados en el mismo,
se entenderá que hemos cumplido nuestra prestación pudiendo exigir el cumplimiento del contrato o rescindirlo una vez
transcurrida el plazo de gracia concedido para la aceptación de la mercancía, siempre que el retraso no fuera imputable a nosotros
por una acción o omisión nuestra.
4. Entrega:
4.1. Salvo pacto contrario, se entenderá que nuestra mercancía se venderá y la prestación se realizará “puesto en fábrica”. Tendremos
derecho a elegir libremente la vía y los medios de transporte (corriendo en todo caso el riesgo del transporte a cargo del cliente)
para lo cual el cliente nos eximirá de cualquier responsabilidad.
4.2. De producirse algún incidente de fuerza mayor (véase la cláusula 14) tendremos derecho a atrasar la realización de los pedidos
por el tiempo que perdure la situación sin que el cliente tenga derecho a exigir que reciba la mercancía en el plazo establecido o
una indemnización por daños y perjuicios.
4.3. El cliente acepta las variaciones por exceso o por defecto en las entregas por razones técnicas de la producción, que tampoco
constituirán ningún defecto de suministro.
4.4. El cliente podrá exigir un justificante de la entrega en un plazo máximo de 4 semanas a partir de la fecha de la factura. No
atenderemos ninguna solicitud posterior, entendiéndose que la mercancía ha sido entregada por lo que el importe facturado será
pagadero.
5. Transmisión y recepción:
5.1. El uso, el riesgo y el riesgo fortuito se transmitirán al cliente, en todo caso, con la salida de la mercancía de la fábrica (lugar de
perfeccionamiento del contrato) salvo que exista expresamente un pacto contrario referido a un pedido concreto (por ejemplo,
por una fórmula de los INCOTERMS).
5.2. Cuando la mercancía vendida se envía a solicitud del cliente a un lugar distinto al lugar de perfeccionamiento, el riesgo y el riesgo
fortuito se transmitirán al cliente, salvo pacto contrario (véase la cláusula 4.1.), con su entrega al transportista, porteador o a
cualquier otra persona o empresa encargada del envío.
5.3. Queda excluida toda reclamación dirigida contra nosotros por daños y perjuicios, incluido el lucro cesante, debido a un retraso
en la entrega así como por diferencias de color y de forma de acuerdo con los usos y las costumbres del mercado y en envíos a
gran escala (véase la cláusula 12.2.).
6. Precios:
6.1. Los precios se entenderán neto sin descuento y, salvo pacto contrario, "puestos en fábrica" y no incluyen los gastos de embalaje,
carga y portes.
6.2. Todo coste añadido, incluidos fletes y portes (los costes según la Convención sobre el Comercio Internacional de Especies
Amenazadas de Fauna y Flora Silvestres - Cites), ocasionado por el tipo de transporte solicitado por el cliente correrán en
cualquier caso por su cuenta.
6.3. Los costes accesorios como son los tributos, aranceles, gravámenes, impuestos a la importación o exportación y tasas correrán
por cuenta del cliente, siempre que no se haya especificado o acordado algo distinto.
6.4. Las fórmulas utilizadas en pedidos como son "como de costumbre" sólo se referirán a nuestras prestaciones y en ningún caso a
los precios ni a los costes accesorios.
6.5. Tendremos derecho a facturar aparte los costes ocasionados por la devolución y eliminación de materiales de embalaje y baterías.
Las cuotas por eliminación de residuos quedan excluidos de los descuentos y rápeles que se acuerden.
6.6 Los costes en concepto de herramientas serán por cuenta del cliente. La empresa Hirsch utilizará las correspondientes
herramientas exclusivamente en la fabricación de los pedidos del cliente. No obstante, las herramientas seguirán siendo
propiedad de la empresa Hirsch.
7. Pago:
7.1. El lugar del pago será Klagenfurt, Austria.
7.2. Salvo pacto contrario, los pagos se realizarán neto inmediatamente al recibir la factura sin que el cliente tenga derecho a retener
o compensar cantidad alguna, siempre que no hayamos reconocido expresamente por escrito una deuda.
7.3. Si el cliente incurriera en impago, con precios expresados en monedas o divisas fuertes (Euro, USD, GBP, CHF) se aplicarán unos
intereses moratorios del 10% anual que será del 20% anual con cualquier otra moneda. Además, se nos restituirán todos los
gastos de reclamación, cobro, información y de asistencia jurídica.
7.4. Las letras de cambio sólo se aceptarán como medio de pago previa confirmación expresa por nuestra parte. Las letras de cambio
y los cheques sólo se aceptarán en pago bajo la condición de que se reciba su equivalente.
7.5. Siempre que no se indique ninguna imputación concreta, los pagos se imputarán a la deuda más antigua y, por cada deuda
concreta, primero a los costes, después al pago de los intereses y finalmente al pago del principal.
7.6. Como fecha valor de los pagos se establece el día a partir del cual su cantidad estará a nuestra disposición en la moneda acordada.
7.7. En caso de incumplimiento de las condiciones de pago acordadas o si el cliente incurriese en impago le concederemos un
aplazamiento. De vencer este plazo sin que se haya producido el pago, tendremos derecho a exigir el pago inmediato de todas
las deudas que el cliente tenga pendientes (con independencia de cada plazo), aún cuando algunos plazos todavía no hayan
vencido, a rescindir el contrato y/o a exigir unas garantías adicionales.
De incurrir en impago, el cliente perderá todos los descuentos que se le hayan concedido (especialmente rápeles) por lo que
tendremos derecho a reclamar los importes íntegros de las facturas, sin perjuicio de nuestro derecho a reclamarle los daños y
perjuicios y todos los gastos incurridos en relación con los contratos que rescindiremos en su caso.
7.8. De surgir una situación que dé lugar a dudas acerca de la solvencia del cliente, además, tendremos derecho a exigir el pago
inmediato de la totalidad de las deudas para con nosotros y a rescindir todos los contratos de compraventa y de suministro
pendientes, así como a reclamarle los daños y perjuicios originados por el incumplimiento de sus obligaciones.
7.9. En caso de que el cliente incurriera en impago, asimismo, nos reservamos el derecho de proceder a la venta de la mercancía por
cuenta del comprador acorde con las normas en materia mercantil.
El ejercicio de los derechos que se contemplan en esta cláusula no dará lugar a deuda alguna por nuestra parte frente al cliente
y, en particular, a ninguna indemnización por daños y perjuicios.
7.10 En caso de que el cliente no tenga su domicilio en Austria, estará obligado a observar las normas comunitarias en materia de
derechos reguladores. Esto incluye, en particular, la comunicación de su CIF intracomunitario sin requerimiento previo. El cliente
se obliga a facilitarnos la información, cuando así se le requiera, acerca de su condición de empresario, del uso y transporte de
la mercancía suministrada así como su alta obligatoria a efectos estadísticos.
7.11. El cliente se compromete a restituir cualquier gasto y especialmente los de tramitación que se ocasione debido a una información
insuficiente o errónea por causa del IVA intracomunitario.
8. Reserva de dominio:
8.1. Nos reservamos la propiedad de la mercancía vendida hasta que no se haya abonado el pago íntegro del precio de la compraventa
y de todos las cantidades accesorias que nos correspondan, como son, en particular, los intereses y los costes. La reserva de
dominio incluye, asimismo, cualquier producto creado durante o en el contexto de la elaboración del producto vendido.
8.2. El cliente nos cederá todos los derechos que le correspondan por la reventa de la mercancía bajo reserva de dominio por su
importe facturado en el mismo acto de la formalización de cada contrato individual. Estos derechos nos servirán de garantía al
igual que las mismas mercancías sujetas a la reserva de dominio. Aún así, el cliente queda facultado para cobrar por cuenta
nuestra y en calidad de fiduciario los derechos cedidos. En caso de que el comprador incurra en impago, el cliente se compromete
a entregarnos la documentación necesaria para el cobro de los derechos cedidos. Además, podremos revocar su autorización
para el cobro.
8.3. Mientras subsista nuestra reserva de dominio respecto a la mercancía, el cliente estará obligado a almacenar la mercancía de
forma adecuada, y se obliga, en beneficio mi, a mantener dicha mercancía asegurada, con asignación de la póliza a nosotros,
contra pérdida y menoscabo, incendio, robo así como contra los daños que pueda sufrir durante su almacenamiento y por agua.
8.4. El cliente se compromete a reflejar la reserva de dominio en su contabilidad y a notificarnos inmediatamente cualquier gravamen
que se produzca por terceros y que afecte la mercancía (especialmente el embargo y medidas similares) o los derechos cedidos.
Asimismo, el cliente documentará de forma adecuada la cesión a nuestro favor de sus derechos (mediante anotación contable
cuando sea el modo apropiado) comunicando esta circunstancia al comprador a más tardar al emitir la factura. En estos casos,
el cliente informará a toda persona tercera acerca de los derechos que nos corresponden restituyéndonos cualquier coste
relacionado con la reivindicación de nuestros derechos incluidos los de asistencia jurídica si fuera precisa.

9. Garantía:
9.1. Se establece un plazo de garantía que comenzará con la transmisión del riesgo y tendrá una duración de 6 meses a partir de la
entrega.
9.2. En nuestra calidad de revendedores asumiremos la garantía únicamente con el alcance de la responsabilidad del fabricante, centro
proveedor y/o productor. No asumiremos ninguna garantía y/o indemnización distinta que exceda estos términos.
9.3. La garantía se establece para aquellas características que constituyen una condición explícita de nuestros productos así como
para aquellas otras que comúnmente se esperan de ellos, pero en ningún caso respecto de la aptitud de nuestros productos para
los procedimientos y fines específicos del cliente.
9.4. En todo caso, los derechos de garantía extinguirán con efectos inmediatos en el momento de la reventa, la manipulación o la
reparación de los productos por parte del cliente.
9.5. Las mercancías devueltas serán aceptadas sólo si el transporte se hace sin gastos para nosotros y siempre que los productos
se envíen con su embalaje original o con un embalaje alternativo que cumpla los mismos criterios de seguridad. En ningún caso
se aceptará la devolución de modelos especiales.
10. Defectos y vicios:
10.1. El cliente revisará inmediatamente la mercancía en el momento de su recepción comprobando si existen eventuales defectos o vicios
y, en su caso, nos reclamará en el acto los defectos o vicios que haya detectado. Cualquier vicio oculto se comunicará, en su caso,
inmediatamente al ser detectado. La reclamación se hará por escrito, por télex o por telegrama en un plazo máximo de 8 días a partir
de la entrega (las reclamaciones por correo electrónico sólo se aceptarán en forma de un fichero adjunto en formato PDF).
10.2. Si los defectos o vicios son subsanables podremos optar, según nuestro criterio, entre corregir la mercancía, sustituirla o rebajar
el precio.
10.3. Si los defectos o vicios no fueran subsanables podremos optar, según nuestro criterio, entre sustituir la mercancía o rebajar su
precio. Queda excluido cualquier otra pretensión, especialmente la de redhibición, indemnización y/o sustitución ejecutiva.
10.4. No aceptaremos ninguna reclamación por defectos o vicios si la mercancía se encuentra en un lugar y en un estado distinto al de
entrega.
10.5. Los productos suministrados incluirán únicamente aquellas garantías que sean de esperar conforme a las normas de homologación,
los manuales de uso y de servicio, las normas del fabricante, etc. y a cualquier otra instrucción que se haya indicado.
11. Derechos de marca y de protección industrial:
11.1. „Hirsch“ y „Hirsch-Armbänder“ son marcas registradas y están protegidas como tales.
11.2. El cliente queda autorizado por nosotros para utilizar las marcas registradas Hirsch y Hirsch-Armbänder en el tráfico comercial
con el alcance generalmente admitido en el comercio.
11.3. Cualquier uso ilícito de nuestras marcas denominativas y figurativas dará lugar a una reclamación por daños y perjuicios. En
ningún caso se podrán utilizar nuestras marcas, tanto las registradas como las no registradas, por escrito en materiales
publicitarios u otras publicaciones en el contexto de la divulgación de informaciones a terceros sin nuestro previo consentimiento.
12. Modelos y derechos de propiedad intelectual:
12.1. Las muestras que nos facilite el cliente son modelos que fabricaremos según nuestro leal saber y entender. Para ello, debe tenerse
en cuenta que el cuero es un producto natural.
12.2. No responderemos de las diferencias cromáticas ni de las impresiones y/o las características, siempre que se produzcan en la
forma que generalmente se acepta en el mercado e incluso si se producen debido al uso de unas bases tecnológicas distintas a
las que se utilizaron en la confección de las muestras. Responderemos de la confección conforme a las reglas del arte y en ningún
caso de la exactitud de las muestras que nos sean facilitadas.
12.3. Hirsch es el propietario exclusivo de los displays diseñados por Hirsch (= mostradores o vitrinas de venta para pulseras de reloj)
y de los derechos referidos a bienes inmateriales (modelo protegido, marca registrada, patentes, etc.), los conocimientos
técnicos, el diseño, la tecnología y la técnica utilizada en estos mostradores.
12.4. La tecnología desarrollada en el contexto del diseño y la fabricación de dichos mostradores por nosotros (Hirsch) está protegida
a escala internacional. Los mostradores sólo se podrán colocar en los lugares y en los espacios comerciales del cliente y deben
contener con carácter exclusivo y de forma íntegra nuestros productos de calidad, en particular, las pulseras Hirsch en su
presentación original.
12.5. El cliente abonará por el uso de los mostradores, que continuarán siendo propiedad nuestra, una remuneración única pagadera
cuando el cliente reciba el mostrador.
12.6. De no exponerse en los mostradores de forma completa y exclusiva nuestros productos de calidad, nos reservamos el derecho
de retirar de manera inmediata estos mostradores estando el cliente obligado a devolverlos sin demora a nosotros.
12.7. En el caso de que se produzca un deterioro, la pérdida y/o un uso indebido del mostrador, el cliente vendrá obligado al pago de
una sanción por importe de 500,00 euros que no podrá ser reducida por vía judicial. En su caso, nos reservaremos la reclamación
de una indemnización superior.
12.8. En el caso de que Hirsch haya facilitado una solución a medida de las necesidades del cliente diseñando planos y modelos, estos
serán propiedad intelectual de la empresa Hirsch y no se podrán poner a disposición de otros fabricantes sin el consentimiento
explícito de la empresa Hirsch. En particular, los procedimientos protegidos por patente y los modelos protegidos que se
identifican como tales quedarán sujetos a la normativa internacional en materia de protección intelectual e industrial. Cualquier
vulneración de estos derechos será causa de una acción judicial que, en su caso, promoverá Hirsch.
13. Responsabilidad e indemnizaciones:
13.1. Responderemos sólo de los daños y perjuicios que se produzcan en los bienes propiedad del cliente de forma directa durante la
ejecución de la prestación y que sean imputables a nosotros por culpa grave o por dolo. El cliente no nos podrá reclamar ninguna
otra responsabilidad o indemnización, en particular, por ningún daño o perjuicio indirecto o consecuencial.
13.2. Los productos suministrados por nosotros sólo ofrecerán aquella seguridad que generalmente sea de esperar debido a las
normas de homologación u otras indicaciones.
13.3 Las cantidades, dimensiones, formas y los diseños siempre estarán sujetos a las variaciones generalmente aceptadas en el
mercado (el cuero es un producto natural).
13.4. Asimismo, queda excluida toda responsabilidad por negligencia así como cualquier indemnización por daños consecuenciales y
patrimoniales, o bien por ahorro de gastos no alcanzado. En ningún caso responderemos de pérdidas de intereses y/o de los
daños y perjuicios que sean reclamados al cliente por terceros.
13.5. Queda excluida la obligación de resarcimiento por daños materiales indirectos contemplados en la Ley austriaca de
responsabilidad por productos (PHG).
13.6 De incumplir el cliente sus obligaciones generales derivadas de estas Condiciones Generales de Venta y Suministro, el cliente
estará en todo caso obligado a eximirnos de cualquier responsabilidad o acción resarciéndonos de cualquier perjuicio (incluidos
los costes de asistencia judicial y costas) cuando se nos requiera por los daños sobrevenidos como consecuencia de los
productos comercializados por el cliente en dichas circunstancias, con independencia de sí existe o no existe culpabilidad. No le
corresponderá ningún derecho de regreso frente a nosotros cuando tenga que indemnizar a un tercero en relación con nuestros
productos conforme a la Ley de responsabilidad por productos.
13.7. Sólo responderemos de los daños imputables a nosotros por culpa grave y que se produzcan en los bienes propiedad del cliente
que nos haya facilitado para su manipulación en el contexto de la prestación. No responderemos frente a ninguna otra
reclamación por daños y perjuicios del cliente, siempre que no seamos responsables por culpa grave o por robo.
13.8. Responderemos fundamentalmente de la pérdida o del deterioro de los objetos que nos hayan sido entregados para su
reparación, quedando limitada nuestra responsabilidad a la reparación o sustitución del valor del producto objeto de reparación
o suministrado. Sólo responderemos frente a otras reclamaciones cuando haya existido robo.
14. Fuerza mayor:
14.1. De sobrevenir causas de fuerza mayor como son huelga, escasez de materias primas y combustibles, interrupciones en los
transportes, etc. tendremos derecho a retrasar el suministro por el tiempo que perdure el impedimento más un plazo adecuado
para retomar las operaciones, o a rescindir el contrato en parte o por completo. Estos hechos no serán constitutivos de ninguna
obligación o responsabilidad nuestra frente al cliente.
14.2. Tendrá consideración de causa de fuerza mayor cuando nuestros proveedores no nos suministren o nos suministren fuera de
plazo, siempre que las causas del incumplimiento no sean imputables a nosotros.
15. Protección de datos de carácter personal:
15.1. El cliente queda informado mediante la información referida a la protección de los datos de carácter personal sobre
- el carácter, el alcance, la duración y la finalidad del registro, el procesamiento y el uso de los datos de carácter personal
necesarios para la realización y facturación de los pedidos;
- su derecho a oponerse a que se generen y usen sus perfiles de usuario anónimos con fines de publicidad, de prospección
comercial y para la adecuación de nuestra oferta a sus intereses;
- la comunicación de los datos a las empresas contratadas por nosotros, obligadas al cumplimiento de la normativa en materia
de protección de datos personales, para los fines y por el plazo de la comprobación de su solvencia, así como para el envío
de la mercancía;
- su derecho a ser informado de forma gratuita sobre sus datos de carácter personal incorporados a nuestros ficheros;
- su derecho a rectificación, cancelación y bloqueo de sus datos de carácter personal incorporados a nuestros ficheros;
15.2. Cualquier registro, procesamiento y uso de datos de carácter personal que no se ajuste a los términos indicados en la cláusula
15.1 anterior requiere el consentimiento del cliente. El cliente podrá prestar su consentimiento antes de efectuar el pedido. El
cliente podrá revocar en cualquier momento su consentimiento con efectos futuros.
16. Rescisión del contrato:
16.1. Tendremos derecho a rescindir el contrato:
- de retrasarse la prestación, su inicio o continuación por causas imputables al cliente, una vez vencido la prórroga concedida;
- si existieran motivos para dudar de la solvencia del cliente y éste se negara, a pesar de los correspondientes requerimientos, a
efectuar el pago por adelantado o a presentar una garantía adecuada antes de que se despache el pedido (véase la cláusula 7.7.);
- si el cliente excede del aplazamiento por las causas indicadas en el punto anterior en más de la mitad del plazo de entrega
inicialmente acordado.
16.2. La rescisión podrá efectuarse, asimismo, respecto de una parte pendiente de un suministro o una prestación por las causas
anteriores.
16.3. De incurrir una de las partes en quiebra o suspensión de pagos o si el proceso judicial fuera desestimado por falta de patrimonio,
la otra parte tendrá derecho a rescindir el contrato con efectos inmediatos.
16.4. De rescindirse el contrato, serán facturados y pagaderos todas las prestaciones y prestaciones parciales realizadas hasta ese
momento, sin perjuicio de las reclamaciones por daños y perjuicios que nos pudieran corresponder.
La disposición anterior será de aplicación incluso en el supuesto de que el cliente todavía no haya recibido el suministro o la
prestación y/o respecto de las prestaciones que hayamos realizado con anterioridad. Además, también tendremos el derecho a
exigir la devolución de los productos suministrados con anterioridad.
17. Sumisión a jurisdicción:
17.1. Las partes se someten para cualquier discrepancia a la jurisdicción y competencia de los Juzgados y Tribunales de Klagenfurt.
18. Derecho aplicable:
18.1. Todos los contratos de compraventa o de suministro se regirán exclusivamente por el Derecho austriaco.
19. Disposiciones finales:
19.1. Si alguna de las cláusulas del contrato o de estas Condiciones Generales fuera declarada o deviniese nula o inválida, ello no
afectará ni invalidará la eficacia de las demás disposiciones. Las partes se comprometen a sustituir cualquier disposición nula o
inválida por otra que más se aproxime al fin de la disposición nula o inválida.
19.2. En el supuesto de que los contratos o las Condiciones Generales de Venta y Suministro queden redactados en idioma alemán y
en otro idioma, prevalecerán las disposiciones de la versión redactada en alemán. En el caso de los contratos redactados en
inglés, será de aplicación la versión inglesa de nuestras condiciones generales de contratación.

1. Applicability and binding effect:
1.1. The following terms and conditions shall apply to all orders accepted and fulfilled by us and shall be deemed accepted by the
contracting party and legally binding upon placing of the order even if we do not expressly object to conflicting terms and
conditions.
1.2. Unless specifically agreed otherwise in writing, by telex or fax, telecopy or e-mail upon conclusion of a contract, the following
terms and conditions shall constitute a supplementary part of each contract concluded between us as seller/supplier and our
customers as contracting party.
1.3. Our terms and conditions shall in any case prevail over general terms and conditions and/or general terms and conditions of
purchase, if any, of the contracting party.
1.4. Modifications of and/or amendments to these General Terms and Conditions of Sale and Delivery or promises differing from the
same shall require confirmation in writing, by telex or fax, telecopy, or by e-mail sent in accordance with the Signature Act
[Signaturgesetz] and duly signed in order to be legally binding.
2. Offer and Conclusion of Contract:
2.1. Any and all offers shall be non-binding unless expressly agreed otherwise by us and shall, as a matter of principle, be placed in
writing.
2.2. A contract shall be deemed concluded upon our issuance of a written declaration of acceptance (also by fax, or e-mail as a pdf
file) in the form of an order confirmation.
2.3. The product data contained in catalogues, brochures, mailings, advertisements, illustrations, price lists and the like shall only be
relevant if explicitly referred to the order confirmation.
2.4. We reserve the right to subsequently correct any mistakes and/or errors.
2.5. We shall be obliged to render the ordered services once all technical, contractual and packaging details have been clarified and
the contracting party has fulfilled its obligations and has brought about the legal prerequisites for performance.
3. Performance, delivery periods and dates:
3.1. The delivery date shall be deemed observed upon issuance of a notice that the ordered goods are ready for shipment even if
dispatch is not or not timely possible with no fault of ours or of the supplier factory.
3.2. Fixed delivery dates shall be subject to separate agreement.
3.3. In case that a delivery date or delivery period is exceeded we shall not be held liable in any way for any damage suffered or profit
lost.
3.4. If delivery dates or delivery periods cannot be complied with for reasons for which the contracting party is responsible (e.g. late
clarification of details, late receipt of documents and the like), the delivery date or commencement of the delivery period shall be
postponed by the period of time the contracting party is in delay plus four weeks. We shall in any case be entitled to carry out
partial or advance deliveries.
3.5. In case of a delay for which we are responsible, the contracting party shall have to grant us a reasonable grace period. Only after
an unsuccessful expiration of such period shall the contracting party be entitled to rescind the unfulfilled part of the order, unless
the goods have been notified to be ready for shipment before expiration of the grace period.
This shall, in particular, apply if independent institutes identify defects of the goods or we are hindered to timely deliver the goods
due to other executive measures (such as, e.g., seizure by customs authorities) and such measures that have not been caused
by us and are not due to our fault.
3.6. If the contracting party fails to accept the goods made available in accordance with the contract at the place agreed in the contract
or at the time contractually agreed, our performance shall be deemed rendered; and if the delay has not been caused by an act
or omission on our part, we may either claim performance or rescind the contract after having granted a reasonable grace period
for acceptance.
4. Delivery:
4.1. Unless otherwise agreed, the delivery made by us shall be deemed sold "ex works" and our performance shall be deemed
rendered. We shall be free to choose the route and means of transport (delivery at the risk of the contracting party) and any liability
shall be excluded.
4.2. Events of force majeure (Article 14.) shall entitle us to delay performance of orders for the duration of the impediment without
the contracting party being entitled to timely delivery or damages.
4.3. Excess or short deliveries due to production technology shall be accepted by the contracting party and shall not be considered
inadequate delivery.
4.4 The contracting party shall be entitled to demand of us evidence of delivery until four weeks after the invoice date. Evidence of
delivery requested later on shall not be provided by us and the goods shall be deemed received by the contracting party and the
invoiced amount shall be deemed due.
5. Delivery and acceptance
5.1. As a matter of principle, benefit, risk and accident shall pass to the contracting party upon dispatch of the shipment "ex works"
(place of performance) unless expressly agreed otherwise on a case-by-case basis (e.g. by INCOTERMS).
5.2. In case we ship the sold goods to a different place than the agreed place of destination at the request of the contracting party, risk
and accident shall pass to the contracting party as soon as we have made available the goods to the freight forwarder, carrier or
to the other person or undertaking commissioned to ship the goods unless otherwise agreed (Clause 4.1.).
5.3. Claims vis-à-vis us for performance or damages or lost profit including deviations in colour and design which are customary in
trade that are raised on grounds of failure to timely deliver the goods or in case of mass shipments (see Clause 12.2) shall be
excluded.
6. Prices:
6.1. Prices shall be net without any deductions and, unless agreed otherwise, shall be considered "ex works" exclusive of packaging,
loading, and transportation costs.
6.2 Additional costs including transportation costs (CITES costs) which arise from a specific mode of shipment requested by the
contracting party shall in any case be borne by the contracting party.
6.3. Ancillary costs, such as official charges, customs duties, price-adjustment levies, import and export duties and fees shall be borne
by the contracting party unless otherwise stated or agreed.
6.4. The term "as before" ["wie gehabt"] and other similar terms used in orders shall only refer to the workmanship of our performance
but not to prices and ancillary costs.
6.5. We shall be entitled to additionally invoice costs of taking back and/or disposing of packaging material and batteries. Waste
disposal charges shall be excluded from regulations concerning rebates or cash discounts.
6.6. Tool costs shall be borne by the contracting party. The relevant tools will be used by Hirsch exclusively for execution of the orders
placed by the contracting party. However, the tools shall remain the property of Hirsch.
7. Payment:
7.1. The place of performance concerning payment to us shall be Klagenfurt.
7.2. Unless otherwise agreed, payments shall be made immediately upon issuance of the invoice without deductions and excluding
any right of the contracting party to retention or offsetting against any counterclaims which we have not expressly accepted in
writing.
7.3. In case the price is stated in hard currency (EUR, USD, SFR), default interest in the amount of 10% shall be payable for delay in
payment, in case of all other currencies, default interest in the amount of 20% p.a. shall be payable. In addition, we shall be
reimbursed for all costs of dunning, collection, investigation and obtaining of information, as well as, the costs of legal counsel
called in by us.
7.4. Payment by bill of exchange shall be subject to our express consent. We shall accept bills of exchange and cheques as payment
only subject to receipt of the counter-value.
7.5. Unless a special purpose is indicated, payments shall be credited to the oldest outstanding account receivable; for each individual
claim payments shall be credited first to costs, then to interest and finally to principal.
7.6. Payment shall be deemed made at the date at which we are able to dispose of the same in the agreed currency.
7.7. In case of non-compliance with the agreed terms of payment or in case of delay in payment by the contracting party, we shall be
entitled to grant a grace period. In case of an unsuccessful expiration of such grace period or in case the contracting party declares
not to pay, we shall be entitled to declare all claims vis-à-vis the contracting party due for immediate payment (acceleration
occurs) even if some claims are not yet due; furthermore, we may rescind the contract and/or request additional security.
Agreed price reductions (in particular, discounts) shall lose their validity thereby and we shall be entitled to claim the full
invoice amount. Our right to claim damages including reimbursement of all expenses already incurred in connection with the
contracts which we rescind in such a case, independent of whether the contracting party is at fault or not, shall not be affected
thereby.
7.8. In case circumstances occur due to which doubts regarding the creditworthiness of the contracting party arise, we shall, in
addition, be entitled to declare all our accounts receivable due for immediate payment and to rescind all pending purchase and/or
supply contracts as well as to claim damages on grounds of non-performance.
7.9. In case of delay on the part of the contracting party we shall also be entitled to a self-help sale in accordance with the provisions
of commercial law.
From exercise of our rights provided for in this Clause, no liabilities on our part vis-à-vis the contracting party, in particular, no
claims for damages vis-à-vis us, shall arise.
7.10. If the contracting party's registered office is situated outside of Austria, the contracting party shall be obliged to comply with EU
regulations on turnover tax on imports. This shall include, but not be limited to advising the VAT number to us without separate
request. The contracting party shall be obliged, upon our request, to provide us with the necessary information on its capacity as
entrepreneur, on use and transport of the goods delivered, as well as, regarding the obligation to submit data for statistical
purposes.
7.11. The contracting party shall be obliged to reimburse us for any expenses, in particular for handling charges, which are incurred by
us due to insufficient or incorrect information provided by the customer in connection with turnover tax on imports.
8. Retention of title:
8.1. Until full payment of the purchase price and of all of our ancillary claims, in particular, interest and costs, the sold goods shall
remain our property. Retention of title shall extend also to by-products resulting from processing
8.2. Claims of the contracting party under a resale of goods the title to which is retained shall be assigned to us in the amount of the
invoice for the goods subject to retention already upon conclusion of individual contracts. They shall serve as a security for us to
the same extent as the goods the title to which is retained. Despite such assignment, the contracting party shall be entitled to
collect the assigned accounts receivable for us in escrow. In case of delay in payment of his contracting party, our contracting
party shall be obliged to make available to us the documents necessary for collection of the assigned claims and we shall be
entitled to revoke our contracting party's power to collect claims in escrow.
8.3. As long as we retain title to the goods, the contracting party shall be obliged to store them properly and to maintain insurance
against loss and depreciation, fire and theft, storage damage and water damage and to restrict transferability of such insurance
policy in our favour.
8.4. The contracting party shall be obliged to make entries into the books which show the retention of title and to notify us of
third-party seizure (in particular, attachments and the like) to goods the title to which is being retained or to assigned
accounts receivable without delay. Likewise assignment of accounts receivable of the contracting party from us shall also
be documented in an appropriate form (if appropriate, by means of an entry into the books) and notified to the customer of
the contracting party not later than upon issuance of the invoice. In such a case, the contracting party shall be obliged to
notify third parties of our rights and reimburse us all costs related to safeguarding our rights, including costs for legal counsel,
if applicable.

9. Warranty:
9.1. The warranty period shall commence at the time the risk passes until six months after delivery.
9.2. As resellers, we shall only warrant to the extent of the scope of liability of the manufacturer, supplier factory and/or producer.
We shall not assume any further warranties and/or compensations.
9.3. Warranty shall apply to expressly ordered qualities of our products or qualities usually assumed, but shall not extend to specific
procedures or purposes of the contracting party.
9.4. Warranty claims shall in any case expire immediately upon resale, further processing or repair by the contracting party.
9.5. We shall only accept returns if they are free of charge for us and are either in the original packaging or a correspondingly safe
substitute packaging. As a matter of principle, customised products shall not be taken back.
10. Defects:
10.1. The goods delivered by us shall immediately upon delivery be inspected by the customer for defects and any defects identified
shall be notified to us immediately. Such notice shall be made in writing, by telex or fax or telegram not later than 8 days after
delivery (by e-mail only as a pdf file).
10.2. In case defected goods are delivered which can be repaired we may, at our option, either improve or replace the goods or grant
a price reduction.
10.3. In case of irreparable defects we may, at our option, offer either replacement of the goods or a price reduction. Any further claims
against us, in particular rights to cancellation of contract, damages and/or substitute performance shall be excluded.
10.4. We shall not accept any notices of defects if the goods are not at their place of destination or in the state of dispatch.
10.5. The products delivered shall only offer the degree of security which may be expected on the basis of licensing provisions,
operating manuals, regulations of the manufacturer, etc. and other information given.
11. Trademarks and industrial property rights:
11.1. The names "Hirsch" and "Hirsch-Armbänder" are registered trademarks and are subject to trademark protection.
11.2. In connection with ordinary business transactions we grant the customer permission to use the registered trademarks Hirsch and
Hirsch-Armbänder in business.
11.3. Any detrimental use of our registered trademark and/or word-picture mark (logo), and any infringement of our trademark right
shall result in claims for damages on our part. No trademarks of Hirsch, be they registered or not registered, shall be used in
advertising materials or other publications in connection with distribution of information to third parties without our prior written
consent.
12. Samples and copyright:
12.1. The samples provided to us by the customer are models and we shall realise the same to the best of our knowledge and belief.
In this respect, we would like to point out that leather is a product of nature.
12.2. Consequently, we shall not be liable for any differences in colour and/or print or for particular properties, provided that such
differences occur in a form that is customary in trade and even if they do not occur on the basis of the same technical documents
as the models. We shall be liable for proper manufacturing, but not for the correctness of the samples provided to us.
12.3. Hirsch is the sole owner of the displays (wristwatch strap sales displays) developed by Hirsch and the pertaining intellectual
property rights (protection of registered designs, trademark protection, patents, etc.), of the know-how, design, technology and
technique of the said displays.
12.4. The technology developed by us in connection with the development and production of the displays, as well as, the know-how is
protected for us (Hirsch) on a worldwide basis. The said displays may only be put up on the premises of the contracting party at
the place determined by us and must be equipped by the contracting party fully and exclusively with our high-quality products,
in particular with Hirsch wristwatch straps in original design.
12.5. A one-off fee for use of the displays, which shall remain our property, shall be paid by the contracting party, which shall be due
for payment upon acceptance of the displays by the contracting party.
12.6. If such displays are not fully and exclusively equipped with our high-quality products, we shall be entitled to immediately collect
the said displays and in this case, the contracting party shall be obliged to immediately return the said displays to us.
12.7. In case of damage to, loss of and/or use of the displays not in accordance with the agreement the contracting party shall be
obliged to pay a contractual penalty in the amount of EUR 500, which shall not be subject to a judicial right of reduction. We
reserve the right to assert any claims exceeding the aforementioned amount.
12.8. If Hirsch constructs customised solutions or develops plans and/or models, they shall be intellectual property of Hirsch and may
not be made available to other manufacturers without Hirsch's express consent. In particular, patented processes and protected
designs, which are marked as such, shall be subject to international protection regulations. Hirsch shall take legal action for
infringement thereof.
13. Liability and damages:
13.1. We shall only be liable for damage to items belonging to the contracting party which has occurred directly in the course of
performance and which was caused by us by gross negligence or intent. Any other claims of the contracting party, in particular
for any additional damages, including any consequential damage caused by a defect, shall be excluded.
13.2. The products delivered by us shall only offer the degree of security which may usually be expected on the basis of licensing
provisions and other information.
13.3. The right to tolerances customary in trade with regard to quantities, measurements, form and design (leather is a product of
nature) shall always be reserved.
13.4. Both liability for negligence and compensation for consequential damage and pecuniary loss, as well as, compensation for savings
not made or lost interest and/or for damage due to third-party claims vis-à-vis the contracting party shall be excluded.
13.5. The obligation to compensate for property damage according to the Product Liability Act [Produkthaftungsgesetz/PHG] shall be
excluded.
13.6. In case of non-fulfilment of obligations imposed on the contracting party under these General Terms and Conditions of Sale and
Delivery as well as in case we are held liable with regard to damage caused by such products which have been put into the market
by the contracting party, the contracting party shall in any case be obliged, irrespective of fault, to fully indemnify and hold us
harmless (including any costs of legal counsel or proceedings). If the contracting party has paid compensation to a third party
under product liability law with regard to a product delivered by us, any right of recourse to us shall be excluded.
13.7. We shall only be liable for damage to items which belong to the contracting party and were taken over by us in the course of
performance for processing and if such damage was caused by gross negligence on our part. Any other claims of the contracting
party, in particular claims for compensation for any further damage, including consequential damage caused by a defect, shall be
excluded except for cases of gross negligence or intent on our part.
13.8. We shall, in principle, be liable for loss of or damage to an item to be repaired by us, however such liability shall be limited to
repair and/or compensation for the value of the item to be repaired or the delivery item. We shall be liable for further claims only
in case of intent.
14. Force majeure:
14.1. Upon occurrence of events of force majeure, such as strike, lack of raw materials or fuel, disturbance of transports and the like,
we shall be entitled to postpone shipment for the duration of the impairment and a reasonable start-up period, or to rescind the
contract in whole or in part. This shall not give rise to any liabilities on our part vis-à-vis the contracting party, in particular not to
claims for damages vis-à-vis us.
14.2. Non-delivery or not timely delivery by our suppliers shall rank equal to force majeure provided that the cause lies not within our
scope of responsibility.
15. Data protection:
15.1. By means of our data protection information we shall inform our contracting parties about
- the nature, scope, duration and purpose of collection, processing and use of personal data necessary for processing of orders
and accounting;
- their right to object to the creation and use of their anonymised user profile for the purposes of advertising, market research,
and design of our product range in accordance with demand;
- the passing on of data to undertakings commissioned by us which are subject to statutory provisions of data protection, for
the purpose of evaluation of credit standing and shipment of goods and for the duration of the same;
- their right to receive information on their personal data stored by us free of charge;
- their right to correction, deletion and blocking of their personal data stored by us.
15.2. Any collection, processing and use of personal data going beyond that described in Clause 15.1. shall be subject to the consent
of the contracting party. The contracting party shall have the possibility to give such consent prior to placing its order. The
contracting party shall have the right to revoke its consent at any time with effect for the future.
16. Rescission of the contract:
16.1. We shall be entitled to rescind the contract if
- despite granting of a grace period execution of the delivery and/or commencement or continuation of performance is further
delayed for reasons for which the contracting party is responsible;
- doubts concerning the liquidity of the contracting party exist and if upon our request the contracting party neither makes any
advance payment nor furnishes appropriate security prior to shipment (see Clause 7.7.);
- an extension of the delivery period due to the aforementioned circumstances would in total be longer than half the delivery
period originally agreed.
16.2. For the aforementioned reasons rescission of the contract may also be declared with regard to an outstanding part of the delivery
and service.
16.3. If insolvency proceedings are opened over the assets of a contracting party or if a petition for initiation of insolvency proceedings
is dismissed for lack of sufficient assets, the other contracting party shall be entitled to rescind the contract without granting a
grace period.
16.4. Notwithstanding our claims for damages, partial services or services already rendered shall be accounted for and due for payment
in case of a rescission of the contract.
This shall also apply to the extent the delivery and service has not yet been accepted by the contracting party and/or to preliminary
services already rendered by us. We shall, however, also be entitled to claim return of items already delivered.
17. Place of jurisdiction:
17.1. The place of jurisdiction concerning all disputes shall be Klagenfurt.
18. Applicable law:
18.1. All purchase and service contracts shall exclusively be subject to Austrian law.
19. Other provisions:
19.1. If individual provisions of the contract or of these General Terms and Conditions Sale and Delivery should be ineffective in whole
or in part, the remaining provisions shall remain effective. The parties undertake, in case of partial ineffectiveness, to replace the
ineffective provisions by provisions which come as close as possible to the purpose of the ineffective provision.
19.2. In case that contracts or the General Terms and Conditions of Sale and Delivery are drawn up in German and in a different
language, the German version shall prevail. Our English-language General Terms and Conditions shall apply to contracts drawn
up in English.
